The City of Eugene offers certain bids, proposals, quotations, and qualifications available to be
downloaded. The City requires each bidder to follow specific requirements as noted below. If
the Bidder does not comply with these requirements they will risk the possibility of not receiving
a complete solicitation packet and may be deemed a non-responsive bidder.

Please note that if this solicitation is downloaded, it will include all current amendments that may
have been issued since the original bid was posted. The Bidder will not need to download the
current amendments separately. However, the Bidder will be required to complete, sign, and
return a “FAX BACK” form that includes all of their current contact information. By submitting
this information the Bidder allows the City to send any supplemental information in addition to
the original documents.

Disclaimer: The recipient of any downloaded document from this website shall be responsible

The following question was asked regarding this solicitation, answer is listed below the question.
Question 1.     For the guaranteed buy back option, in what application will the new backhoes
                be used, and approximately how many hours will they be used per year?
Answer 2.      The backhoes will be in general service and one will possibly be used in a leaf
               program. Based on the usage of the previous backhoes, the City anticipates that
               these backhoes will be used approximately 400 hours per year.

All other terms, conditions and specifications of this solicitation remain unchanged.

The solicitation referenced above is amended as follows:

1.      “Requirements” Section, Page 1, Item E titled “MANUALS” is modified to read “Provide
        a total of two copies of the complete operating manual for the fixed boom
        backhoe; a total of four copies of the complete operating manual for the extender
        backhoes; and a total of two shop repair manuals, one for each the fixed boom
        and one for all of the extender backhoes. This is to include all manuals for
        components added to the equipment. It is the preference of the City to maintain
        manuals on CD, if manuals are available on CD, please provide in that format.”

2.      “Specifications” Section, Page 3, Item 6.04 is modified to read “Hydraulic ride control
        cab feature. Isolation mounts will not be accepted as a ride control cab feature.”

3.      “Specifications” Section, Page 4, Item 15.04 is modified to read “Easy access door or
        doors that open within the machine's width.”

4.      “Specifications” Section, Page 5, Item 17.02 is modified to read “Each backhoe to be
        equipped with a bucket to be approximately 24“ wide. Total of four (4) buckets
        required.”

5.      “Bid Form”, Page 2, “Optional Items” Section, 2nd line item from the top is modified to
        read “Quick coupler system with In cab controls for front loader bucket hydraulic quick
        coupler”
The following question was asked regarding this solicitation, answer is listed below the question.
Question 1.     “Specifications” Page 3 or 4, Section 7.0 or 8.0 – No mention of type of “Pads”
                to be furnished on rear stabilizers. With my product they offer three options, A-
                Cleated dirt pads, B-Flat cemetery w/heavy duty rubber pads, C-Combination
                “flip-over” pads.
Answer 2.      From these options the City would prefer option B-Flat cemetery w/heavy duty
               rubber pads.

All other terms, conditions and specifications of this solicitation remain unchanged.

                                INVITATION FOR SEALED BIDS

Sealed Bids for the provision of Backhoes for the City of Eugene Fleet Services will be
accepted by Tamara Bronson, Senior Buyer, Purchasing Section, 100 West 10th Avenue, Suite
400, Eugene, Oregon 97401, until 2:30 PM, Wednesday, November 2, 2005. Bids will be
opened immediately thereafter and publicly read aloud. Bids received after the stated time will
not be considered. The bids will be opened and read at that time and the presence of Offerors,
while not required, is nevertheless invited.

Copies of the bid specifications and documents are available at the Purchasing Section Office.

PLEASE PROVIDE 3 COPIES OF YOUR BID.

Each bid must contain a statement as to whether the Offeror is a resident bidder, as defined in
ORS 279A.120. No bid will be accepted by the City unless it contains a statement by the
Offeror as a part of the Bid that the Offeror, in carrying out the contract, will comply with all
applicable laws.

Bid Evaluation and Award: The contract, if awarded, will be awarded to the responsible
Offeror who submits the lowest responsive Offer. Consistent with the provisions of the bid
documents, award may be made by item, groups of items, or the entire bid in the public interest,
as determined by the City.

In determining the lowest responsible Offer, the City shall, for the purpose of awarding the
contract, add a percent increase to the Offer of a nonresident bidder equal to the percent, if any,
of the preference given to that Offeror in the state in which the Offeror resides. The City shall
rely on the Oregon Department of Administrative Services’ published list of states, which gives
preference to in-state Offerors to determine the percent increase to be added.

The City shall give preference to materials and supplies manufactured from recycled materials
when available at a cost no greater than 5 (five) percent above the cost of comparable products
manufactured from virgin materials. Subsequent contract or purchase order award will be
based on these criteria, and may contain applicable standard contract provisions as required by
law.

The City of Eugene reserves the right to reject or accept any or all Offers, or to waive any
condition of the bid requirements in the best interest of the City. The City may reject any Offer
not in compliance with all prescribed public bidding procedures and requirements, and may
reject for good cause any or all Offers or waive any specification or requirement upon the City’s
finding that it is in the public interest to do so. Please follow the bidding instructions enclosed

                                    BIDDING INSTRUCTIONS

1. Use the attached Standard Bid Form. All Offers must be typed or written in ink. No
   erasures are permitted. Mistakes must be crossed out and corrections typed or written in
   ink and initialed by the party signing the Offer.

2. The Bid Form must be filled out completely. The omission of such items as delivery dates,
   or any other required information or form may invalidate an Offer.

3. Furnish and attach to the Offer complete factory specification sheets on the vehicle or
   equipment offered.

4. Offers for vehicles or equipment should include complete information on the guarantee or
   warranty included in the Offer, and anticipated service, maintenance and operating cost
   over the vehicle or equipment life. The estimated useful life of the vehicle or equipment,
   together with a calculation or chart showing the rate of depreciation or projected trade-in
   schedule, may also be submitted and will be considered part of the Offer. Offerors should
   also supply information on availability of parts and service or the Offeror’s ability to supply
   parts and service over the life of the vehicles or equipment.

5. All exceptions, requests for substitution, change, or protests of requirements, specifications,
   provisions, terms or conditions of the solicitation or exhibits shall be delivered to the buyer,
   in writing, no less than five (5) calendar days PRIOR to the solicitation closing, and
   submitted separately from the solicitation response. Contents of the exception, request for
   substitution, change, or protest shall include the reason and any proposed changes.
   Exceptions, requests for substitution, change, or protests included with the response to the
   solicitation may cause the bid to be considered non-responsive.

6. Whenever a process is designated or a manufacturer’s name, brand, or item is designated
   or described, it shall be understood that the words, “or equal” follow such name,
   designation, or description, whether in fact they do so or not.

7. Approval of alternate materials and equipment shall rest solely with the City, and all Offerors
   shall be notified of such approval by addenda prior to the Bid opening.

8. Any written addendum issued which includes changes, corrections, additions,
   interpretations, or information, and issued more than 72 (seventy-two) hours before the
   scheduled closing time for filing Bids, shall be binding upon the Offeror.

    The Offeror is obligated to notify the City of the receipt of this addendum in his/her Offer.
    Failure to acknowledge receipt of addenda may be cause for rejection of the Offer.

9. The Offered price should be exclusive of any sales, purchaser, or consumer tax. Tax
   exemption certificates will be furnished to the successful Offeror. All prices bid must be
   F.O.B. Eugene, Oregon.

10. Submit 3 COPIES of your sealed bid to the City of Eugene Purchasing Office,100 West
    10th Avenue, Suite 400, Eugene, Oregon 97401 prior to 2:30 PM on Wednesday,

11. Bids will be opened at the City of Eugene Purchasing Office, 100 West 10th Avenue, Suite
    400, Eugene, Oregon 97401, at 2:30 PM on Wednesday, November 2, 2005.

12. Presence of Offerors at the Bid Opening at the aforementioned time and place is optional
    with the Offeror.

13. Offers may be withdrawn by written notification on company letterhead signed by an
    authorized person and received prior to the time and date set for the Bid closing.

14. Offers received after the scheduled closing time for filing will be returned to the Offeror
    unopened.

15. Offers shall be valid for 60 days after opening unless otherwise specified in the Bid
    specifications.

16. This Invitation to Bid does not commit the City to pay any costs incurred by any Offeror in
    the submission of an Offer.

17. The City of Eugene reserves the right to reject or accept any or all Offers, or to waive any
    condition of the bidding requirements in the best interest of the City.

18. Public Records: This ITB/RFP and one copy of each original bid/proposal received in
    response to it, together with copies of all documents pertaining to the award of a contract,
    shall be kept by the City of Eugene Purchasing office and made a part of a file or record
    which shall be open to public inspection. If an Offer contains any information that is
    considered trade secret under ORS 192.501(2), each sheet of such information must be
    marked with the following legend:

        “This data constitutes a trade secret under ORS 192.501(2), and shall not be disclosed
       except in accordance with the Oregon Public Records Law, ORS 192.”

    The Oregon Public Records Law exempts from disclosure only bona fide trade secrets, and
    the exemption from disclosure applies only “unless the public interest requires disclosure in
    the particular instance.” ORS 192.501(2). Therefore, non-disclosure of documents or any
    portion of a document submitted as part of a bid may depend upon official or judicial
    determinations made pursuant to the Public Records Law.

    The above restrictions may not include cost or price information which must be open to
    public inspection.

                                        REQUIREMENTS

A:     REQUIREMENTS
The City of Eugene, Public Works Maintenance requires a total of four (4) two wheel drive
backhoes equal to the specifications provided in this request. Three (3) of the backhoes
required are extender backhoes and one (1) required is a fixed boom backhoe.

B:      APPROVED EQUAL
Items bid other than specified must be determined by the buyer as an approved equal. Submit
to the buyer no later than five (5) days prior to bid closing your intent to bid an approved equal.
Include detailed specifications, cut-sheets, and modifications necessary that would make the
proposed item equal to the desired specifications. Determination of approved equal will be
made prior to bid closing. Bids submitted as equal which have not obtained approval will be
considered non-responsive.

C:      BID AWARD
Award will be made to the lowest responsive, responsible bidder based on the following
calculation:
    Base Bid Price
    Plus Options chosen for award
    Less Trade-In Value optioned for use against purchase
    Less Guaranteed Buy Back for Year 2
This is merely a calculation which will be used for making award. The City reserves the right to
select which options to award, and whether to exercise the trade-in option. The guaranteed
buy-back option may be utilized in the future according to the terms listed under item K. The
chosen buy-back year used in the above calculation does not reflect the City’s intent to exercise
this option in that year, but is merely used as a method of calculating the lowest bidder.

D:      EQUIPMENT AND WARRANTY
Equipment shall be new, current model, unused. A new vehicle warranty and service policy, as
offered by the manufacturer and/or dealer shall be offered. Please include a brochure with the
model bid, and a copy of the manufacturer’s warranty at the time of bid submittal. Extended
warranties are included as optional bid items; please include extended warranty options
available from the manufacturer and provide detailed information on the extended warranties
with the bid.

E:      MANUALS
Provide two copies of complete operating manuals and one copy of the shop repair manual.
This is to include all manuals for components added to the equipment. It is the preference of
the City to maintain manuals on CD, if manuals are available on CD, please provide in that
format.

F:     STANDARDS
The equipment must meet or exceed all current applicable requirements of the following
organizations:
       Federal Motor Vehicle Safety Standards (FMVSS)
       Society of Automotive Engineers (SAE)
       Federal Department of Transportation
       National Electrical Code (NEC)
       Environmental Protection Agency (EPA)

G:       PARTS & MAINTENANCE
Parts shall be available within 24 hours by shipping. Parts availability shall be guaranteed for
the life of the unit, approximately ten (10) years.
The following items shall be provided with the vehicle at time of delivery:
         A recommended parts stocking list for all fast moving parts.
         All parts needed for the first preventative maintenance (PM).
         A comprehensive parts list for all items needed for normal PM’s.
         Number of PM’s required each year during the first seven years.
         Estimated number of hours for each PM required each year during the first seven years
         broken down into yearly increments.

H:      DELIVERY
Deliver vehicles to Keith Nicolson, Fleet Services, 1820 Roosevelt Blvd, Eugene, Oregon.
Installation of all component equipment shall be the responsibility of the successful bidder. The
vendor is to notify the City for a pre-completion inspection, prior to delivery of the equipment.
Vendor shall also conduct a pre-delivery inspection (PDI) at the factory center prior to delivery.
A PDI report shall be provided upon delivery.

I:      FINAL ACCEPTANCE & INSPECTION
The completed vehicle will be subject to a complete inspection by the City of Eugene Fleet
services staff to ensure that the vehicle provided meets specifications and that the unit is in
accordance with industry standards. If the inspection reveals substandard quality, Fleet
services will document such qualities that are substandard and seek remedy with the contractor.
If contractor fails to make remedy of the substandard conditions within 30 days, the City
reserves the right to have those qualities remedied by another contractor and withhold the cost
of such remedies from the final payment.

J:    TRAINING
The vendor shall be responsible for providing adequate training for the operation of the
equipment bid. Vendor shall provide one day of operator training to be completed at the City of
Eugene.

K:      GUARANTEED BUY-BACK
The City of Eugene requests that bidders offer a buy-back price for the equipment at the end of
each 12 month period through 5 years. The option to exercise the buy-back shall rest solely
with the City of Eugene and may be exercised at any time during the first 5 years. If the City
exercises its buy-back option at any time other than at the end of any of the 12 month periods,
the buy-back price shall be pro-rated based upon the number of hours/miles on the equipment
and relative time between buy-back periods. The City shall warrant that the equipment shall be
in operating condition and has been maintained per OEM standards at the time the buy-back
option is exercised.

TRADE IN
The City of Eugene has the following equipment that may be used as a trade-in on the new
equipment. A space is provided on the standard bid form for the trade-in value for this
equipment. Do not include the trade-in as part of the base bid amount for the new equipment.
The City of Eugene reserves the right to utilize this trade-in or not in the purchase of the new
equipment. If this option is exercised, the transportation of the equipment from the City of

                                 CITY OF EUGENE - STANDARD CONTRACT PROVISIONS
                                         Contracts Subject to ORS Chapter 279B
                                     Goods and Services including Personal Services
                         OTHER THAN Architects, Engineers, Land Surveyors on Public Improvements


The following provisions, if applicable, are hereby included in and made a part of the attached contract between the City of Eugene
and the Contractor named thereon as provided for in the Eugene Code, 1971, the revised statutes of the State of Oregon, and
Federal laws, rules, regulations, and guidelines. THE CONTRACTOR AND EVERY SUBCONTRACTOR SHALL INCLUDE THESE
PROVISIONS IN EVERY SUBCONTRACT SO THAT THESE PROVISIONS WILL APPLY TO, AND BE BINDING ON EVERY
SUBCONTRACTOR. Failure to comply with any of the applicable provisions below shall be a material breach of the contract and
may result in debarment of the Contractor or subcontractor from City contracts for up to three (3) years.

1.         Fair Employment Practice Provisions (Eugene Code, 1971, Section 4.625)

     1.1   During the performance of this contract, the Contractor agrees as follows:

           (a)       The Contractor and each subcontractor agrees that it will not discriminate against any employee or applicant for
                     employment because of an individual’s race, religion, color, sex, national origin, marital status, familial status,
                     age, sexual orientation or source of income, a juvenile record that has been expunged pursuant to ORS
                     419A.260 and 419A.262, or because an individual is a person with a disability which, with reasonable
                     accommodation by the employer does not prevent the performance of the work involved, unless based upon a
                     bona fide occupational qualification reasonably necessary to the normal operation of the employer’s business.

           (b)       The Contractor and all subcontractors employing 15 or more individuals will develop and implement an
                     affirmative action plan to insure that applicants are employed, and that employees are treated during
                     employment, without regard to their race, color, sex, age or national origin. Such plan shall include, but not be
                     limited to the following: employment, upgrading, demotion, transfer, recruitment, recruitment advertising, layoff
                     or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship.

           (c)       The Contractor and each subcontractor agrees to post in conspicuous places, available to employees and
                     applicants for employment, notices to be provided by the Human Rights Commission setting forth the provisions
                     of this nondiscrimination clause.

     1.2   The Contractor and each subcontractor will, prior to commencement and during the term of the contract, provide to the
           City such documentation, and permit any inspection of records as may be required or authorized by rules adopted by the
           city manager to determine compliance with paragraph 1.1 above.

     1.3   If upon an investigation conducted pursuant to rules adopted by the city manager in accordance with section 2.019 of the
           Eugene Code, 1971 there is reasonable cause to believe that the Contractor or any subcontractors of the Contractor have
           failed to comply with any of the terms of paragraphs 1.1 or 1.2, a determination thereof shall be made in accordance with
           the adopted rules. Such determination may result in the suspension, cancellation or termination of the principal contract
           in whole or in part and/or the withholding of any funds due or to become due to the Contractor, pending compliance by the
           Contractor and/or its subcontractors, with the terms of paragraphs 1.1 and 1.2.

2.         ORS 279A.120.       Nonresident Contractors.

     2.1   As used in this section, “nonresident contractor” means a contractor that: (A) has not paid unemployment taxes or income
           taxes in the state of Oregon during the 12 calendar months immediately preceding submission of the bid for the contract,
           (B) does not have a business address in this state and (C) stated in the bid for the contract that it was not a “resident
           bidder” under ORS 279A.120.

     2.2   If the Contractor is a nonresident contractor and the contract price exceeds $10,000, the Contractor shall promptly report
           to the Department of Revenue on forms to be provided by the department the total contract price, terms of payment,
           length of contract and such other information as the department may require before the Contractor may receive final
           payment on the public contract. The City shall satisfy itself that the requirement of this subsection has been complied with
           before the City issues a final payment on a public contract.

3.     ORS 279B.220. Conditions concerning payment, contributions, liens, withholding. The Contractor shall:

           (a)       Make payment promptly, as due, to all persons supplying to the contractor labor or material for the performance
                     of the work provided for in the contract.
           (b)       Pay all contributions or amounts due the Industrial Accident Fund from the contractor or subcontractor incurred
                     in the performance of the contract.
           (c)       Not permit any lien or claim to be filed or prosecuted against the state or a county, school district, municipality,
                     municipal corporation or subdivision thereof, on account of any labor or material furnished.
           (d)       Pay to the Department of Revenue all sums withheld from employees under ORS 316.167.

4.         ORS 279B.225. Condition concerning salvaging, recycling, composting or mulching yard waste material. If the
           contract will include lawn and landscape maintenance the Contractor shall salvage, recycle, compost or mulch yard waste
           material at an approved site, if feasible and cost-effective.

5.         ORS 279B.230. Condition concerning payment for medical care and providing workers’ compensation.

     5.1   The Contractor shall promptly, as due, make payment to any person, copartnership, association or corporation furnishing
           medical, surgical and hospital care services or other needed care and attention, incident to sickness or injury, to the
           employees of the contractor, of all sums that the contractor agrees to pay for the services and all moneys and sums that
           the contractor collected or deducted from the wages of employees under any law, contract or agreement for the purpose
           of providing or paying for the services.

     5.2   All subject employers working under the contract are either employers that will comply with ORS 656.017 or employers
           that are exempt under ORS 656.126.

6.         ORS 279B.235 Condition concerning hours of labor. The contractor shall pay employees for overtime work performed
           under the public contract in accordance with ORS 653.010 to 653.261 and the Fair Labor Standards Act of 1938 (29
           U.S.C. 201 et seq.).

7.         ORS 279B.240 Exclusion of recycled oils prohibited. Lubricating oil and industrial oil may include recycled oils or oils
           that are not manufactured from virgin materials.

8.         ORS 279A.110. Discrimination in subcontracting prohibited; remedies.

     8.1   The Contractor may not discriminate against a subcontractor in the awarding of a subcontract because the subcontractor
           is a minority, women or emerging small business enterprise certified under ORS 200.055.

     8.2   By entering into the contract, the Contractor certifies that is has not discriminated and will not discriminate, in violation of
           subsection7.1, against any minority, women or emerging small business enterprise in obtaining any required subcontract.
