I.     INTRODUCTION

       The Board of Education for Shawnee Mission Public Schools requests that anyone desiring to bid
       or participate in the bidding process be on the approved Bidders’ List.

       The last three (3) sections of this packet, Bidder Application Form (Part I), Bidder Application
       Form (Part II) - Commodity Code Selection, and the W-9 Form should be completed and returned
       to the Purchasing Department by those vendors wishing to participate in the bidding process.

       Information about the district’s bidding procedures, terms and conditions, and insurance
       requirements are included as part of this packet, but do not have to be returned with the above.

       It is important that your bid information remain current. Please remember that the majority of
       Shawnee Mission School Districts bids are faxed to its vendors. Therefore, if your firm moves,
       changes phone numbers and or fax numbers please remember to contact the Purchasing
       Department @ (913) 993-6471 and let us know.

       Our goal is to provide Shawnee Mission Public Schools with quality goods and services at
       competitive prices.  We look forward to working with you as a vendor in the future.



     II. SMSD BID PROCEDURES

         Please review the following information related to the Shawnee Mission School District’s
         bid process.

       1. All sealed bids are opened in a formal, public bid opening. Anyone interested in hearing
          the reading of the bid is invited to attend. All bids are “time stamped” in by
          purchasing personnel prior to the scheduled bid deadline. Late bids will not be
          accepted.

       2. Sealed proposals will not necessarily have a formal opening. SMSD reserves the right
          to withhold the contents of sealed proposals until an award has been made.

       3. Many vendors find it advantageous and desirable to hand-carry bids and to attend bid
          openings. This eliminates delays in mail delivery and gives immediate price results.

       4. If you are unable to supply a bid, please send in a “NO BID” response.
          Failure to respond with a bid or a “NO BID RESPONSE” form may result in your being
          removed from the Bidder List.

     5. Please remember that vendors MAY NOT FAX OR E-MAIL their bid or proposal
        responses. Bids and proposals must be sealed.

     6. Bidders are required to hold bid prices, terms and conditions firm for 90 calendar
        days after bid proposal due date.

     7. Bid results will be posted on the smsd.org website within 5 days after the bid opening.
        You can go to Public Info/District Departments; Purchasing/Bidding: Request for
        Sealed Bids and Proposals. Additionally, you may review the bid results in the
        Purchasing Office during the hours of 9:00 AM to 4:30 PM.

     8. The following criteria (but not the only criteria) will be considered when evaluating
        bids:
        a. Price
        b. Ability of the vendor to provide goods or service on a timely basis
           (Past delivery record will also be considered)
        c. Ability of the vendor to resolve problems during the course of business
        d. The adequacy of a vendor’s physical facilities
        e. The vendor’s proof of financial responsibility, when required
        f. Availability of competitive bidders from our geographic area (Approximately a 75 mile
           radius)
        g. Ability to provide goods or services as specified

     9. All spreadsheets from the current and previous year are kept as a matter of public record
        and may be reviewed at any time. Please call the Purchasing Office at (913) 993-6434 to
        make an appointment to review bid spreadsheets.

III. SMSD BID - TERMS AND CONDITIONS
     Shawnee Mission School District reserves the right to accept or reject all or any part of any bid,
     to waive any irregularities and to award items to best serve the interest of the District. This
     solicitation implies no obligation on the part of the buyer, nor does the buyer’s silence imply an
     acceptance or rejection of any offer.

     1. Each bid must be completed on SMSD bid forms.

     2. Alternate bids will be considered only if the alternate properly meets specifications
        outlined in the bid. (If the bid specifies no substitutes, alternates will not be
        considered.)

     3. Cash discounts and delivery will be considered in awarding a contract.

     4. Deliveries shall be F.O.B. SMSD, stated location, freight prepaid.        Title does not
        transfer to SMSD until received at same.

     5. Prices quoted shall remain firm for 90 days or until bidder’s offer is accepted, whichever
        is first, by SMSD. Any deviation must be conspicuously notated within this document.

    Acceptance shall be in the form of a SMSD purchase order or other formal written
    contract. Prices beyond acceptance of bidder’s offer shall be conditional on any
    additional terms, conditions and/or specifications as set forth herein.

  6. Prices quoted are to be free of all federal, state and local taxes unless otherwise
     imposed by a governmental body and applicable to the material on the bid.

  7. The Seller represents that the price or prices specified do not exceed the Seller’s
     current selling prices for the same or substantially similar items to any other
     purchaser, taking into account the quantity and/or service under consideration.

  8. Any catalog, brand name or manufacturer’s reference used herein is intended to be
     descriptive and not restrictive. Offers on any reputable manufacturers regularly
     produced product, which is similar and substantially equivalent, will be considered.
     SMSD reserves the right to make final decisions as to comparable items. Be very
     certain that items upon which     you bid and deliver are EQUAL to items listed.
     Materials, which are not equal, shall be returned to the supplier transportation
     charges collect.

  9. When submitting a substitute article as equal, the full name and illustrated description
     must be given. The Board of Education and/or USD #512 administration reserves the
     right to decide upon its suitability for the intended use and if it is of equal quality.
     Upon request, samples of substitute articles must be submitted. All substitutions after
     award of the bid must be approved by USD #512 prior to shipping.

10. SMSD reserves the right to make minor increases or decreases in quantities to be
    purchased, at the time of acceptance and subsequent thereto.

11. Envelopes containing bids must be sealed and marked on the lower left-hand corner with
    firm name and address of the bidder, bid control number, bid opening date, and bid
    opening time.

    A. No attempt will be made to provide special internal mail service for such documents.
    B. Bids not at the appointed place at time of bid opening will be rejected.
    C. Faxed Bid/Proposals will not be accepted as sealed bids.

12. Date of receipt will be considered the effective date all goods and invoices are received.

13. Deliveries under the terms of this bid will be in accordance with the dates indicated,
    therein, except where no date is indicated, the Seller will enter the earliest assured
    date. It is understood and agreed that the delivery date and/or date of installation
    AFTER receipt of a purchase order is the seller’s best offer. In its acceptance of any
    offer, the District is relying on the promised delivery date and/or installation of material
    and unless otherwise indicated. In the event of Seller’s failure to deliver as and when
    promised, the School District reserves the right to cancel its accepting order, or any
    part thereof, and Seller agrees that the School District may return all or part of any

    shipment so made, and may charge seller with any loss or expense sustained as a result
    of such a failure to deliver as promised. All goods are subject to inspection and return at
    the vendor’s expense if found to be inferior to those specified or promised.

14. The District shall not be responsible for any goods delivered or services performed
    without its purchase order signed by an authorized representative of the Purchasing
    Department.

15. Vendors who do not bid, but wish to remain on our bid list, should notify the Shawnee
    Mission USD #512 Purchasing Department in writing using the enclosed “Notice of No
    Response” form. Failure to do so may result in removal from this list.

16. All items will be new and unused, unless otherwise specified by the District, and in first
    class condition.

17. In the event that this purchase requires performance of services by Seller’s
     employees, or persons under contract to Seller, to be done on Purchaser’s property,
     the Seller agrees that all such work shall be done as an independent contractor and
     that the persons doing such work shall not be considered employees of the Purchaser.

18. All shipments and/or correspondence (i.e. cartons, packages, invoices, etc.) must bear the
    appropriate SMSD purchase order number on the outside.

19. The Seller shall provide the standard patent infringement indemnity clause which shall
    hold and save the Board of Education and its officers, agents, servants, and employees,
    harmless from liability of any patented, or un-patented invention, process, article, or
    appliance manufactured, or use, in the performance of the contract, including its use by
    the Board of Education.

20. All items furnished must be of their respective kinds, and will be free from defects in
    material and workmanship. Items will be subject to our inspection and approval at any
    time within thirty days after delivery. Items furnished must be manufactured in
    compliance with all existing legal or governmental directives .

21. All items must be properly packed or crated to insure delivery in good condition and in
    accordance with instructions listed on the face of the request for bid or purchase order,
    if any.

22. Rejected items will be held at the Seller’s risk and expense. No replacement of
    defective items shall be made by Seller unless agreed to by a Board of Education
    representative in writing.

23. Payment of the Seller’s invoices is subject to adjustment for any shortage, or for
    rejection of any item or items. Individual invoices must be issued for each shipment
    applying against a purchase order.

      24. Contracts entered into on the basis of submitted bids are revocable if contrary to law.

      25.   When a bid bond is required, bid bonds shall be written by a surety or bonding company
            licensed to operate in the State of Kansas and approved by the District. All bid bonds
            must be made payable to Shawnee Mission Public Schools - NOT THE STATE OF
            KANSAS. Cashier checks and certified checks should be made payable to Shawnee
            Mission USD #512.

      26.   Each contractor is responsible for his/her own worker’s compensation and liability
            insurance coverage. Shawnee Mission Unified School District #512 assumes this
            COVERAGE IS INCLUDED IN THE PRICE OF EACH BID TOTAL.

      27.   If bid is accepted, USD #512 must be supplied with Seller’s employer identification
            number or social security number, per IRS regulations.

      28.   Samples, when requested, shall be furnished within 7 calendar days of the request at no
            expense to the District. If not destroyed during examination, samples will be returned
            at vendor’s expense.

      29. The laws of the State of Kansas shall govern any contract resulting from this bid.

      30. Unless otherwise specified herein, payment shall be made within 30 days after SMSD’s
          receipt of goods or services, or an accurate invoice indicating the actual amount owed by
          the district, whichever is latter.

      31. Unless otherwise specified herein, all goods shall be new and unused.

IV.    ANTI-DISCRIMINATION

       The law still requires that Section 1 through 5 of K.S.A. 44-1030 (as follows) are to be
       included in all contracts to which our agency is a party; except for those
       contracts/purchases with contractors, vendors or suppliers whose cumulative dollar total in
       any fiscal year is $5,000.00 or less, or who have fewer than four (4) employees:

       1. The contractor shall observe the provisions of the Kansas act against discrimination and
           shall not discriminate against any person in the performance of work under the present
           contract because of race, religion, color, sec, physical handicap unrelated to such
           person’s ability to engage in the particular work, national origin or ancestry;

       2. In all solicitations or advertisements for employees, the contractor shall include the
           phrase “equal opportunity employer” or similar phrase to be approved by the commission;

       3. If the contractor fails to comply with the manner in which the contractor reports to the
          commission in accordance with the provisions of K.S.A. 1976 Supp. 44-1030, as amended,
          the contractor shall be deemed to have breached the present contract and it may be
          canceled, terminated or suspended, in whole or in part, by the contracting agency;

   4. If the contractor is found guilty of violation of the Kansas act against discrimination
      under a decision or order of the commission which has become final, the contractor shall
      be deemed to have breached the present contract and it may be canceled, terminated or
      suspended, in whole or in part, by the contract and it may be canceled, terminated or
      suspended, in whole or in part, by the contracting agency; and

   5. The contractor shall include the provisions of paragraphs one (1) through four (4)
      inclusively of this subsection (a) in every subcontract or purchase order so that such
      provisions will be binding upon such subcontractor or vendor.

V. LIABILITY / WORKERS COMPENSATION INSURANCE

  Any company doing business with Shawnee Mission Public School District that comes to our
  buildings for repair or maintenance service of any kind is responsible for liability insurance and
  workers compensation insurance covering their company employees and those employees of any
  sub-contractors they might use.

  Many vendors do this automatically, and we receive copies of their policy with expiration dates.
  If you would like to send us information on your current policy, please send two (2) copies. One
  (1) copy is for Purchasing and one (1) copy is for Operations and Maintenance Department.
