EXTRAORDINARY GENERAL MEETING
A Hafslund ASA extraordinary general meeting was held 15 October 2003 at 15:00, at
Sommerrogaten 1, Krogh Hall, Oslo.
The meeting had been announced via the 26 September 2003 Board of Directors’ notice.
Notification was also published 3 October 2003 in Aftenposten.
Board Chairman Christian Brinch and other representatives of the Board of Directors were
President and CEO Rune Bjerke was present.
The following items were on the agenda:
1. OPENING OF THE MEETING AND ELECTION OF MEETING CHAIR
Board Chairman Christian Brinch, opened the meeting.
Christian Brinch was unanimously elected meeting chair.
2. RECORD OF SHAREHOLDER REPRESENTATION
Shareholder representation at the meeting was recorded.
A total of 111,195,506 Class A shares and 66,960,977 Class B shares were represented, which
corresponds to 96.30% of Class A shares and 83.95% of Class B shares; this corresponds to
91.26% of total share capital.
Voting individuals numbered 33.
A list of shareholders in attendance is enclosed with these minutes.
3. APPROVAL OF NOTICE OF MEETING AND AGENDA
The meeting chair announced that, pursuant to section 5-7 of the Public Limited Liability
Companies Act, second paragraph, the City of Oslo and Fortum wrote the Board of Directors
on 18 September 2003 requesting the calling of an extraordinary general meeting to elect a
new board member.
The meeting notice and agenda were read and approved. The general meeting was declared
legally notified and opened.
4. ELECTION OF TWO SHAREHOLDERS TO CO-SIGN MEETING MINUTES
WITH MEETING CHAIR
Terje Ruud and Hans Kristian Rød were unanimously elected to co-sign the minutes with the
5. ELECTION OF NEW BOARD MEMBER
The meeting chair informed the meeting that nomination committee chairman Borger A.
Lenth withdrew from his post on 21 August 2003, and that the committee, following Mr.
Lenth’s departure, comprises three members. The committee has elected Christen Furuholmen
as new acting chairman.

In line with the recommendations of the nomination committee, the following unanimous
decision was made:
“The number of shareholder-elected Board members is increased from six to seven. Mikael
Lilius is elected new director for the period from 15 October 2003 to the 2005 annual general
There were no other items on the agenda. The general meeting was adjourned. Meeting
minutes were prepared and signed.
