          Internet Services Terms Conditions and Services Agreement

This agreement represents the complete agreement and understanding Hyperspace
Communications Inc., (hereinafter called Hyperspace Communications Inc.) and the account
holder hereinafter called (                                                    )
Upon notice published on-line by Hyperspace Communications Inc on its web page, Hyperspace
Communications Inc may modify these terms and conditions, amplify them, and/or modify the
prices, as well as discontinue or change the services offered.

1. Provision of Services

Hyperspace Communications Inc will provide Internet services in exchange for payment of fees
and compliance with the terms and conditions of this document.
Hyperspace Communications Inc are defined as the use by the account holder of computing,
telecommunications, software, and information servers on the network connection to the Global
Internet provided by Hyperspace Communications Inc. These services also include the provision
of access to computing, telecommunications, software, and information services provided by
others via the Global Internet. Hyperspace Communications Inc will publish a notice of fee
increases 30 days before such increases take effect.

2. Use of Material

Public Domain materials (e.g., images, text, and programs) may be downloaded or uploaded
using Hyperspace Communications Inc.services. Account holders may also re-distribute materials
in the public domain. The account holder assumes all risks regarding the determination of
whether the material is in the public domain. As provided by Canadian and United States federal
laws and by International treaties, copyrighted materials (e.g., images, text, and programs) may
not be uploaded using Hyperspace Communications Inc out the permission of the copyright
holder.
Except as expressly permitted, materials under copyright may not be distributed to others.
Copyrighted material may not be changed nor neither can the author attribution notices nor the
copyright notices be modified.

3. Use of Services

The account holder agrees to use the services provided by Hyperspace Communications Inc as
permitted by applicable local, state, and federal laws. The account holder agrees, therefore, not
to use these services to conduct any business or activity or solicit the performance of any activity
that is prohibited by law.
The account holder agrees to maintain a secure password to all systems or services co-located to
Hyperspace Communications Inc premises including SMTP mail, FTP servers, hosted accounts
and co-located servers. Secure passwords are those that are between 6 and 8 characters long,
contain upper and lower case letters, and numbers or other characters, and can not be found in
direct or reverse order in a dictionary, without regard to the language of the dictionary.


4. Indemnification
Hyperspace Communications Inc makes an honest effort to keep the information available on
Hyperspace Communications Inc's systems accurate and the network connection in operation at
all times. However, the account holder acknowledges that Hyperspace Communications Inc
makes no warranty of any kind, either expressed or implied, regarding the quality, accuracy, or
validity for the data, network connection uptime and/or information available. Use of the network
connection provided by Hyperspace Communications Inc is at the risk of the account holder.
The account holder also acknowledges that the data, network connections and information
available through the interconnecting networks may not be accurate or reliable. Hyperspace
Communications Inc has no ability to control or authority over, the material or destinations.
Hyperspace Communications Inc makes no warranty of any kind expressed or implied, regarding
the quality, accuracy, or validity of the data, network connections and/or information residing on
or passing through these networks.

Use of data, network connections and information obtained from or through Hyperspace
Communications Inc Co-Location services is at the risk of the account holder. The account holder
agrees to indemnify and hold Hyperspace Communications Inc harmless from any claims,
including attorney's fees, resulting from the account holder using Hyperspace Communications
Inc 's Internet services, which cause direct or indirect damage to another party or the account
holder.

5. Payment of Fees

Payments for Internet fees are due on the first day of the service period. Payments not received
in Hyperspace Communications Inc ’s corporate office by the fifth of the month will be subject to
service interruption and subsequent reconnect fees. Services interrupted due to lack of payment
will be subject to a minimum $300.00 reconnection fee.
The Account Holder is financially responsible for payment of all charges for services or products
furnished to the Account Holder by Hyperspace Communications Inc or Hyperspace
Communications Inc affiliates. As a courtesy, invoices might be generated by Hyperspace
Communications Inc ’s corporate office prior to the service period. The absence or lateness of
invoicing does not extend or modify payment terms.
For Colocation, SMTP mail, FTP, and hosting services, the interruption of service alone will not
constitute account cancellation. Fees will continue to be charged for each month during which the
account holder’s equipment is on Hyperspace Communications Inc’s premises. Any Account
Holder’s equipment in Hyperspace Communications Inc ’s possession will not be released until all
applicable fees have been paid. In the event that unpaid fees are not satisfied within 60 days,
Hyperspace Communications Inc , at its discretion, may elect to sell Account Holder equipment to
satisfy any unpaid amounts. If the sale of the equipment does not fully satisfy the unpaid charges,
the Account Holder remains responsible for payment of the difference. The Account Holder
acknowledges that in the event that Hyperspace Communications Inc is required to sell its
equipment to satisfy unpaid service charges, Maximum Host shall have absolutely no obligation
to safeguard, retain, or return to Account Holder any data residing on the equipment being sold.
Any fees incurred by Hyperspace Communications Inc in the collection of the unpaid charges will
be the sole responsibility of the Account Holder; these fees include but are not limited to: legal
expenses, court fees, and administrative costs.

6. Account Cancellations

Account Holder must provide a minimum of 30 days advance notice to Hyperspace
Communications Inc to cancel its Internet Services in whole or in part. Cancellations must be
received in writing. Acceptable forms of cancellation are fax or postal service. All unpaid charges
must be satisfied prior to the return of any equipment.

7. Abuse of Services

Any use of Hyperspace Communications Inc system resources that disrupts the normal use of the
system for other Hyperspace Communications Inccustomers is considered to be abuse of system
resources and is grounds for administrative intervention. Spamming is one example of system
abuse. Depending on the nature and the severity of the abuse, the user may receive an Email
warning or have their account suspended by Hyperspace Communications Inc Technical Support.
If the misuse is unintentional, the suspension may be rescinded following discussion with
Hyperspace Communications Inc Technical Support. If the misuse is intentional, the suspension
may be rescinded at the discretion of the Operations Manager, and may require the payment of a
service reconnection charge. Occasionally, unintentional misuse is mis-classified as intentional
misuse. Customers who believe their activity has been mis-classified may appeal to the
Operations Manager.
Violations of any of the Hyperspace Communications Inc conditions of use are unethical and may
be criminal offenses. You are expected to report to Hyperspace Communications Inc any
information you may have concerning instances in which the conditions of use have been or are
being violated. When Hyperspace Communications Inc um Host becomes aware of possible
violations, we will initiate an investigation. At the same time, in order to prevent further possible
unauthorized activity, Hyperspace Communications Inc may suspend access to services to the
individual account in question.

Confirmation of violations may result in cancellation of the individual account and/or criminal
prosecution. The account suspension may be rescinded at the discretion of the Operations
Manager, following payment of a reconnection charge.

8. Hyperspace Communications Inc does not warrant that our implementation of this Managed
Service will be uninterrupted or error free. Hyperspace Communications Inc makes no
representations or warranties of any kind under this program. Maxim does not warranty any data,
lost business, or any other items. Data protection and redundancy at the server level is the
Customers responsibility. THE REMEDIES IN THIS PARAGRAPH ARE YOUR SOLE AND
EXCLUSIVE REMEDIES. IN NO EVENT WILL Hyperspace Communications Inc BE LIABLE
FOR LOSS OF DATA OR FOR DIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL
(INCLUDING LOST PROFIT), OR OTHER DAMAGES, WHETHER BASED IN TORT,
CONTRACT OR OTHERWISE. Hyperspace Communications Inc WILL NOT BE LIABLE FOR
ANY DAMAGES OR EXPENSES INCURRED BY YOU AS A RESULT OF ANY DEFICIENCY,
ERROR OR DEFECT IN Hyperspace Communications Inc SERVICE. WHETHER DUE TO
EQUIPMENT, HARDWARE, SOFTWARE, OR Hyperspace Communications Inc FAILURE TO
CORRECT THE SAME. IN THE EVENT Hyperspace Communications Inc FAILS TO PERFORM
THE SERVICES SPECIFIED IN THIS AGREEMENT,
YOUR SOLE REMEDY IS TO BE REFUNDED THE AMOUNT THAT YOU PREPAID FOR THE
SERVICE DURING THE PERIOD MAXIM FAILED TO PERFORM THE SERVICES.


I hereby authorize Hyperspace Communications Inc to open an Internet Services account. I have
read and agree to abide by all rules and conditions set forth in this Internet Terms and Conditions
Document.
