Individual subscription before creation of corporation. It is proposed to organize under the _________ Business Corporation Act a corporation to be known as _________ or by any other name as the incorporator may select. The corporation shall initially be authorized to issue _________ shares of common stock, having a par value of $_____ per share. It is proposed that the corporation shall be organized to engage in any lawful activity for which corporations may be organized under the _________ Business Corporation Act. Now, therefore, I, the undersigned, subscribe for the number of shares of the proposed corporation at the price set opposite my name at the end of this agreement. This subscription shall be paid in cash at the time or times the board of directors may determine. The subscriber may act as incorporator of the corporation and may execute and file articles of incorporation containing provisions not inconsistent as may be deemed advisable. The subscription made shall be deemed to be accepted by the corporation immediately upon the filing and recording of the Certificate of Incorporation as provided by law. The undersigned represents and warrants that the execution of this preorganization subscription agreement, agreeing to purchase the stock referred to is for his [her] own account, and will be for investment and not with a view to distribution. The undersigned further agrees that each certificate representing shares of the common stock of the corporation to be originally issued pursuant to this preorganization subscription agreement shall bear the following legend: "These securities have not been registered under the Securities Act of 1933. They may not be sold or offered for sale in the absence of an effective registration statement as to the securities under that act, or an opinion from counsel satisfactory to the Company that registration is not required."
