         THE JK STRUCTURE TECHNOLOGY
         THE JK STRUCTURE SYSTEM (detailed presentation attached) was developed by a
         French engineer and his son, who then formed a small family business employing only the
         father, his wife and his two children.
         In spite, or perhaps because, of its impressive and immediate successes (Disneyland, High
         Rise in Paris La Defense, the French Railways tunnels, etc.) the JK company remained a
         tightly controlled small family business, concentrating on the French domestic market and
         delivering substantial profits to the owners who as a consequence did not feel the need to
         invest neither in R&D nor in production equipment, nor to seek fresh capital.
         In spite of the value of its franchise, its patents and well known brand name, it finally closed
         down when the founder, after the sudden death of his two children, became physically unable
         to keep going

         Its assets were finally acquired only recently by another family group led by its founder
         Maxime Sadowsky (Resume attached) who formed the current company, JK Structure Ltd.,
         with the intention of gradually entering all major international markets.

         JK Structure Ltd. now enjoys a brand new factory in Belgium, a completely redesigned
         production unit and access to capital.

         The JK STRUCTURE SYSTEMS are described in details in the attached documentation.
         It is a most spectacular, versatile and efficient construction system, with application in
         Construction and in Civil Works.

         Its major applications are in:

           A) CONSTRUCTION: Construction of houses and low rise buildings.

           B) PUBLIC WORKS: Stabilization (vegetalization) of slopes & embankments

A.       APPLICATIONS IN THE CONSTRUCTION INDUSTRY:

•     HIGH QUALITY: JK STRUCTURE houses and buildings are SAFE; they are earthquake,
      hurricane, and termite-resistant and are completely fire-proof.
      They provide SOUND LIVING CONDITIONS: the JK construction process incorporates
      sound-and-thermal-insulation, and the homogeneous structure of the walls results in
      “walls that breathe well” and in houses that can therefore more easily and cost-
      effectively be air-conditioned.
•     COST EFFECTIVE: JK STRUCTURE houses and buildings are easy, fast and cost
      effectively built “on site” thanks to the combination of the revolutionary JK STRUCTURE
      a three-dimensional Galvanized Steel Mesh reinforced with galvanized wire-beams and a
      Special Alleviated Concrete incorporating thermal-and-sound insulation. Non-skilled
      labor and only basic construction equipment is needed.
ENVIRONMENT-AND-CULTURE-FRIENDLY: JK STRUCTURE houses and buildings incorporate
only steel and concrete and no dangerous materials or chemicals. No precious natural resources like wood or
clay is consumed. They adapt to all local styles and cultures and to traditional architectures.

soils infrastructure works
- IN THE AREA OF CONSOLIDATION AND VEGETALISATION OF SOILS (slopes and
  embankments) where JK STRUCTURE, due to its unique physical properties and unlike
     any other system, allows the vegetation to grow and to durably consolidate slopes and
     embankments.
- IN THE AREA OF CONSOLIDATION OF PUBLIC WORKS AND INFRASTRUCTURE
  (consolidation of ageing railway and road tunnels, bridges, conduits, sewages), where JK
  STRUCTURE, due to its unmatched strength and thickness allows the consolidation
  without noticeable reduction of the cross section. The French Railways-SNCF (as well as
  an increasing number of European rail operators), use it quasi-exclusively for the
  consolidation of tunnels, bridges and viaducts, and of course also for all its slopes.
- IN THE AREA OF STABILISATION OF THE SUBBASE OF ROADS, where the JK
  Structure, due to its tridimensional structure and high structural integrity contributes to the
  durability and cost effectiveness of roads.

- FOR THE CONSTRUCTION OF WATER PARKS for hotels and residential compounds and for
  THEME PARKS, like Disneyland and others..
OTHER ECONOMIC AND PRACTICAL CONSIDERATIONS

While the JK STRUCTURE Steel Mesh and JK Products are now readily available in large
quantities from the JK STRUCTURE production facility in Belgium, which can increase its
production capacity almost at will and supply the material for tens of thousands of house, the
JK Products can also be manufactured locally very cost-effectively, thanks to a simple and
cost-effective (and patented) manufacturing process which allows for the setting up of
production units almost everywhere in the world.

In addition, it must also be pointed out that due to its advanced technology and highly
rationalized construction process, the JK STRUCTURE SYSTEM, which benefits from
intensive R&D and practical experience in the European economies, and is protected by
international patents, will not only give a competitive edge to the operators who will first
introduce and implement it in their country, but will also allow such operators to quasi
instantly move from the stage of a small operator to the stage of a major player in the

MAXIME SADOWSKY
Maxime was born in 1943 in Berlin. His father was born in Russia, his mother in Germany.
His wife Marinella is Italian. Their two sons were born in London. Maxime is a French citizen.


EDUCATION:                                 Maxime holds:
   -     A Degree in LAW (University of Bordeaux),
   -     A Master Degree in PHYSICS (University of Lyon and Grenoble),
   -     A Master Degree in ECONOMICS (University of Grenoble), and,
   -     An MBA from INSEAD the European Institute for Business Administration (Fontainebleau).


PROFESSIONAL EXPERIENCE: Maxime’s professional experience includes

BANKING: 12 years in Banking, (Asset Based Financing, Leasing, Project-Financing), including:
   - 7 years (1973-1980) in Germany with WESTLB Group (WESTDEUTSCHE LANDESBANK),
     Germany’s third largest and state owned banking group and its subsidiary DAL-DEUTSCHE
     ANLAGEN LEASING, at that time the largest German Asset-Based Financing group.

   - 5 years (1980-1985) in the US (LA, San Diego, NY) and London with SECURITY PACIFIC
     at that time the sixth largest US banking group, since merged with BANK OF AMERICA.
     Security Pacific was a leader in Asset Based Financing, International Project Financing, and
     in the financing of Real Estate, the Aviation Industry and the Movie Industry.

INDUSTRY: Besides having provided financing and project financing to numerous industrial
projects during his days in Banking and as a financial consultant, Maxime has also been directly
associated with major industries and industrial projects, including:
- Consultancy Marketing, Administration and Finance for major multinational groups including:
  Ford Europe, Gamlen-Chemicals/Naintré, FMC/Luceat, Thyssen-Krupp/MAK-Caterpilar, etc.

- Construction Management:         Project Management and Supervision, including a dry-dock
  refurbishment, an airport extension and a marina in Martinique, a Renult car assembling unit in
  Latin America and hotel projects in Paris, Zurich, Brussels and NY.
- Industrial units, Automatic warehousing facilities, the conversion of a decommissioned power
  plant into one of Europe’s major manufacturer of extruded polystyrene for the construction
  industry using a Japanese (Sekisui) license and US equipment, fish farming, bottling units,
  mineral water spring, etc., and more recently the acquisition and internationalization of a French
  construction technology for the construction of steel-reinforced alleviated concrete houses and
  applications in civil works: consolidation of soils, tunnels & roads.

  Maxime formed BO Diffusion in Luxembourg a boutique equipment lessor.

     The JK STRUCTURE SYSTEM is a new, unique and truly revolutionary system

THE JK STRUCTURE PANEL

The JK STRUCTURE SYSTEM, which is illustrated in details hereafter, is based on the
JK STRUCTURE PANEL, a “tri-dimensional metallic structure”.



MATERIAL: The JK STRUCTURE PANEL is a “expanded steel” type of galvanized steel mesh
panel, cast and expanded in a continuous process from a 1.6 mm thick and 30 cm wide
galvanized steel sheet coil


STANDARD DIMENSIONS OF A JK STRUCTURE PANEL:
  - HEIGHT:        3m              It can be tailor-made to any smaller length 25cm increments
  - WIDTH:         1.2 cm
  - THICKNESS:      8cm
  - AREA:           3.60 m²
  - WEIGHT:        12 Kg       .



MANUFACTURING: The JK STRUCTURE PANEL is manufactured:
- From a single sheet of high resistance and galvanized steel,
- Without any soldering, melting or other type of assembling,
- Via a continuous cutting and tri-dimensional forming of the steel ribbon.



SHIPPING: The JK STRUCTURE PANELS are stacked and palletized as soon as
manufactured, as illustrated hereafter. They are then shipped to the construction site by truck
or by container, together with the other, mostly galvanized steel made items that form the JK
STRUCTURE SYSTEM. Being made of solid steel, the JK STRUCTURE PANELS do not bulk-
out but use up the whole payload of a container or of a truck, making shipment very cost-
effective.



HANDLING THE JK PANELS ON THE CONSTRUCTION SITE
On site, the JK STRUCTURE PANELS are ready to be assembled, easy to handle (they weigh
only 12Kg each), and quick to install (each panel builds approx 3.6 sq m of wall or ceiling), as
further detailed hereafter.

THE JK STRUCTURE CONSTRUCTION PROCESS IS AN
ENTIRELY “ON-SITE” CONSTRUCTION PROCESS

THE JK STRUCTURE SYSTEM is
- An entirely “on site” construction process, NOT BASED ON prefabricated, pre-cast or pre-
  assembled elements.
- A most spectacular, versatile and efficient construction system



1. JK STRUCTURE HOUSES
JK STRUCTURE HOUSES are entirely, including the Roof, made of JK STRUCTURE PANELS
assembled with JK Beams
Alleviated concrete, a special mix of concrete and expanded polystyrene beads, hence
incorporating both the thermal and the sound insulation, is injected into a STEEL
STRUCTURE made of JK STRUCTURE PANELS reinforced with JK BEAMS (galvanized
steel wire studs / steel rods


  THE STEEL STRUCTURE OF THE HOUSE

  The Concrete Base and the Foundations of the Houses are prepared in a classical way.
  They can be made from regular, poured, “heavy” concrete, but more generally the use of
  alleviated concrete or at least of one more layer of alleviated concrete, will provide good
  thermal insulation and good comfort from the ground also.
  Prior to the pouring of the concrete of the Base, the JK STRUCTURE PANELS are tied to
  the soldered wire mesh and to the iron rods in the base and in the foundations and
  assembled in accordance with the design of the House. They are then held together by
  special made galvanized JK steel wire studs, which fit one into the other, horizontally and
  vertically, to form the complete skeleton of the construction, roof included.

  The assembled JK STRUCTURE PANELS form a rigid, extremely robust, self-
  supporting steel skeleton, comprising the outside walls and all other bearing walls
  and partitions, the floors and ceilings, INCLUDING THE ROOF.


  OPENINGS
  Doors and walls are then simply “cut out”, using steel scissors or other steel cutters.
  Cut-offs are recovered and re-used.
  Templates of doors and windows are positioned .
    SHUTTERING / CASINGS / FRAMES
    Instead of using framework, both sides of each JK STRUCTURE PANEL are then simply
    covered with a galvanised wire mesh/fencing mesh/Chicken mesh, which is clipped to the
    JK STRUCTURE PANELS, and will serve as a frame when the alleviated concrete is
    injected.

    “Alleviated” or “light” concrete is then injected with a special concrete pump. This pump
    can operate from a distance of 60 metres and to a height of up to 60 metres (almost 20
    floors).
    The alleviated concrete is a custom-made mixture of cement, fibre, sand and Expanded
    Polystyrene (EPS) beads (1 to 4 mm), resulting in a low-density concrete (50-700 kg/m3),
    hence incorporating thermal and sound insulation.
    The injected walls are then finished / levelled / smoothened from both sides.

    As explained earlier, the concrete-injected the injected JK STRUCTURES then:
    - Forms a true and quasi-homogeneous composite, with incomparably better properties
      than plain steel reinforced concrete,
    - Offers excellent thermal and phonic insulation
    - Has walls that “breathe”,
    - Is completely resistant to fire,
    - Offer complete protection against earthquakes and hurricanes and,
    - Is immune to termites and other insects.




THE ADVANTAGES OF JK STRUCTURE HOUSES


COMPLETION TIME / TURNAROUND

The entire process (assembling the JK STRUCTURES, fitting the wire mesh, injecting the
alleviated concrete, leveling the walls) is performed in just a few hours by a team of 5 men.
The construction of the “raw” house is completed in only a few days.


SAFETY AND HEALTH.

JK HOUSES are safe and healthy. They are:
-   Earthquake resistant
-   Hurricane resistant
-   Tornado resistant
-   Have thermal and phonic insulation incorporated in the structure and walls that “breathe”
-   Resistant to fire,
-   Resistant to termites and other insects.
ECONOMICS

A 100 sq meter (m²) house requires some 300 sq meter (m²) maximum of JK STRUCTURE
PANELS, the equivalent of approx 1 Metric Ton of galvanized steel and some 600 meters,
approx 420 Kg of galvanized JK wire studs. One container can therefore supply the JK
SYSTEM parts and ingredients for up to 15 such houses

The rest of the supplies consist in only wire mesh, cement and/or lime, and EPS beads

The construction of the entire concrete injected structure of such house, which will comprise
the roof, and incorporate the insulation, will take some 60 working hours to be completed for
a 5 men team, or some 165 man-hours.

Little or no trained personnel are required.
Little or no heavy construction equipment is required on site

Since it comprises the alleviated concrete roof, no carpenters are needed.
Tiles, if chosen, are for decoration only.
Insulation of walls, roof and ceilings are part of the process.

As soon as this self-supporting structure is assembled, and before the concrete is injected, all
networks (electricity, water, gas, telephone, sewage, etc.) are positioned in this hollow and
open skeleton formed by the JK STRUCTURE PANELS, which greatly simplifies and
facilitates the work of the other contractors, and further and substantially reduces their costs
and construction times.




ENVIRONMENT

JK STRUCTURE Houses are made of environment-friendly, bio-degradable material

JK STRUCTURE Houses saving clay and wood.

JK STRUCTURE Houses consume less energy due to their good thermal insulation

From an architectural point of view, JK STRUCTURE PANELS:
   - Adapt to most forms and shapes and to most styles and type of architectures
   - Are particularly easy to use to create curved walls and original forms and shapes
   - Are particularly appreciated when the walls, and specially the external walls of the
     building are shaped round or curved
2. REPAIR, REINFORCEMENT, INSULATION
   OF HOUSES AND BUILDINGS
JK STRUCTURE PANELS are ideally suited for the repair of old or damaged houses and
buildings

A new skin, made of JK STRUCTURE PANELS if fitted against the existing wall and injected
with alleviated concrete.

The repaired house is reinforced and benefits from improved thermal and sound insulation:
it is not only repaired but has become stronger than it ever was.

The JK Structure System is also utilized, in the absence of any damage, to improve the
thermal insulation of buildings without loss of usable space or damage to decoration inside
the house.
3. LARGER OR HIGH-RISE BUILDINGS
As detailed above, houses and small buildings are entirely built, from Roof to Base, with the
JK STRUCTURE SYSTEM

In the case of higher residential, office, commercial or industrial buildings (generally beyond

beams structures than to build with JK STRUCTURE load bearing walls.

The fact is that today most higher buildings, and even more so high-rise buildings, are
generally composed of a load-bearing steel or steel-reinforced concrete structure, and
sometimes a combination of both.

Such structures are then “wrapped-in” with the external walls and filled-in with the bearing
and the non-bearing walls and partitions, with floors and ceilings and roofs. Those walls,
partitions, floors, ceilings and roofs are built using various materials and methods: bricks,
concrete blocks, cast and pre-cast concrete panels, slabs and prefabricated elements or
panels of all kinds.

IN SUCH BUILDINGS, THE USE OF JK STRUCTURE PANELS FOR THE EXTERNAL
AND INTERNAL WALLS AND PARTITIONS, FLOORS AND CEILINGS AND ROOFS
CONSIDERABLY IMPROVES THE QUALITY OF THE CONSTRUCTION, THE ECONOMICS

STRUCTURE:

From a structural point of view, and from the point of view of the safety of the inhabitants, JK
STRUCTURE PANELS:
   - Improve the structural resistance and integrity of high-rise buildings due to
      - The lesser weight of JK STRUCTURE walls: their alleviated concrete weighs 4 to 5
         times less than bricks or concrete and
      - The intimate interconnection that can be achieved between the JK STRUCTURE

   - Provide resistance to earthquakes and eliminate the risk from falling bricks or blocks


COMFORT:

From the point of view of the comfort of its inhabitants, JK STRUCTURE PANELS:

     insulation and due to walls that breathe and are easy and economical to air-condition.

From an economical point of view, JK STRUCTURE PANEL walls:

ARCHITECTURE:

From an architectural point of view, JK STRUCTURE PANELS:

     - Are particularly easy to use to create curved walls and original forms and shapes
     - Are particularly appreciated when the walls, and specially the external walls of the
       building are shaped round or curved.




PERFORMANCES OF THE JK STRUCTURE WALLS

1.       RESISTANCE TO EARTQUAKES, HURRICANES & TORNADOES
         JK STRUCTURE complies with the anti-seismic norms (DTU PS-MI89), and the
         utilization of “light concrete” further reduces the risks from heavy falling debris.


2.       HIGH THERMAL INSULATION
         The thermal conductivity factor “λ” of a JK Structure wall injected with a “standard light
         concrete mix” of 500 kg/m3 is below 0.24W I m°C.

         The same “λ” for a standard brick wall is approx 1.15 or approx 5 times higher.
         The thermal insulation provided by a JK Structure wall is therefore equivalent to a five
         times thicker brick wall.

         But the density of a brick wall is at least 2 or at least four times the density of a JK
         Structure wall.

         Therefore, the weight of such brick wall providing the same thermal insulation as a JK
         Structure wall would be 20 times heavier !


3.       HIGH PHONIC INSULATION

     3.1. NOISE FROM IMPACT

         A standard 10 cm JK STRUCTURE wall reduces impact noise by 65 dB, equivalent
         to a 14 cm concrete wall

 3.2.    AIRBORNE NOISE
         A JK STRUCTURE “raw” wall of only 10 cm reduces airborne noise by 41 dB.
         This is equivalent to a 20 cm brick wall.
4.   ARCHITECTURAL CONSTRAINTS:
     JK SYSTEM is suitable for three to Four floor high buildings. Standard Floors can
     span over more than 5 meter. Wider spans are easily achieved by narrowing the
     network of JK Beams or inserting traditional steel rods, before beams or comums are
     required

     All forms of architecture are therefore permitted.


5.   RESISTANCE TO FIRE:

     The alleviated concrete is rated MO, the highest possible grade of non-flammability

     Standard JK STRUCTURE walls and floors have a fire-resistance of over one hour
     (Walls 110 minutes, Floors 90 minutes).


6.   WATER RESISTANCE:
     Resistance to steam is 136gIm2/24 hours. The walls “breathe” well, a precondition
     for a good and economical air-conditioning.


7.   DURABILITY
     Durability is very high and, as it is the case with all concrete structures, depends
     exclusively on the quality of the cement used


8.   STABILITY
     JK SYSTEMS are not sensitive to chemical reactions.


9.   ENVIRONMENTALLLY
     JK SYSTEMS preserve precious natural resources, and mainly clay and wood.
CERTIFICATION
IN Construction, JK STRUCTURE has been tested and certified, in France and
internationally by:

-   GINGER-CEBTP: complete thermal, sound and structural recertification in 2008

And previously by:

-   CSTB,
-   SOCOTEC,

COMPETITION
While there numerous prefab systems, some of which resemble the JK Structure System or
are based on it or derived from it, there is no other product or process nearly capable of
competing with JK STRUCTURE.

JK Structure is the only system whereby a standard product, compact and palletized into an
easy to ship package allow for a simple and fast customized construction “on site” that is as

CONSTRUCTION OF ROADS:
   The tri-dimensional nature of the JK STRUCTURE has proven extremely efficient in the
   stabilization of the granular sub-bases, underneath the road surface

   Stabilizing the granular sub-bases reduces the wear and tear and improves the
   resistance and the longevity of the road.

   The added cost is generally compensated by the reduced construction times and the
   lesser consumption of sub-base aggregates.



CONSTRUCTION AND CONSOLIDATION OF:
TUNNELS AND CONDUITS, VAULTS, ARCHES AND BRIDGES
   The extreme homogeneousness and resistance provided by a layer of JK STRUCTURE
   PANELS injected with concrete (shotcrete or gunite), combined with the little amount of
   space consummated have made JK STRUCTURE an unrivalled tool for the consolidation
   or the construction of road and railway tunnels, vaults, sewage systems, bridges, etc.

   JK STRUCTURE is the primary system recommended by the French Railways (the
   SNCF), for the consolidation of ageing railway tunnels, bridges, viaducts, etc., and for the
   construction of tunnels in soft terrain.


STABILISATION OF SOILS
   The tri-dimensional nature of the JK STRUCTURES allows it to be very efficiently
   anchored to slopes and embankments using, as needed a combination of galvanized
   nails, cables wires and bars or even drilled and concrete-injected anchors. It can then
   retain aggregates like stones, gravels and vegetal soil so that grass, plants and trees can
   be durably implanted and consolidate slopes and embankments even in most critical
   situations where the only other viable alternative would have been a concrete wall.

                                         THE JK STRUCTURES TECHNOLOGY
                                 IN THE CONSTRUCTION OF HOUSES AND BUILDINGS


     In the construction sector, like in the area of stabilisation, the JK STRUCTURES
     Technology has several main applications:
     1. The construction of houses and low-rise apartment and office buildings
     2. The construction of higher apartment and office buildings and high-rise buildings.


     The construction of houses and small buildings has been detailed in the previous section.
     They are entirely built with JK STRUCTURES, whereby all JK walls are bearing walls.



                                 IN HIGHER BUILDINGS AND IN HIGH-RISE BUILDINGS

     Higher buildings, contrary to houses and low-rise buildings are, beyond a certain limit,
     which is generally seven to eight floors, more economically built with a bearing structure
     wrapped in with selected appropriate material: bricks, concrete bricks, concrete blocks,
     pre-cast concrete panels or other types of prefabricated elements, materials which are
     also used for partitions and floors (concrete slabs for floors and roofs).
     The bearing structure is generally either a steel beam structure (mostly in the USA and in
     Europe) or a structure made from steel reinforced concrete beams (RCC) as used in Asia
     and the Middle East and also in Europe, or a combination of both.
     JK STRUCTURES then become the ideal complement to such bearing structures when
     used for the walls, partitions, floors and roofs as an alternative to the heavy
     traditional materials.
     The exceptional qualities and economics derived from the use of JK Structures in high
     rise buildings are detailed in the following pages.

SUMMARY OF BENEFITS IN HIGHER AND IN HIGH-RISE BUILDINGS:

• From a structural point of view, JK Panels:
 - Improve the structural resistance and integrity of the building due to
     - Their considerably lesser weight: alleviated concrete weighs some 4 times less
       than bricks or concrete and
     - Their interconnection with the bearing structure of the building.
 - Provide hurricane, tornado and earthquake resistant buildings: JK Panels will
   shake but not break nor generate heavy debris like bricks or concrete blocks, that
   will fall and kill people inside and outside the houses.

• From the point of view of the well-being of its inhabitants, JK Panels:
 Provide a safer and sounder habitat, due to:
 - Their resistance to natural disasters, insects and rodents.
 - The incorporation of sound and thermal insulation and walls that “breathe” and
   are therefore easier and more economical to ventilate, to heat and to refrigerate.

• From an economical point of view, JK Panels:
  - Are easy, fast and inexpensive to build
  - Require no heavy equipment, infrastructure or logistics
  - Require no specialised or highly trained work force
  - Are entirely erected on site, with utmost flexibility
  - Allow for an easy and fast incorporation of electric wires and water conduits
  - Already incorporate thermal and sound insulation in all walls, roofs and ceilings

• From an environmental point of view, JK Panels:
  Are environment-friendly, bio-degradable, and save valuable material like clay and wood

• From an architectural point of view, JK Panels:
- Adapt to most styles and type of architectures
