             The IBM® System x™ 2007 Business Partner SMB new customer incentive has been modified.
             The following changes are being made with this announcement:
                   Effective September 25, 2007, additions have been made to the list of Eligible products.

                   Effective October 1, 2007, the incentive payment amounts will change for sales to End Users who are
                   nominated as SMB new customers on or after that date.

                   Additional changes have been made to The offer, Start and/or end dates, and Additional
                   information/conditions sections to support the change in incentive payment amounts.

             All other terms and conditions remain unchanged.
             This announcement supersedes Announcement Letters 507-592 and IBM07-621, dated July 3, 2007.
             The offer
             Eligible IBM Business Partners can receive incentive payments for EDI or Web-based reported sales of
             eligible new System x, BladeCenter®, and IntelliStation® products, once they have reached a minimum
             sales revenue target of at least $10,000 during the 2007 calendar year, to an End User* who is an
             IBM-approved small and medium business (SMB) new customer.
             The value of the reported sales is defined as their total IBM Bid Index Price on the date of the sale to the
             End User (End-User invoice date).
             The total amount of the incentive payments per SMB new customer will range from $250 to $12,250,
             depending upon the value of the reported sales and SMB new customer Nomination Date.
             Refer to the Additional information/conditions section for the list of IBM BladeCenter Chassis products
             that an End User may not have previously acquired.
             IBM Business Partners must purchase the eligible new products from IBM or an authorized IBM U.S.
             Distributor.

             Start and/or end dates

             End-User invoices for the eligible products must have a date of on or after January 1, 2007, or the
             product's Effective Start Date, or the SMB new customer's Nomination Date, whichever is latest, but no
             later than December 31, 2007.
             EDI or Web-based sales transaction reporting must be received by IBM no later than January 31, 2008.
             Who is eligible?
             The following IBM Business Partners are eligible for this incentive:
                   Solution Providers and Resellers who acquire products directly from IBM

                   Systems Integrators

             IBM Business Partner -- Distributors are responsible for making their IBM Business Partner -- Solution
             Providers and IBM Business Partner -- Resellers aware of this incentive.
             Where is it available?
             This incentive is available only in the United States and its territories.
             Qualifying/Eligible products

             Eligible products

             All current IBM System x, BladeCenter, and IntelliStation Systems, Options and System x Software
             Options (unless specifically excluded below) are eligible for participation in the SMB new customer
             incentive as defined below.
             Eligible Systems are defined as those products in the following assortment modules as listed in the Price
             List and Assortment Module (AM) listing on the System x Product section on PartnerWorld®:

             Additional information/conditions
             Refer to the IBM System x Express Seller 2007 Business Partner incentive for information regarding an
             incentive for the System x and BladeCenter Express products portfolio.
             IBM Business Partners who sell directly to SMB End Users are eligible to receive incentive payments
             under this incentive.
             Products acquired under the terms of this incentive are not intended for Business Partner internal use or
             demonstration/development use.
             IBM reserves the right to audit data supplied by eligible IBM Business Partners, and is the sole
             determiner of any payments due.
             IBM reserves the right to modify or withdraw this incentive at any time.
             This incentive is subject to the terms and conditions of any applicable Agreements.

             IBM-approved SMB new customer eligibility

             IBM Business Partners can determine if IBM defines an End-User Enterprise as an "SMB Enterprise" by
             utilizing the following SMB query tool:

             IBM will be the sole determiner of SMB qualification.
             IBM defines an SMB new customer as an End-User Enterprise that:

                   IBM has defined as SMB (see above), and
                   has purchased less than $25,000 of IBM System x, BladeCenter, and IntelliStation products from any
                   authorized source in the 12-month period prior to the date the Business Partner nominates the End User for
                   IBM approval as an SMB new customer in 2007.

             End Users who were nominated and approved by IBM as new customers in 2006 are also eligible to be
             nominated and approved as SMB new customers in 2007 as long as they are defined by IBM as SMB
             and did not reach a total sales revenue target of $100,000 in 2006. In order to be approved as an SMB
             new customer in 2007, these End Users must be nominated for approval in the 2007 program no later
             than March 31, 2007. Sales revenue reported for 2006 will not count towards 2007 targets.
             IBM will be the sole determiner of an End User's qualification as an SMB new customer. Once an SMB
             new customer is IBM-approved for participation in this incentive, their approval is valid through
             December 31, 2007.

             Customer nomination process

             Business Partners must nominate SMB new customers by accessing the following Web site:

             The nomination form will prompt the Business Partner to include all required information.
             Only qualifying sales to IBM-approved SMB new customers will be eligible to qualify for incentive
             payments under the terms and conditions of this incentive.
             If approved, eligible End-User sales must occur on or after the SMB new customer Nomination Date and
             the Business Partner's IBM sales reporting and invoices must reflect the customer name exactly as the
             Business Partner nominated it in the designated End User Field (EN) Section.

             Sales Transaction incentive payment schedule

             Once an SMB new customer is IBM-approved, reported sales in 2007 will qualify for incentive
             payments, which are dependent upon the value of the reported sales and the SMB new customer
             Nomination Date.

             For SMB new customer Nomination Dates from January 1, 2007 through September 30, 2007:

                      Maximum total incentive payments per SMB new customers with
                      Nomination Dates on or after October 1, 2007 will be $6,125.
             Upon verification that reported sales transactions meet the terms and conditions of this incentive, the
             IBM Promotional Support Center will issue a check to the eligible IBM Business Partner's headquarters
             location.
             Business Partners should allow approximately 4-6 weeks for their incentive payment checks to arrive.

             Sales transaction reporting

             All qualifying sales must be reported via EDI or the Web-based reporting facility no later than January
             31, 2008.
             Transshipment of product between Resellers does not qualify as a sale to an End User, and should not be
             reported as such under the terms and conditions of this incentive.
             Accruals and payments for this incentive will be reflected in your monthly ProPlan 2007 statement. IBM
             will debit any account for returns or adjustments to reported sales. For questions pertaining to your
             statement, contact the IBM Promotional Support Center at 800-477-6756.
             Any inquiries related to differences between Business Partner reported sales transactions and IBM's
             verified sales must be documented, in writing, by the Business Partner to IBM within 90 days of the
             accrual period, or claims to any unpaid incentive payments will be forfeited. Inquiries may be faxed to
             800-477-6745.
             Business Partners are responsible for ensuring the accuracy of their sales reporting. IBM reserves the
             right to request further data for reconciliation, and will withhold payments subject to validation of the
             data, or recover monies already paid based upon changes to previously submitted data.
