Executive Summary
Alliance Acquisitions, Inc. (“ALLIANCE”) is at the nexus of tomorrow’s emerging sectors – new media,
technology and entertainment. It is our belief that, while successful businesses are built upon the execution
of basic fundamentals, extraordinary companies excel in key areas, specifically having 1) a solid management
team with the ability to execute on a sound business plan, 2) easy access to capital, 3) strong partnerships,
and 4) a proprietary advantage over their competition. At ALLIANCE, our strength and experience in each of
these areas benefits all facets of our portfolio holdings, helping successful companies become extraordinary.

As a Business Development Company, ALLIANCE intends to institute a formulaic model for identifying
early-stage, undervalued opportunities and developing a clear path to growth with an exit strategy that
includes an IPO or merger/acquisition opportunity. ALLIANCE’s key executives have been involved in 10
entities that have successfully achieved publicly-trading status over the past seven years, with four of those
companies yielding returns for early-round investors of more than 60X, and the highest return to date
equaling 116X. In addition to public market opportunities, ALLIANCE will identify entertainment projects
that provide transmedia exploitation avenues, yielding additional value opportunities for our shareholders.

ALLIANCE’s executive management team has a solid history of experience in developing business plans for a
variety of organizations and we have also achieved success with our investments in many of those
companies. We have taken management positions as well as seats on Boards of Directors and have acted as
Advisors to every company with which we get involved. ALLIANCE will call upon this successful history of
leading early-stage technology, entertainment and new media companies towards access to capital in both
the public and private markets. We evaluate opportunities based upon their potential to benefit our
underlying business, our partner relationships, and the world at large.

Alliance Acquisitions, Inc. (www.alliance-acquisitions.com) intends to become a closed-end Business
Development Company that will invest in private and microcap businesses and opportunities. Our
investment objective will be to generate both current income and long-term capital appreciation through
equity investments. Currently, ALLIANCE is a Nevada Corporation, but we intend to file with the SEC to be
treated as a Business Development Company under the Investment Company Act of 1940 ("1940 Act"). As
such, we will be required to comply with a series of regulatory requirements under the 1940 Act as well as
applicable NASDAQ, federal and state rules and regulations. We will elect to be treated as a regulated
investment company under the Internal Revenue Code of 1986.

Over the years, our own investments in small, early-stage companies has influenced our thinking about the
process of “going public.” Taking the route to the public market enhances a company’s ability to raise capital
through the private placement of its unregistered shares of common stock. The opportunity to achieve
future liquidity is a significant factor for prospective investors of unregistered shares. Additionally, a
publicly traded company becomes a more credible enterprise in the minds of prospective shareholders, who
feel they have greater investor protection because the company is required to report to the Securities and
Exchange Commission (“SEC”) on a regular basis.

The public company process can be complex and intimidating, and those with experience to help a small
company with this undertaking, such as investment bankers, are normally unwilling to take on small
ventures and startups. Venture Capitalists and Angel Investors can provide seed funding, but often their
measures for success act in direct conflict to the ambitions of early-stage companies. Their agendas often
require companies to take courses of action that benefit very few, with an attitude that “money dictates

It is our belief that founding management teams are the greatest source of knowledge and experience about
their respective industries, and that it is counter-productive and counter-intuitive to create a “dis-
incentivized” atmosphere within which to operate. In the end, if entrepreneurs want to preserve the
integrity of their vision, they must find a reliable method to manage the process and raise money directly for
their companies.

We have the ability to provide those entrepreneurs with a clear sense of direction, specific advice and hands-
on management support to bring their vision to tremendous fruition. Our founders have a track record of
proven successes, are entrepreneurs in our own right and have been C-level executives of early-stage public
companies. We have first-hand experience with public audits and financial filings, as well as a
comprehensive understanding of the rules and regulations of the SEC, FINRA and other regulatory entities.
We have seen our own public company’s share prices go from pennies to dollars on the public market,
creating tremendous value for our investor base.

ALLIANCE’s executive and management team has an extensive background in the areas of finance,
administration and operations, development, design and production for the technology, new media and
entertainment industries. Our breadth of talent, experience and connections give us the tools needed to
shepherd a business plan from concept to completion, and we understand and embrace new methods and
media. We foster an atmosphere of creativity, support passion and perseverance, and bring those qualities
to each of our projects.

Brian Altounian, Co-Chairman, Chief Executive Officer
Brian Altounian's background includes business development, finance, operations and administration, and
he has applied his skills to a variety of start-ups, Fortune 100 companies, and public and private
organizations. In addition to his role as CEO and President of WOWIO, he is also a director and acting
President of Platinum Studios, Inc. (OTCBB:PDOS), a publicly-trading entertainment company that controls
an international library of comic book characters, which it adapts, produces and licenses for all forms of

Mr. Altounian’s expertise is in the area of developing corporate infrastructure, and preparing early-stage
companies to access capital through the public equity markets and via private equity. He has held
management positions including Director, Vice President, President, and CEO, and has served on the Boards
of Directors of Cereplast, Inc. (OTCBB:CERP) and Machine Talker (OTCBB:MACH) and was Chairman of
the Board of Directors of XsunX, Inc. (OTCBB:XSNX). He has played an active role in a number of early-
stage technology companies that have successfully progressed to the public markets, including OriginOil ,
Inc. (OTCBB:OOIL), BioSolar, Inc. (OTCBB:BSRC), Warp9, Inc. (OTCBB:WNYN), and Carbon Sciences, Inc.

In addition to his experience with startup technology and intellectual property companies, Mr. Altounian has
worked extensively in the entertainment industry with a successful consulting practice, advising companies
in the areas of finance, administration, operations and business development. Mr. Altounian holds an MBA
from Pepperdine University and an undergraduate degree from UCLA. He lives with his wife and three
children in Los Angeles.

Dean Janes, Co-Chairman, President
Mr. Janes has been Chairman and CEO of Imaging 3, Inc. (OTCBB:IMGG) for 10 years, successfully taking
the company from development-stage to publicly-trading entity. Mr. Janes is the principal inventor of
Imaging 3’s real time 3D medical diagnostic imaging technology which received a patent in less than 18
months and is currently in final stages of FDA approval process. He has over 25 years of experience as a
biomedical electronic engineer and he served for 9 years in the U.S. Army as a biomedical technician.

Mr. Janes' work experience includes serving as a National Tech Support Engineer for Toshiba and Senior
Engineer for Kaiser, COHR and OEC. He was responsible for integrating a CCD camera with a mobile
fluoroscopy into the C-arm, a system that is used throughout the medical diagnostic medical imaging
industry today. He majored in Bio-Medical Electronic Engineering at the University of Colorado Technical
Institute. Mr. Janes is a member of MENSA and is listed in Who's Who of Executive Business.

Xavier Aguilera, Chief Financial Officer
Mr. Aguilera has over 30 years of experience in finance, marketing, international finance and
administration. Having served as both a domestic and international banker, his experience in
administration has enabled him to help companies achieve high levels of success. For the past 7 years, Mr.
Aguilera has been the Executive Vice President/CFO for Imaging 3, Inc. (OTCBB:IMGG), overseeing many
early financing rounds for the company and all financial filings for the SEC.

For approximately 10 years prior to his employment by Imaging 3, Mr. Aguilera served as a consultant in the
medical management field. He holds a Bachelors degree in Business from California State University at
Northridge and a Certificate of Medical Management from the University of California at Los Angeles.

Zachary Pennington, VP/Creative Director
Mr. Pennington is one of the entertainment industry’s top creative directors. He is a multiple award-winning
designer and art director who has spent the last two decades designing projects for both the entertainment
and Internet industries and has worked on projects for almost every major studio in Hollywood. Most
recently, he was VP and Creative Director for Platinum Studios, Inc. (OTCBB:PDOS), where he was
responsible for all creative elements including product design, branding, A/V materials, investor
presentations, and newsletter/corporate communications. Prior to that, Mr. Pennington was Senior Art
Director at The Cimarron Group, one of the leading advertising agencies serving the entertainment industry.

Mr. Pennington’s unique and innovative packaging designs have earned him acclaim and numerous awards,
and his work includes home entertaintment campaigns for Rocky 1-5, The Omen 1-5, X-Men 1, 2 and 3,
Minority Report, Casino, Dune, The Bourne Supremacy, Million Dollar Baby, Platoon, The Terminator,
The Devil Wears Prada, Star Wars, and the multi-award-winning campaigns for The Texas Chainsaw
Massacre and Titanic.

Linda Engelsiepen, Manager, Operations
Ms. Engelsiepen has a broad range of experience in operations and management, as well as an extensive
background in the entertainment industry. Since 2006, she has been the Executive Assistant to the
President of Platinum Studios, Inc. (OTCBB:PDOS), a comic-based entertainment company, and she has
comprehensive experience with in-house Investor Relations, having coordinated the processing of over 500
investors in a series of Private Placement rounds, which led to Platinum successfully completing its SB-2
filing and entering the public market in February of 2008.

Ms. Engelsiepen’s background in the entertainment industry includes production, writing, development, and
post-production for film, television and commercials. In addition to her roles at Alliance Acquisitions and
Platinum Studios, Ms. Engelsiepen is also the Manager of Operations for WOWIO, LLC (www.wowio.com), a
groundbreaking eBook content provider and one of Alliance’s portfolio companies.
