We may provide your Personal Information (excluding information we receive from consumer or other
credit reporting agencies) to various individuals and companies, as permitted by law, without obtaining
your prior authorization. Such laws do not allow consumers to restrict these disclosures. Disclosures may

      provide you with services you have requested, and to enable us to detect or prevent criminal

credit reporting agencies with our affiliates or others without your consent, in conformity with applicable
law, unless such disclosure is otherwise prohibited by law.

Disclosure to Nonaffiliated Third Parties:
We do not disclose Personal Information about our customers or former customers to nonaffiliated third
parties, except as outlined herein or as otherwise permitted by law.

Confidentiality and Security of Personal Information:
We restrict access to Personal Information about you to those employees who need to know that information
to provide products or services to you. We maintain physical, electronic, and procedural safeguards that
comply with federal regulations to guard Personal Information.

Access to Personal Information/Requests for Correction, Amendment,
or Deletion of Personal Information:

                          SELLER(S) SHORT SALE DISCLOSURE NOTICE

The Short Sale:
A Short Sale is a transaction where the lienholders / lender agree to accept less money than what they are
owed to release their lien and allow the sale to occur. The result is that they are being paid “short”. Upon
such an agreement the difference between the amount agreed to be accepted and the amount owed is
called a deficiency. The deficiency can be dealt with in several ways. It can be waived, it can be partially
waived. It can be waived on condition of a contribution by the seller. It can be offset by a promissory
note from the seller to the lender in either the full amount or a partial amount among other choices. The
issue of the deficiency is not determined until the lienholders issue an approval and determine what their
acceptable loss is, and how they would like to deal with it. At that point, at the approval stage, is when we
know what their offer/approval is and how they want to deal with their deficiency.

Short Sale Deficiency:
If my residential Mortgage Lender(s) or Mortgage Servicer(s) do not agree to waive their deficiency rights,
I understand that they are entitled to pursue legal action in State court against me to collect the deficiency
balance and, if successful, may be entitled to a judgment lien against any real property that I may own in the
future or be entitled to garnish my wages. I understand that my residential Mortgage Lender(s) or Mortgage
Servicer(s) may require that I sign a new promissory note for the deficiency balance. I understand that
you recommend that I contact a lawyer or other professional advisor, including community organizations,
before signing any Agreement to understand fully the impact of a deficiency balance resulting from the
Short Sale transaction.

Settlement of a Debt:
The Short Sale negotiations represent the attempt to reach a settlement of the balances remaining on my
residential mortgage loans secured by my Property. Even though there is no guarantee that the Short Sale
negotiation will be successful, the Short Sale transaction may result in taxable income under State and
Federal law and may have a negative impact on my credit or creditworthiness.

IRS Reporting:
The difference between the remaining amount of the principal I owe on my residential mortgage loan(s)
and the amount my residential lender(s) receive from the sale of the Property is reported to the Internal
Revenue Service (“IRS”) on Form 1099C, as debt forgiveness or income. Before signing any Agreement, I
understand that you recommend that I consult a tax preparer or accountant to determine if I will have to
pay any income taxes related to the Short Sale transaction.

Credit Reporting:
It is usual and customary practice to report the to the major credit reporting agencies that
residential mortgage loan(s) were settled for less than full payment of the balance remaining
on the loan(s). I understand that I can learn more about the potential impact of the Short Sale
transaction on my credit and creditworthiness at the Federal Trade Commission website at:

        possible deficiency amounts to be paid directly or indirectly. Seller(s) understand a loan discount
        or Short Sale is not guaranteed and is only approved at the discretion of the lien holder(s).

   8. TLAC will do its best to secure a Short Sale in the quickest time possible but cannot guarantee any
      exact time a contract may or may not be approved and or counter-offered.

   9. Seller(s) understands and approves and authorizes that TLAC will be able to communicate directly
      with the Seller(s) Real Estate Broker/Agent.

   10. Seller(s) understand and acknowledge that TLAC is not a Law firm and does not provide legal
       advice. If Seller(s) want legal or tax advice, Seller(s) are advised to consult with an attorney and
       or certified public accountant regarding potential tax consequences, and any legal implications
       related to Seller(s) situation and their decision to pursue a Short Sale.

   11. Seller(s) hereby holds TLAC, its; assigns, agents, employees and trustees harmless for its services
       provided directly or indirectly to Seller(s) and or Seller(s) agents.

   12. If a Short Sale is approved and the lien holder(s) may require payment arrangements be made
       on the deficiency, by either a promissory note or a contribution. The proposal varies per lender and
       per transaction. TLAC will use its best efforts to obtain an approval without a deficiency requirement.

   13. If a Short Sale is approved the lien holder(s) most likely will issue a 1099 to the Seller(s) for
       “forgiveness of debt” and advise the IRS of same. Seller(s) is advised to seek professional tax advice
       on this issue before accepting a Short Sale approval. Seller(s) understands they will not be receiving
       any money from this sale.

   14. Seller(s) acknowledge that there are no “side agreements” allowing seller to buy back the property
       or rent it back from the buyer after the Short Sale.

   15. Seller understands if the Short Sale is not approved, the property listed above may go to foreclosure
       and be sold at auction.

   16. Seller understands that either or both, a Short Sale and a foreclosure will impact their credit
       scores negatively.

   17. Seller also understands that at no time will they be directly responsible for TLAC’s fee.

                            REALTOR/CLIENT NOTICE & DISCLOSURE

Turning Leaf Advisors California, Inc. (TLAC) is a premier provider of Short Sale negotiations. TLAC has
years of experience and numerous bank relationships which help expedite the Short Sale process. TLAC
also uses a proprietary software platform that it developed from the ground up to streamline the process
with banks, realtors, buyers and sellers. TLAC carefully reviews each Short Sale package prior to submitting
to the appropriate banks to ensure it will have a high probability of approval; which leads to three items
we would like to discuss below.

The very small amount of files that TLAC is unable to get approved are because of the Seller’s lack of
cooperation, insurance on the mortgage or being too close to the foreclosure sale date. TLAC has found
that the reason why a majority of its Short Sale files do not close is not because of TLAC’s inability
to secure approvals, but that the Buyer for the property is no longer interested in the property and
terminates. This, TLAC finds is because of frustration by the Buyer as they were not explained properly
the Short Sale process and the time it takes to secure the approval. This is why one of the single most
important items pertinent to aiding the close of the sale transaction is educating the buyer and effectively
managing their expectations. If the Buyer is unwilling to or cannot wait for the Short Sale process to run
its course, they are not the right Buyer for the Short Sale property and it is a waste of time for all involved
to give them false expectations. Short Sales take a considerable amount of time to secure approval, on
average about 60-90 days.

TLAC will negotiate the Short Sale the best it can to retain the full real estate commission presented on
the original HUD. However, some banks and investors have policies in place that they only allow a 5%
commissions in a Short Sale, or sometimes even lower. In the event that the commissions are reduced
below 5%, TLAC will agree to lower its fee pro rata. This is stated in the fee agreement.

TLAC insists on having control over where escrow will be opened and the where the transaction is closed.
TLAC works relentlessly with the title companies in order to secure Short Sale approvals; as such they
are as very much a part of the team as its employees. TLAC finds that when we have to work with a title
company that we have not done work within the past, it slows the Short Sale process down tremendously
and extra and unnecessary time explaining what needs to be done to close the Short Sale.

                                     REFERRING AGENT/BROKER

    SUPPORT SERVICES AGREEMENT AND LIABILITY DISCLAIMER (“AGREEMENT”)

Turning Leaf Advisors California, Inc. (“TLAC”) is a Short Sale Negotiation and loss mitigation firm. TLAC
hereby establishes a contractual relationship with the Referring Agent/Broker (“Client”) to assist solely
with Short Sale Negotiations.

SCOPE OF INTERACTON
Client shall allow TLAC to interact with their Seller/Buyer for assistance in Short Sale negotiations on their
behalf. TLAC shall, at all times, remain under the control and supervision of the Client. It is the intent of
the parties that TLAC will provide support services to the Client. TLAC will use its best efforts to perform
all duties necessary to negotiate bank approval of a Short Sale for the subject Property, including, but not
limited to, collection and processing of paperwork to create Short Sale submission packages, follow up
and negotiation with mortgage lenders. TLAC does not engage in any real estate related activities, access
the subject property, or become a party to the real estate transaction in any manner.

INFORMATION
Client will complete and submit to TLAC a copy of the listing agreement, satisfactory CMA, property
photos and up-to date financial and contact information for the client and will submit any additional
information requested by TLAC. No correspondence will be sent to the bank until 100% of the information
that is included in the Short Sale Package is received. Broker shall also disclose in the RMLS that TLAC is
the 3rd party negotiator for the Short Sale transaction.

FEES
TLAC charges as a fee 1% of the property sales price, with a minimum of at least $1500 for 1st mortgage lien
release and $2000 for both a 1st and 2nd mortgage lien release. The fee is compensation for consulting/
negotiation services provided, payable only if the Short Sale is successful. In addition, TLAC also charges
a $500 document preparation fee that is paid by the bank. If the bank reduces the overall real estate
commissions below 5%, TLAC will reduce their fee on a pro-rata basis, as long as its fee does not reach the
minimum fee stated previously. In the event that TLAC’s fee is not paid at closing, Client agrees to pay the
fee immediately upon receiving its commission funds. The fee shall be secured by this signed agreement
by both parties. At the time the fee is paid, this agreement will be returned to the Client as proof of
payment. The Client will be responsible for additional fees if the payment goes into collection. Fees not
paid within 30 days accrue @ 1.5% a month. The consulting fee can be paid directly by the Client or can
share with the Buyer’s Agent. If the Buyer’s Agent is to share the negotiation fee, this arrangement must
be stipulated at the bottom of this agreement and also stated in the MLS comments, public or private.

IMDEMNIFICATION
Client will indemnify and hold TLAC harmless from any and all claims, actions, suits, proceedings, costs,
expenses, damages, and liabilities, including reasonable attorney’s fees (at trial, arbitration or appeal),
arising out of, connected with, or resulting from (i) a default of Client’s obligations under this Agreement,
or (ii) the wrongful, fraudulent, or negligent acts, errors, or omissions on the part of Client or its agents
arising out of or connected with the Property sale contemplated hereunder.

TERM AND CANCELLATION
If at any time, the terms, conditions and notices contained herein are not acceptable to Client, or if you
do not consent to be bound by the terms, conditions and notices contained herein, Client is directed to
immediately terminate this fee agreement in writing. This agreement cannot be cancelled after approval
has been obtained from the lender(s).

NOTICE:
The Services provided to the Client are conditioned upon the acceptance of the terms, conditions and notices
contained in this Agreement, without modification. Client’s use of our materials and/or recommendations
constitute acceptance of the Agreement, its acknowledgement of the terms and conditions and notices
set below. Use of the information and/or materials given to Client as a basis for any financial decision is
done strictly at Client’s own risk. The Client is directed to independently verify all information that used
in conjunction to sell or purchase real property.

DISCLAIMER OF LIABILITY AND RELIABILITY
Throughout the development of our work for the Client, a thorough and diligent effort will be made to
provide the Client with the most timely and accurate information available. In spite of this, inadvertent
errors may occur, and applicable statutes and administrative rules may be amended modified and/or

              BUYER DISCLOSURE REGARDING A SHORT SALE TRANSACTION

This document serves as an explanation, disclosure and release regarding the property located at:

TLAC discloses the following:

The Buyer(s) approve of TLAC as the authorized 3rd Party assisting with the Short Sale Negotiation process
and hereby authorizes TLAC to act in cooperation with the Buyers(s) to achieve the goal of a mutually
acceptable Short Sale approval.

Due to the nature of the Short Sale negotiation process, and the various liens and lienholders that may be
involved, and their required consent to the terms of the transaction, the offers and terms of the proposal
may change frequently until a final offer/approval is accepted. As such, the payoff of the various liens
may reflect a higher amount than what was intended or offered by the Buyer. However, since the Seller
is facing foreclosure, the negotiations must take the Sellers interest in mind and hold their interest in a
higher priority. Therefore, the Buyer acknowledges this anomaly in the Short Sale process, and waives any
potential conflict of interest that may seem to appear, whether actual or imputed. TLAC’s primary duties
are to the Seller to facilitate an approval for a Short Sale, and help them avoid a foreclosure, while getting
the best and lowest price for the Buyer.

If negotiations are unsuccessful and TLAC cannot facilitate a Short Sale approval and consequently the
property is foreclosed on, the Buyer(s) agree to hold TLAC harmless for any and all claims, actions, causes
of action, demands, rights, known or unknown arising from the result of the foreclosure of the above
referenced property.

    a    Return Transcript, which includes most of the line items of a tax return as filed with the IRS. A tax return transcript does not reflect

    b    Account Transcript, which contains information on the financial status of the account, such as payments made on the account, penalty
         assessments, and adjustments made by you or the IRS after the return was filed. Return information is limited to items such as tax liability
         and estimated tax payments. Account transcripts are available for most returns. Most requests will be processed within 30 calendar days. .
    c    Record of Account, which is a combination of line item information and later adjustments to the account. Available for current year and
         3 prior tax years. Most requests will be processed within 30 calendar days . . . . . . . . . . . . . . . . . . .
   7     Verification of Nonfiling, which is proof from the IRS that you did not file a return for the year. Current year requests are only available
         after June 15th. There are no availability restrictions on prior year requests. Most requests will be processed within 10 business days . .
   8     Form W-2, Form 1099 series, Form 1098 series, or Form 5498 series transcript. The IRS can provide a transcript that includes data from
         these information returns. State or local information is not included with the Form W-2 information. The IRS may be able to provide this
         transcript information for up to 10 years. Information for the current year is generally not available until the year after it is filed with the IRS.
         For example, W-2 information for 2007, filed in 2008, will not be available from the IRS until 2009. If you need W-2 information for retirement
         purposes, you should contact the Social Security Administration at 1-800-772-1213. Most requests will be processed within 45 days . . .
Caution. If you need a copy of Form W-2 or Form 1099, you should first contact the payer. To get a copy of the Form W-2 or Form 1099 filed
with your return, you must use Form 4506 and request a copy of your return, which includes all attachments.
