Sale of business so far as carried on in the United States. This agreement is made _________[date] between _________ of _________(seller), and _________, _________ and _________, of the firm of _________, of the City of _________, and State of _________(buyers). Seller has been for a number of years and is now carrying on the business of _________ in London, England, and in the City of _________, under the business name of _________. Buyers have agreed to purchase from seller so much of that business as has been and is carried on in the United States: Therefore, in consideration of the premises seller sells, assigns, transfers, and sets over to buyers all the business carried on by him under the name of _________ in the United States of America, and all the property, not including accounts receivable, used in or belonging to the business, including stock on hand, show cards, labels, formulas, recipes for making _________, and other property used by seller. So long as buyers shall abide by and perform the terms of this agreement, seller grants to buyers the exclusive license in the United States of America to use and employ in the business and to apply to the goods manufactured or sold by them in it, all trademarks, trade names and labels used by seller in h— business, and especially trademarks or trade names _________. In consideration of which, buyers agree to pay to seller a royalty which shall be equal to _____% of all the net profits of the business so to be carried on by them, that amount to be paid semiannually on the first day of _________ and _________ in each year; provided, however, that if at any time buyers should retire from business, or in case the gross sales of the business as carried on by them does not reach $_____ in any one year, then seller shall have the right to terminate this contract and to resume the exclusive use in the territory of the trademarks, trade names, and labels, and all rights granted to buyer under this contract shall cease and determine. Seller further agrees to put buyers in direct communication with his sources of supply in Europe and America, and to execute all orders of buyers for labels, cartons, perfumes or any other articles used, employed or sold in the business ordered from the London house of seller, and to invoice or cause to be invoiced all of the above-stated articles to buyers at actual cost. Buyers, in consideration of the premises, agree to pay in _________ quarterly payments, without interest, to seller, the actual cost price of the existing stock of seller in the City of _________, or elsewhere in the United States, reserving, however, the right to reject any labels now in stock not in actual use by seller in h— business. Seller, in person or by h— agents, shall be entitled to have access at all reasonable times during business hours to the books of account of buyers which may contain entries relating to the business. This agreement to inure to the benefit of and be binding upon the successors and assigns of buyers in their business. In witness, etc.
