EXHIBITOR     Booth Information
              Each Exhibitor’s booth rental price includes:
INFORMATION   • Rental of the exhibit space

              • Standard 8.5-feet high permanent walls (additional walls will be extra)
              • Grey Carpet floor
              • Two standard booth signs listing your company name and booth number
              • Drayage on and off the ship
              • Free High-Speed Wireless Internet Connection
              • Daily aisle cleaning

              Registration
              Each Exhibitor and staff entering the yacht must receive the appropriate
              badges that will allow access to the yacht. Prior to booth set-up, Exhibitors
              and their staff will receive a temporary work badge. After booth set-up
              is complete and prior to the Show start, Exhibitors must register for their
              permanent segment badges. All stands must be paid in full and have proof
              of insurance prior to registration or badges can not be issued. Exhibitors
              will receive important information regarding services aboard the yacht, a
              schedule of events, and detailed information about the visited cities. Once
              the Show is in operation it is mandatory to wear Exhibitor badges at all
              times in order to enter and exit SeaFair.

              Booth Location: Expoships will use all possible efforts to honor the location
              of the booth assignment on the yacht. However, Expoships reserves the
              right to move the location of an Exhibitor’s booth at the exhibition. Please
              review the terms in your gallery lease for more information.

              Procedures for Staff Identification Badges
              Commercial vessels are required by the US government to obtain positive
              identification for all persons boarding the vessel. All Exhibitors participating
              in SeaFair are required to have an identification badge.

              Badges will be necessary to gain admission to the yacht during fair hours.
              You will be provided with a maximum of four badges for employees
              attending your booth. Additional badges may be requested. In order to
              issue your badges, identify all of your staff members who will be attending
              your booth and fill out the Exhibitor Badge Request Form.

              Your badges will be issued during registration before the start of the show.
              After you have received your badge, you may enter the yacht.

              Please Note:
              1. Badges will not be mailed to you in advance.
              2. Registrations will not be taken over the phone.
              3. Badges will be issued to exhibit personnel ONLY.
              4. Proper company identification must be presented in order to pick up
              badges.
              5. If any Exhibitor has an outstanding balance prior to registration, no
              badges will be issued to Exhibitors or any of their personnel.

              Emergency Contact Information
              In the event of an emergency during fair hours, the SeaFair staff will need
              to call your emergency contact information as well as any staff, vendors,
              shippers, etc. associated with your booth. Please fill out the Emergency
              Contact Information Form and return it to us no later than September 20,
              2009.

EXHIBITOR     Signage
              To maintain consistent show graphics, each gallery space will have two 12”
INFORMATION   x 16.5” signs that will include your Gallery name, city and booth number.
              They will be displayed on the inside of the wall columns located at either
              side of your booth. This sign will be on your booth when you arrive. Any
              changes that you wish to make on the booth sign must be submitted in
              writing to SeaFair no later than September 20, 2009.

              Exhibitor Payment Policy
              The balance of the rental price can be paid by the Exhibitor in installments
              set forth in the signed Exhibitor Lease. This balance must be paid in full
              prior to registration by the Exhibitor. In the event the Exhibitor fails to
              make such scheduled payments, SeaFair reserves the right to re-assign
              Exhibitor’s booth location to a non-preferential area. In addition, if any
              payment is delinquent more than 15 days past the due date, there shall be
              a late charge of $1 per square foot.

              Payment of supplemental charges will be required of each Exhibitor for
              booth flooring change, booth special decor, and safe.

              All charges must be paid in full prior to the Exhibitor’s embarkation.
              Cash, cashier’s checks or credit card payments will only be accepted
              for balance payments at registration. Foreign checks can not be
              accepted.

              Should you wish to send a wire transfer for the balance of your account
              seven days prior to registration, a copy of the bank wire confirmation must
              be presented at Exhibitor Registration.

                     SeaFair promotion is based on a mixed-media outreach through local,

                     and targeted word-of-mouth. The campaign targets collectors, decorators,
                     media, hotels, exclusive clubs and museum professionals. Expoships
                     contacts approximately 100,000 select individuals through both print and
                     online promotional materials.

                     The publicity campaign has already started. Our PR team is talking to
                     journalists worldwide in order to ensure maximum coverage for the fair. To
                     meet their early deadlines, we rely on your immediate assistance.

SHIPPING             Important Guidelines and Duties
                     All of the crated product exhibited on the yacht must be shipped to a
                     warehouse prior to delivery to the yacht. A warehouse/ marshalling yard will
                     be available upon request at the Exhibitors expense. At this location, the
                     materials will be uncrated and soft packed to be delivered and installed later
                     on the yacht. The delivery of crated goods to the yacht is PROHIBITED. All
                     goods and product MUST be soft packed upon arrival to the yacht. Due

                     SeaFair encourages Exhibitors to maintain their own insurance, as
                     customary insurance provided by shippers is usually inadequate.

                     International Shipping
                     Regulations: Upon arrival in the United States, your shipment must go
                     through customs. You may accompany your own shipment through customs
                     or make arrangements with your shipper to receive the shipment and file
                     the appropriate papers with U.S. customs. Please consult your shipper
                     accordingly.

                     Since 2001, U.S. customs have experienced unusual delays that may
                     compromise the timely delivery of your shipment. Please plan your
                     shipment accordingly. Exhibitors are liable for all expenses associated with
                     their booth if shipment is delayed.

                     Operational Procedures for Land Based Storage
                     Land based storage will be available. Land-based trucks and/or warehouse
                     space will be available for Exhibitor storage and ship supply. Each Exhibitor
                     will have access to the storage area for their extra exhibit materials. The
                     trucks will accompany the yacht by land, which will allow Exhibitors to
                     access to their stored inventory within 24 hours during the exhibition.
                     Dealers MUST notify the operations department with any storage
                     requirements.

                     To ensure that the moving of your product is consistent with the manner
                     that your insurance company requires, SeaFair will provide an official art
                     handling/drayage company that will be present if you require additional
                     labor during the move-in and move-out period, to be charged at the
                     prevailing rate per hour. The official art handling company is Art Logistics.

                     All Freight Carriers and Art Handling companies must provide a general
                     liability certificate of insurance to SeaFair as well as workers compensation
                     insurance to SeaFair. Please review the insurance section of this manual
                     for specific coverage details. Please direct any questions regarding
                     requirements of coverage to John Buttine Inc.

SHIPPING   SeaFair requires that each Exhibitor supply the Operations Department
           with the contact information for each common freight carrier or art handling
           company that they contract with. Please complete the Shipping Informa-
           tion Forms and the Set-Up and Break-Down Information forms no later than
           September 20, 2009.

           Delivery and pick up of shipment by art handlers and com-
           mon freight carriers:

           SeaFair provides the necessary labor for drayage on and off the yacht.
           Crates and soft pack material must be stored off site at a warehouse.
           Warehouse space is available at an additional expense. Please contact the
           operations department if arrangements are needed.

           Where To Ship
           Exhibitors will have their crated product shipped to the Art Logistics ware-
           house or any warehouse of their choice. A detailed list of inventory must
           accompany all shipments to Art Logistics. It is recommended that Exhibi-
           tors contact Art Logistics with shipping related questions.

           Please contact Art Logistics prior to freight delivery, if you will require spe-
           cial freight handling.

                     Storage of Inventory for the repositioning of the vessel
                     Art Logistics will re-soft pack all of the artwork for the repositioning voyage between
                     port visits re-using original soft pack materials. Exhibitors are permitted to re-soft
                     pack their own booths if preferred.

                     Break-Down
                     Break-down will not be permitted during hours of operation on the final day of the
                     tour. Please see the Schedule/Timetable at the front of the Exhibitor Manual for
                     specific dates and time when break-down will be allowed. During the process of
                     break-down, a representative of your gallery must stay with all merchandise until
                     you have received a bill of lading from your freight carrier or art handling company
                     and it has passed through the secured exit. There will be no exceptions.

                     Prior to leaving it is required that you prepare a bill of lading and a Merchandise
                     Security Pass stating the Exhibitor name, number of pieces leaving the vessel,
                     description of any and/or all pieces and your authorized signature.

                     All art work will leave the vessel through the designated areas to be determined on-
                     site. These entrance and exit points can be found on the first deck. All merchandise
                     must be accompanied by proper Merchandise Security Pass documentation and
                     must also have a Security Seal, both of which can be found in the Ship’s office.

                     It is of critical importance that all Exhibitor freight be cleared from the ship by the
                     date and time specified in the Schedule/Timetable. At that time, any remaining freight
                     will be subject to mandatory removal and storage at the expense of the Exhibitor. If
                     any freight or art handling company has not completed freight removal by the stated
                     deadline they will be held liable for the following expenses:

                     • The security for the entire ship until the removal of the remaining freight
                     • The removal, storage and insurance of the Exhibitor’s remaining freight
                     • A service charge of 1.5% on unpaid removal and security charges
                     • Legal fees incurred by Expoships, LLLP in the case of any legal disputes

                     It is the responsibility of the Exhibitor to notify their freight carriers and art handlers of
                     these possible charges.

                     A valid signature must be presented in order for an item to leave the ship. Only
                     those signatures given on the Removal Authorization Form (completed at
                     registration) will be accepted by the Expoships security staff as valid. This form will
                     be available at registration and through Expoships personnel during the tour.

INSURANCE            All Exhibitors agree to maintain adequate insurance to protect Expoships
                     and its sponsors, its employees, its service contractors and the Exhibition
                     Facility from any and all claims, arising from Exhibitor’s activities, including
                     but not limited to, the installation, operation, and dismantling of Exhibitor’s
                     display. This includes claims under the Workers’ Compensation Act or for
                     bodily injury, death, or for damage to property. Exhibitor agrees that neither
                     Expoships nor SeaFair maintains insurance covering the Exhibitor’s prop-
                     erty and it is the sole responsibility of the Exhibitor to obtain such insurance.

of this manual       and Workers Compensation Insurance and must provide these certificates
                     to Expoships 30 days prior to the opening night vernissage of the first tour
                     stop. Certificates should be faxed or mailed, no later than September 20,

                     Written Notice of Compliance & Amount of Coverage
                     Exhibitors must carry: Exhibitors shall purchase and maintain at their
                     sole cost and expense, during their term of exhibit or any extension, the
                     following insurance with an insurance company or companies admitted to
                     do business under the laws of the exhibitor’s state of residence:
                     a. Workers Compensation and Employer’s Liability Insurance. The policy
                     should be endorsed to include Longshore & Harborworkers Compensation
                     Act Coverage, on an ‘if any’ basis using Endorsement WC 00 01 06A.
                     b. Commercial General Liability Insurance with limits of at least
                     US$1,000,000 per occurrence and US$2,000,000 annual aggregate.

                     Contractors/Vendors must carry:
                     a. Workers Compensation and Employer’s Liability Insurance. The policy
                     should be endorsed to include Longshore & Harborworkers Compensation
                     Act Coverage, on an ‘if any’ basis using Endorsement WC 00 01 06A.
                     b. Commercial General Liability Insurance with limits of at least
                     US$1,000,000 per occurrence and US$2,000,000 annual aggregate.

                     A Certificate of Insurance, naming Expoships, LLLP and SeaFair as
                     additional insureds, must be provided at least 30 days before the proposed
                     exhibit date.

                     Non-compliance with this procedure will prevent admittance into the fair for
                     your staff, contractors and merchandise.

                     It is strongly recommended that Exhibitors also carry property insurance to
                     cover loss of, or damage to, their exhibits or other personal property while
                     such property is located at, or is in transit to or from the exhibit site.

                     Disclaimer of Liability: SeaFair disclaims responsibility for all Exhibitor
                     products under all circumstances. SeaFair and its subcontractors will only
                     handle Exhibitors’ artwork with a complete waiver of liability, as outlined
                     in the Shipping and Handling Authorization Form, from each Exhibitor.
                     SeaFair specifically does not insure art or furnishings for any Exhibitor.
                     Responsibility for insurance for art and/or furnishings rests solely with each
                     individual Exhibitor.

SALES TAX   Exhibitors must conduct their business activities in an exemplary
            professional manner and will be solely responsible for the collection and
            remittance of any sales or other taxes imposed on them by State and
            Custom Laws as well as possess the proper license to conduct business in
            each state.

            Sales Tax Return
            Sale tax charges may apply to all art being sold in the United States. Please
            keep in mind that Expoships/SeaFair is providing sales tax information as
            a guide only. Ultimately, it is the responsibility of each Exhibitor to be in full
            compliance with the appropriate tax laws.

            This rule applies to United-States-based and internationally-based dealers.
            During the Long Island Sound segment, you will be exhibited in two different
            States: Connecticut for Greenwich and Norwalk, and New York State for
            Port Washington and NYC.

            Sales tax in Connecticut is 6%:
            Connecticut levies a 6% state sales tax on the retail sale, lease or rental of

SECURITY             The security onboard the SeaFair is an absolute priority of Expoships. An
                     extensive effort is continually undertaken to ensure that Expoships provides
                     a level of security consistent with all international fairs. In reference to
                     those issues amplified due to the unique nature of this project, the security
                     of SeaFair far exceeds that of the traditional fair.

                     Full security will be in force throughout the exhibition, including set-up and

                     will be security onboard monitoring all areas of the ship. In addition to the
                     unarmed private security officers that will be present onboard, SeaFair will
                     make available, upon request and at the Exhibitor’s cost, armed police offi-
                     cers who may be present during the fair and/or non-fair hours. It is recom-
                     mended that any booth displaying jewelry have an armed security officer
                     outside of their booth during fair and non-fair hours. If you will require an
                     additional guard, please complete the Security Request Form and return it
                     to Expoships 60 days prior to the opening night vernissage of the first tour
                     stop. (Please see the Checklist for an exact date).

                     A state-of-the-art fire suppression system is present on the boat that will en-
                     sure to the highest degree possible the safety of the ship and of the artwork
                     onboard. A high-density fog was chosen as the control system specifically
                     for the level of protection it provides the artwork.

                     Security of Inventory Storage
                     All storage areas/facilities will have 24 hour security personnel.

                     Safes
                     All Exhibitors displaying jewelry in their booth will be required by Expoships
                     to have a booth with a safe installed. Three specific booths are available
                     with industry standard safes built-in. Exhibitors with jewelry are required to
                     display in these booths ONLY. Please complete the safe request form no
                     later than September 20, 2009.

                     THE FOLLOWING PRECAUTIONS MAY REDUCE THE RISK OF
                     LOSS OR THEFT:
                     • Know your shipper and carefully supervise all deliveries to and from your booth.
                       • Immediately count and verify that you received all contents of your deliveries.
                     • Report any shortages of deliveries to your shipper immediately.
                     • Do not leave small accessible items in your booth overnight.
                     • Do not overtly indicate the contents of packages.
                     • Remove all personal belongings (cameras, portable computers, etc.) from your
                       booth during non-show hours.
                     • Conceal all displays during non-show hours.
                     • Pack your entire exhibit immediately upon the end of Show.
                     • Utilize security seals (available from Show Office).
                     • Report any theft or disappearance immediately to Expoships Management or
                       Show Security.
                     • Do not leave your booth unattended during show hours. This is critical during
                       move-out and move-in.
                     • Hire a police officer or security guard to watch your booth during non-show hours.
                     • Carefully fill out Merchandise Security Passes any time you leave SeaFair with
                       items.
                     • Make sure you have the adequate General Liability & Product Liability insurance.
                     • Immediately report anything suspicious to Expoships Management and/or Show
                       Security.

                    The Art Loss Register (ALR), with offices in London, New York, Cologne
                    and Amsterdam, is the world’s largest private computerized database of
                    stolen and missing works of art and antiques. In addition to the registra-
                    tion of losses, the Art Loss Register provides a search service to collectors,
                    dealers and museums. Prior to acquisition, a client may check with the ALR
                    to determine whether or not a work has been registered with the ALR. Since
                    beginning operations in 1991, the ALR has developed a database of over
                    180,000 items, including paintings, silver, furniture, rugs, tapestries, antiq-
                    uities, Asian art, ceramics, clocks, musical instruments, and other unique
                    items.

                    SEAFAIR has asked the ALR to offer a due diligence check to exhibitors at
                    the reduced rate of $500 for 50 searches and 5 complimentary certificates.
                    The addition of a due diligence search gives a buyer added confidence that
                    you are selling works of art with good title. You will receive the official “Buy
                    with Confidence – Searched by the Art Loss Register” plaque for your stand
                    to verify your participation in the due diligence check.

                     BOOTH DESIGN - WALLS

                     WALLS
                     • The walls are 8’ 6” high.
                     • The walls are made of a US Coast Guard approved noncombustible ma-
                     rine grade drywall composite called DensGuard.
                     • The general color of the fair will be pure white SW7005 on all exterior
                     common walls of the gallery space and throughout the common areas of
                     the boat. A variety of paint colors will be available for the interior of the gal-
                     lery spaces at an additional fee to the exhibitors.

               • It is very important that you notify the Operations Department if you will be
               hanging any heavy pieces (more than 80 lbs.) from the wall. Under special
               circumstances, the walls may have to be reinforced for support.

               • Interior wall configurations and options will vary depending on booth size/
               shape and deck location.

               • No walls may be free standing (without support walls on either end) or
               erected in the aisle.

               TEMPORARY WALL SYSTEM PRICING AND CONFIGURATIONS
               • Interior walls will be erected from two different sized panels.

                2 foot section            $100.00 per section
                4 foot section            $200.00 per section

               *Prices include tape and installation.

               • Exhibitors will have a maximum of 6 configuration options. Certain booths
               will be restricted to fewer configurations depending on the size/shape and
               location of the booth. Due to lighting configuration restrictions, Expoships
               will have final approval on the placement and configuration of all temporary
               walls.

               HANGING SYSTEM
               • All artwork will be hung from the walls via a state-of-the-art C-channel
               track system comparable to those found in world class museums.

               • High test cables and latches will be used in conjunction with an aluminum
               track system allowing the placement of hanging pieces virtually anywhere
               within the gallery space.

               REQUIREMENTS
               • Expoships will have the final approval over all booth designs.
               • All exterior walls will be pure white, the color code is SW7005. A variety of
                 color upgrades will be available for the interior of the gallery spaces.
               • All walls must be adequately lit.
               • All closet/storage space doorways in each booth will be partitioned by a
                 curtain provided by Expoships.
               • No draping, wall coverings, special lights, fixtures or signs will be permit-
                 ted without prior written permission from Expoships.
               • All items are strictly prohibited from being placed in the aisles outside of
                 your booth.
               • No wood screws or nails may be used on the walls.
               • It is very important that you notify the Operations Department if you wish
                 to hang any heavy pieces (more than 80 lbs.) from the wall. Under special
                 circumstances, the wall may have to be reinforced for support.
               • Painting any fixtures including but not limited to pedestals, shelves, show-
                 cases, etc. in the booth is prohibited; Exhibitors will have a designated
                 area off the ship for painting.

               MAINTENANCE OF WALLS
               • All hanging devices must be removed from the walls when dismantling the
                 booth. No holes may be cut or drilled into the walls without prior consent
                 of Expoships. A $500.00 deposit will be charged to the Exhibitor prior to
                 registration.
               • All decals must be removed from walls by exhibitors. If decal is removed
                 by Show Management, the exhibitor will be charged $100.00 per decal.

               BOOTH DESIGN - LIGHTING
               All overhead track lighting will be mounted on the ceiling in a box forma-
               tion parallel to the outside walls. The track is a permanent fixture and is
               individual to each booth. The track will be 2’11” from the outer walls of
               each booth where possible. The installation of additional tracks will not be
               allowed without prior consent of Expoships. The number of lights included
               in the price of your booth will vary from booth to booth. Any additional lights
               will be an additional expense to the exhibitor and will be restricted based on
               the size and configuration of the booth. All lighting in the gallery spaces will
               be uniform; therefore no exhibitor furnished lights will be permitted. Careful
               planning should be considered when determining your lighting as it is one of
               the most important factors in successfully exhibiting your works.

               SeaFair assumes no responsibility for providing additional lighting. If avail-
               able, Exhibitor may order additional lighting at the exhibitor’s expense.

               THE LIGHT TRACK IS IN A FIXED CONFIGURATION IN EACH BOOTH.
               IT IS IMPERATIVE TO KEEP THIS IN MIND WHEN DETERMINING THE
               PLACEMENT OF ANY TEMPORARY WALLS AS IT MAY NOT BE POS-
               SIBLE TO PROVIDE AMPLE LIGHTING IN SOME CASES.

               Exhibitors who wish to hang any object from the ceiling, such as a chande-
               lier, will require special rigging. Please indicate where you prefer to hang
               the object along with the description and weight. Please also indicate if you
               will require electricity. NOTE: Special rigging points are subject to individual
               booth specs.

               Exhibitors are to provide the proper hardware to attach to the rigging point
               (provided by Expoships). It is the Exhibitor’s responsibility to have the prop-
               er qualified labor to hang all chandeliers. Expoships staff will not handle or

               Rigging is based solely on the configuration and availability of points lo-
               cated on the ceiling of the facility.

                                LIMITS OF LIABILITY

                                2. Expoships/SeaFair shall not be responsible for loss, theft or
                                   disappearance of materials after same has been delivered to Exhibitor’s
                                   booth.
                                3. Expoships/SeaFair shall not be responsible for loss, theft or
                                   disappearance of artwork, materials or shipments before they are picked
                                   up from Exhibitor’s booth for reloading after the show. In the absence of
                                   the Exhibitor or his designated agent, bill(s) of lading covering outgoing
                                   shipments, which are furnished by shippers to Exhibitors, may be
                                   checked at time of actual pick-up from booth and corrections made where
                                   discrepancies occur.
                                4. Expoships/SeaFair shall not be responsible for any loss, damage or
                                   delay due to Force Majeure.
                                5. In the event that Expoships/SeaFair shall be deemed to have any liability
                                   whatsoever for loss or damage to Exhibitor’s shipment, Expoships/
                                   SeaFair liability shall be limited to the physical loss or damage to the
                                   specific article which is lost or damaged, and in any event Expoships/
                                   SeaFair maximum liability shall be limited to $.50 per pound per article
                                   with a maximum liability of $50.00 per item or $1,000.00 per shipment, or
                                   the federal liabilities for drayage, whichever is less.
                                6. Expoships/SeaFair shall not be liable to any extent whatsoever for
                                   any actual, potential or assumed loss of profits or revenues or for
                                   any collateral costs, which may result from any loss or damage of an
                                   Exhibitor’s materials which may make it impossible or impractical to
                                   exhibit same.
                                7. The consignment or delivery of a shipment to Expoships/SeaFair by
                                   an Exhibitor, or by any shipper to or on behalf of the Exhibitor, shall be
                                   consigned as an acceptance by such Exhibitor (and/or shipper) of the
                                   terms and conditions set forth herein.


                                DRAYAGE SERVICES

                                The Exhibitor hereby authorizes Expoships/SeaFair to handle the
                                Exhibitor’s shipment(s) in accordance with the terms and conditions set
                                forth herein and in the “Limits of Liability” section of this form.

                                The Exhibitor expressly agrees to Expoships/SeaFair limitations of liability
                                and responsibility as set forth herein. The Exhibitor hereby expressly agrees
                                that Expoships/SeaFair liability, if any, not withstanding other releases of
                                liability contained in the Exhibitor’s Agreement, shall be limited to any loss
                                or damage which results solely from Expoships/SeaFair negligence in the
                                actual physical handling of the Exhibitor’s artwork or shipment and not for
                                any other type of loss or damage, actual or consequential.

September 20, 2009              as the Exhibitor’s agent and not as bailee or shipper in connection with the
                                receipt, handling, storage and reloading of the Exhibitor’s artwork and pack-
                                ing materials at the exhibition site. If any employee of Expoships/SeaFair
                                shall sign a delivery receipt, bill of lading or other documents, the Exhibi-
                                tor agrees that Expoships/SeaFair will do so only as the Exhibitor’s agent.
                                The Exhibitor hereby authorizes and accepts responsibility for Expoships/
                                SeaFair to sign for shipments on the Exhibitor’s behalf.

                                The Exhibitor authorizes and agrees in connection with handling and stor-
                                age of any work of art vetted off the fair. Regarding inbound shipments,
                                there may be a lapse of time between the delivery of Exhibitor shipment(s)
                                to the booth and the arrival of the Exhibitor or his representative. During
                                such time, the shipment will be left unattended in the Exhibitor’s booth.
                                Expoships/SeaFair will not be responsible for loss, damage, theft or disap-
                                pearance of Exhibitor’s materials after the shipment has been delivered to
                                show site. Expoships/SeaFair highly recommends the retainment of security
                                services for art left in the Exhibitor’s booth in the Exhibitor’s absence prior
                                to or during set-up.

                                Regarding outgoing shipments after the show, the Exhibitor recognizes that
                                there may be a lapse of time between the Exhibitor’s completion of packing
                                and the actual pick-up of the Exhibitor’s shipment from the Exhibitor’s booth
                                for loading by a carrier. During such time, the Exhibitor’s shipment will be
                                left unattended in the Exhibitor’s booth. The Exhibitor agrees that Expo-
                                ships/SeaFair shall not be responsible for any loss or damage during such
                                period. The Exhibitor understands that Expoships/SeaFair recommends
                                that Exhibitors physically stay with their shipments until the removal by their
                                carrier and/or employ a private security service to remain with shipment(s)
                                on the Exhibitor’s behalf.

                                If the Exhibitor or designated personnel is absent at the time of removal
                                of Exhibitor’s shipment by a carrier, the Exhibitor authorizes Expoships/
                                SeaFair to adjust the quantities of items on any bill of lading left with Expo-
                                ships/SeaFair to conform to the actual count of such items in the booth at
                                the time of pick-up.

                                In order to expedite removal of materials, Expoships/SeaFair shall have au-
                                thority to change designated carriers, if such carriers do not pick up on time.
                                Where no disposition is made, materials will be sent to a third party ware-
                                house at Exhibitor’s expense, awaiting Exhibitor’s shipping instructions. All
                                charges must be paid before release of goods.
