    1. CONTRACT SUMMARY AND SCOPE
    This contract is for the purchase of five general categories of food supplies, with sub-categories, as listed
    below and in the price tables included in this document. This contract is mandatory for all State
    agencies, with exceptions as noted below, and includes a Cooperative Purchasing Agreement which
    extends the State pricing to local units of government as defined in s. 16.73 Wis. Stats. Exempt from
    mandatory use of this contract are: the UW System; all School Lunch programs administered by state
    agencies; the Waupun Central Warehouse for canned goods; the Department of Health Services (DHS)
    for liquid dairy items; and, the Department of Corrections (DOC) for liquid dairy items and fresh eggs.

    This contract includes all edible food in the following categories:
           Canned Goods (except Canned Goods purchased by Waupun Central Warehouse)
           Cereal
           Frozen Food
           Meat, Poultry, and Seafood
           Groceries, a miscellaneous category which also includes:
               o Coffee
               o Flour (delivered to Waupun Central Warehouse or other locations)
    The scope does not include food services (such as cafeteria services or food preparation), dairy products
    produced by Badger State Industries, products purchased from work centers, fresh produce, fresh bakery
    or canned food purchased by (or distributed by) Waupun Central Warehouse.

    The Waupun Central Warehouse (WCW) will continue to buy and distribute canned goods, certain dairy
    products, bread flour and cereal. WCW customers may also use the statewide food contract to purchase
    canned goods, dairy products, bread flour, and cereal items, unless directed to purchase these items
    exclusively from the Waupun Central Warehouse in accordance to agency policy (such as DOC
    facilities). The Waupun Central Warehouse will not use the statewide food contract to buy canned
    goods.

    2. VENDOR LIST BY SUBCATEGORY
    Contract awards were made by category and sub-category, so vendors were awarded contracts for some
    categories and not others. Despite the fact that vendors may be able to provide a full line of products
    from each category, they are eligible to offer products to the State only from the categories that they
    were awarded. It is imperative that these contracts be complied with and products within each
    subcategory be purchased only from the awarded vendors. Under no circumstances may the
    Contractor sell products to State agencies that are on the Contract list but not in an awarded
    category or not included in that vendor’s listed bid prices.

    *Starting March 9, 2009, the Indianhead Foodservice Distributor (IFD) product numbers listed on the ―Blocked IFD Spice &
    Seasoning Products‖ document (available on page 24 of this user guide) will be blocked from ordering by State of Wisconsin
    agencies using Food Supplies Contract # 15-39300-601. Beginning March 9th 2009, State of Wisconsin agencies that had
    been purchasing the listed spice and seasoning products from Food Supplies contract 15-39300-601 will need to order these
    products from Lakeside Curative Services through the new Spices & Seasonings contract 14-39380-901:

    4. ORDERING AND PAYMENT INFORMATION
    Ordering:

         Purchase Orders or releases from blanket Purchase Orders shall be placed directly to the Contractor
         by an Authorized User. No other type of order is authorized.

         All vendors have set up a local Wisconsin telephone number, or a toll free (800) number, a website,
         or in Torke Coffee’s case, a fax number to take orders. Each Authorized User1 will be responsible
         for placing its own orders, which may be accomplished by telephone, online, or by fax for Torke
         Coffee. If requested, Contractor shall provide necessary training and documentation for any
         ordering software or system at no cost.

         See the chart in Section 6 for the latest time you can make or modify an order with each vendor.
         Reasonable delivery requests will be honored by all vendors; users should contact vendors for
         specific required delivery times. It is not necessary to place orders weeks or months in advance,
         however, vendors may need long lead times for large or special orders.

         When placing an order, please be sure that the vendor you are ordering from is authorized to sell
         each particular product you are purchasing. Please see the chart in Section 2 above, called Vendor
         List by Subcategory, and the tables in Section 9, Pricing to determine which vendors are contracted
         to sell which subcategories. If you are unsure as to which subcategory a particular item fits in,
         please contact the Contract Manager for clarification.

    Payments:

         Payments are to be made by check or electronic funds transfer. Some vendors have offered prompt
         pay discounts and discounts for electronic funds transfer. Customer should strive to take advantage
         of these discounts. Credit card purchases are not accepted on this contract.

    Discounts:

         Vendor discounts offered on this contract are listed as follows:
           Annual volume discounts pertain to total statewide contract volume and will be monitored by the
           Contract Manager. This is not a rebate but will be applied to invoices after the threshold is met
           according to Contract Reports monitored by the State Contract Manager. Users will be notified
           via VendorNet if an applicable threshold is met.

    5. SERVICE LEVEL REQUIREMENT SUMMARY
    Listed below are the receiving procedures that Authorized Users can perform if they wish to verify the
    quality and accuracy of a delivery. Below them are highlights of the service level requirements that the
    vendors agreed to (see the contracts on VendorNet for the full list and official language). Please use

    these lists to keep the vendors accountable to their contractual obligations and as a guide to when issues
    need to be raised with the Contract Manager.

    Receiving Procedures and Order Inspection:

    When Authorized Users receive a shipment, they can (but do not have to) inspect and verify deliveries.
    Products may be matched against the invoice and Contract specifications. The delivery ticket shall list
    all relevant information.

    Authorized Users have up to forty-eight (48) hours after delivery to identify and reconcile delivery
    discrepancies (quantity). Product delivered may also be inspected at time of use and is subject to
    refusal/return for issues of quality.

    Any cases damaged during loading or delivery shall be rejected. Contractor shall replace with like or
    acceptable product at no charge within 24 hours.

    When receiving commodities, Authorized Users may:

        1.       Inspect each item at the time of receipt.
        2.       Note any count discrepancies and visible damage on the Contractor's delivery receipt.
                 Discrepancies or damages noted shall be initialed by the contractor's delivery agent.
        3.       Verify that all products, invoiced by weight, are accompanied by a tally sheet.
        4.       Randomly check the temperatures of refrigerated and frozen foods to assure quality.
        5.       Weigh all products invoiced by weight immediately on receipt of the order.
        6.       Adjust invoices, or require Contractor to adjust invoices, to compensate for any deviations.
        7.       Refuse delivery and note reason on delivery receipt if, upon inspection at the time of receipt,
                 products are found to be in unacceptable condition, (Contractor’s delivery agent shall initial
                 any such notes.)
        8.       Sign the Contractor's delivery receipt and retain a copy for their records when satisfied that
                 the shipment is in proper order and/or all discrepancies have been properly noted and
                 initialed.
        9.       Reserve the right to reject all or part or a delivery.

    Contractors are aware of these procedures and must allow ample time for them at each delivery location.

    Delivery Dates, Times, and Locations:

    Contractor shall make deliveries on dates and times acceptable to Authorized Users, and there is no
    extra charge for Saturday deliveries. Contractor and the Authorized Users shall contact each other to set
    up a regular delivery schedule. Contractor shall accommodate any reasonable required delivery
    frequencies, days and times that were listed in the RFP, and shall make every effort to accommodate
    Authorized Users’ preferences, as stated in the RFP or communicated over the course of the contract.

    Some Authorized Users require Saturday delivery, and all, especially correctional facilities, need
    Saturday delivery available in case of emergency. Contractor shall provide Saturday deliveries at no
    extra charge.

    If a regular delivery day falls on a State holiday, Authorized Users and Contractor shall determine an
    alternate date. Emergency/rush delivery requiring special shipping and handling shall be at Authorized
    Users' expense (with prior written approval only). Rush delivery that occurs as a result of the
    Contractor’s error shall be free of charge.

    All shipments shall be delivered to the specified dock, with inside delivery if requested. Contractor
    shall unload products and deliver to interior locations at no additional charge, if Authorized User
    requires inside delivery. Contractors are aware that most facilities require inside delivery. To expedite
    delivery, Contractor’s delivery trucks shall be equipped for varying dock heights.

    Late Deliveries:

    Deliveries shall be complete by the delivery date noted on the order, unless otherwise modified by
    mutual consent of the Authorized User and Contractor. Late deliveries shall subject Contractor to the
    non-delivery penalty.

    If an emergency situation occurs, causing a delivery to be delayed until after Authorized User’s normal
    delivery hours, Contractor shall contact the Authorized User by phone no less than one (1) hour before
    end of receiving time for late delivery approval.

    Contractor is responsible for rescheduling delivery to a time acceptable to Authorized User at no charge.
    If there is no mutually acceptable date and time to reschedule, or if a late delivery means Authorized
    User shall procure products elsewhere, Authorized User may cancel all or a portion of the late delivery
    with no charge. Additionally, Contractor shall be subject to the non-delivery penalty.

    Poor planning by Contractor does not constitute an emergency, nor do delays caused by other customers
    on a delivery route. Examples of acceptable reasons to reschedule deliveries may include road closures,
    severe and unusual traffic delays, or delivery vehicle malfunctions. However, Authorized User shall
    have final determination of whether or not to accept late deliveries.

    Facility Disaster or Emergency Deliveries:

    In the event of a disaster or other emergency (such as an extended power outage, a prisoner riot, or
    destruction of a storage facility or kitchen), Contractor shall provide delivery within 24 hours after receipt
    of order to the affected facilities, including weekends, except where the Contractor's ability to perform is

    impaired by the same disaster or emergency, in which case delivery schedule shall be mutually agreed
    upon. Contractor shall also submit reports about these deliveries if requested.

    Pallet Sizes and Exchange:

    Contractors know that some facilities do not accept palletized deliveries, and others may require 32‖
    pallets rather than the standard size. Some storage spaces have size restrictions or maximum height
    requirements. Authorized Users shall alert Contractor to special requirements while or before
    placing their first order. Contractor shall not use any State equipment, including pallet jacks, to unload
    deliveries.

    If product(s) is on a pallet, all package labels shall be visible on the outside of the pallet. Contractor
    shall load products onto pallets putting like items together on the same pallet, heavier items on the
    bottom of the pallet, and avoid mixing refrigerated and frozen items with dry staple items.

    Canned and dry goods, refrigerated goods, and frozen products shall be palletized separately. Fragile
    items shall not be put on the bottom of a pallet.

    Pallets from previous deliveries may be returned to delivery driver, if driver requests them. However,
    pallets used for current delivery may not be returned if product is not unloaded immediately, at the
    Authorized User’s discretion.

    Temperature and Sanitation:

    Delivery shall be made in a clean, enclosed, temperature controlled truck and be free from odors. Inside
    of trucks shall be washed once daily April through November and as necessary throughout the rest of the
    calendar year to maintain clean sanitary conditions.

    All products shall be transported maintaining the proper storage temperatures:

          Canned and dry goods shall be delivered at temperatures between 45 and 75 degrees F.
          Refrigerated products shall be delivered at temperatures between 34 and 40 degrees F.
          Frozen products shall be stored at the temperature of 0 degrees F or less and delivered at 10 (ten)
           degrees or less. At no time shall their temperature exceed 10 degrees F.

    Authorized Users can inspect products to verify delivery temperatures and may reject all or a portion of
    deliveries that do not meet these specifications.

    Product Substitutions, Out-of-Stock Items, Delivery Tolerances, etc.:

    If necessary to complete a shipment on time, Contractor may request a product substitution. The
    product substituted shall be of equal or larger quantity, equal or better quality and/or grade, at no
    additional cost, and the Authorized User shall accept the substitution in writing (email is acceptable)
    prior to delivery. After notification of impending short or out-of-stock items, Authorized Purchaser may
    cancel balance of incomplete deliveries without penalty.

    Invoices shall denote all items and quantities as ordered. Any shorted items shall be noted as "out-of-
    stock". Failure to provide acceptable substitute products for "out-of-stock" products shall subject
    Contractor to the non-delivery penalty.

    The quantity of each product delivered shall not fall short of the quantity ordered by more than the
    amount listed in the table above. Users may reject portions of a shipment that exceed the amount
    ordered. Items short more than the percentage listed in the table above shall be subject to the non-
    delivery penalty.

    Secure Facilities:

    Security concerns vary statewide, but are especially important at correctional facilities and certain DHFS
    facilities. Contractor’s and subcontractors’ employees shall comply with the security requirements at
    each facility. Authorized Users are responsible for alerting Contractor to these requirements before or
    while placing their first order.

    Contractors are aware that common security restrictions include:

        o Identification. All of Contractor’s and subcontractors’ employees, while working on State
          property, shall carry or display acceptable identification. Requirements vary by Authorized
          User. For instance, some facilities require a visible photo-ID badge, while correctional
          facilities may require a valid driver’s license instead.
        o Vehicle Security. In many locations, drivers shall turn off vehicle motors and lock cab doors
          whenever their truck is unattended.
        o Patient/Inmate contact. Delivery personnel should minimize interaction with inmates or
          patients, and shall report any verbal contact to the Authorized User before leaving the site.

    Drivers who enter high security facilities shall have prior approval to enter from security staff,
    generally involving a background check to ensure that they are not convicted felons. At some
    facilities, trucks shall be searched prior to entry and exit, causing up to 30 minutes delay each way.

    At some correctional facilities, drivers can not have any weapons (including jack knives or box cutters),
    cell phones, pagers, drugs, tobacco products or any item deemed to be potential contraband.
    Correctional officers can hold these items for drivers at the delivery sally-port and return them as the
    driver exits the grounds. Any illegal items shall not be returned.

    Non-Delivery Penalty:

    Authorized User may purchase items that cannot be supplied by the Contractor by date required
    elsewhere. Contractor shall be liable for the difference in price between the contract price and the
    price of such emergency purchases when a reasonable, accepted order timeline cannot be
    supplied.

    Such charges may be deducted from invoices payable to Contractor. Any amount outstanding over and
    above the amounts deductible from invoices may be credited to the account of an Authorized User of the
    State’s choosing.

    Returning Products:

        Returns Due to User Error: Contractor shall provide for return of unopened items ordered in error
        for up to 30 calendar days from delivery, except for items with short or expired code dates from
        Indianhead. Returns shall be provided free-of-charge as long as they occur at a regularly-scheduled
        delivery time. Otherwise, Authorized Users shall pay only the return shipping costs for such returns;
        no additional charges are allowed.

        Returns Due to Contractor Error: Authorized User shall notify account representative of any
        materials delivered in poor condition, in excess of the amount authorized by the requisition form or
        not included on the requisition form or purchase order. These items may, at the discretion of the
        Authorized User, be returned to the Contractor’s warehouse at the Contractor’s expense at the next
        scheduled delivery or date or within 30 days of written notification (email is acceptable), whichever
        is sooner.

        Contractor shall issue a credit to Authorized User’s account as soon as pick-up is scheduled. If such
        goods are not removed within 30 days of written notification, Authorized User may dispose of them
        as their own property and shall not be held liable. If necessary, Authorized User may dispose of
        products immediately, without providing Contractor an opportunity to pick them up.

        Returns Due to Poor Performance: Contractor shall be notified of products accepted for delivery
        but later found to be unacceptable quality or that spoil before their use by/sell by date. These
        products shall be replaced at no charge.

        If any product or equipment is returned to Contractor for failure of performance, the Contractor
        shall, at the State’s discretion, refund all amounts paid to the Contractor for such product or replace
        the product, and the following shall apply:

                At the next regularly scheduled delivery date or within twenty (20) days of written
                 notification by the Authorized User, whichever is sooner, the Contractor shall make
                 arrangements for the return of the product.
                The Contractor shall bear all shipping and insurance costs.
                The Contractor shall be liable for damages to the product that occur during the return
                 process, unless caused by fault or negligence of the Authorized User

    Customer Service:

    Users should try to resolve customer service issues directly with the vendor before escalating them to the
    Contract Manager.

    The Contractor shall provide all of the designated Authorized Users a single, local point of contact (and
    a backup) to handle questions and resolve problems that arise. At least one customer service
    representative shall be available during Contractor’s operating hours. Contractor personnel (not
    necessarily primary representative) shall also be available by phone during early morning or after-hours
    delivery windows, including weekends.

    All service representatives shall have online access to information to provide immediate response to
    inquiries concerning the status of orders (shipped or pending), delivery information, back-order

    information, Statewide Contract pricing, contracted product offerings/exclusions, Contract compliance
    requirements, and general product information. Representatives shall be available by phone, fax (local
    or 800 # preferred), or email. Both Authorized Users and the Contractor shall make quarterly reviews of
    internal customer satisfaction and shall make consistent efforts to maintain and improve customer
    satisfaction.

    Contractor shall clearly designate a primary representative to provide on-going communication,
    coordinate service, answer questions and expedite deliveries. Primary representative shall be available to
    Authorized Users during State business hours. The service level requirements table above indicates if
    Contractors are also willing to meet with Authorized Users on a regular basis, above and beyond the
    requirements already listed here.

    Product Quality:

    Contractor guarantees that all food products comply with applicable Federal Pure Food Laws and
    Regulations, and Wisconsin Laws. All meat products furnished shall originate in US Dept of
    Agriculture or State of Wisconsin Department of Agriculture inspected establishments. Both the
    Contractor’s site and the manufacturer’s site from which products are purchased shall meet HACCP
    requirements.

    Authorized Users may inspect products upon delivery to be sure that they meet all specifications.
    Failure to meet any specification may mean rejection of the entire order at no cost to the State. No
    changes in the specifications shall be permitted without written authorization.

    The latest specifications shall apply on all items listed on this Contract. Merchandise delivered shall be
    guaranteed to comply in all respects to all applicable Federal Pure Food Laws and Regulations and laws
    of the State of Wisconsin.

    Grade and quality of product below what is specified in the RFP or its appendices shall not be accepted.
    All grade numerical scores shall be at least two points higher than the minimum for the grade indicated.
    Contractor shall furnish grade, quality, ingredient or product specifications to the Evaluation Committee
    or Authorized Users upon request.

           Turkey items: Turkey items shall bear expiration date good for no less than two weeks from date
            of delivery.
           Meats: Beef, pork, and veal products furnished shall be Federally-graded or State of Wisconsin
            inspected as indicated in the specifications. All meat products furnished shall meet the
            Institutional Meat Purchase Specifications (IMPS) indicated except where no IMPS number is
            available.
           Canned Foods:
                 o Canned fruits, fruit juices, vegetables, and vegetable juices shall be same grade as
                   specified and as defined by the U.S. Department of Agriculture. All products shall be
                   latest season's pack for that item.
                 o All canned products required shall be sufficiently processed by heat to assure
                   preservation of the product and packed under sanitary conditions in hermetically sealed
                   containers in accordance with best commercial practice.

                 o Standard commercial practice requires that containers be plainly marked with the kind,
                   variety, style, number, net contents and can code of the individual containers therein.
                 o Canned goods shall have a shelf life of at least twelve (12) months from the date they are
                   delivered.
                Cereal: Cereal shall have a shelf life of at least six (6) months from the date it is delivered.
                 Cereal shall not contain prizes, which are considered contraband at most facilities. Any
                 preservatives shall be listed on the nutritional label. It is preferred that cereals contain no
                 preservatives.
                Seafood:
                 o Seafood products shall meet grade specified in the appendices and as defined by the U.S.
                   Department of Commerce (USDC) National Marine Fisheries Services. All products
                   shall be latest or current pack. All products shall have open coding.
                 o The product shall be produced in a USDC Type 1 inspected plant. Portions are to be
                   layer packed with wax dividers in cartons made of SBS Board with net weight between 3
                   to 10 pounds to the carton. Cartons are to be either sealed or over wrapped. Case weight
                   should not exceed 60 pounds net per case. Where required, the product shall meet U.S.
                   Grade A Standards, and the case shall bear either a printed or stamped U.S. Grade A
                   Shield or PUFI (Processed Under Federal Inspection) mark.
                 o Breaded Seafood Products shall carry the USDC Grade shield on all product labels.
                 o When Grade A is required, the following standards apply: Fish portions, raw, breaded, or
                   battered, shall be no less than 75% by weight of fish flesh. Precooked portions shall
                   contain not less than 65% weight of fish flesh. Precooked breaded sticks shall contain
                   not less than 60% weight of fish flesh. Raw material shall consist of adequately drained
                   wholesome whole skinless fillets with nape attached, or pieces of skinless fillets, of a
                   single species. Ground (minced), comminuted, or nape blocks are not acceptable. Any
                   revisions to Federal Grade A Standards shall apply to this contract.

    Product Samples:

    The Contractor shall provide reasonable sample quantities, free of charge, to Authorized Users so they
    can evaluate whether products not currently purchased meet their needs. Sampling shall be required
    during the life of the Contract. The Contractor shall be available to assist in sampling when needed.
    Authorized Users have no responsibility to purchase sampled products.

    Nutritional Information:

    Nutritional data for any products shall be provided within three (3) business days to Authorized Users
    free of charge upon request. Within thirty (30) days of contract award, Contractor shall provide
    nutritional information for all products on the contract lists in the appendices. Online access to all
    nutritional information is preferred.

    Product Labeling and Shipping Containers:

    Product Labels: Individual packages shall be plainly marked with the kind, variety, count (if
    applicable), and net contents contained therein, and the name of the manufacturer or packer. Shipping

    containers shall be plainly marked with the kind, variety, number and net content of the individual
    containers therein.

    Random weight case items shall indicate the weight of the product contained on the outside of the case
    rounded to the nearest 1/100th of a pound. Random weight case items shall be billed and paid for by the
    pound (rounded to the nearest 1/100th of a pound), not by the case.

    All products furnished shall be dated with either the date of manufacture or last date the product may be
    sold/used.

    Mixed lots varying in brand or trademark shall not be acceptable.

    Product labeling shall conform to the Wisconsin Administrative Code Chapter Ag. 80.16 and the Federal
    Food Drug and Cosmetic Act.

    Shipping Requirements: Requirements and/or restrictions about shipping containers and acceptable
    invoices shall be provided by Authorized Users when products are ordered. Unless informed otherwise,
    the following apply:

    Glass containers are not acceptable at some secure facilities. Products shipped to the Department of
    Corrections shall not use foil lids.

    Packing shall be in accordance with the best commercial practice, and wherever possible cases shall
    weigh less than fifty (50) pounds. Individual containers and shipping containers shall be new, clean and
    unbroken.

    All containers shall meet the requirement of the applicable U.S.D.A. Standard for Condition of Food
    Containers. Pack size shall be as specified in the RFP or alternate pack size indicated.

    All product delivered to Waupun Central Warehouse shall be palletized and shrink wrapped. Other
    Authorized Users may also require shrink wrapping. Authorized Users shall inform Contractor of any
    such requirements.

    All products shall be shipped in a manner that shall enable the receiving person(s) to easily check the
    shipment with the invoice.

    A packing label shall be on each box or the outside of each pallet and include the following items, where
    applicable, visible on the outside of the box:

           Authorized User
           Address
           Department and floor (if applicable)
           Contact name
           Telephone number

    An invoice shall also be included with each shipment, which shall include at least the following
    information in no particular order:

    6. FREQUENTLY ASKED QUESTIONS
    Q1: What exactly are we allowed to buy from each awardee? Are we restricted to only the specific
        subcategories listed above?
    A1: Products within a subcategory can be purchased only from the vendors that were awarded that
        specific subcategory. Authorized Users have the option to buy from any of the awardees within
        each subcategory but should always look for the best value among the awardees. Authorized
        Users may buy products that are not on the contract item spreadsheets (tables 1 -13 on page 22), at
        a contractual cost plus markup price. The listing below is the percentage markup applied to the
        contractor's internal cost for each full catalog item not listed in the subcategory contract item
        spreadsheets.

        Previously, IFD was charging a 7.4% cost plus markup or, in some cases, a 6.5% cost plus markup for drop
        shipped orders.
        Drop shipped orders are products that are delivered directly by the supplier to the food supplies contract user.
        The supplier then invoices IFD for the products that were shipped directly to the contract user. IFD customer
        service verifies that the contract user actually received the products as invoiced by the supplier. Once IFD
        confirms the products were received, IFD invoices the contract user for the drop shipped products (cost of the
        products received plus 4.5%).
        If you have not set up a drop shipped order before with IFD, then it is recommended that you contact Jim
        Kacvinsky at IFD (1-800-279-3690 ext. 120) to make arrangements and go over any needed information
        before you place the order with the supplier and issue a purchase order to IFD. Some of the companies that

        IFD has already processed drop shipped orders on include: Value Foods (aka Global Foods), CSV Sales,
        Sargento Foods, Eidman Meats, and Universal Fish.
    Q2: How do I determine the price of an item?
    A2: The pricing sheets provided in the contracts (and in Section 8 of this document) serve as a useful
        guide. In addition, Contract vendors are responsible for offering the correct discounted pricing on
        the ordering pages of their individual websites, or in the catalogs and information they provide to
        the State and its contract users. Therefore, to determine best pricing, the purchaser may simply
        look at the net price offered by the vendors. Net pricing is available from all vendors on their
        ordering systems.


    Q3: I was able to get a quote from a different vendor that was less than the contract price. Why can’t I
        buy from that vendor?
    A3: All vendors were provided an opportunity to submit their best pricing during the RFP process. The
        winning vendors were chosen because of the value offered, taking into account both service and
        pricing. These vendors committed to competitive prices across a wide range of products and to
        terms that satisfy the needs of the State. While another vendor may offer an aggressive price for a
        particular product at a given time, we have no commitment that this vendor will continue to offer
        similar pricing across the enterprise, or that the vendor would provide the high level of service the
        contracted vendors will. The State does have a contractual commitment to these Contractors to
        purchase the awarded products from them according to the terms listed, as their price proposals
        were dependant upon receiving this commitment.
          One of our goals was to ensure that agencies/municipalities are provided with great value over
          time without having to always shop around. We understand that contract users have limited
          resources and time and do not always have the luxury of shopping around and negotiating every
          time you need to make purchases. By using this contract, you can be sure that you will receive
          great value for the products you purchase, and, over time, save time and resources that can easily
          make up for any incremental dollars that resulted from a one-time purchase.
          Lastly, you may find better prices by shopping around, cherry-picking, or finding one-time
          promotions for certain products. However, this way of buying will only create more challenges for
          the State’s efficiency efforts and will require much more work and time, which may not be cost
          effective in the end. Please consider all these factors when you make your purchases.


    Q4: What is happening with the other existing state food contracts that cover similar products?
    A4: The first state-wide Food Supplies contracts are meant to fully replace previous contracts that
        overlap in scope. If an existing contract’s scope is completely covered by the new contracts, the
        existing contract will either be terminated or left to expire unused. If an existing contract’s scope
        is only partially covered by the new contracts, the overlapping portion of the existing contract will
        be terminated or lapse while the remainder of the contract will remain in force.


    Q6: If at some point I want to make a special purchase of a large amount of a product, do I still have to
        use these contracts? (NOTE: This question and answer was last updated 9/4/07)
    A6: Yes, if the Contractor(s) can supply it and the price is reasonable for that quantity. This contract’s
        vendors may be asked to provide a better than contract price on substantially large quantities. If

          Contract vendors cannot supply the order at a reasonable price and timeline, Authorized Users may
          submit justification to the State Contract Manager for bidding outside of the contract. This
          justification would need to show significant, not minor, savings or a timeline that cannot be
          accepted. This contract is established with a very broad scope in quantity; it is unlikely that a
          purchase will exceed that scope. The determination to allow off-contract purchasing shall be
          at the sole discretion of the State Contract Manager or State Bureau of Procurement
          Management.
          To request a contract release for a proposed special purchase up to $5,000, the following
          information needs to be submitted to the State Contract Manager: name and contact information
          of requestor; product(s) and product description(s); quantity for each product; names of
          vendors contacted for pricing; pricing offered by Contractor(s) and other vendor(s) for
          product (include unit price and total); delivery location(s); delivery date(s); and justification
          for request.
          If your request for a proposed special purchase is over $5,000 through $25,000, then a simplified
          bidding record and the above information (in bold type) needs to be submitted to the State
          Contract Manager. At a minimum, a request for a proposed special purchase over $5,000 through
          $25,000 must include pricing from a Contractor and at least two other vendors (bidders).
          If your proposed special purchase is for over $25,000, then a request (justification) to conduct an
          official sealed bid needs to be submitted to the State Contract Manager. It is strongly
          recommended that you or your agency’s purchasing staff discuss the proposed special purchase
          with the State Contract Manager before submitting a request to conduct an official sealed bid.

    8. PRICING
    There are five different regions in the state, plus Waupun Central Warehouse. To determine the prices
    you will pay, first determine the region where deliveries will be made. Regions are divided along
    county lines according to the map on the next page.

         Due to the potential for significant fluctuations in the market for vehicle fuel, Indianhead Foodservice
         Distributor reserves the right to assess a fuel surcharge on shipments under the following circumstances. On
         the third Monday of each month, the Federal Energy Information Administration (EIA) web-site (
         eia.doe.gov ) showing the weekly Retail On-Highway Diesel Fuel Prices will be used to obtain the average
         weekly Diesel Price in the Midwest. Each time the average price exceeds $3.00 per gallon, a per mile cost of
         $.019 for each $.12 increase in diesel fuel over $3.00 per gallon will be added to invoices billed in the
         following month, beginning at the first day of the month. Mileage will be based on the distance from the
         Contractor’s Wisconsin warehouse and the shipping address.

    FREQUENTLY ASKED QUESTIONS REGARDING IFD'S FUEL SURCHARGE:
    Q1. Will IFD prorate the fuel surcharge based on the size of the order received?

    A1. No. Per the terms of the contract, the fuel surcharge is applied based on the mileage from the IFD
    warehouse to your delivery location. The size of your delivery is not a factor in calculating the fuel
    surcharge. The fuel surcharge will be added to each delivery from IFD to each location even if the same
    truck makes multiple stops.


    Q2. Will IFD charge a fuel surcharge if a delivery is made just to correct a delivery error or a problem
    such as a shortage?

    A2. No. The fuel surcharge will not be applied when the reason for the delivery is to correct a
    previously shorted order or to fix a problem created by IFD.


    Q3. If I order a product through IFD but the shipment is delivered directly (drop shipped) to my
    location by the supplier, will I be charged a fuel surcharge?

    A3. No. The fuel surcharge will not be applied on any product drop shipped directly by the supplier to
    your location.

    2010 Changes/Clarifications/Updates to Pricing Tables
    (Organized by month with most recent month listed first)


    January, 2010

    Canned Goods Pricing Table 1— At this time (1/29/10) there are no price changes for the products
    listed in the October 1st canned good pricing table . IFD is still in the process of finalizing its internal
    processes for the additional canned goods products that the Department of Corrections (DOC) is going
    to start purchasing from IFD. Once this has been completed, the contract manager will be working with
    IFD to add the additional DOC requested products to the canned goods pricing table. It is anticipated
    that the updated canned good pricing table completed by the end of February.

    Cereal Pricing Table 2— NO CHANGE. It is anticipated that the IFD prices listed in Table 2 will
    remain in effect until at least 3/31/10.

    Frozen Food Pricing Table 3—Effective with orders placed March 1st*, the prices for the following
    line items in the FROZEN FOOD subcategory increased: 20, 26 (exact match & equivalent), 27, 28,
    and 49. The price decreased* for FROZEN FOOD subcategory line items: 4, 6, 7, 8, 10, 11, 12 (exact
    match & equivalent), 22, 46 (equivalent), 47, 48 (exact match & equivalent), 73, and 77. These price
    changes and other line item changes are noted in RED on the Frozen Food subcategory pricing table.

    Meat/Poultry/Seafood Pricing Table 4— Effective with orders placed January 1st*, the prices for the
    following line items in the MEAT/POULTRY/SEAFOOD subcategory increased: 7, 8, 41 (Tyson
    product), and 57. The price decreased* for MEAT/POULTRY/SEAFOOD subcategory line items: 9
    (exact match and low cost alternative), 12, 19, 22, 34, 39, 42, and 81. These price changes and other line
    item changes are noted in RED on the Meat/Poultry/Seafood subcategory pricing table.

    Other changes of note, listed in the Meat/Poultry/Seafood pricing table:
    For line item 18 & 21, IFD is only stocking the Alternative FULLY COOKED Product (IFD #33150, Klements,
    $20.24/cs of 40/4oz). The raw product (IFD #33145, Chef Michael/Meat Processors, $20.66/cs of 40/4oz) is NOT
    being stocked by IFD, but it can be special ordered from IFD Customer Service either by phone or email.

    For line item 58, IFD # 54920 ($15.34/cs of 2/10lbs, Jennie-O #000314, ground turkey with mechanically
    separated turkey) is now listed as an alternative product. The Jennie-O ground turkey with mechanically separated
    turkey (MST) contains 10% MST, and the product is 85/15, 85% lean. Previously, IFD # 54920 was listed as an
    exact match for line item 58.

    The new exact match product for line item 58 is IFD # 54925 ($23.43/cs of 2/10lbs, Jennie-O # 2051, ground
    turkey). This Jennie-O product contains no MST and the ground turkey is 90/10, 90% lean

    2009 Changes/Clarifications/Updates to Pricing Tables

    October, 2009

    Canned Goods Pricing Table 1— Effective with orders placed October 1st*, the prices for the
    following line items in the CANNED GOODS subcategory increased: 8, 11, 26, and 35. The price
    decreased* for CANNED GOODS subcategory line items: 1, 5, 6, 14, 15, 27, 29, 30, and 33. These
    price changes and other line item changes are noted in RED on the Canned Goods subcategory pricing
    table.

    Product addition to the Canned Goods pricing table:
    At the request of contract users, a grade B green bean product (IFD # 15600, $19.15/cs) was added to canned goods line
    item #6. This grade B green bean product is $1.36 less per case than the grade A exact match product (IFD # 15640,
    $20.51/cs).



    Cereal Pricing Table 2— NO CHANGE. It is anticipated that the IFD prices listed in Table 2 will
    remain in effect until at least 12/31/09.


    Frozen Food Pricing Table 3—Effective with orders placed October 1st*, the prices for the following

    There are a number of product changes and additions to the Frozen Food pricing table.
    Lower cost exact match products have been added as additional product offerings to: burrito line item 7; 4oz juice cup
    line items 34, 35, 36, 37, 38, and 39; English muffin line item 41; and, orange juice concentrate line item 44. In some cases,
    the lower cost exact match product is a larger case size, so please review product information before ordering.

    To assist contract users, when IFD is offering two products for the same line item, the lower cost product (per pound, per
    ounce or per serving) is highlighted in YELLOW on the attached frozen food pricing grid.

    The manufacturer products (including IFD product numbers) have changed for french fried potato line items 3, 53, 54,
    55, 56, and whipped topping line item 76. McCain discontinued the potato products previously supplied by IFD for these
    french fried potato line items (3 and 53-56).


    Meat/Poultry/Seafood Pricing Table 4— Effective with orders placed October 1st*, the prices for the
    following line items in the MEAT/POULTRY/SEAFOOD subcategory increased: 1,9 (exact match), 12,
    18 & 21 (exact match), and 80. The price decreased* for MEAT/POULTRY/SEAFOOD subcategory
    line items: 2, 3 (exact match), 10 (exact match and low cost alternative), 11, 13, 18 & 21 (alternative
    fully cooked product), 19, 20, 22, 23, 25, 27, 28, 30, 31, 32, 37, 38, 39, 68, 77 (equivalent and low cost
    alternative). Specifications changed for line items 40 & 41 and additional exact match products offered.
    Equivalent product for line item 43 removed. IFD no longer offering a product for line item 26 & 66.
    Manufacturer product changes for line items 67 and 77 (equivalent and low cost). Case size and IFD

    These product changes are listed in detail on Grocery pricing table 6:
    -Lower cost equivalent product added to line item 247 (taco shells).

    -Manufacturer product offered for line item 138 (strawberry preserves) was changed (NEW IFD Product Number: 58070).

    -For line item 46 & 49 (graham crackers), manufacturer reduced case size from 12/1 lb (12 lbs) to 12/14.4 oz (10.8 lbs)—
    NEW IFD Product Number: 65880.

    -For line item 206 (dry corn grits), IFD negotiated the removal of October 1st price increase effective with orders delivered
    10/12/09. For IFD # 67315 (line item 206), $26.68 was the price for orders placed between 10/1/09 & 10/11/09 and
    delivered by 10/11/09. (This pricing information is noted on the attached grocery pricing grid.)

    -The case size changed from 3/2lb (6 lbs) to 8/2lb (16 lbs) on the Azteca yellow corn tortilla chip offered for equivalent line
    item 180 (NEW IFD Product Number: 43055).

    -Exact match product added to line item 112 (mixed vegetable oil) and exact match product changed for line item 164 (all
    purpose shortening).

    -Manufacturer products changed to Trinadad for these dry bean line items: 3 (navy), 4/6 (pinto), and 128 (black-eyed peas).

    -Due to lack of sales, IFD is no longer supplying a product for these line items: 70 (fiberbasics); 110 (30lb case of bakers
    mixed nuts, still available on a special order cost plus basis); 121 (pasta salad base, discontinued by manufacturer); 160
    (Sherri’s pasta salad, discontinued by manufacturer).

    -Since Diamond Crystal Brands (part of Hormel Foods) now manufactures the Boca Grande label products, the manufacturer
    product numbers have changed for these line items: 17 (catsup packets), 88 (apple/grape jelly cups), 91 (apple/grape/mixed
    fruit jelly cups), 102 (mayonnaise packets), 107 (mustard packets), 125 (peanut butter portion cups), and 172 (syrup cups).



    August, 2009
    Grocery Pricing Table 6— Effective with orders placed August 17th*, the prices for the following flour
    line items in the GROCERY subcategory will be decreased: 69, 72, 73, 74, 75, 76, 77, 78, 79, and 214.
    Price changes effective August 17th have been underlined in Grocery Pricing Table 6.

    *Prices for orders placed with Indianhead Foodservice Distributor (IFD) prior to 8/17/09 shall hold for 30 days from the order date,

    Meat/Poultry/Seafood Pricing Table 4— Line item 67 Fish, Catfish, breaded, 4 oz, frozen: The
    10lb case product (IFD #45180, $36.42) that IFD previously offered for this line item was discontinued
    by American Pride Seafoods. At the end of July, IFD started offering American Pride’s 15lb case (IFD
    # 45182, CATFISH FILLET BRD IQF – SPRIDE, 60/4oz case, $54.63/cs) at the same per pound price
    ($3.642/lb) as previously offered.


    July, 2009

    IFD added the lower cost Venice Maid (Aunt Kitty label, IFD # 63420, $29.98/cs) product as an additional exact
    match product offering. Even though the cost of the Heinz product is 17% more, some contract users prefer this
    product so, at this time, IFD agreed to continue supplying Heinz (IFD # 63530, $35.19/cs) as an exact match
    product.

    Cereal Pricing Table 2— Effective with orders placed July 1st*, the prices for the following line items
    in the CEREAL subcategory increased: 1, 11 (exact match and equivalent), 13, 14, 15, 17 (equivalent),

    The Amour product (IFD # 41215) will be available until IFD's current supply is depleted. As of the morning
    of 7/21/09, IFD has 134 cases left. IFD is trying to source for a product priced closer to the discontinued Armour
    product.

    IFD will offer the Rediserve/On Cor Foods #PC139 (IFD# 41200) for line item #24. This product was previously
    offered for line item #24 prior to October 2008. The Rediserve product is more expensive ($2.66 per 10lb case)
    than the discontinued Armour product.

    Equivalent product added to line item # 43.
    EQUIVALENT PRODUCT for line item #43 Chicken, breast fillet, boneless
    skinless, unbreaded, 4 oz , frozen
    IFD is offering an equivalent product for contract users that prefer the Dutch Quality #15354 product. The
    equivalent Dutch Quality product is $.085/lb more than the exact match Tyson product

    At the request of the Dept of Corrections (DOC), the unsalted top Nabisco product (IFD # 65865, 500/2ct,
    $14.20/cs) was added to this line item.

    LOWER COST products ADDED to line item 180: Tortilla Chips, Round, Bulk
    At the request of DOC, lower cost Azteca tortilla chip products ($6.95 for 3/2lb case) were added as Equivalent
    line items: Azteca white corn tortilla chips (IFD # 43082) and yellow corn tortilla chips (IFD # 43060). Depending
    on sales and feedback, these Azteca products may replace the Barrel O Fun product as Exact Match line item
    180 starting Sept. 1, 2009. Please provide contract manager with product comments by August 31, 2009.

    Line item 204: One of the products listed for this line item, Cheddar & Sour Cream flavored chips (IFD #
    65917), has been DISCONTINUED by manufacturer.

    match price listed on IFD website since October 1, 2008. IFD confirmed that $48.35 is the case price

    The random weight for line item #34 (Pork, boneless, rib end, frozen) was reduced in mid-December
    from from 8/5lbs to 5/5-7lb. The average random weight for this product is now 25lbs.

    reasonably priced supplier for this line item, but indications are that products made from whiting may be
    scarce in the United States and, at this time, most whiting has been shipped to Europe.

    On the Meat/Poultry/Seafood pricing grid that will be posted on VendorNet, the Good Harbor Midship
    label 4oz breaded oven-ready frozen white fish (Good Harbor # 95162C/ IFD #45190) will be listed as
    a low cost alternative to line item 77 (Fish, Pollack, Breaded, 3.6 oz) rather than a low cost alternative
    to line item 76 (Fish, Whiting, breaded, 4 oz, OVEN-READY, Frozen). Currently, Good Harbor is
    producing this product (Good Harbor # 95162C/ IFD #45190) with pollock. IFD has requested that
    Good Harbor notify them if the specific white fish used in this product should change, so that users of

    two 12 ounce units (1.5lbs) smaller than the Wisconsin Spice product previously supplied by IFD.

    Wisconsin Spice's price for a case of light mustard (Grocery line item #108) went up substantially, so
    IFD will be discontinuing supplying the WI Spice product for line item #108. IFD will supplying line
    item 108 from Clements (Garden Club label) whose price is now less than what IFD would pay for the
    Wisconsin Spice product.


    Meat/Poultry/Seafood Pricing Table 4— Effective 7/1/08, Indianhead increased prices on line items:

    Cereal Pricing Table 2— Effective May 2008, Ralston changed the unit and case sizes of two products
    offered in the Cereal subcategory contract list. Line item # 12 (Corn, Criss-Cross Shape) is now a 14/14
    oz case (previously offered as a 14/16 oz) and Line item # 19 (Rice, Oven Puffed) is now a 16/12 oz
    case (previously offered as a 12/13.5 oz). Please note that the IFD product numbers for these line items

    3/10/06: Line Item #42 (cocoa, breakfast) on pricing tables #6 & #9 (Groceries) is a sweetened product
    for making a beverage. If you are in looking for an unsweetened baking cocoa, then manufacturer ADM
    has a product called Breakfast Cocoa from their Ambrosia product line with description: 22-24% fat,
    natural process unsweetened powder with a pronounced chocolate flavor, color; case size: 6/5#, 30lb

            Flavors have been specified with Indianhead Product Numbers for line item #141 (Pudding Pie-
             Instant): chocolate, vanilla, banana, butterscotch, and lemon.
            Line item #128 (Peas-Black Eyed Dry) is not available from Indianhead Food Service:
             Due to problems with their previous supplier of this product, Indianhead is unable to provide this
             line item at this time. Indianhead is evaluating other suppliers and they hope to be able provide
             this line item in the near future. Once the new manufacturer product and pricing is approved by
             the contract manager, then the new Indianhead product offered for line item #128 will be posted
             in pricing table #6.

    12/19/06: In Frozen Food Pricing Tables 7 & 10, it is has been noted that effective immediately
    (December 19, 2006), AJ Sweet is not accepting any new orders. AJ Sweet has decided to close its
    business and most of its operations will end on Friday, December 29, 2006. AJ Sweet will only be able
    to make very limited deliveries in January 2007 based on its remaining inventory.

    12/29/06 (a): Effective with orders delivered and/or orders placed on or after 12/28/06, Indianhead has
    decreased its pricing on 17 line items found in Frozen Food Pricing Table 3: #4, #6, #8, #12, #21, #31,
    #32, #34, #35, #36, #37, #38, #42, #44, #61, #63, and #68. These price changes have been underlined in
    red bold type in Frozen Food Pricing Table 3. It is anticipated that Table 3 prices will remain in effect
    until at least 3/31/07. However, if there is a price change on 4/1/07, then prices for orders placed with
    Indianhead prior to 4/1/07 shall hold for 30 days from the order date, after which any price changes shall
    apply to the delivery.

    12/29/06 (b): Effective 12/28/06, the manufacturer and case size has changed for product that
    Indianhead is offering for Frozen Food line item # 31 (green pepper, chopped, frozen). The
    manufacturer for this line item is Omstead and the case size (equivalent) is for the Omstead product is
    6/4.4 lbs (26.4 lbs). The Indianhead product number for this Omstead product (frozen food line item
    #31) is 14920. These changes to line item #31 have been noted in red in Frozen Food Pricing Table 3
    and the product is listed in the Equivalent Products section of the pricing table.

    12/29/06 (c): Indianhead product numbers posted in Frozen Food Pricing Table 3 have been changed
    for the following line items: #18, #19, #31, #65, #66, #67, and #77. These Indianhead product number
    changes have been noted in red in Frozen Food Pricing Table 3.

    The Minority Business Enterprise Program is designed to increase the opportunity for Wisconsin-
    certified, minority-owned companies to sell their products or services to the State of Wisconsin and its
    agencies. These include the many state departments, statutory authorities and the university system.
    Minority Businesses in this program must be certified by the Wisconsin Department of Commerce,
    Bureau of Minority Business Development. Such businesses can be sole proprietorships, partnerships,
    corporations or joint ventures which meet these requirements: (1) It is at least 51% owned, controlled
    and actively managed by minority group members as defined by statutes and (2) currently performing a
    useful business function.

    In addition to the MBE program detailed above, the State is furthering its effort to foster, support and
    encourage Targeted Business Enterprise participation within Wisconsin. A Targeted Business
    Enterprise (TBE) is a business which meets one of these requirements: (1) A Small Business which has
    less than $1.5 million in gross annual sales in the most recent calendar or fiscal year; (2) A Minority
    Business which is at least 51% owned, controlled and actively managed by a minority group member or
    members who are U.S. citizens or persons lawfully admitted to the U.S. for permanent residence; (3) A
    Woman’s Business which is a sole proprietorship, partnership, joint venture or corporation that is at
    least 51% owned, controlled and actively managed by women; (4) A Veteran’s Business which is a
    small business that is at least 51% owned by one or more veterans.

    Contractors will establish and submit to the State Bureau of Procurement a plan to utilize Targeted
