FILL IN ALL BLANKS AND DELETE ALL REDLINE INSTRUCTIONS FROM THE CONTRACT ASSIGNMENT AGREEMENT This Assignment is by and among the State of Minnesota, acting through its Commissioner of Transportation (“State”), insert the full legal name of contractor from original contract (“Original Contractor”) and insert full legal name of company to which the contract is being assigned (“Assigned Contractor”). Recitals 1. State has a Contract with the Original Contractor, identified as Mn/DOT Contract Number insert contract number (“Original Contract”) to insert the purpose of the original contract]. 2. The Original Contractor wishes to assign all its interests in the Original Contract to the Assigned Contractor. 3. The Assignment provision of the Original Contract provides assignment of the Contract only upon written consent of State. Assignment A. This Assignment will become effective upon its approval and execution by the parties, and upon approval of the appropriate State officials, pursuant to Minnesota Statutes Section §16C.05, subdivision 2. B. The Original Contractor assigns to the Assigned Contractor all of the Original Contractor’s interests, rights, responsibilities, duties and other provisions set forth in the Original Contract, which is attached and incorporated as Exhibit A. The parties agree that this assignment is unconditional and without recourse. C. The Original Contractor and the Assigned Contractor jointly and severally represent and warrant to State that: 1. The Original Contractor is not in default of any of its obligations under the Original Contract; 2. The Original Contractor has assigned to the Assigned Contractor, under separate Contract, sufficient information, rights to technology and key personnel sufficient to enable Assigned Contractor to properly perform the duties, responsibilities, obligations and all other provisions assigned to Assigned Contractor under this Assignment Agreement; 3. The Assigned Contractor is ready, willing and able to perform all of the duties, obligations and responsibilities of the Original Contract; and 4. The Original Contractor and the Assigned Contractor request consent from State, and State consents to this Assignment. D. The Assigned Contractor accepts assignment of the provisions of the Original Contract. E. Any and all amounts due to the Original Contractor by State for work performed by the Original Contractor up to and including insert date, under the Original Contract, will be paid to the Original Contractor by State. Any and all amounts due to the Original Contractor after insert same date as above, under the Original Contract, will be paid to the Assigned Contractor by State. F. Payment for remaining work and travel expenses from the Original Contract will be paid at the rates set in the Original Contract. The amount to be paid to the Assigned Contractor will not exceed the Original Contract total costs minus the total payments made to the Original Contractor. G. State consents to the assignment by the Original Contractor to the Assigned Contractor for all of the provisions of the Original Contract.
