HIPHOP.TV NETWORK, LLC INDEPENDENT CONTRACTOR’S AGREEMENT
PAGE 1 OF 4 THIS AGREEMENT made and entered into on the ____________day of ________, 20___, between HipHop.TV Network, LLC and independent contractor also referred as the Independent Marketing Executive (I.M.E.) _________________________________. NOTE: Independent Contractors are required to place their initials where indicated below. An incomplete Independent Contractor’s agreement may delay compensation.
A.) HipHop.TV Network, LLC (www.HipHop.TV) offers Business Directory memberships to a
variety of entrepreneurs, businesses and online companies. Members can receive highly affordable targeted advertisement for just $99.00 annually.
B.) INDEPENDENT CONTRACTORS provide marketing services by selling memberships to
the HipHop.TV Business Directory. The INDEPENDENT CONTRACTOR, also referred to as the INDEPENDENT MARKETING EXECUTIVE (I.M.E.) fully recognizes that no employment relationship with HipHop.TV Network, LLC is established by performing the above services. The I.M.E. will offer $15.00 off the first year’s business directory annual membership. I.M.E. commission and residual revenue is based on membership sales. C.) HipHop.TV Network, LLC charges INDEPENDENT MARKETING EXECUTIVES only
$99.00 annually to maintain their INDEPENDENT CONTRACTOR status with HipHop.TV Network, LLC. The $99.00 annual renewal fee will be deducted from the INDEPENDENT MARKETING EXECUTIVE’S earnings 30 days prior to their anniversary date. If the INDEPENDENT MARKETING EXECUTIVE has not generated enough revenue to cover their $99.00 annual fee, it is their sole responsibility to pay their $99.00 annual fee prior to their anniversary date. If the $99.00 annual fee is not paid, the I.M.E. INDEPENDENT CONTACTOR status with HipHop.TV, Network LLC will be terminated and all financial compensation will end. D.) The INDEPENDENT MARKETING EXECUTIVES $99.00 annual fee includes a yearly
membership to the Business Directory, and access to sales tracking tools once the I.M.E. has sold a minimum of 25 memberships. Independent Contractor’s Required Initials: _____
E.) HipHop.TV Network, LLC reserves the right to refuse or deny anyone from becoming an
INDEPENDENT MARKETING EXECUTIVES without a verbal or written explanation. Independent Contractor’s Required initials: _______

PAGE 2 of 4 WHEREAS, HipHop.TV Network, LLC desires to retain the services of the INDEPENDENT CONTRACTOR and the INDEPENDENT CONTRACTOR desires to render services to HipHop.TV Network, LLC under the following Terms and Conditions.
TERMS AND CONDITIONS:
The INDEPENDENT CONTRACTOR must be knowledgeable about the HipHop.TV Business Directory benefits and the I.M.E. business opportunity. The INDEPENDENT CONTRACTOR must not misrepresent their income earnings or mislead anyone about the INDEPENDENT MAREKTING EXECUTIVE business opportunity. Independent Contractor’s Required Initials: _______ BUSINESS EXPENSES: The INDEPENDENT CONTRACTOR shall be solely responsible for paying all cost and expenses associated with their efforts to promote the Business Directory membership and the I.M.E. Business Opportunity. The INDEPENDENT CONTRACTOR is responsible and will pay all taxes on commission and/or residual revenue paid by HipHop.TV Network, LLC. INDEPENDENT CONTRACTORS are not entitled to worker’s compensation or other benefits and insurance protection of any nature from HipHop.TV Network, LLC. The INDEPENDENT CONTRACTOR agrees to conduct all of their business activities and operations in conformity with all state, local and federal laws and regulations and shall further indemnify and hold harmless HipHop.TV Network, LLC from all damages or expenses that arise out of the violation of such laws and regulations. Independent Contractor’s Required Initials: _______ INDEMNIFICATION: The INDEPENDENT CONTRACTOR hereby agrees to indemnify, defend and hold harmless HipHop.TV Network, LLC, its officers, directors, shareholders and employees from all claims, losses, damages, judgments or expenses which rise out of the INDEPENDENT CONTRACTOR promoting the business directory memberships and I.M.E. business opportunity. Independent Contractor’s Required Initials: ______ DIRECTORY MEMBERSHIP COMPENSATION: INDEPENDENT CONTRACTORS ARE COMPENSATED A $40.00 COMMISSION FROM EACH BUSINESS DIRECTORY MEMBERSHIPS THEY SELL AND A $40.00 RESIDUAL COMMISION FROM THEIR MEMBERS THAT RENEW ANNUALLY. INDEPENDENT CONTRACTORS ALSO MAKE A $10 OVERRIDE COMMISSION AND RESIDUAL FROM THEIR I.M.E. REGISTERED MEMBERS’S I.M.E. MEMBERSHIP SALES. INDEPENDENT CONTRACTORS ARE ASSIGNED A UNIQUE DISCOUNT CODE TO GIVE PROSPECTS TO USE. THE CODE ALLOWS THEIR PROSPECTS TO RECEIVE $15.00 OFF THE FIRST YEAR’S BUSINESS DIRECTORY MEMBERSHIP FEE. NOTE: If an advertiser or individual applying for the I.M.E. opportunity does not provide the INDEPENDENT CONTRACTOR’S discount code during registration, the INDEPENDENT CONTRACTOR does not get credit for the membership. PAGE 3 of 4 DIRECTORY MEMBERSHIP COMPENSATION: INDEPENDENT MARKETING EXECUTIVES can receive a brand new Mercedes CLS 550 for reaching the GOLD (M.V.P.) Marketing Vice President level. The GOLD MVP level requires the I.M.E. to register a total of 500 I.M.E. members in their organization and help each I.M.E. reach Team 100 status. The PLATINUM (MVP) Marketing Vice Presidents level requires the I.M.E. to register an additional 500 I.M.E. members to attain a total of 1000 I.M.E. members within their organization and help each achieve Team 100 status. INDEPENDENT MARKETING EXECUTIVES that reach the PLATINUM MVP level will receive a $150,000.00 BIG BONUS. Independent Contractor’s Required Initials: ______ INDEPENDENT MARKETING EXECUTIVES RESIDUAL COMMISSION FROM I.M.E SALES: The I.M.E. is compensated on the 1ST and 15TH of each month through Paypal or by mail if their commission amounts to $100.00 or more. HipHop.TV Network, LLC charges $2.50 per check mailed to the I.M.E. Also, INDEPENDENT MARKETING EXECUTIVES are required to provide their social security number or a (E.I.N.) employee identification number to HipHop.TV Network, LLC. HipHop.TV Network, LLC has a legal obligation to report the INDEPENDENT MARKETING EXECUTIVE’S earning to the (IRS) Internal Revenue Service. Independent Contractor’s Required Initials: _____ TERMINATION OF I.M.E. SERVICES: HipHopTV Network, LLC expressly reserves the right to discontinue the INDEPENDENT CONTRACTOR/I.M.E. services for the following causes. Such causes consist of misrepresentation of the HipHop.TV Network, LLC Business Directory and/or I.M.E. business opportunity, fraud, theft, speaking negatively about HipHop.TV Network, LLC, its executives, employees and shareholders. In any such case of termination, written notice shall be given to the INDEPENDENT CONTRACTOR and shall be effective as of the date mailed. Also, HipHop.TV Network LLC reserves the option to seek financial damages, plus attorney’s fees if an INDEPENDENT CONTRACTOR is terminated for cause. Independent Contractor’s Required Initials: ______ Upon termination for cause, INDEPENDENT CONTRACTORS forfeits and will lose any residual income he/she qualified for at the time of termination. The INDEPENDENT CONTRACTOR can terminate his/her services provided to HipHop.TV Network, LLC at anytime. If INDEPENDENT CONTRACTORS end their services on good terms, they will continue receiving residual revenue if they qualify. Independent Contractor’s Required Initials: ______

PAGE 4 of 4 THE HIPHOP.TV BRAND AND MATERIALS: All business cards, flyers, brochures promoting the company’s brand or services must be ordered from HipHop.TV Network, LLC. INDEPENDENT CONTRACTORS shall not use the HipHop.TV logo on printed materials, clothing, advertisement, tapes, CDs, DVDs and web pages without written consent from HipHop.TV Network, LLC. INDEPENDENT MARKETING EXECUTIVES risk termination of services if the I.M.E does not comply with these terms. Independent Contractor’s Required Initials: ______
