In this agreement, the party who is contracting to receive services shall be referred to as “Client,” and the party who
will be providing the services shall be referred to as “Consultant.”


The Consultant has a substantial background in administrative assistance and is willing to provide services to the
Client based on this background.


The Client desires to have services provided by the Consultant. Therefore, the parties agree as follows:



1. Description of Services

Beginning on <date> the Consultant will provide administration services to the Client.
The Consultant shall provide the Services in a timely manner as required by the client unless otherwise agreed upon
by both parties.

2. Payment Terms

The Consultant will provide services to the Client at the standard hourly rate of $34.00 per working hour. Invoices
are generated on the last working day of every month, except for ad-hoc projects which will be invoiced on
completion. Payment terms strictly fourteen (14) days.

If requested, the Consultant will provide the Client with a balance of hours on a time sheet on a weekly basis.
Payment terms may change if agreed upon and signed by both the Client and the Consultant.

Additional hourly charges may apply for Time Critical or After Hours Support. The consultant will advise you prior to
the commencement of work should additional charges apply.


3. Outstanding Invoices

In the event that an invoice is outstanding the following charges will apply.

The balances will be calculated as follows:

30 days late:              The outstanding account balance including interest (calculated daily at 9.5% p.a.) plus an
                           administration fee of 5%.

45 days late:              All services will cease.
                           The outstanding account balance including interest (calculated daily at 9.5% p.a.) plus an
                           administration fee of 15%.

120 days late:             All services will cease.
                           The outstanding account balance including interest (calculated daily at 9.5% p.a.) plus an
                           administration fee of 25%.
                           In all cases the matter will be referred to a collections agent.



4. Reimbursement of Expenses

The Consultant shall be entitled to reimbursement for the following out-of-pocket expenses, if the Client expressly
authorizes the expenses ahead of time. These expenses will be included on the invoice.

     •    Postage
     •    Delivery/Shipping Fees
     •    Copying
     •    Printing and artwork
     •    Project-related long-distance and international telephone calls
     •    Other authorized expenses purchased solely for the Client


5. Termination of contract

This agreement shall be effective until either party terminates the agreement by providing fourteen (14) days
written notice to the other party.

6. Relationship of Parties

It is understood by both parties that the Consultant is an Independent Contractor and is not an Employee of the
Client. The Client will not provide benefits, including PAYG taxation, superannuation, holiday pay, sick leave or any
other Employee benefits for the Consultant. The Consultant is also responsible for their own taxes and other
withholdings from their payments.


7. Confidentiality

The Consultant recognizes that the Client has and will have the following proprietary information:

     •        Products
     •        Prices
     •        Costs
     •        Discounts
     •        Future plans
     •        Client database
     •        Business affairs
     •        Personal information

Other information (collectively “Information”) which are valuable, special and unique assets of the Client. The
Consultant agrees not to, at any time or in any manner, either directly or indirectly use any Information for
Consultant’s own benefit, or divulge, disclose, or communicate in any manner any Information to any third party
without the prior written consent of the Client. The Consultant will protect the Information and treat it as strictly
confidential. A violation of this article shall be a material violation of this Agreement.

8. Confidentiality After Termination

The confidentiality provisions of this Agreement shall remain in full force and effect after the termination of this
Agreement.

9. Return of Records

Upon termination of this Agreement, the Consultant shall deliver all records, notes, data, memoranda, models and
equipment of any nature that are in the Consultant’s possession or under the Consultant’s control and that are the
Client’s property or relate to the Client’s business.

10. Entire Agreement

This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any
other agreement, whether oral or written. This Agreement supersedes any prior written or oral agreement between
the parties.

11. Amendment

This Agreement may be modified or amended if the amendment is made in writing and is signed by both parties.


12. Waiver of Contractual Right

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation
of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.


13. Applicable Law

This Agreement shall be governed by the laws of New South Wales.


14. Accountability

Whilst all care will be taken to ensure all projects are error free, it is the Client’s responsibility to proof read each
item before a job is completed. Should an error occur the Consultant will make every effort to rectify the issue.
Nicole Hammett Business Support or the Consultant will not be held accountable.
