5.36 In-House Lawyer

As a world leader in Finance for Local Authorities and a major player in European retail banking Dexia manages a
large proprietary bond portfolio from Dublin.
This €111 Billion portfolio makes a critical contribution to the overall liquidity of the bank and is coordinated and
managed on behalf of Dexia by its Portfolio Management Group in Dublin’s IFSC, in conjunction with other PMG
desks located in New York, Singapore and Berlin.
They are looking to recruit an In-House Lawyer to join the legal department in Dublin.

The role:
The main responsibilities will centre on providing legal support to various business lines in Dexia, with a particular
focus on fixed income products and derivatives. This includes, but is not limited to, the following:
  • Provision of legal support to front office and management in relation to a wide range of general legal issues
      arising from the business to include both bond and loan documentation, credit derivatives, swaps, total return
      swaps and structuring and documenting transactions;
  • Assist management in drafting, reviewing and amending legal documents to include contracts, service level
      agreements, mandates, etc.;
  • Negotiate and draft legal transactional documentation with counterparties in compliance with the Bank’s
      global standards to include individual deal confirmations under ISDA documentation;
  • Building and proactively maintaining relationships with our business partners around the Group;
  • Frequent contact with the legal teams based in Paris, Brussels, Luxembourg and New York.

The candidate:
  • Solicitor with a minimum 2 years experience in a financial environment;
  • The successful candidate will have exceptional analytical and communication skills together with the ability to
     work effectively as part of a multi-disciplinary team;
  • Strong technical expertise combined with an ability to multi-task;
  • Team player who works well in a small and busy team environment.

Experience:
The ideal candidate will be able to demonstrate:
  • Sound knowledge in the technical aspects of ISDA documentation, including CSAs and the application of
      ISDA definitions in the context of structured products and derivative transactions execution procedures;
  • Good knowledge of Financial Services Law to include bonds, derivatives, securitization and structured
      finance.

Experience in the financial services field will be a distinct advantage, as will previous experience of working in an

5.34 Internship with UNHCR

The United Nations Refugee Agency UNHCR Ireland invites applications for a full time Internship with the
Protection Unit. The Office of the United Nations High Commissioner for Refugees (UNHCR) was established on
December 14, 1950 by the United Nations General Assembly. The agency is mandated to lead and coordinate
international action to protect refugees and resolve refugee problems worldwide. Its primary purpose is to
safeguard the rights and wellbeing of refugees.
The successful candidate will have the opportunity to learn about UNHCR’s work and mandate at the international
level, in the EU and in Ireland. The successful candidate will also receive on-the-job training and complete self-
study modules, including self-study learning on International Refugee Law for the protection internship.

Description of Internship in the Protection Unit:
 • Main function: Providing support to the Protection Unit;
 • Period: From 7 June 2011 to 7 December 2011;
 • Duration: Six months; Monday to Friday (9.00 – 5.30) full time;
 • Location: Dublin, Ireland;
 • Remuneration: The internship is unpaid.

Key duties and responsibilities:

5.31 Legal Adviser

The Bank of Ireland is seeking to appoint a Legal Adviser – Company Dissolution Project for a 12 - 18 month
specific purpose contract.
Finance Services have identified the dissolution of dormant/nontrading Group companies as one of their key
priorities, and require dedicated legal support. The rationale for this project is to both streamline the Group
structure and to eliminate the time, costs and risks involved in the preparation, auditing and filing of dormant, non-
trading and other subsidiaries that are not required.

Key Responsibilities:
 • Reporting to Practice Head for Corporate Governance;
 • To manage and deliver the Group’s company rationalisation programme within the prescribed period;
 • To provide legal advice on all legal aspects of the strike-off and liquidation procedures and the winding-up
     process;
 • To provide advice on all company law and other legal/regulatory issues arising in connection with the
     liquidation/strike-off process, including in respect of capital maintenance, distribution of reserves, cash
     extraction, and transfer of assets;
 • To advise on and effect any restructuring required in order to implement the rationalisation programme

 • To identify, advise on and manage any regulatory issues that may arise in connection with the rationalisation
     programme;

The Central Bank of Ireland is seeking to recruit a Deputy Head of Division in the Enforcement Directorate.
Reporting to the Head of Division, the successful candidate will manage and lead a team of professional staff to
achieve the Central Bank’s statutory objectives and strategic goals at a time of significant change for the Irish
financial services markets

The Deputy Head will advise on legal and regulatory matters, contribute to policy formulation internally and
externally, and drive the completion of the Division’s annual work programme.

Purpose of Role:

Contract Specification

For the avoidance of doubt, the Contractor is an independent contractor and not an employee of the IHRC and has
no entitlements to employment protection or benefits under statute, contract, common law or otherwise. It will be a
provision of the service agreement entered into by the Contractor not to make any employment related claim of any
nature against the IHRC during or after this Agreement, under statute, contract, common law or otherwise.
Furthermore, the Unfair Dismissals Acts 1977-2001 shall not apply to the termination of this contract either on the
cessor of the term or otherwise.

by using paralegals on the ‘front line’ of the criminal justice system.
The Rule of Law Malawi Project has worked with PASI for a number of years by way of short-term assignments.
The Project now seeks to enhance assistance through the long-term placement of lawyers.
Job Description

Pamodzi Promoting Rule of Law is looking for two Programme Lawyers to undertake a voluntary placement in
Malawi for the duration of one year. One lawyer will be placed with PASI, and the other with the Department of
Legal Aid.
Travel expenses and accommodation will be provided for, in addition to a nominal stipend.
Responsibilities

    •  Development of a system of case management, record keeping, and any additional work strategies
       designed to improve efficiency of PASI, Legal Aid, and the criminal justice system as a whole;

build, development and maintenance of the systems that support the organisation. The enterprise architecture must
align with CBI strategy and facilitate implementation of that strategy. This role also encompasses IT security, IT risk
management and business continuity strategy. Nature and Scope
The Enterprise Architecture function has responsibility for developing, managing and maintaining CBI’s process,
systems data and technology architectures and for ensuring that the architecture and transition plans are clearly
articulated and actioned. A primary objective is to define a development roadmap, which facilitates implementation
and drives IT/Business plans.
The Head of Enterprise Architecture will lead a small team of architects and specialists in fulfilling the objectives of
the function. The Enterprise Architecture function must ensure that the target architecture has the qualities of
functionality/usability, data integrity, performance, availability, security and potential for change. The function, in
association with the IT delivery areas, defines migration strategies that drive the implementation of solutions
towards the target architecture. The architecture must influence and align with CBI’s strategy and must facilitate the
progression of IT goals including operational efficiency, optimised cost of ownership and implementation of
resilient, future-proofed solutions. The Head of Enterprise Architecture must be able to define and champion the
process automation and information strategy of the organisation.

The Head of Enterprise Architecture continuously interfaces with key technology leaders, vendors, consultants and
the ECB to stay abreast of the latest technical and industry trends and to ensure that that information is made
available in the relevant parts of CBI. He/She provides thought leadership by identifying opportunities for
exploitation of ICT within the organisation. The Head of Enterprise Architecture exerts significant influence on how
CBI can exploit both its existing investment in IT and future developments in the industry.
