B E T W E E N: (hereinafter referred to as the “Vendor”) OF THE FIRST PART AND: (hereinafter referred to as the “Purchaser”) OF THE SECOND PART WHEREAS the Vendor and the Purchaser have entered into an agreement of purchase and sale wherein the Vendor has agreed, inter alia, to sell, assign and transfer to the Purchaser and the Purchaser has agreed to purchase from the Vendor the business owned by Vendor and all property associated with the business, as described in Schedule A (the “Business”).
