This is an agreement which transfers the right to purchase a specific piece of property
from the original buyer (the “Assignor”) to a new party (the “Assignee”). The Assignor,
who has made an offer to purchase certain property, transfers its right to purchase the
property to the Assignee. The original agreement between the Assignor and the Seller
can be attached to this agreement under “Exhibit A.” This document is ideal for parties
who want to buy or sell their right to purchase a specific piece of property.
ASSIGNMENT OF REAL ESTATE PURCHASE AGREEMENT
This Assignment Of Real Estate Purchase Agreement (this “Assignment”) is hereby
made and entered into on this _____ day of __________, 201__ by and between __________
(“Assignor”) and __________ (“Assignee”).
WHEREAS, Assignor entered into a certain Real Estate Purchase Agreement with
__________ (“Seller”), which was executed on __________ by said Assignor and on
__________ by said Seller, for the purchase and sale of certain real property situated in _____
County, _______ [STATE] and is more particularly described in said Agreement, copy of said
Agreement of which is attached hereto as Exhibit “A” (the “Agreement”);
WHEREAS, Assignor desires to assign, transfer, sell, and convey to Assignee all of
Assignor’s right, title, and interest in, to, and under the Agreement; and
WHEREAS, Assignee desires to receive all of Assignor’s right, title, and interest in, to,
and under the Agreement;
NOW THEREFORE, the parties wish to execute this Assignment on the terms and
conditions set forth below.
TERMS AND CONDITIONS
For and in consideration of the sum of _________ dollars ($___) and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Assignor
has assigned, transferred, sold, and conveyed and by these presents does hereby assign, transfer,
sell, and convey unto Assignee all of Assignor’s right, title, and interest in, to, and under the
Agreement. Assignee hereby assumes all of Assignor’s duties and obligations under the

The captions appearing at the commencement of the paragraphs herein are descriptive
only and for convenience in reference. Should there be any conflict between any such caption
and the paragraph at the head of which is appears, the paragraph, and not such caption, shall
control and govern in the construction of this Assignment.
This Assignment may be executed in two (2) or more separate counterparts, each of
which, when so executed, shall be deemed to be an original. Such counterparts shall together
constitute and be one (1) and the same instrument.
5. GOVERNING LAW AND CONSENT TO JURISDICTION
This Assignment shall, in all respects, be governed by the laws of the State of [STATE]
applicable to agreements executed and to be wholly performed within the state of [STATE],
regardless of any conflicts of law provisions. Both parties voluntarily consent to the jurisdiction
of all courts in the State of [STATE].
6. ENTIRE AGREEMENT.
This Assignment constitutes the entire agreement between the parties with respect to the
subject matter herein, supersedes any and all other written or oral negotiations, understandings,
or agreements among the parties with respect to the rights and obligations assumed herein, and
contains all of the covenants and agreements between the parties with respect to such rights and
