									             Agreement between Acting and Recording Artist and Agent


        Agreement made on the (date), between (Name of Artist) of (street address, city,
state, zip code), referred to herein as Artist, and (Name of Agent), of (street address,
city, state, zip code), referred to herein as Agent.
       Whereas, Artist is both a musician and an actor, thereby receiving payment for
recording music and acting in various venues; and
       Whereas, Agent is in the business of representing musicians and actors and
desires to represent Artist pursuant to the terms of this Agreement; and
     Whereas, Artist desires for Agent to represent him pursuant to the terms of this
Agreement;
     Now, therefore, for and in consideration of the mutual covenants contained in this
Agreement, and other good and valuable consideration, the parties agree as follows:
1.    Employment of Agent
      A.     Term of Contract. Artist employs Agent as his exclusive Agent for a
      period of (number) years from the effective date of this Agreement, to negotiate
      contracts for the rendition of Artist's professional services as an actor and
      musician in the fields of motion pictures, legitimate stage, radio and television
      broadcasting, recording records and compact discs, and other fields of
      entertainment.
      B.      Agent's Duties. Agent shall use reasonable efforts to procure
      employment and to negotiate contracts for Artist, and shall advise and counsel
      Artist in the development and advancement of Artist's professional career.
2.    Compensation of Agent
      A.       As compensation for the services to be rendered by Agent under this
      Agreement, Artist shall pay Agent _____% of all money or things of value, as and
      when received by Artist, directly or indirectly, as compensation for the
      professional services rendered or agreed to be rendered by Artist during the term
      of this Agreement, whether under agreements now existing or entered into or
      negotiated during the term of this Agreement, except for and to the extent of
      commissions due to other agents or managers under previous agency
      agreements. Artist shall pay such compensation to Agent for so long a time as
      Artist receives compensation on any such agreements or on any immediate or
      future extensions, renewals, substitutions, or replacements of such agreements,
      whether on the same or different terms.
      B.      If any engagement secured by Agent under this Agreement is postponed
      or not fulfilled, in whole or in part, by reason of the fault or neglect of Artist,
      Agent's commission in connection with such engagement shall immediately
      become due and payable.
3.      Termination
        If Artist does not obtain a bona fide offer of employment from a responsible
employer for a period of (number) consecutive months at any time during the term of
this Agreement, during which time Artist was ready, able, willing, and available to accept
employment, either party may terminate this Agreement by sending written notice to that
effect to the other party by certified mail, return receipt requested, that no such bona
fide offer has been obtained subsequent to the expiration of such (number)-month
period and prior to the giving of such notice.
4.     Territory; Other Engagements by Artist; and other Employments of Agent.
       A.      This Agreement shall govern the services of Agent and the performances
       of Artist throughout the United States of America and its territories and
       dependencies and in the following foreign countries: (names of foreign countries.
       B.      Any employment or engagement found for Artist by Agent shall be subject
       to acceptance by Artist, but such acceptance shall not be withheld unreasonably.
       At Artist's request, Agent shall secure and deliver to Artist written confirmation of
       any engagement made for Artist under this Agreement.
       C.     It is agreed that Agent's occupation is the management of professional
       performing artists, and he shall have the right to perform managerial services for
       others in the entertainment field, during the term of and any extension of this
       Agreement; provided, that neither such services performed for others nor any
       other cause shall be ground or excuse for the neglect or omission of Agent's
