                                        for

PETITION TO AMEND BY-LAWS OF AALL AND FOR AMENDMENT TO BE
              VOTED ON BY DISTRIBUTED BALLOT

 Below is the petition asking AALL for a vote by distributed ballot (simple majority of
 those voting) to:

 1. Increase the percentage of SIS fees given to each SIS to 80% (this allows AALL 20%
 as an administrative fee) and provides that it be paid quarterly instead of once a year..

 2. Requires any changes to SIS fees be voted on by the members of AALL.

 AALL requires original petition signatures. Only members in good standing may sign
 the petition.

 I am asking all supporters of these amendments to sign the petition. Please feel free to
 pass this petition along. All signed petitions should be returned to me by snail mail at
 the below address as soon as possible.

     PETITION TO AMEND BY-LAWS OF AALL AND FOR AMENDMENT TO BE
                   VOTED ON BY DISTRIBUTED BALLOT

We, the undersigned, being members of AALL in good standing, hereby petition AALL for a vote of the
membership of AALL on the below amendments to the By-Laws of AALL. We, the undersigned, being members of
AALL in good standing, hereby petition AALL to have the below amendments voted on by distributed ballot
pursuant to the provisions of Article XII including the provision for the adoption upon approval by a simple majority
of the members voting.

1. Article X, Section 4 shall be amended to read as follows:

         “4. Membership.

         Members may affiliate with one or more Special Interest Sections upon payment to the association of an
         annual fee for each Section. The membership sets the annual fee. Increases to the fees or changes to the
         fee structure for Special Interest Sections must be approved by the membership. Proposals to increase the
         annual fees or change the annual fee structure must be submitted to the membership following the
         distributed ballot provisions under Article XII, Section 2.”

2. Article X, Section 6 shall be amended to read as follows:

         “6. Funds.

         Funds collected by AALL for Special Interest Section annual fees shall be paid not less than quarterly to
         each Special Interest Section in an amount equal to 80% of the annual fees collected during the previous
         quarter for that Special Interest Section. Allocations in excess of 80% shall be determined by the Executive
         Board and shall be based on a budget presented to the Board by each Special Interest Section. Special
         activities may be financed by direct charges on those members participating. All funds received by a
         Special Interest Section shall be used for purposes incident to the fulfillment of the Association objectives.
         No Special Interest Section shall incur indebtedness for the Association.”
