Program Distribution Agreement Between
Animus Entertainment Group 2140 S. Dixie Hwy., Suite 307 Miami, FL 33133 (To be known as “Distributor”)

The distributor will exclusively market, sell, and/or license the above mentioned program on the following terms: 1. 2. 3. 4. 5. 6. Territories: Worldwide except the United States The Distributor will distribute the production (s) in the above mentioned territories exclusively for 2 years in all broadcast, cable, satellite television and home video media forms. The Distributor will charge a 35% commission on all gross sales in all international territories excluding the USA. The Distributor will inform the producer of all sales immediately. All sales are subject to the Producers consent. The Producer, at their own cost, will supply any transmission material as required by the sales or license agreement(s) including: Beta SP or tapes, separate music and effects sound tracks, English scripts, Music cue sheets, and Publicity material, as applicable. The Producer will supply at his/her expense brochures and screening cassette(s). The Distributor will promote the program to the best of his/her ability. The Producer warrants that he/she is the absolute representative of all rights in the above mentioned program, in all media and territories included in this agreement and is authorized to enter into this agreement. All residuals, actors fees, music clearance etc. must have been paid and are the sole responsibility of the producer. The producer will indemnify and hold harmless the Distributor in respect of any liability to any third party arising directly from or indirectly out of the exercise of all or any parts of the rights granted to the Distributor herein or any breach of any representation or warranty, whether expressed or implied, by the Producer. The Producer will provide the Distributor with PAL & NTSC VHS and or DVD’s viewing cassettes of each program and/or a Beta SP NTSC or ¾” UMATIC NTSC for the purpose of duplicating, excerpting, or transmitting the programs for use in marketing and advertising of the programs. All shipping expenses and other approved marketing expenses are reimbursable from the gross sale. The Producer authorizes the partner to use its standard Deal memo forms and contracts on its behalf. The Distributor may appoint sub-distributors in the territory at its option. This Master agreement will serve as the basic standard deal and conditions on future titles for distribution.
