Nondisclosure Agreement Technology

							         MUTUAL NONDISCLOSURE AGREEMENT

agree that any exchange of proprietary information relating to research and technology
topics, manufacture and components and processes, financial information and the like
(“Proprietary Information”), shall be governed by the following terms and conditions.

1. Each party will treat and safeguard Proprietary Information received from the other
   party, whether disclosed orally or in writing (provided that it is properly identified
   as such in accordance with Paragraph 2 hereof), in the same manner as its own
   Proprietary Information of like importance and shall not disclose any such
   Proprietary Information to any third party including affiliates and subsidiaries nor
   shall it use such Proprietary Information for its own or a third party’s benefit
   without prior authorization from the disclosing party, provided that such
   Proprietory Information:

       (a)     is not in the public domain at the time of disclosure and does not
               subsequently enter the public domain unless through the fault of
               the recipient or its employers.

       (b)     is not known to the recipient or any of its employees prior to the
               disclosure of the disclosing party and is not independently acquired
                by the recipient or any of its employees, free of any obligation of
               confidentiality, subsequent to such disclosure; and

       (c)     is not disclosed by the disclosing party to a third party free of any
               obligation of confidentiality.

   In any event, the obligation of the Paragraph 1 shall terminate five (5) years after
   the date of disclosure of the Proprietary Information.



2. Each party, shall identify information it deems to be Proprietory Information as
   follows:

       (a)     All written Proprietory Information shall be conspicuously labelled
               as such and no duplication thereof is authorized.
         (b)   All Proprietory Information disclosed orally shall be clearly identified
               as such by the disclosing party.
