            Sealed tenders are invited by the Divisional Engineer, Telecom Project-II, Bhangagarh, Guwahati-5,
from reputed, bonafide contractors having experience of optical fibre cable laying through micro tunneling for
laying of Optical Fibre Cable through PLB Pipes in and around Guwahati city by "NO DIG" method using
TRENCHLESS TECHNOLOGY as per specification in the tender document. The bidders must have with
them own standard machines/leased machine for at least one year from the date of dropping of tender having
capacity for boring minimum 200 metres at a stretch for micro tunneling work in congested and narrow lanes,
The work is very urgent and the tenderer who are able to start the work immediately should go for the bid. The
bidder will have to produce the experience certificate from officer of the minimum rank of Divisional Engineer
or equivalent of having laid OF Cable/ PLB pipe through micro tunneling and should produce document
indicating the availability of own/leased machine with the bidder at the time of issuance of tender documents.

  Approximately 22.300 Kms of O.F. Cable laying by "No Dig" method using Trench less Technology
  consisting of 4 (Four) sub-sections under OAN Phase-IV,Part-B and 20.023 Kms of O.F. Cable laying
  by "No Dig" method using Trench less Technology consisting of 4 (Four) sub-sections under OAN
  Phase-IV,Part-C is to be executed in and around Guwahati. The length consists of road/rail/ canal
  crossing with GI/ PLB pipe and also laying along road with PLB pipe. The total length of work in each
  sub-section may vary depending on progress of work, availability of material etc. The entire work may
  have to be executed in phases. The minimum length of the stretch to be executed in one occasion is
  approximately 200.mtrs.
2. LAYING OF CABLES- General Work Description:
     Laying of OF cables of different types and sizes, in general including some or all of the following
     activities, as directed by the DE in charge of the work: -
  2.1 Making arrangement for Horizontal Boring for PLB pipe and blowing the cable through PLB pipe.
  2.2 Making Horizontal Boring and inserting PLB pipe for OFC laying,
  2.3 Lifting of cable & PLB pipe from the store at Guwahati.
  2.4 Blowing OF Cable through the duct.
  2.5 Construction of jointing chamber.
3. CABLE LAYING STANDARD
  3.1 Horizontal Boring and pulling the cable through it :
  3.2 Horizontal Boring and pulling the Cable through it along road and under railway/road/canal
        streams crossing in all type of soil at suitable depth, including all civil works. Supply of all tested
        lifting tools and tackles and other required equipment and consumables, labour, etc, and making as
        such necessary arrangements are under vendor's scope. The job in each Sub-section has to be
        completed within time schedule mentioned in work order. The work is specified under 2 major
        heads.
        i) Laying along the road
        ii) Road/Rail/Canal /River crossing (road crossing means crossing a road of minimum width of 8 M)
Under each head there will be following type of boring:-
                 (i) Boring upto 200 mm diameter.
    3.3 In this system of O.F cable/ PLB pipe laying following job specifications should be maintained:

     i) Only Guided boring/drilling technology is to be used- mechanical holes are not permitted.
     ii) Radio or any other detection system should be used for avoiding damage to existing
          underground utilities such as Electric supply, water pipe line, telecom copper cables and
          optical fibre cables, gas pipe line, sewerage etc.
     iii) The depth of boring should be such as to clear any underground utilities/obstacles. However, in
          no case the depth of boring be less than 1.7 mtrs from the road surface.
     iv) In Horizontal and vertical boring, the system should be capable of going up to 10 mtrs below
          the ground level.
     v) In a shift of 8 hrs. at least 400 mtrs. of drilling should be possible.
     vi) As far as possible cable should be laid in drum length and cutting of cable should be avoided
          while laying along road.
 3.4 Ground penetrating Radar survey and damage to Telephone Cable and other underground
       services.
    i)   The contractor should collect all available information regarding underground services and
         take necessary care to protect them. He should also have sufficient arrangements to identify
         and protect such underground services.
    ii) The contractor shall carry out ground penetrating radar survey along the proposed cable route
         at his own cost to identify the underground services and for setting out the routes as directed
         by site-in charge. The site-in-charge shall provide route map to the contractor if available for
         plotting the existing utilities and setting the route for horizontal drilling.
   3.5 Laying of Optical Fibre Cable: Instead of pulling the cable through PLB pipe, cable will be
         blown through the horizontal bore. Baloon (25 mm dial) test both way is to be carried out
         by the Tenderer.
           At the time of completion of work, the records of actual depths of cable/ PLB pipe at which
           points it is being laid is to be transferred to the Site-in-charge along with Other necessary
           documents and drawings. The record of depth should be given at the interval of 5 meters. The
           record should be accompanied with route diagram.
3.6 The tentative routes for Micro Tunneling works for each Sub-section is as under:

   3.7 Normally 3 (Three) PLB pipes will have to be drawn.

4. LIFTING OF CABLE/ PL.B PIPE.

   4.1 The cable/ PLB pipe in drums will be handed over to the Contractor at cable stores. The
       Contractor is to lift the store from the store depot to the work site.
   4.2 Guarding at work site is to be done by the Contractor.

   4.3 At the time of laying, jack and wheel should be used so that the cable/ PLB pipe is not
       damaged.
   4.4 The Contractor is to make arrangement of water and power at the site of work.

   4.5 Digging of test pit and restoration of the pits are to be done by the Contractor. Contractor
       will have to possess both small & heavy drilling machine.

5. Join ting/Splicing
        Jointing of OF cable will be done by BSNL.

6. Construction of Manhole/Jointing Chamber:

          Manholes and Joint Chambers will be provided at intervals of about 200metres for cable
          blowing and also for access points. The chambers will normally be provided in the footpath
          or flank of the road. However if required the same has to be provided in the road. For the
          RCC Manhole, the walls will be made by RCC cast at site. The roof will also be heavy duty
          RCC slab with two openings. Manhole chambers for about 2x 1.3x2 mtr (LxBxH) internal
          dimension shall be provided for the PLB pipes at an average interval of 200m or as
          instructed by the Site Engineer, while laying the PLB pipes. In a similar manner, manholes
          chamber may be kept at the bends that the pipe line may take, approaches to the bridges,
          road crossings, etc., as instructed by the Site Engineer. The location of the manhole
          chamber and the length, for which the pipes are to be laid continuously, will be decided by
          Site Engineer. In this regard decision of the DET will be final. All construction and
          installation shall be performed in thorough and workman like manner in accordance with
          approved standards and shall be subject to inspection and testing during construction and
          also final acceptance testing before take over by BSNL.

 6.1 The general construction practice & dimension will be as detailed below.
   (a) Excavation of Pit of appropriate dimension to be done. The wall and roof thickness will be
       15cm and the floor thickness will be 17.5 cms and the drawings for manhole may be
       referred for reinforcement details.
   b) The manhole chamber with the said measurement should be constructed using reinforced
       cement concrete (RCC) casting. The top of the manhole should be covered

   c) with RCC roof with provision for two openings with cover. The RCC slabs so covered should be
      flush with the level of the adjacent ground, footpath etc.
   c) In some cases manhole shall have round openings in manhole roof with clear opening not less
      than 690 mm diameter. A concrete collar shall be provided to support manhole over frame. The
      height of the collar shall be provided to suite site conditions.

   d) All chambers shall be provided with a sump of size 300x300x300mm(depth) placed at centre of
      manhole.
   e) After excavation, bottom of the pit shall be leveled and shall be free from stones and other
      objects and obstructions. Necessary space shall be prepared to accommodate sump.75 mm
      cement concrete 1:5:10 (1 cement: 5 coarse sand: 10 graded stone aggregate 40mm nominal size)
      shall be laid in level as a base course.
   f) Curing of concrete: After the concrete hardens, it shall be protected from quick drying with
      moist gunny bags, sand or any other materials approved by Engineering-charge; The curing shall
      be done for a minimum period of 5 days or as determined by the Engineer-in-charge.
   g) Finishing chambers/pedestal: The internal faces of roof: walls and neck of chamber and
      exposed areas of pedestals shall be finished smooth with cement mortar 1:3 (1 cement:3 coarse
      sand) finished smooth with a floating coat of neat cement.
   h) Finishing of outer surface of chambers: Finishing of outer face of the chamber shall be done
      with 12mm thick cement plaster 1:3 (1 cement :3 fine sand).
   i) Finishing of floor of chambers: The floor of manhole including sump shall be finished with
      50mm thick (av) cement concrete flooring by providing adequate slope.
   j) Fixtures pulling-in-eyelet: It shall be secured to the reinforcement burin the manhole floor and
      embedded in such a way that a pulling force of 3 Tones can be withstood. An eyelet shall always
      be provided for each duct nest assembly and placed in the centre line of the duct at the opposite
      corner or rear comer in the base of the manhole.
   k) Ladder hook: The ladder hook shall be secured to reinforcement bar in the manhole roof/collar.
      The direction of ladder hook should be such that it allows the vision of incoming traffic
      immediately to the person coming out of the manhole using the ladder fixed to it (Ref. Diagram).
   l) Holding bolts for pedestals: These shall be fixed during casting of pedestals. To maintain their
      position, templates shall be used after obtaining their approval from Engineer-in-charge.
   m) Covering plate for pedestal hole: The pedestal hole shall be covered with an SFRC cover plate
      10mm thick carrying suitable holes to fit in the location of pedestal bolts. The pedestal plate shall
      be fixed in position with nuts of appropriate size and the number around the bolt shall be sealed
      with plaster of paris for easy retrieval of the nuts at the time of opening.
   n) Termination of ducts in the joint/manhole chambers; Concrete or mortar will not bond well
      with PLB duct forever. It is, therefore, advisable not embed the PLB pipes directly into the
      manhole walls but by using GI pipe covering at both the entry points. Also 2 Nos. of 50mm GI
      pipes of not less than 30cm length may also be fixed at both the ends as additional provisions for
      OF cable entry. All the PLB/GI pipes inside the RCC chamber must be sealed and their entry
      points should be plastered both inside and outside of each RCC manhole chambers decided by
      Site Engineer.
   o) Vertical Racking: The arrangement for fixing channels can be done by providing and fixing
      holding bolts during concreting by providing and fixing stainless steel expander bolt assembly by
      drilling only. The expander bolt assembly shall be able to withstand a load of 500 Kg. The
      vertical racking shall be fixed with horizontal separation as specified by Engineer-in-charge.

     Galvanized vertical channels shall be made from MS Channel ISMC-75 as per drawing. For
     fixing racking suitable holes shall be made in web of the channel. To


  allow vertical fixing of cable bearers, holes shall be made at intervals in flanges (both sides). Tie
  bolt~ for fixing the racking shall be designed to withstand a load of 500 Kg.
  p) Frame and cover assembly: The frame for the cover shall be fixed as per standard drawings.
      The top level of frame shall be flush with road level as the case may be and as decided by the
      Site Engineer.
  q) Locking arrangement for Manholes: It shall be fixed below the opening of manhole cover
      and frame. The angle iron shall be properly fixed on the walls. Alternatively, if fixed to the
      ceiling, the fixing arrangement shall be able to withstand self load in addition to load of 250
      Kg on grill arrangement. The locking arrangement shall be provided as directed by the
      engineer-in-charge. M.S. channel shall be embedded and fixed to manhole walls at least
      75inm inside without causing damage to the reinforcement. The arrangement shall be fixed
      just below top slab of manholes as per directions of Engineer-in-charge.
  r) Loading: The manhole cover and frame shall be able to withstand heavy duty grade of
      loading conforming to relevant IS Code, square type and shall be galvanized according to
      ISO;1460 R & R1461 or IS 4736 1968 unless otherwise specified.
  s) Manufacture: Manhole cover and frame shall be MS Galvanized. Channels for cover and
      frames shall be folded with MS Galvanized sheet as per direction of Engineer-in-charge. The
      inner coyer shall be filled with cement concrete 1:1:2 (1 Cement: 1 poarse sand; 2 graded
      stone aggregated of 12.5 mm nominal size). The inner cover consists of three blocks in each
      cover placed in the size of square of 1150mm outer frame.
  t) Key Holes and Key: Suitable keyholes or/ and lifting arrangement shall be provided in
      manhole cover to facilitate proper handling.
  u) Marking: each manhole cover and frame shall have a permanent marking sunk cast on them
      providing following information Year of manufacture and Figure of BSNL emblem.
  v) Sump: It shall be located at centre of manhole or at location decided by the Engineer-in-
      charge. The space shall be made in the floor so that sump cover properly rests on it and does
      not rock. sump cover assembly shall be fixed on the sump chamber. It shall be flush with the
      floor level, the sump shall be covered with galvanized G.I. Grating of size 330x330 mm
      (having weight not less than 10 Kg Each without frame) of standard pattern and as per
      direction of Engineer-in-charge.
  w) The size of the RCC chamber/Manhole (LXBXH)

  External Dimension; 170 X 130 X 197 .5cms.
  Internal Dimension: 140 X 100 X l65 Cms.

  The size of the RCC MH Cover (LXBXH):120 X 40 X 15 Cm (4nos.)
  Lastly ,backfilling (not inside the chamber) of Manhole chamber pit with excavated soil should
  be carried out up to normal ground level and compacted.
  x) Documentation: The documentation con sting of the following shall be prepared for each
      section:
      i) Route Index Diagrams-General: This diagram shall consist of Route details on
        Geographical Map drawn to scale with prominent land, marks and alignment of manhole
        with reference to road. Geographical location of Manhole offset of manhole from centre of
        the road important landmarks to facilitate locating the manhole in future. This shall be
        prepared in A3 sheets of 80 GSM.

       ii) Route Index diagrams-Profile: These diagrams will contain: Size of the Manhole, Depth
       of manhole/covers from ground level, Type of Manhole chamber and Length of OF cable
       kept inside the joint chamber from the different directions, if any. Hence diagrams shall be




       prepared on A-4 sheets of 80 GSM on one sheet profile of maximum 05 Manholes shall be
       given to ensure clarity.
        All the diagrams (i) & (ii) shall bear the signature of contractor, the Site-in-charge as a proof of
         accuracy of the details. These diagrams should be bound. The front cover shall have the
         following details: Name of the SSA/Project Organization, Name of the route, Name of the
         contractor, Date of commencement of work, Date of completion of work. For each section of
         the route, 6 sets of above mentioned document shall be submitted. Necessary diagrams
         enclosed may be referred for conformation.

7. DISPOSAL OF EMPTY CABLE DRUMS AFTER LAYING OF CABLE.
    7.1 It will be the duty of the contractor to dispose off empty cable drums. The contractor will pay for
        the empty cable drum, This amount will be adjusted from the bill payable to the contractor. The
        rate of the empty cable drum as in Annexure 'C'
    7.2 Any loss of / Cable drum while in the custody of the Contractor is to be compensated by the
        Contractor at the current market rate of such empty cable drums.

      GENERAL TERMS AND CONDITIONS OF PIPE / CABLE LAYING TENDER USING
                             TRENCH LESS TECHNOLOGY
            For Divisional Engineer Telecom Project-II, NE Task Force Guwahati

  1. GENERAL TERMS AND CONDITION: Jurisdiction of work: The work is to be executed ii and
      around Guwahati. The general terms and conditions for cable laying tender will be applicable to OF
      cable laying.
  2. EARNEST MONEY DEPOSIT:
  2.1. Earnest Money in form of Demand Draft for amount as mentioned in the NIT drawn on any of the
      nationalizedl scheduled bank payable at Guwahati in favour of Sr. Accounts officer; 0/o DGM,Task
      Force, Pan bazar, Guwahati should be attached with the tender.
  2.2. Any tender not accompanied with the above prescribed Earnest Money Deposit SHALL BE
      REJECTED FORTHWITH.
  2.3 No interest will be paid on the Earnest Money Deposit while it is in the custody of DE,TP-II,
      Guwahati- 781005.
  2.4. The Earnest Money Deposit of unsuccessful tenderer shall be refunded after final acceptance of the
      tender and within reasonable time.
  2.5. This Earnest Money Deposit will be forfeited by DE,TP-II, Guwahati under any one or all of the
      following circumstances:
           a) Any case of false statement and / or submission of false document by the Tenderer is
               detected;
           b) The Tenderer withdraws his tender offer after opening of the Tender.
           c) The successful Tenderer fails to deposit the security deposit money as detailed in item- 3
               below;
           d) The successful Tenderer fails to execute the Agreement (as detailed in ANNEXE „D‟) within
               the stipulated time.
  3. SECURITY DEPOSIT:
  3.1. As a security for due performance of the works entrusted to the CONTRACTOR under the
      Contract Agreement, successful Tenderer shall have to deposit, within One (1) Week from the date
      of issue of intimation by the BSNL to the successful Tenderer - Security Deposit equivalent to 10%
      of total cost of the work to be awarded. The Security Deposit Money may be submitted by Demand
      Draft drawn in favour of Sr. Accounts Officer, 0/0 DGM Task Force, Panbazar, Guwahati or may be
      submitted in form of Bank Guarantee in favour of Sr. Accounts Officer, O/o DGM,TaskForce,
      Panbazar, Guwahati.
   3.2 No Interest will be paid on security money deposit while it is in the custody of BSNL.
  3.3 The Divisional Engineer, Telecom Project-II, Guwahati has right to forfeit or adjust the whole or any
      part of the Security Deposit for any money due to the BSNL that can not be covered by the pending
      bills/claims of the CONTRACTOR or as a measure of penalty. In case of such forfeiture and lor
      adjustment, the CONTRACTOR shall have to deposit, within one (1) week from the date of issue of
      intimation by the BSNL to the contractor, further security money forthwith for the full amount or an
      amount sufficient to make up the deficit as the case may be.
3.4 The said security money or so much thereof as may not have been appropriated to the use of the BSNL
    as penalty measure (described in detail in item- 8 later on) will be returned to the CONTRACTOR
    after the expiry of the Contract on submission of 'No DEMAND' Certificate by the site-engineer under
    DE, TP-II, Guwahati. However, the BSNL may withhold such payment uptothree (3) months from the
    date of receipt of 'NO DEMAND' Certificate for the purpose of verifying records so as to ensure that
    there is no recovery pending for any damages or dues.

4. SIGNING OF AGREEMENT :
4.1 Within three (3) days of deposit of the Security Money, the successful bidders will have to sign the
Agreement as detailed in ANNEXE – „F‟.
4.2 The CONTRACTOR will have to bear all relevant expenses in connection with signing of the Agreement
including the purchase of Stamp papers.
5. AWARDING PIPE & CABLE LAYING WORK and IT’s EXECUTION:
5.1 All bidders must submit their tenders as described in ANNEXE "C".
5.2 If a contractor is found successful in more than one sub-section, he/she will normally be offered for work
in only one sub-section as per choice and acceptance by the BSNL. The contractor cannot claim more than one
sub-section as a matter of right even though he may be lowest in more than one sub-section. However the
BSNL may at its absolute discretion award the work of more than one sub-section to an eligible contractor.
5.3 On the basis of rates and panel of Pipe/ Cable Laying Contractors finalized through this Tender, one
agreement / contract, for the work to be executed by the Divisional Engineer, TP-II, Guwahati on submission
of Performance Bank Guarantee by the successful tenderer. Consequent approval of the tender, the Divisional
Engineer In-charge of the work will issue Work Orders for each individual pipe cable laying work.
Simultaneously, contractor will be required to sign the agreement (as in Annex "F") with the DET, TP-II
Guwahati.
5.4 Each Pipe/OF cable laying Work Order will be issued by the concerned Divisional Engineer Telecom.
5.5 The CONTRACTOR will carry out the various phases of Cable Laying work as per the standards laid down
in ANNEXE "A".
5.6 Each CONTRACTOR'S Firm or Concern will have to be registered under section 7 of Labour Legislation
Act, 1970 if / when the CONTRACTOR engages more than the specified number of Labourers in a day, as per
the aforesaid section.
5.7. The CONTRACTOR must lay cable in the presence of DE, TP-II officials.
5.8.All works shall at all time be opened for supervision, inspection and measurement by the site-in-charge or
the Divisional Engineer in charge of the Work and the officers of Acceptance Testing Unit and no work done
by the CONTRACTOR shall be accepted without such supervision, inspection and measurement
5.9. For recording the measurement of any work done by the CONTRACTOR the prescribed Measurement
Books of the. BSNL will be used.
5.10. The BSNL reserves the right to suspend any of the scheduled item I items of work temporarily or
permanently.
5.11. The CONTRACTOR shall comply with the regulation and order of the Government, Police, Municipal
Authorities and other regulations and orders relating to the work entrusted to the CONTRACTOR.
5.12 EXTRA WORK:-
      The quantum of work as shown in the NIT and Annexure-E may increase or decrease as per the actual
site condition during execution of the works. Contractor cannot claim the whole quantity of work as a matter
of right and award for any quantity of work will be as per the discretion of DET in-charge or his authorized
officer.
5.13 ADDITIONAL WORK:-
      Any additional works are required to be executed for the exigencies of services of BSNL,the tenderer has
to take up the work on the same quoted/approved rate on specific order by BSNL.
5.14.The Contractor should have valid EPF Registration from EPF authority.
6.SUPPLY OF STORES AND TOOLS AND THEIR SAFE CUSTODY:
6.1 For each work Order, the concerned Divisional Engineer, Guwahati will arrange to provide the
CONTRACTOR:
a) PLB pipes/ cables - This will be supplied by the BSNL.

6.2.Generally, the cables in drums and other BSNL Stores required for execution of a Work Order would be
handed over and delivered to the CONTRACTOR at OFC Stare, Six Mile, Guwahati for which the
CONTRACTOR will have to give a proper receipt.
    6.3. For all stares handed over and delivered to the CONTRACTOR, the CONTRACTOR shall be wholly
    responsible for
      a) Transportation to work site,
      b) Proper-care,
  c) and safe custody ;of stores during execution of the works till the work is completed in a1l respects
    according to the terms and condition of the Work Order.
6.4 The CONTRACTOR must return the stores found 'in excess after completion of Work Order with an
    account of the stores issued and utilized.
    6.5 The CONTRACTORS should use caution board and red lights at the site to avoid accident.
    6.6 The CONTRACTOR must make necessary arrangement for safe custody of his tools gadgets.
    7. WORK OUTPUT AND TIME FRAME:
    7.1 The output of the contractor is expected at least 400 m. for a shift of 8 hrs.
7.2 The work should be normally done within the time frame. In special case it may be extended by the
    Executive Officer.
    8. PROVISION FOR PENALES:
8.1. The time, allowed for carrying out the work as entered in the tender schedule shall be strictly observed by
    the contractor and shall be deemed to be of the essence of the contract on the part of the contractor and shall
    be reckoned from the tenth day after the date on which the order to commence the work is issued to the
    contractor. The work shall throughout the stipulated period of the contract be proceeding with all due
    diligence. If the work remain un-commenced within specified period for commencement of the work the
    contractor shall pay as compensation in the form of liquidated damages an amount equal to 0.25 % of the
    amount of the cost of the work or approved cost whichever is higher, for every day that the work remains
    un-commenced. If the work is slow in progress in execution of work not adhering to the time schedule given
    for completion in the agreement work order, the contractor shall pay as penalty an amount equal to 1.5 % of
    the amount of the cost of work or approved cost whichever is higher for every week of works remain
    unfinished after the period or for total delay in completion of the work after the specified period. The entire
    amount of compensation to be paid under the provisions of this clause shall not exceed 10 % on the cost of
    the work or approved cost whichever is higher in each case. Notice in this regard wilt be issued by the
    Divisional Engineer in-Charge of the work as per contract.
8.2. It is clarified that the fractions of work will be decided with reference to the distance in km and not with
    reference to the estimated cost of the work.
    a) On any date the compensation payable as above reaches 10 % of the estimated cost of the work, the
    contractor should proceed with the work further only on getting a written instruction from the Divisional
    Engineer in charge of the Work that, he is allowed to proceed further with the work. It will be at the
    discretion of the Divisional Engineer in charge of the work to allow the contractor to continue with the work
    on the basis of any written agreement reaches between the contractor and the concerned Divisional Engineer
    Telecom one of the conditions of such agreement may be a stipulation for the contractor to agree for
    realization of compensation for delay at higher rate as may be approved by competent authority and agreed
    between the concerned DET and the contractor.
    b) However in a particular case, if the Divisional Engineer in charge of the Work is satisfied based on the
         facts and circumstances of the case and based on any written representation that the contractor may
         make in this regard that slow progress was due to the reasons beyond the control of the contractor and
         for reasons not attributable directly or indirectly to contractor, Divisional Engineer, in charge of the
         work, may waive the realization of compensation for delay. Whenever such a decision has been taken,
         the contractor should ensure that the said decision of the competent authority i.e. DE, TP-II, Guwahati,

 has actually been conveyed to him in writing by the Sub-Divisional Engineer in charge of the Work
 before proceeding further with the work.


    c) If after awarding the work, the work has not been commenced within ten days of the award of the
    work, the Security Deposit will stand forfeited to the BSNL if so decided by the competent authority
    (Divisional Engineer, TP-II, Guwahati) on the recommendation of the Sub-Divisional Engineer in
    charge of the Work.
    d) If after commencement of the work, the contract is terminated for slow progress, in addition to
    recovery of compensation for delay, the full Security Deposit shall also be liable to be forfeited
    which will be decided by the competent authority and conveyed by the Sub-Divisional Engineer In-
    charge.
8.3 On Account of Poor Performance of CONTRACTOR: performance of the CONTRACTOR will be
    continuously monitored.
    (a) If the, Divisional Engineer, TP-II, BSNL, Guwahati on the report of the Sub-Divisional Engineer
    in charge of the Work feels that the work is not being performed satisfactorily either in quality of
    work or in terms of rate of progress, and/or
    (b) In the event of any breach by the CONTRACTOR of any of the terms and conditions, Divisional
    Engineer, TP-II, BSNL, Guwahati on the recommendation of the Sub-Divisional Engineer in charge
    of the Work shall have powers to adopt the following course of action after issuing a seven (7) days'
    notice to the CONTRACTOR.
    (i) To rescind the Work Order and get the non-executed portion of work done by any other
    CONTRACTORI Agency and/or to have the defects removed/repaired by any other
    CONTRACTOR/Agency, in which case, the excess expenditure incurred by the BSNL will be
    recovered; from the bills and /or Security Deposit of the first CONTRACTOR.
    (ii) The Divisional Engineer in charge of the Work may also recommend to the DGM, NE Task
    Force, BSNL, Guwahati for rescinding of Contract and/or blacklisting of the CONTRACTOR.
8.4. On ACCOUNT of Refusal to undertake Work: Cases of refusal to accept Work Order by a
    CONTRACTOR will be reviewed by Deputy General Manager, NE Task Force, Guwahati who may
    initiate action for rescinding of Contract and/or blacklisting of the CONTRACTOR.
    8.5.Rescinding of Contract/Blacklisting of CONTRACTOR: Based on periodic feedback/ specific
    complaints from the Divisional Engineer in charge of the Work, the Deputy General Manager, NE
    Task Force, Guwahati may initiate proceedings for rescinding of Contract and/or black-listing of the
    CONTRACTOR. If any Contract is rescinded and/or the CONTRACTOR is blacklisted, then the
    Security Deposit will be forfeited.

9. COMPENSATION FOR DAMAGE:
9.1 Any loss or damage of BSNL Stores while in the custody of the CONTRACTOR shall have to be
    made good by the CONTRACTOR.
9.2. If during execution of cable laying and allied works as mentioned in ANNEXE-'A‟ or completion
    therof,
  a) Any damage is caused to any existing underground service lines, telephone cables including cables
  being laid.
  b) There is damage caused to any property of a third party.
  c) Injury/ loss occurs to any person because of any lack of proper precaution on the part of the
    CONTRACTOR, the CONTRACTOR will be held responsible for the same and the
    CONTRACTOR has to compensate for such damage/ injuries/losses.
9.3 In case the BSNL has to incur any expenditure to repair such damages or to compensate for such
    injuries/ losses, the amount plus 5% (five percent only) processing charge, will be recovered from
    the dues of the CONTRACTOR or from the Security Deposit or both.

9.4 In every case, in which by virtue of the Provisions of Workmen's Compensation Act, the BSNL is
    obliged to pay compensation to a workman employed by the CONTRACTOR in charge of


execution of the cable laying work, the BSNL will be entitled to recover from CONTRACTOR the
   amount of compensation so paid plus 5% (five percent only) processing charge.

10. TERMS OF PAYMENT:
10.1 For quoting charges / rates for different items of work the ANNEXE "E" itself has to be used. No
     separate charges other than those items indicated in ANNEXE "E" will be payable to the
     CONTRACTOR.
10.2 All payments for works relating to laying of pipe/ cables will be made as per the relevant category
     indicated in ANNEXE "E" for the length of cable laid excluding the length of cable left as overlap
     for future joints to be taken up by BSNL. Such overlap lengths will be indicated in the
     Measurement Book but excluded frorn the chargeable length of cable laid.
10.3 The CONTRACTOR will be paid for satisfactory completion of the work in accordance with the
     Agreement and Work Order at the rates mentioned in ANNEXE "E". For this purpose the
     CONTRACTOR MUST SUBMIT TO THE engineer in charge of the Work his bill for the items of
     work done by him against a particular Work Order at the rates specified in ANNEXE "E" hereto,
     within 30 (thirty) days of the items of work covered. by that work order having been satisfactorily
     completed by him/ them.
10.4 The bill will ordinarily be payable within two (2) months from the date of such submission.
10.5 In case the bill is not; submitted within thirty (30) days, the claim for settlement of bill within
     stipulated time and damages etc. caused on account of any late settlement will not be entertained
     by the BSNL.
10.6 While making payment of CONTRACTOR'S BILL (S) Sr. Accounts Officer, O/o DGM, Task
     Force, Guwahati will deduct on account of Income Tax as well as Sales Tax @ 2.2% or as may be
     fixed from time to time by the Government of India on the gross amount of each bill passed for
     payment in accordance with the provision of Clfjuse 194~C of Income Tax Act, 1973. Also,
     suitable deduction will be made for the empty cable drums disposed off by the CONTRACTOR.
10.7 The CONTRACTOR may use prescribed form, to prepare his bills but bills prepared by him on his
     own form etc, may be accepted provided they comply with the following conditions.
     (a) The bills be submitted in triplicate, all copies being signed by the CONTRACTOR. The three
     copies must be marked 'Original', 'Duplicate' and 'Triplicate' respectively.
     (b) Details of the quantity and nature of each item of work done or material supplied as well as the
     stipulated rates be given.
     (c) The dates of commencement and completion of the work or supply of materials be mentioned.
     Measurement Book should be duly signed by the CONTRACTOR at the time of measurement and
     he will attach completion report duly signed by the Engineering Officer in-charge based on the
     Measurement Book.
     (d) The number and date of the Work Order be mentioned.

10.8. Paying Authority will be Sr. Accounts Officer, O/o DGM, Task Force, BSNL, Guwahati as
      mentioned in the Work Order (W.O).

11. FORCE MAJEURE CLAUSE:
11.1 If at any time, during the continuance of this Contract, the performance in whole or in part by either
      party of any obligation under this Contract be prevented or delayed by reason of:
11.2 · any war or hostility,
      · acts of the public enemy, civil commotion, sabotage, explosions,

     · effects of floods, epidemics, quarantine restrictions,
     · General Strikes and Bandhs.
     · Acts of God

Hereinafter referred to as EVENT, neither party shall, by reason of such EVENT, be entitled to terminate
this Contract, nor shall either party have any claim for damages against the other in respect of such non-
performance or delay in performance. Provided notice of happening, of any such EVENT is given by either
party to' the other within seven (7) days from the date of occurrence of the EVENT.

11.3. Work and deliveries under this Contract shall resume as soon as practicable after such EVENT
      come to an .end or cease to exist. The decision of the BSNL as to whether the situation has become
      normal or not, shall be final and conclusive.

12. DISPUTES AND ARBITRATION:
12.1 In the event of any question, dispute or difference arising under the OFC Cable Laying Contract
     Agreement or in connection where with except as to matters the decision on Which is specifically
     provided under the Terms and Condition of this Tender, the same shall be referred to the sole
     Arbitration of the Chief General Manager, N.E. Task Force, Guwahati or any other person
     appointed by him as the Arbitrator.
12.2 There will be no objection to any such appointment on the ground that the Arbitrator is a
     Government servant. If however, the Arbitrator is a Government servant he will not be one who
     had an opportunity to deal with the matter to which the agreement relates or that in the course of
     his duties as Government servant he has expressed view, on all or any of the matters in dispute or
     in difference. .
12.3 The award of the Arbitrator shall be final and binding on the parties. In the event of such Arbitrator
     to whom the matter is originally referred to being transferred or vacating his office dying,
     resigning or refusing to work or neglecting his work or being unable to act for any other reason
     whatsoever, the Chief General Manager, N.E. Task Force, Guwahati shall appoint another person
     to act as Arbitrator in place of outgoing Arbitrator in accordance with the term of this agreement
     and the person so appointed shall be entitled to proceed with the reference from the stage at which
     it was left by his predecessor.
12.4 The Arbitrator may from time to time with the consent of parties enlarge the time for making and
     publishing the award.
12.5 Subject to the aforesaid provisions, the Arbitration Act. 1940 and the rules made hereunder and any
     stipulation modification for the time being in force shall be deemed to apply to the Arbitration
     proceedings.
12.6 All incidental expenses in the Arbitration proceedings will be born by the party to be decided by
     the Arbitrator.
12.7 The venue of the Arbitration proceedings will be decided by the Arbitrator.

13. EXPERIENCE AND CREDENTIALS OF THE BIDDERS
To be eligible for evaluation of bids in this Tender,
13.1 The machine to be used should strictly, conform to the requirement given at para 3.2 (i) of
      Annexure-A of this document.
13.2 The Contractor must submit the proof of having their own machines/leased machine for at least one
      year from the date of dropping of tender, required to be used for trench less laying as mentioned in
      the tender document, along with the tender.
13.3 The documents to be submitted in respect of such machine: Proof of availability of the machine,
      with the bidder, in India.
13.4. The bidding company must have a sound financial standing.

13.5 The bidder should have their office within Guwahati City and should be adequately equipped with
     telecom facilities (Phone, Fax, etc.)
13.6 No one connected with, or employed in the BSNL shall be a partner/associated with the bidding
     Firm, nor shall any such person ever be admitted as a partner or to any interest in this contract.

14. CONTRACTUAL PERIOD AND PRICE VALIDITY
14.1 The Contractual Period will commence from the day of signing of Agreement and will expire on
after a period of 1 (one) year.
14.2 Price Validity: Rates quoted shall remain firm and valid for the period of the Contract.

15. GENERAL GUIDELINES
15.1. The TENDERER and the CONTRACTOR are synonymous and shall include his/their legal
successors or assignees.
15.2. Concerned DET or DE, Divisional Engineer Telecom or Divisional Engineer in-charge of the
Work will mean Divisional Engineer, Telecom Project-II, BSNL (A Government of India Enterprise),
N.E.Task Force, Guwahati. Dy. General Manager or Dy. GM will mean Dy. General Manager, N.E.Task
Force, BSNL (A Government .of India Enterprise), Guwahati. CGM or Chief General Manager will
mean Chief General Manager, N.E.Task Force BSNL (A Govt. of India Enterprise), Guwahati unless
specified otherwise.
15.3 Submission of a Tender will bind the tenderer to the acceptance of all the terms and conditions
specified in the tender document.
        Nevertheless, each Tenderer must certify explicitly and unambiguously that he has studied &
understood all the terms, and conditions and work descriptions given in the Tender Documents, and
agrees to abide by the same.
15.4 Each page of the Tender bid and accompanying document submitted must be signed and stamped
by the Tenderer or his authorized representative.
15.5. Any tender not conforming to the Terms and Conditions and Specifications mentioned in the
tender documents is liable to be rejected. In this case, only the Earnest Money Deposit will be refunded.
15.6 No amendment to the tender in any form by the Tenderer will be permitted after the opening of the
tender. Canvassing in any form is forbidden and will be a disqualification.
15.7 Late Tenders: Any tender received by Post or by Courier Service after 1300 Hr. of the date of
opening of the tender will not be considered. In such cases only the Earnest Money Deposit will be
returned.
15.8 Unsealed and Incomplete Tender Bid: Any Tender bid submitted in unsealed cover and lor rates
have not been quoted for all the items in ANNEXE- "E" will not be considered. In such cases only the
Earnest Money Deposit will be returned.
15.9 Any clarification regarding the Tender Document may be clarified from the Divisional
Engineer,TP-II,Bhangagarh,Guwahati-5 between 11:00 Hr. to 16:00 Hr. on working days.
15.10. Among the works considered to be unsatisfactory are the works whose Work Order/ agreement
has been cancelled/terminated due to fault at the end of contractor or the work for which L.D. has been
imposed. The tenderer have to give in writing (addressed to the DET) that none of their works in
BSNL/DoT in last two years has been unsatisfactory as specified above.
15.11. The Divisional Engineer Telecom Project-II, Guwahati reserves the right to reject any or all the
tenders bids without assigning any reason whatsoever and is not bound to accept the lowest tender.

INSTRUCTIONS TO TENDERERS WHILE SUBMITTING TENDERS

   1. The tenderer should quote their rates inclusive of all charges like levies and Taxes, insurance etc
      including service Tax. The rate quoted will be firm and no escalation will be considered.
   2. The Tender quotation must contain the reference to the Notice Inviting Tender.
   3. Separate Tender document should be submitted for each sub-section.
   4. The Tender quotation has to be addressed to :-

              D.G.M.,Task Force, Panbazar, Guwahati-1.
       b.     Separate Sealed envelope Marked “II” should contain
              (i) “Annex 'E' financial bid" duly filled in, complete in all respects.
       c.     Separate Sealed Envelope Marked “III” should contain
              (i) Tender Document including Annex "D" duly filled in, complete in all respects.
              (ii) Original power of attorney in case, any person other than the Tenderer himself     has
              signed the tender documents.
              (iii) Authenticated copy of Partnership Deed in case of Partnership Firm.
              (iv) Attested copy of Current Trade License if applicable.
              (v) Service Tax Registration Certificate.
              (vi) Professional Tax Clearance Certificate if applicable.
              (vii) Authenticated copy of Balance Sheet of the Firm for the last two-years/IT return.
              (viii) Proof of availability of own machine, with the bidder, in India/Leased machine for
                   at least one year from the date of dropping the tender.
              (ix) List of O.F Cable/pipe laying works through micro tunneling successfully carried out
                   indicating the length of each work.
              (x) Undertaking that the machine will be made available at the work place within 7 days
              from the date of issue of 1st work order.

6. All the above three envelopes should be sealed and put in one big envelope which should be properly
Sealed, Envelope must be super scribed as -

6. Each quotation must be complete in all respect and rates must be quoted for ALL THE ITEMS in
the form given in Annexed-„E‟

7. Rates must be quoted in Annexed "E" both in figures and words. If there is any discrepancy in the rate
(s) quoted in figures and in words, the rate(s) quoted in words will be taken as correct for the purpose of
evaluation, Any correction/overwriting must be avoided. However, should there be any inadvertent
mistake corrected it must be authenticated by the signature of the Tenderer or his authorized
representative; otherwise, the tender bid shall be liable to be rejected.
8. Each page of the Tender bid and accompanying document submitted must be signed and stamped by
the Tenderer or his authorized representative.
9. The Tender offer must be deposited in the Tender Box kept in the Chamber of The Divisional
Engineer, Telecom Project-II, Bharat Sanchar Nigam Limited, G.S.Road, Bhangagarh, Guwahati-5.
Tender can be sent by registered post also.
10. No amendment to the tender in any form by the Tenderer will be permitted after the opening of
tenders.
11. Tenders will be opened in the presence of tenderer or their authorised representative, if any.
12, The Tender Document is not Transferable and not Refundable.
13, Late Tenders: Any tender received by Post or by Courier Service after 1300 hrs of the date of
opening of the tender will not be considered. In such cases only the instrument of the Earnest Money
Deposit (e.g. the Demand Draft) will be returned.
13. The tender documents will be received up to time and Date as mentioned in the NIT and will be
opened on the same day at 1330 hrs in the O/o The Divisional Engineer, TP-II, BSNL, Bhangagarh,
Guwahati-5. Willing tenderers may be present if they like during the opening of tender. The tender will
be opened on the next working day if the scheduled date becomes a holiday.

And whereas the CONTRACTOR has offered to execute the work of trenching, cable laying and other
       connected   works in respect of zone(s)/routes(s)/section(s) __________________ as fully set
out in ANNEXE "A" hereto on the terms and conditions hereinafter contained as well as in the said
ANNEXE-A and „B‟ hereto.

And 'whereas the CONTRACTOR has in accordance with the terms of the tender furnish.ed     security'

Now that present witness and it is hereby agreed and declared by and between the parties to those
presents as follows: -
  1. The CONTRACTOR will, during the period of this Contract, that is to say, from…………….
     to……………, or until this Contract shall be terminated by such notice as is hereinafter
     mentioned, whichever is earlier, safely carry out by means of labourers employed at his own
     expense and by means of tools, implements equipment etc, to be arranged by him to his labourers
     at his own expense, all Pipe/Cable Laying and other connected works as described in the said
     ANNEXE "A" of the, Tender Document hereunder which the BSNL or the Chief General Manager
     or Deputy General Manager or Divisional Engineer of NE Task Force, Guwahati or any person
     authorized by the Chief General Manager in his behalf shall require.
  2. For the purpose of this Agreement, the Executive Officer includes the Divisional Engineer in
     charge of the work under whose signature the work order is issued and any other officer authorized
     by the Executive Officer.
  3. The .CONTRACTOR shall abide by the rules and conditions laid down in the schedule annexed to
     this agreement as ANEX-„A‟ and „B‟ and such other rules and regulations as may be frames from
     time to time by the Chief General Manager, NE Task Force, Guwahati on behalf of BSNL.

 4. The CONTRACTOR shall promptly carry out all the works relating to pipe / cable laying referred
     to in clause-1 above whenever call upon by the BSNL or by any of the persons mentioned in
     Clause-1 above within the jurisdiction of NE Task Force, Guwahati and within the time as will be
     specified to by the BSNL or any of the persons mentioned in clause-1 hereof at the time of issuing
     Work Order for each individual work.
 5. The CONTRACTOR shall execute all the items of works mentioned in the order for each work in
     most efficient and workman-like manner. As regards materials and labour, in every respect it must
     be in strict accordance with the instructions given to him from time to time by the officer
     mentioned in Clause-1 above or the Sub-Divisional Engineer in charge of the Works.
 6. The work shall, throughout the stipulated period, be preceded with all due diligence and the time
     allowed for the CONTRACTOR as entered in the work order shall strictly observe, completing the
     work. The time in this respect shall be, deemed to be the essence of the Contract on the part of the
     CONTRACTOR.
 7. If the CONTRACTOR fails to carry out any of his obligations under this Agreement and as
     mentioned in ANNEXE "A" and "B" penalty or recovery at the rates as prescribed at ANNEXE
     "B" shall be imposed by any of the· officers mentioned in clause-1 above.
 8. The CONTRACTOR's heirs or representatives or successors or assignees shall, with the consent in
     writing from CMD, BSNL or Chief General Manager, NE Task Force (BSNL) will have the right
     to continue to perform the duties or engagements of the CONTRACTOR under the Contract in
     case of his death or physical incapacity or any other eventuality.
 9. This Contract shall not, nor shall any part thereof or any interest herein be transferred or assigned
     by the CONTRACTOR to any other person or persons or a Company or attempted to be so done
     without the previous consent in writing of the CMD, BSNL or Chief General Manager (BSNL),
     NE Task 'Force Circle or Dy General Manager NE Task Force being first obtained.
 10. If the CONTRACTOR desires to transfer or assign his/its business to any other person, persons or
     Company, the CONTRACTOR shall make it one of the terms and stipulations of the Contract of
     transfer of his/properties and business to such other person or Company that such other person or
     Company shall, provided the Divisional Engineer, TP-II, Guwahati consents to the same, continue
     to perform the duties or engagements of the CONTRACTOR under this Contract and be subject to
     his liabilities there under.
 11. The CONTRACTOR hereby covenants and declares that no one connected with or in the'
     employment of the BSNL or Department of Telecommunications is nor shall any person ever be
     admitted as a partner or to any interest in this Contract.
 12. The aforesaid Security Deposit of Rs________________ (Rupees _____________________only)
     furnished by the CONTRACTOR shall be retained by the BSNL as security for the due and
     faithful 'performance by the CONTRACTOR of all the covenants, herein contained and on his part
     to be observed or performed. However. if the CONTRACTOR fails to perform, satisfactorily
     fulfill, keep and observe all or any of the covenants conditions or agreements on his part contained
     herein, then, unless the same is already forfeited, the Dy. General Manager, NE Task Force
     Guwahati will have the power to retain the whole or any part of the same and to appropriate the
     same or any part thereafter the use of BSNL absolutely as and when by way of liquidated damages
     and/or other dues and that without reference to the relative importance of the particular breach or
     breaches of Contract which might have given occasion for such appropriation and whether the
     BSNL may have sustained as containable pecuniary damages by such breach or breaches as
     aforesaid or no. In the case of such appropriations or retention of whole or part of the said security
     the CONTRACTOR shall forthwith deposit-further security for the full amount-or an amount
     sufficient to make up the deficit as the case may be.

 13. The said security or so much thereof as may not have been appropriated to the, use of the BSNL
     underClause-12 above will be returned to the CONTRACTOR after the terminatiCinof the
     Contract on submission of' NO DEMAND' Certificate by the CONTRACTOR thereafter. The
     BSNL jnay with hold such payment up to two (2) months from the date of receipt of 'NO
     DEMAND' Certificate from the CONTRACTOR for the purpose of verifying records so as to
     ensure that there is no recovery pending for any damages.
 14. That the BSNL will pay to the CONTRACTOR for the work which the CONTRACTOR was
     called upon by the BSNL or any of the officers mentioned in Clause-1 above and which was
     satisfactorily done by the CONTRACTOR at the rates mentioned in ANNEXE-'E' for this purpose
     the CONTRACTOR should submit to the Divisional Engineer in Charge of the Work, his/their bill
     for the Items of, work done by him/them against a particular work-order at the rates, specified in
     ANNEXE-'E' hereto, within 30 (thirty) days of the items of work covered by that work order
     having been satisfactorily completed by him/them.
 15. The bill will ordinarily be payable within two (2) months of the date of such submission.
 16. In case the bill is not submitted within thirty (30) days, the claim for settlement of bill within
     stipulated time and damages etc. caused on account of any late settlement will not be entertained
     by the BSNL.
 17. While making payment of CONTRACTOR's bill(s) NE Task Force will deduct on account of
     Income-Tax, Sales Tax, at the rate or as may be fixed from, time, to time by the Govt of India on
     the gross amount of each, bill passed for payment in accordance with the provision at Clause 194-
     C of Income- Tax Act, 1973. Also, suitable deduction will be made for the empty cable drums
     disposed off by the CONTRACTOR.
 18. The CONTRACTOR may use ACE-10 form to prepare his bills but bills prepared by him on his
     own form etc. may accepted provided they comply to the following conditions:
       A) The bills may be submitted in triplicate, all copies being signed by the CONTRACTOR. The
       three copies may be marked "Original", "Duplicate", and Triplicate" respectively.
       B) Details of the quantity and nature of each item of work done or material supplied as well as
       the stipulated rates be given.
       C) The dates of commencement and completion of the work or supply of materials be mentioned.
       The CONTRACTOR should duly sign measurement Book at the time of measurement and he
       wilt attach completion report duly signed by the Sub-Divisional Engineer, In charge of work
       based on the measurement book.
       D) The number and date of the Work Order be mentioned.

 19. In the event, of any penal action as mentioned in item-8 of ANNEXE"B" being adopted, the
     CONTRACTOR shall have no claim for any compensation for any loss sustained by him. By
     reason of his having purchased or procured any materials or entered into arrangement or made any
     advance on account, of or with the view of the execution of the work or the performance thereof.
 20. In the event of any of the Divisional Engineer in charge of the Work or the Site-in-Charge on the
     instruction of the Divisional Engineer in Charge of the Work; exercising the powers mentioned in
     item-8 of ANNEXE-'B' thereof he may, if he so desires, take possession of all or any of the tools,
     plants materials and stores in or upon the works on the site thereof or belonging to the
     CONTRACTOR, or procured by him and intended to be used for the execution of the work or any
     part thereof paying or allowing for the same any amount at Contract rates or in case of this not
     being applicable at current market rate to be certified by any of the said officers whose certificate
     thereof shall be final, any of the said officers may, in the alternative request the CONTRACTOR
     or his agents and servants to remove such tools, plants materials or stores within a time specified
     and in the event of the CONTRACTOR

      failing to comply with this requisition, any of the said officers may remove them at the
     CONTRACTOR's expenses and sell them by public auction or private sale on account of the
     CONTRACTOR and on his risk and responsibility and certificate of any of the said officers as to
     the expenses of any such removal and the amount of the proceeds and expenses of any such sale
     shall be final and conclusive against the CONTRACTOR.
 21. The Divisional Engineer, Telecom Project-II reserves the right to carry out any cable laying work,
     in part or whole, without entrusting the same to the existing CONTRATOR. However, in that
     event the CONTRACTOR will not be held liable to pay the difference of cost to the BSNL in case
     it exceeds the cost of the work executed by the contractor, or any difference if the cost in the event
     becomes less than the cost that would have been incurred as per contract rate be claimed by the
     CONTRACTOR.
 22. If the CONTRACTOR shall die or suffer from physical or any other incapacity before the expiry
     of this Contract the BSNL or any of the, officers mentioned in clause (l) thereof may at his sole
     discretion, either immediately terminate his Contract or require the successors/heirs or assignees or
     the legal representatives of the CONTRACTOR to carry out the same for such period not
     exceeding three Calendar months or as the BSNL and the said officers may require.
 23. Any notice required to be given under these presents may be given by delivering to or leaving the
     same with the CONTRACTOR at the address given above or by posting letter addressed to the
     CONTRACTOR at the said address and shall be deemed to be served at the time of such delivery
     or at the time of leaving the same with the CONTRACTOR or in cases of Posting at the time when
     the letter would have reached the CONTRACTOR in the ordinary course by post.
 24. ARBITRATION CLAUSE:

      (a) In the event of any question, dispute, difference arising under this agreement or in connection
          therewith (except as to the matters the decision of which is specifically provided under this
          agreement) the same shall be referred to the sole arbitration of the Chief General Manager,
          NE Task Force (hereinafter referred to as the said Officer) or any person nominated by him.
      (b) It will be no objection to any such appointment that the arbitrator is a Government servant. If
          however, the Arbitrator is a Government servant he will not be one who had an' opportunity
          to deal with the matter to which the agreement relates or that in the course of his duties as
          Government servant he has expressed view, on all or any of the matters in dispute or in
          difference.
      (c) The award of the Arbitrator shall be final and binding on the parties. It is a term of the
          agreement that in the event of such Arbitrator to whom the matter is originally referred to
          being transferred or vacating his office dying, resigning or refusing to work or neglecting his
          work or being unable to act for any reason whatsoever, the Said Officer shall appoint another
          person to act as Arbitrator in place of outgoing Arbitrator in accordance with the term of this
          agreement and the person so - appointed shall be entitled to proceed with the reference from
          the stage at which it , was left out by his predecessor.
      (d) The Arbitrator may, from time to time with the consent of the parties enlarge the time for
          making (and publishing) the award.
      (e) Subject to the aforesaid provisions, the Arbitration Act, 1940 and the rules made there under
          and any stipulation/modification for the time being in force shall be deemed to apply to the
          Arbitration proceeding under this clause.
      (f) Upon every and any reference as aforesaid the assessment of cost and of incidental expenses
          in the proceedings for the award shall be in the discretion of the arbitrator. The venue of the
          arbitration shall be the place from which the acceptance note is issued or such other place as
          the arbitrator at his discretion may determine.

 25. The CONTRACTOR will submit for examination in the office of Divisional Engineer, TP-II,
     Guwahati, its books of account and all concern papers maintained by it in this connection within
     fifteen (15) days from the date of its being called upon to do so.

      If the CONTRACTOR fails to do so, and/or
        a) If any fraud or fraudulent motive is detected in the CONTRACTOR's action with the BSNL
            and/or.
        b) b) If the CONTRACTOR demands undue charges not stipulated in the Contract and/or
        c) If any person connected with the BSNL of Telecom or any official drawing salary from the
            BSNL becomes in anyway interested in the Contract and/or
        d) If the CONTRATOR himself or any of his servants be guilty of fraud or attempt fraud in
            connection with the Contract or offer any bribe or gratuity to any person connected with the
            BSNL of Telecommunication or to any official drawing salary from the BSNL and/or.
        e) If the CONTRACTOR employees any outside agent or sublets the Contract or any right to
            payment there under without the consent in writing of the Chief General Manager, NE Task
            Force, Guwahati . and/or
        f) If in the event of any deduction of being made from the. CONTRACTOR's security deposit
            the Contractor fails to make good the payment of such deduction within the time herein
            before specified and/or
        g) If in the CONTRACTOR becomes insolvent or applies for relief as insolvent debtor and/or in
            case the CONTRACTOR is a company and it is wound up or in case the CONTRACTOR is
            a partnership firm when it is dissolved or reconstituted and/or
        h) lf the CONTRACTOR makes default In or fails to comply with any of the terms and
            conditions set forth in this Contract and/or.
        i) If the CONTRACTOR's work is found unsatisfactory in the opinion of the Divisional
            Engineer,TP-Il,Guwahat

The Divisional Engineer, TP-II, Guwahati shall be at liberty, by notice in writing to the
CONTRACTOR, to terminate the Contract in any of the cases stated above. (i.e. Items - '25-a' to '25-i').

The CONTRACTOR shall thereupon pay to the Divisional Engineer, TP-II, Guwahati in addition to any
sum or sums of money which the CONTRACTOR may be liable to pay under the provisions herein
before stated, such sum as the Divisional Engineer, TP-II, Guwahati may decide to be reasonable
compensation for loss or inconvenience caused. The amount of the sum for such breach on the part of
the CONTRACTOR will be fixed by Divisional Engineer TP-II, Guwahati and shall be final and
conclusive against the CONTRACTOR.

26.   The Annexes 'A' and 'E' constitute integral parts of this Agreement.
27.    The CONTRACTOR, shall, at all times indemnify the BSNL from/against all actions, suits,
      proceedings, damages claim, demands whatever, resulting from or arising out of, or in any way
      connected' with, or incidental to the operations caused by the Contract Documents.
28.   During the performance of the work, the CONTRACTOR shall, at his/its own cost and initiative,
      fully comply with all applicable laws of the land including: bye-laws, rules, regulations, orders or
      other provisions having the force of law, made/promulgated or deemed to be made or promulgated
      by the Government of other Civic authorities.

       Agreement have been fully and properly carried out by the said contractor (s) and accordingly
       discharges this guarantee. Unless a demand or claim under this guarantee is made on us in
       writing on or before expiry of three years from the date here of we shall be discharged from all
       Liabilities under this guarantee thereafter.
       (iii) That, we (name of Bank) …………………………………………….further agree with the
       BSNL that the BSNL shall have the fullest liberty without our consent and without affecting in
       any manner our obligations hereunder to vary any of terms and conditions of the said Agreement
       or to extend time of performance by the said contractor(s) from time to time or to postpone for
       any time or from time to time any of the powers exercisable by the BSNL against the said
       contractor(s) and to forbear or enforce any of the terms and conditions relating to the said
       agreement and, we shall not be relieved from our liability by reason of any forbearance; act or
       omission on the part of the BSNL or any indulgence by the BSNL to the said contractor(s) or by
       any such matter or thing whatsoever which under the law relating to securities would, but for this
       provision have effects to so relieving us.

6. That this guarantee will not be discharged due to the change in the constitution of the bank or the
contractor(s)/supplier(s}.
