        Minutes of the Meeting of the Todd County Board of Commissioners held on
                                       April 5, 2011
                                             Call to Order
The Todd County Board of Commissioners met in the Commissioner’s Board Room in the City of Long
Prairie, MN on the 5th day of April, 2011 at 9:00 A.M. The meeting was called to order by Chairperson
Blessing with all members present. The meeting was opened with the Pledge of Allegiance.
                                         Approval of Agenda
On motion by Kneisl and second by Ruda, the following motion was introduced and adopted by
unanimous vote to approve the agenda as amended with the following changes:
       1.      Consider Agreement for services for relocation of 911 Equipment
       2.      Consider Master Joint Powers Agreement with the Bureau of Criminal Apprehension
       3.      Midwest Examiners Office could not make their appointment today. Ruda suggested that
               the Board review the report and submit questions instead of request an in-person meeting.
               All members were in agreement.
                                           Routine Business
On motion by Ruda and seconded by Neumann, the following motion was introduced and adopted by
unanimous vote: To approve the Commissioner Warrants #27521 thru #27678 in the amount of
$441,044.85.

On motion by Kneisl and seconded by Kircher, the following motion was introduced and adopted by
unanimous vote: To approve the Auditor Warrants #215757 thru #215865 in the amount of $711,008.13.

On motion by Kircher and seconded by Ruda, the following motion was introduced and adopted by
unanimous vote: To approve the March 15, 2011 minutes with one correction:
       1.      Noting in the Commissioners report that Kneisl and Sheriff Mikkelson were in
               Washington D.C.

On motion by Neumann and seconded by Kneisl, the following motion was introduced and adopted by
unanimous vote: To approve March 29, 2011 minutes as read without changes.

On motion by Ruda and seconded by Kircher, the following resolution was introduced and adopted by
unanimous vote:
    GAMBLING PERMIT FOR CENTRACARE HEALTH FOUNDATION-LONG PRAIRIE
               TO HOLD A RAFFLE AT THE LONG PRAIRIE COUNTRY CLUB
WHEREAS, the Todd County Board of Commissioners are establishing their approval for a Gambling
Permit for the CentraCare Health Foundation-Long Prairie through this resolution.
NOW, THEREFORE BE IT RESOLVED, that the Todd County Board of Commissioners approve a one
day, Gambling Permit for the CentraCare Health Foundation-Long Prairie to hold a raffle at the Long
Prairie Country Club, located at 406 6th Street SE, Long Prairie, MN, on Tuesday, July 19th, 2011.

On motion by Kneisl and seconded by Ruda, the following motion was introduced and adopted by
unanimous vote: To approve a one year dance license for the Clarissa Ballroom.

On motion by Kircher and seconded by Neumann, the following motion was introduced and adopted by
unanimous vote: To approve a one year 3.2 Malt Liquor On & Off Sale license for Knotty Pine Ballroom
and Head of the Lakes Resort.

On motion by Neumann and seconded by Kneisl, the following motion was introduced and adopted by
unanimous vote: To approve a one year On & Off Sale and Sunday Liquor license for Diamond Point
Supper Club.

On motion by Kircher and seconded by Kneisl, the following motion was introduced and adopted by
unanimous vote: To approve a one year 3.2 Malt Liquor On Sale license for Little Moran Hunting Club.

On motion by Neumann and seconded by Kneisl, the following motion was introduced and adopted by
unanimous vote: To approve a one year On Sale and Sunday Liquor license for Double Eagle Golf &
Grille.

On motion by Ruda and seconded by Kneisl, the following motion was introduced and adopted by
unanimous vote: To approve a one year set up license for Little Moran Hunting Club, Clarissa Ballroom
and Head of the Lakes Resort.

On motion by Ruda and seconded by Kneisl, the following resolution was introduced and adopted by
unanimous vote:
                  EXTENSION OF THE YOUTH FARMLAND GROUP LEASE
WHEREAS, The Youth Farmland Group has entered into a lease agreement with Todd County for the
establishment, maintenance and exposition of a Youth Farmland Group project at the fairgrounds; and
WHEREAS, the lease will be expiring on March 31, 2011, and;
WHEREAS, the Youth Group would like to extend the Lease for another four (4) years as the project has
been well received by the public.
NOW, THEREFORE BE IT RESOLVED, that the Todd County Board of Commissioners hereby extend
the term of the Lease Agreement, per copy on file in the Auditor-Treasurer’s Office, between Todd
County and the Youth Farmland Group for another four (4) years. Lease will expire on March 31st, 2015.

On motion by Ruda and seconded by Neumann, the following motion was introduced and adopted by
unanimous vote: To approve the Chair of the Board to sign a letter of support to the Central Minnesota
Emergency Medical Services Region for grant applications.

On motion by Ruda and seconded by Kircher, the following motion was introduced and adopted by
unanimous vote: To approve out of state travel for Commissioner Mark Blessing for the purposes of
attending the National Association of Counties Annual Conference.

unanimous vote: To approve appointment of Karin Nauber to the Todd County Parks and Trails Board.
                                      MCIT Member Report Update
Kevin Balfanz - MCIT Representative, gave an update for the past year.
                                                Public Works
On motion by Ruda and seconded by Neumann, the following motion was introduced and adopted by
unanimous vote: To direct the Public Works Department to submit an estimated of 1,800 tons in the
statewide road salt solicitation for the State Bid Contract through the Cooperative Purchasing Venture
(CPV).

On motion by Kneisl and seconded by Kircher, the following motion was introduced and adopted by
unanimous vote: To direct the Public Works Department to purchase all metal pipe culverts for the 2011
season from Contech Construction Products off of the State Bid under the Cooperative Purchasing
Venture Agreement.
                                               Hands of Hope
On motion by Ruda and seconded by Neumann, the following resolution was introduced and
adopted by unanimous vote:
                           NATIONAL CRIME VICTIMS RIGHTS WEEK
WHEREAS, 432 residents of Todd County were victims of crime this past year and each crime
affects many more, including families, friends and communities and;
WHEREAS, crime exacts an emotional, physical, psychological, and financial toll on victims as
they have lost loved ones, life savings, physical and mental health, and often their sense of
security that has the potential to irrevocably change the course of their lives forever; and
WHEREAS, more than 30 years of progress for crime victims stands on the shoulders of
dedicated advocates and brave victims who overcame shame, isolation, and indifference to gain
a voice, rights, and respect and;
WHEREAS, victim assistance programs across the country are reaching more victims and
criminal justice officials are honoring victims’ rights more consistently, there is still a lot to do
and;
WHEREAS, our history teaches us that, by working together, we can help victims of crime
reshape their destinies and ensure that they receive the support they need, the respect they
deserve, and the rights they have earned and;
WHEREAS, National Crime Victims’ Rights Week, April 10 – 16, 2011, provides and
opportunity for us to reshape the future for victims by honoring the past and reflecting on hard
won victories, and to recommit to working together to insist on better treatment for victims to
help them overcome the harm caused by crime and;
WHEREAS, Hand of Hope Resource Center is joining forces with victim service programs,
criminal justice officials and concerned citizens throughout Todd County and America to raise
awareness of victims’ rights and observe National Crime Victims’ Rights Week;

NOW, THEREFORE BE IT RESOLVED, as County Commissioners for Todd County MN, we do
hereby proclaim the week of April 10-16, 2011 as: National Crime Victims’ Rights Week

On a motion by Kneisl and second by Kircher, the following resolution was introduced and adopted by
unanimous vote:
                            SEXUAL ASSAULT AWARENESS MONTH
WHEREAS, The Board of Commissioners are working toward making every home and community in
Todd County safe, and;
WHEREAS, the voices of those who have been victims of sexual violence must be heard through public
awareness and education activities, and;
WHEREAS, in Fiscal Year 2010 Hands of Hope Resource Center served 36 new sexual assault victims
and their loved ones in Todd County, and;
WHEREAS, on the average, only 5% of victims report sexual assault, and;
WHEREAS, the Board of Commissioners join Hands of Hope Resource Center in believing that all Todd
County residents must be a part of the solution to eliminate crimes of sexual violence;
NOW, THEREFORE BE IT RESOLVED, that Todd County and the Board of Commissioners, does
hereby proclaim April 2011 as SEXUAL ASSAULT AWARENESS MONTH in honor of all Todd
County residents who have made a conscious and dedicated decision to end sexual violence.
                                      Todd County Social Services
On motion by Neumann and second by Ruda the following resolution was introduced adopted by
unanimous vote:
                               CHILD ABUSE PREVENTION MONTH
WHEREAS, child abuse and neglect are community problems and finding solutions depends on
involvement among people throughout the community; and
WHEREAS, the effects of child abuse are felt by whole communities and need to be addressed by the
entire community; and
WHEREAS, effective child abuse prevention programs succeed because of partnerships created among
social services agencies, schools, religious organizations, law enforcement agencies, health care providers
and the business community; and
WHEREAS, all citizens should become aware of child abuse issues and prevention strategies within the
community, and become involved in supporting parents to raise their children in safe, nurturing
environments;
NOW, THEREFORE BE IT RESOLVED, We, the Todd County Board of Commissioners, do hereby
proclaim April 2011 as Child Abuse Prevention Month in the County of Todd and call upon all citizens,
community agencies, religious organizations, health care providers and businesses to actively work
toward the prevention of child abuse and neglect, thereby protecting children and strengthening the
communities in which we live.

                                     Todd County Public Health
The Todd County Public Health department has been awarded a MN Department of Human Services
grant to work with schools for Youth Alcohol Prevention. The Public Health staff discussed the grant
objectives and work plan with the County Board.

On motion by Kircher and second by Neumann the following resolution was introduced adopted by
majority vote with Ruda voting against:
      APPROVE TOBACCO LICENSES FOR ESTABLISHMENTS TO SELL TOBACCO
                       PRODUCTS IN TODD COUNTY
WHEREAS, the Todd County Tobacco Sales and Youth Access Ordinance, effective November 2000, is
in accordance with MN and federal laws to regulate the sales of tobacco to decrease youth access to
tobacco products, and;
WHEREAS, the referenced Ordinance provides for licensing of establishments to sell tobacco, a retailer
education opportunity, compliance checks and appropriate legal consequences, and ;
WHEREAS, the following establishment has met requirements for licensing;
American Legion Post 0417 Oscar Jacobsen Legion Inc.
NOW, THEREFORE BE IT RESOLVED, the Todd County Board of Commissioners approve this
tobacco sales license effective;
American Legion Post 0417 Oscar Jacobsen Legion Inc. April 1, 2011 – 12-31-2011.
                                  Historic Courthouse Presentation
Collaborative Design Group and Contegrity, Inc. presented final design phase plans to the County Board.

On motion by Kircher and second by Ruda the following motion was introduced adopted by unanimous
vote: To approve renovation plans for the Todd County Historic Courthouse, and direction for County
Administration, Collaborative Design Group and Contegrity to proceed with construction activities.
                                     Todd County Administrator
On motion by Ruda and second by Neumann, the following resolution was introduced and adopted by
unanimous vote:
             A RESOLUTION APPOINTING AN INTERIM COUNTY SURVEYOR
WHEREAS, Minnesota Statutes allows the County Board of a County to appoint a County Surveyor, and;
WHEREAS, the office of County Surveyor is currently vacant, and;
NOW, THEREFORE BE IT RESOLVED, the Todd County Board of Commissioners appoints Mark
Jahner as the interim County Surveyor for Todd County with term to expire when the Board permanently
fills the position, and;
BE IT FURTHER RESOLVED, that the interim County Surveyor shall continue to perform duties under
the same terms as the agreement currently in place.

On motion by Kircher and second by Ruda, the following motion was introduced and adopted by
unanimous vote: To approve the County Administration to work with Public Financial Management and

bring forth bond sale results for County Board consideration at the April 19, 2011 regular County Board
meeting.

On motion by Kircher and second by Ruda, the following motion was introduced and adopted by
unanimous vote: To approve the County Administration to direct Gessell Motors to begin purchasing
vehicles for the County vehicle fleet, within specifications, and within budgeted amounts.
On motion by Kneisl and second by Neumann, the following motion was introduced and adopted by
unanimous vote: To approve the agreement with Granite Electronics of St. Cloud, MN to provide
relocation services for 911 equipment at a cost of up to $10,000 plus applicable taxes.
                                        Administrator’s Report
Administrator reported that there are new vending machines throughout the county complex, this is at no
cost to the County, and the vendor will be returning 15% of the revenues to the County. County staff
deserves to be recognized and commended for getting the historic courthouse ready for renovation. The
Commissioners will be hosting a continental breakfast for employees on April 12 prior to the Social
Services meeting. The County Administrator will be holding focus groups with area high school students,
commissioners are welcome to attend. District meetings are scheduled and prepared, please try to inform
the public that they are being held, a county volunteer will be making direct phone calls to people in the
county to ask them to attend. A community meeting for the Fiberband Initiative has been scheduled for
May 12 at 5:30 pm at the Long Prairie High School; a light dinner will be served. All members of the
community are encouraged to attend.

RESOLUTION APPROVING THE STATE OF MINNESOTA JOINT POWERS AGREEMENTS
      WITH THE COUNTY OF TODD AND TODD COUNTY SHERIFF’S OFFICE

WHEREAS, the County of Todd on behalf of the Todd County Sheriff’s Office desires to enter into
Joint Powers Agreements with the State of Minnesota, Department of Public Safety, Bureau of Criminal
Apprehension to use systems and tools available over the State’s criminal justice data communications
network for which the County is eligible. The Joint Powers Agreement further provide the County with
the ability to add, modify and delete connectivity, systems and tools over the five year life of the
agreement and obligates the County to pay the costs for the network connection.

NOW, THEREFORE BE IT RESOLVED, by the Todd County Board of Commissioners as follows:

   1.      That the State of Minnesota Joint Powers Agreements by and between the State of Minnesota
           acting through its Department of Public Safety, Bureau of Criminal Apprehension and the
           County of Todd on behalf of the Todd County Sheriff’s Office, are hereby approved.

   2.      That the Sheriff, Peter J. Mikkelson, or his or her successor, is designated the Authorized
           Representative for the Todd County Sheriff’s Office. The Authorized Representative is also
           authorized to sign any subsequent amendment or agreement that may be required by the State
           of Minnesota to maintain the County connection to the systems and tools offered by the State.

   3.      That the Chairman of the Todd County Board of Commissioners are authorized to sign the
           State of Minnesota Joint Powers Agreements.

                            2011 CONTRACT FOR
                           MAINTENANCE SERVICES
                 Todd County and Sauk River Watershed District


This Agreement is entered into by and between Todd County, Minnesota and the Sauk River
Watershed District.

WHEREAS, Todd County desires to have the Sauk River Watershed District perform
maintenance services pursuant to certain terms and conditions, and

WHEREAS, the Sauk River Watershed District has the requisite skill and experience necessary
to provide maintenance services, now, therefore,

IN CONSIDERATION OF the mutual benefits and conditions set forth below, the parties hereto
agree as follows:

1. Scope and Schedule of Services to be Performed by Sauk River Watershed District. The Sauk
River Watershed District shall perform those services described in Exhibit A, Scope of Work and
Exhibit B, Schedule and Annual Checklist of Services, attached hereto and incorporated herein
by this reference as if fully set forth. Sauk River Watershed District shall submit an annual
checklist on the form provided in Exhibit B by December 31, 2011. In performing all services
under this Agreement, the Sauk River Watershed District shall at all times comply with all
federal, state, and local statutes, rules and ordinances applicable to the performance of such
services and the handling of any funds used in connection therewith. Only prior written
agreement of the parties may modify the scope or schedule.

2. Compensation and Method of Payment.

       A. Total Compensation. The total amount to be paid for 2011 shall not exceed two
       thousand dollars ($2,000.00) unless mutually agreed upon in writing between Todd
       County and the Sauk River Watershed District.

       B. Compensation Rates. Compensation for Services shall be in accordance with the rates
       set forth in Attachment C, Compensation Summary Sheet 2006 Sheet, attached hereto
       and incorporated by this reference.

       C. Method of Payment. Todd County shall make a payment to the Sauk River Watershed
       District based on year end billing for services performed. Todd County shall pay the Sauk
       River Watershed District for services rendered within thirty days after receipt of a billing
       voucher and completed copies of the appropriate annual checklist in Exhibit B. The Sauk
       River Watershed District will be reimbursed for actual services performed.

3. Term of Agreement. This Agreement shall be in full force and effect for a period commencing
April 1, 2011 and ending December 31, 2011 unless sooner terminated under the provisions
hereinafter specified. The term of this Agreement may be extended for one year if mutually
agreed in writing between Todd County and the Sauk River Watershed District.

4. Record Keeping and Reporting.

       A. The Sauk River Watershed District shall maintain accounts and records, including
       personnel, property, financial and programmatic records which sufficiently and properly
       reflect all direct and indirect costs of any nature expended and services performed in the
       performance of this Agreement and other such records as may be deemed necessary by
       Todd County to ensure the performance of this Agreement.


5. Termination. Todd County shall give the Sauk River Watershed District thirty (30) days
written notice of its intention to terminate this Agreement. Failure to provide service or products
on schedule is cause for contract termination.

6. No Waiver. Failure or delay of Todd County to declare any breach or default immediately
upon occurrence shall not waive such breach or default. Failure of Todd County to declare one
breach or default does not act as a waiver of its right to declare another breach or default.

7. Entire Agreement. This Agreement contains the entire Agreement between the parties hereto
and no other Agreements, oral or otherwise, regarding the subject matter of this Agreement, shall
be deemed to exist or bind any of the parties hereto. Either party may request changes in the
agreement. Proposed changes which are mutually agreed upon shall be incorporated by written
amendments to this Agreement.

                                        EXHIBIT A:
                                       SCOPE OF WORK


I.     Definitions.

       Sites A-J – Those individual areas as outlined on attached map.
       Envirolok Wall – Area located in Site E.
       Geogrid- Area located in Site E.
       Point- Area known as Site J.
       Fence – Split rail fencing lining restoration area.
       Beach Area – 25 foot linear area of open shoreline for recreational use

II.     Scope of Services to be Provided by Sauk River Watershed District. The Sauk River
Watershed District shall furnish maintenance services to the Todd County Park Board at the sites
set forth below. The Sauk River Watershed District shall furnish all labor, tools, equipment,
materials, supplies, supervision, transportation, and other items necessary for the complete
maintenance, in accordance with the provisions herein.

     A. INDIVIDUAL SITES
          1. Sites A-J:
               a) Planted Areas
                       i. Weeding: These areas will be monitored for noxious and invasive weeds
                          and mechanically and/or chemically controlled from April 1, 2011 to
                          October 1, 2011 once per month.

                      ii. Watering: These areas will be watered on an as needed basis according
                         to weekly rainfall amounts.

                      iii. Glyphosate Herbicide. An aquatic sage herbicide shall be applied to all
                         individual sites when the need for weed control arises.

                      iv. General Repair of Sites: Any structures/areas that need to be repaired
                        due to foot/boat/natural destruction will be repaired.

       2. Sites A-D
               a.) Reseeding of Upland Areas
                       i. Sites A-D will be reseeded due to poor germination no earlier than
                          October 15, 2011, unless weather necessitates. This will be done by
                          removing existing erosion control blankets in the upland area, preparing
                          the seed bed, hand broadcasting native seed mix, and replacing erosion
                          control blankets if possible.

       3. Beach Area
              a.) Movement of Beach

                         i. SRWD will work with Todd County Park Board to move existing beach
                            area to more desirable location given that beach size remains within
                            Todd County Zoning Ordinance requirements. SRWD will not be
                            responsible for supplying sand blanket or any beach control structures.

                         ii. Movement of Fence: SRWD will work with Todd County Park Board
                             to relocate fencing sections to accommodate new beach location.

          4. Winterization
                a.) Dewinterization
                        i. SRWD will dewinterize the restoration areas by removing snow fencing
                            and preparing irrigation system when ground thaw allows.

                 b.) Winterization
                        i. SRWD will winterize the restoration areas by installing snow fencing
                            and preparing irrigation system between October 15, 2011 and
                            November 15, 2011.

          5. Point
                 a.) SRWD will work with Todd County Park Board to determine best mode of
                    action for addressing lack of soil stabilization on Site J (the Point). SRWD will
                    implement plan of action.

III.      Work Program

The SRWD shall submit to the Todd County Park Board’s approval an annual work plan for each
task. Annually, the SRWD shall provide a schedule of approximate dates that maintenance
described in the Scope of Work shall be performed. The SRWD shall submit the annual work
program prior to the Todd County Park Board issuing the notice to proceed. Upon Todd County
Park Board approval of the Work Program, the SRWD shall perform the work in accordance
with the schedule and will notify the Todd County Park board if the scheduled work cannot be
performed as scheduled.

IV.       Form Submittals.

The SRWD shall submit the following forms to the Todd County Park Board as specified below.

              THE PAYMENT OF $4,125,000 GENERAL OBLIGATION BONDS,

      BE IT RESOLVED by the Board of County Commissioners (the “Board”) of Todd
County, Minnesota (the “County”), as follows:

SECTION 1. AUTHORIZATION AND SALE.

         1.01. Authorization and Election. By an election held November 2, 2010 (the
“Election”), the electors of the County approved the issuance of general obligation bonds in a
principal amount not to exceed $4,300,000 to finance renovations to the Todd County Historic
Courthouse. This Board has previously issued its $525,000 Taxable General Obligation
Courthouse Bonds, Series 2010 (Recovery Zone Economic Development Bonds), dated, as
originally issued, as of December 29, 2010 (the “Series 2010 Bonds”), pursuant to the authority
conferred upon by the County by the Election. This Board, by resolution duly adopted on April
5, 2011, authorized the issuance and sale of its General Obligation Bonds, Series 2011 (the
“Bonds”) in the principal amount of $4,125,000, pursuant to Minnesota Statutes, Chapter 475
and Section 373.01, subdivision 3, and the Election. The portion of the Bonds ($__________)
that is being issued pursuant to Minnesota Statutes, Chapter 475 and the Election (the
“Courthouse Portion”) will be used to finance renovations to the Todd County Historic
Courthouse (the “Courthouse Project”). The portion of the Bonds ($__________) that is being
issued pursuant to Minnesota Statutes, Section 373.01, subdivision 3 and Chapter 475 (the
“Capital Equipment Portion”) will be used to finance the acquisition of certain items of capital
equipment (the “Capital Equipment”; and together with the Courthouse Project, the “Projects”).
Said items of Capital Equipment have a useful life not less than the term of the Capital
Equipment Portion of the Bonds. Maturity schedules for the Courthouse Portion and the Capital
Equipment Portion are attached hereto as Exhibit A.

         1.02. Sale of Bonds; Award. The County has retained Public Financial Management,
Inc., as independent financial advisor in connection with the sale of the Bonds. Pursuant to
Minnesota Statutes, Section 475.60, subdivision 2, paragraph (9), the requirements as to public
sale do not apply to the issuance of the Bonds. Pursuant to the Official Statement prepared on
behalf of the County by Public Financial Management, Inc., sealed proposals for the purchase of
the Bonds were received at or before the time specified for receipt of proposals. The proposals
have been opened, publicly read and considered and the purchase price, interest rates and net
interest cost under the terms of each proposal have been determined. The most favorable
proposal received is that of ________________________, in _____________, ____________
(the “Purchaser”), to purchase the Bonds at a price of $___________, on the further terms and
conditions hereinafter set forth. The offer is hereby accepted, and the Chair and County
Administrator are hereby authorized and directed to execute a contract on the part of the County

SECTION 2. TERMS; REGISTRATION; EXECUTION AND DELIVERY.

       2.01. Issuance of Bonds. All acts, conditions and things which are required by the
Constitution and laws of the State of Minnesota to be done prior to the issuance of the Bonds
having been done, existing and having happened, it is necessary for this Board to establish the
form and terms of the Bonds, to provide for the security thereof, and to issue the Bonds
forthwith.

        2.02. Maturities, Interest Rates and Denominations. The Bonds shall be originally dated
as of May 12, 2011, shall be in denominations of $5,000 or any integral multiple thereof of
single maturities, shall mature on February 1 in the years and amounts stated below and shall
bear interest from date of issue until paid or duly called for redemption at the annual rates set
forth opposite such years and amounts, as follows:

The Bonds shall be issuable only in fully registered form. Interest shall be computed on the basis
of a 360-day year composed of twelve 30-day months. The interest on and, upon surrender of
each Bond, the principal amount thereof, shall be payable by check or draft issued by the
Registrar described herein, provided that, so long as the Bonds are registered in the name of a
securities depository, or a nominee thereof, in accordance with Section 2.08 hereof, principal and
interest shall be payable in accordance with the operational arrangements of the securities
depository.

       2.03. Dates and Interest Payment Dates. Upon initial delivery of the Bonds pursuant to
Section 2.07 and upon any subsequent transfer or exchange pursuant to Section 2.06, the date of
authentication shall be noted on each Bond so delivered, exchanged or transferred. The interest
on the Bonds shall be payable on February 1 and August 1, commencing February 1, 2012, to the
owners of record thereof as of the close of business on the fifteenth day of the immediately
preceding month, whether or not such day is a business day.

        2.04. Redemption. Bonds maturing in 2019 and later years shall be subject to
redemption and prepayment at the option of the County, in whole or in part, in such order as the
County shall determine and within a maturity by lot as selected by the Registrar (or, if
applicable, by the bond depository in accordance with its customary procedures) in multiples of
$5,000, on February 1, 2018, and on any date thereafter, at a price equal to the principal amount
thereof and accrued interest to the date of redemption. The County Administrator shall cause

notice of the call for redemption thereof to be published if and as required by law and, at least
thirty (30) and not more than sixty (60) days prior to the designated redemption date, shall cause
notice of the call for redemption to be mailed, by first class mail, to the registered owners of any
Bonds to be redeemed at their addresses as they appear on the bond register described in Section
2.06 hereof, but no defect in or failure to give such mailed notice of redemption shall affect the
validity of proceedings for the redemption of any Bond not affected by such defect or failure.
Official notice of redemption having been given as aforesaid, the Bonds or portions of Bonds so
to be redeemed shall, on the redemption date, become due and payable at the redemption price
therein specified, and from and after such date (unless the County shall default in the payment of
the redemption price) such Bonds or portions of Bonds shall cease to bear interest. Upon partial
redemption of any Bond, a new Bond or Bonds will be delivered to the registered owner without
charge, representing the remaining principal amount outstanding.

        2.05. Appointment of Initial Registrar. The County hereby appoints U.S. Bank National
Association, St. Paul, Minnesota, as the initial bond registrar, transfer agent and paying agent
(the “Registrar”). The Chair and County Administrator are authorized to execute and deliver, on
behalf of the County, a contract with the Registrar. Upon merger or consolidation of the

Registrar with another corporation, if the resulting corporation is a bank or trust company
organized under the laws of the United States or one of the states of the United States and
authorized by law to conduct such business, such corporation shall be authorized to act as
successor Registrar. The County agrees to pay the reasonable and customary charges of the
Registrar for the services performed. The County reserves the right to remove the Registrar,
effective upon not less than thirty days’ written notice and upon the appointment and acceptance
of a successor Registrar, in which event the predecessor Registrar shall deliver all cash and
Bonds in its possession to the successor Registrar and shall deliver the Bond Register to the
successor Registrar. The County Administrator shall also cause notice of the appointment of a
successor Registrar to be mailed, by first class mail, to the registered owners of the Bonds at
their addresses as they appear on the bond register, but no defect in or failure to give such mailed
notice of redemption shall affect the validity of the proceedings relating to the removal of the
Registrar and appointment of a successor.

       2.06. Registration. The effect of registration and the rights and duties of the County and
the Registrar with respect thereto shall be as follows:

               (a) Register. The Registrar shall keep at its principal office a bond register in
       which the Registrar shall provide for the registration of ownership of Bonds and the
       registration of transfers and exchanges of Bonds entitled to be registered, transferred or
       exchanged.

               (b) Transfer of Bonds. Upon surrender for transfer of any Bond duly endorsed by
       the registered owner thereof or accompanied by a written instrument of transfer, in form
       satisfactory to the Registrar, duly executed by the registered owner thereof or by an
       attorney duly authorized by the registered owner in writing, the Registrar shall
       authenticate and deliver, in the name of the designated transferee or transferees, one or
       more new Bonds of a like aggregate principal amount and maturity, as requested by the
       transferor. The Registrar may, however, close the books for registration of any transfer
       after the fifteenth day of the month preceding each interest payment date and until such
       interest payment date.

               (c) Exchange of Bonds. Whenever any Bonds are surrendered by the registered
       owner for exchange the Registrar shall authenticate and deliver one or more new Bonds
       of a like aggregate principal amount and maturity, as requested by the registered owner or
       the owner’s attorney in writing.

             (d) Cancellation. All Bonds surrendered upon any transfer or exchange shall be
       promptly canceled by the Registrar and thereafter disposed of as directed by the County.

               (e) Improper or Unauthorized Transfer. When any Bond is presented to the
       Registrar for transfer, the Registrar may refuse to transfer the same until it is satisfied that
       the endorsement on such Bond or separate instrument of transfer is valid and genuine and
       that the requested transfer is legally authorized. The Registrar shall incur no liability for
       the refusal, in good faith, to make transfers which it, in its judgment, deems improper or
       unauthorized.

               (f) Persons Deemed Owners. The County and the Registrar may treat the person
       in whose name any Bond is at any time registered in the bond register as the absolute
       owner of such Bond, whether such Bond shall be overdue or not, for the purpose of
       receiving payment of, or on account of, the principal of and interest on such Bond and for
       all other purposes, and all such payments so made to any such registered owner or upon
       the owner’s order shall be valid and effectual to satisfy and discharge the liability upon
       such Bond to the extent of the sum or sums so paid.

               (g) Taxes, Fees and Charges. For every transfer or exchange of Bonds (except
       for an exchange upon partial redemption of a Bond), the Registrar may impose a charge
       upon the owner thereof sufficient to reimburse the Registrar for any tax, fee or other
       governmental charge required to be paid with respect to such transfer or exchange.

                 (h) Mutilated, Lost, Stolen or Destroyed Bonds. In case any Bond shall become
       mutilated or be destroyed, stolen or lost, the Registrar shall deliver a new Bond of like
       amount, number, maturity date and tenor in exchange and substitution for and upon
       cancellation of any such mutilated Bond or in lieu of and in substitution for any such
       Bond destroyed, stolen or lost, upon the payment of the reasonable expenses and charges
       of the Registrar in connection therewith; and, in the case of a Bond destroyed, stolen or
       lost, upon filing with the Registrar of evidence satisfactory to it that such Bond was
       destroyed, stolen or lost, and of the ownership thereof, and upon furnishing to the
       Registrar of an appropriate bond or indemnity in form, substance and amount satisfactory
       to it, in which both the County and the Registrar shall be named as obligees. All Bonds
       so surrendered to the Registrar shall be canceled by it and evidence of such cancellation
       shall be given to the County. If the mutilated, destroyed, stolen or lost Bond has already
       matured or been called for redemption in accordance with its terms it shall not be
       necessary to issue a new Bond prior to payment.

               (i) Authenticating Agent. The Registrar is hereby designated authenticating
       agent for the Bonds, within the meaning of Minnesota Statutes, Section 475.55,
       Subdivision 1, as amended.

               (j) Valid Obligations. All Bonds issued upon any transfer or exchange of Bonds
       shall be the valid obligations of the County, evidencing the same debt, and entitled to the
       same benefits under this Resolution as the Bonds surrendered upon such transfer or
       exchange.

        2.07. Execution; Authentication and Delivery. The Bonds shall be prepared under the
direction of the County Administrator and shall be executed on behalf of the County by the
signatures of the Chair and the County Administrator, provided that all signatures may be
printed, engraved, or lithographed facsimiles of the originals. In case any officer whose
signature, or a facsimile of whose signature, shall appear on the Bonds shall cease to be such
officer before the delivery of any Bond, such signature or facsimile shall nevertheless be valid
and sufficient for all purposes, the same as if such officer had remained in office until delivery.
Notwithstanding such execution, no Bond shall be valid or obligatory for any purpose or entitled
to any security or benefit under this resolution unless and until a certificate of authentication on
such Bond has been duly executed by the manual signature of the Registrar. The executed

certificate of authentication on each Bond shall be conclusive evidence that it has been
authenticated and delivered under this resolution. When the Bonds have been so delivered and
authenticated, they shall be delivered by the County Administrator to the Purchaser upon
payment of the purchase price in accordance with the contract of sale heretofore made and
executed, and the Purchaser shall not be obligated to see to the application of the purchase price.

       2.08. Securities Depository. (a) For purposes of this section the following terms shall
have the following meanings:

               “Beneficial Owner” shall mean, whenever used with respect to a Bond, the person
       in whose name such Bond is recorded as the beneficial owner of such Bond by a
       Participant on the records of such Participant, or such person’s subrogee.

             “Cede & Co.” shall mean Cede & Co., the nominee of DTC, and any successor
       nominee of DTC with respect to the Bonds.

               “DTC” shall mean The Depository Trust Company of New York, New York.

             “Participant” shall mean any broker-dealer, bank or other financial institution for
       which DTC holds Bonds as securities depository.

              “Representation Letter” shall mean the Representation Letter pursuant to which
       the County agrees to comply with DTC’s Operational Arrangements.

         (b) The Bonds shall be initially issued as separately authenticated fully registered bonds,
and one Bond shall be issued in the principal amount of each stated maturity of the Bonds. Upon
initial issuance, the ownership of such Bonds shall be registered in the bond register in the name
of Cede & Co., as nominee of DTC. The Registrar and the County may treat DTC (or its
nominee) as the sole and exclusive owner of the Bonds registered in its name for the purposes of
payment of the principal of or interest on the Bonds, selecting the Bonds or portions thereof to be
redeemed, if any, giving any notice permitted or required to be given to registered owners of
Bonds under this resolution, registering the transfer of Bonds, and for all other purposes
whatsoever; and neither the Registrar nor the County shall be affected by any notice to the
contrary. Neither the Registrar nor the County shall have any responsibility or obligation to any
Participant, any person claiming a beneficial ownership interest in the Bonds under or through
DTC or any Participant, or any other person which is not shown on the bond register as being a
registered owner of any Bonds, with respect to the accuracy of any records maintained by DTC
or any Participant, with respect to the payment by DTC or any Participant of any amount with
respect to the principal of or interest on the Bonds, with respect to any notice which is permitted
or required to be given to owners of Bonds under this resolution, with respect to the selection by
DTC or any Participant of any person to receive payment in the event of a partial redemption of
the Bonds, or with respect to any consent given or other action taken by DTC as registered owner
of the Bonds. So long as any Bond is registered in the name of Cede & Co., as nominee of DTC,
the Registrar shall pay all principal of and interest on such Bond, and shall give all notices with
respect to such Bond, only to Cede & Co. in accordance with DTC’s Operational Arrangements,
and all such payments shall be valid and effective to fully satisfy and discharge the County’s
obligations with respect to the principal of and interest on the Bonds to the extent of the sum or

sums so paid. No person other than DTC shall receive an authenticated Bond for each separate
stated maturity evidencing the obligation of the County to make payments of principal and
interest. Upon delivery by DTC to the Registrar of written notice to the effect that DTC has
determined to substitute a new nominee in place of Cede & Co., the Bonds will be transferable to
such new nominee in accordance with paragraph (e) hereof.

        (c) In the event the County determines that it is in the best interest of the Beneficial
Owners that they be able to obtain Bonds in the form of bond certificates, the County may notify
DTC and the Registrar, whereupon DTC shall notify the Participants of the availability through
DTC of Bonds in the form of certificates. In such event, the Bonds will be transferable in
accordance with paragraph (e) hereof. DTC may determine to discontinue providing its services
with respect to the Bonds at any time by giving notice to the County and the Registrar and
discharging its responsibilities with respect thereto under applicable law. In such event the
Bonds will be transferable in accordance with paragraph (e) hereof.

      (d) The execution and delivery of the Representation Letter to DTC by the Chair or
County Administrator, if not previously filed with DTC, is hereby authorized and directed.

         (e) In the event that any transfer or exchange of Bonds is permitted under paragraph (b)
or (c) hereof, such transfer or exchange shall be accomplished upon receipt by the Registrar of
the Bonds to be transferred or exchanged and appropriate instruments of transfer to the permitted
transferee in accordance with the provisions of this resolution. In the event Bonds in the form of
certificates are issued to owners other than Cede & Co., its successor as nominee for DTC as

April 19, 2011 (the “Resolution”), and authority conferred by more than the requisite majority
vote of the qualified electors of the County voting on the question of its issuance at an election
duly and legally called and held, and pursuant to and in full conformity with the Constitution and
laws of the State of Minnesota thereunto enabling, including Minnesota Statutes, Chapter 475
and Section 373.01, subdivision 3. For the prompt and full payment of such principal and
interest as the same respectively become due, the full faith and credit and taxing powers of the
County have been and are hereby irrevocably pledged. The Bonds are issuable only in fully
registered form, in denominations of $5,000 or any integral multiple thereof, of single maturities.

        Bonds maturing in 2019 and later years are subject to redemption and prepayment at the
option of the County, in whole or in part, in such order as the County shall determine and, within
a maturity, by lot as selected by the Registrar (or, if applicable, by the bond depository in
accordance with its customary procedures) in multiples of $5,000, on February 1, 2018, and on
any date thereafter, at a price equal to the principal amount thereof plus interest accrued to the
date of redemption. The County will cause notice of the call for redemption to be published as
required by law and, at least thirty (30) and not more than sixty (60) days prior to the designated
redemption date, will cause notice of the call thereof to be mailed by first class mail to the
registered owner of any Bond to be redeemed at the owner’s address as it appears on the bond
register maintained by the Registrar, but no defect in or failure to give such mailed notice of
redemption shall affect the validity of proceedings for the redemption of any Bond not affected
by such defect or failure. Official notice of redemption having been given as aforesaid, the
Bonds or portions of Bonds so to be redeemed shall, on the redemption date, become due and
payable at the redemption price therein specified, and from and after such date (unless the
County shall default in the payment of the redemption price) such Bonds or portions of Bonds
shall cease to bear interest. Upon partial redemption of any Bond, a new Bond or Bonds will be
delivered to the registered owner without charge, representing the remaining principal amount
outstanding.

pursuant to Section 265(b) of the Internal Revenue Code of 1986, as amended.

        As provided in the Resolution and subject to certain limitations set forth therein, this
Bond is transferable upon the books of the County at the principal office of the Registrar, by the
registered owner hereof in person or by the owner’s attorney duly authorized in writing upon
surrender hereof together with a written instrument of transfer satisfactory to the Registrar, duly
executed by the registered owner or the owner’s attorney, and may also be surrendered in
exchange for Bonds of other authorized denominations. Upon such transfer or exchange, the
County will cause a new Bond or Bonds to be issued in the name of the transferee or registered

the same date, subject to reimbursement for any tax, fee or governmental charge required to be
paid with respect to such transfer or exchange.

        The County and the Registrar may deem and treat the person in whose name this Bond is
registered as the absolute owner hereof, whether this Bond is overdue or not, for the purpose of
receiving payment and for all other purposes, and neither the County nor the Registrar shall be
affected by any notice to the contrary.

        Notwithstanding any other provisions of this Bond, so long as this Bond is registered in
the name of Cede & Co., as nominee of The Depository Trust Company, or in the name of any
other nominee of The Depository Trust Company or other securities depository, the Registrar
shall pay all principal of and interest on this Bond, and shall give all notices with respect to this
Bond, only to Cede & Co. or other nominee in accordance with the operational arrangements of
The Depository Trust Company or other securities depository as agreed to by the County.

SECTION 4. USE OF PROCEEDS.

        4.01. General Obligation Bonds, Series 2011 Acquisition Fund. There is hereby
established on the official books and records of the County a General Obligation Bonds, Series
2011 Acquisition Fund (the “Acquisition Fund”). To the Acquisition Fund there shall be
credited from the proceeds of the Bonds an amount equal to a portion of the estimated cost of the
Projects, and from the Acquisition Fund there shall be paid acquisition and construction costs
and expenses. Within the Acquisition Fund are established the following accounts:

               (a)     Courthouse Construction Account. The Courthouse Construction Account
       shall be credited with $____________ from the proceeds of the Bonds, an amount equal
       to the estimated cost of the Courthouse Project. All proceeds of the Bonds deposited in
       the Courthouse Construction Account will be expended solely for the payment of the
       costs of the Courthouse Project. The County shall maintain the Courthouse Construction
       Account until all costs and expenses incurred in connection with the construction of the
       Courthouse Project have been paid.

               (b)    Equipment Account. The Equipment Account shall be credited with
       $____________ from the proceeds of the Bonds, an amount equal to the estimated cost of
       the Capital Equipment. All proceeds of the Bonds deposited in the Equipment Account
       will be expended solely for the payment of the costs of the Capital Equipment. The
       County shall maintain the Equipment Account until all costs and expenses incurred in
       connection with the acquisition of the Capital Equipment have been paid.

       After payment of all acquisition and construction costs to be financed with proceeds of
the Bonds, the Acquisition Fund shall be discontinued. At such time as the Projects are
completed the County shall apply any remaining balance in the Acquisition Fund, including any

investment earnings having accrued therein, to the Bond Fund described in Section 4.02, unless
and except as such proceeds may be transferred to some other fund or account as to which the
County has received from Bond Counsel an opinion that such other transfer is permitted by
applicable laws and does not impair the exemption of interest on the Bonds from federal income
taxes.

        4.02. General Obligation Bonds, Series 2011 Bond Fund. So long as any of the Bonds
are outstanding and any principal or interest thereon unpaid, the County shall maintain as a
separate account on its books and records a General Obligation Bonds, Series 2011 Bond Fund
(the “Bond Fund”). The Bond Fund shall be used for no purpose other than payment of the
principal of and interest on the Bonds. The County irrevocably appropriates to the Bond Fund
(a) any amount in excess of the amount deposited to the Acquisition Fund pursuant to Section
4.01; (b) the amounts specified in Section 4.01, after payment of all costs of the Projects; (c) all
taxes levied and collected in accordance with this Resolution; and (d) all other moneys as shall
be appropriated by the County to the Bond Fund from time to time. If any payment of principal
of and interest on the Bonds shall become due when there is not sufficient money in the Bond
Fund to make such payment, the County Administrator shall pay the same from any other
available fund of the County, and such other fund shall be reimbursed for such advances out of
the proceeds of the taxes levied for the payment of the Bonds when available.

        4.03. Pledge of Taxing Powers. For the prompt and full payment of the principal and
interest on the Bonds as the same respectively become due, the full faith, credit and taxing power
of the County shall be and are hereby irrevocably pledged. To provide moneys for the payment
of principal of and interest on the Bonds as required by Minnesota Statutes, Section 475.61,
subdivision 1, there is hereby levied on all of taxable property in the County a direct, annual ad
valorem tax which shall be spread upon the tax rolls for collection in the years and amounts as
follows, as a part of other general taxes of the County, as follows:

The foregoing taxes shall be irrepealable as long as any of the Bonds are outstanding and unpaid,
provided that the County reserves the right and power to reduce the levies in the manner and to
the extent permitted by Minnesota Statutes, Section 475.61. It is estimated that the ad valorem
taxes will be collected in amounts which equal not less than five percent in excess of the annual
principal and interest requirements of the Bonds. If, as of the date tax levies are certified in any
year, the sum of the balance in the Bond Fund plus any ad valorem taxes theretofore levied for
the payment of Bonds payable therefrom and collectible through the end of the following
calendar year is not sufficient to pay when due all principal and interest to become due on all
Bonds payable therefrom in said following calendar year, or the Bond Fund has incurred a
deficiency in the manner provided in Section 4.02, an additional direct, irrepealable, ad valorem
tax shall be levied on all taxable property within the corporate limits of the County for the
purpose of restoring such accumulated or anticipated deficiency in accordance with the
provisions of this resolution.

SECTION 5. DEFEASANCE. When all of the Bonds have been discharged as provided in this
Section, all pledges, covenants and other rights granted by this Resolution to the Holders of the
Bonds shall cease. The County may discharge its obligations with respect to any Bonds which
are due on any date by depositing with the Registrar on or before that date a sum sufficient for
the payment thereof in full; or, if any Bond should not be paid when due, it may nevertheless be
discharged by depositing with the Registrar a sum sufficient for the payment thereof in full with
interest accrued from the due date to the date of such deposit. The County may also discharge its
obligations with respect to any prepayable Bonds called for redemption on any date when they
are prepayable according to their terms by depositing with the Registrar on or before that date an
amount equal to the principal, redemption premium, if any, and interest then due, provided that
notice of such redemption has been duly given as provided herein. The County may also at any
time discharge its obligations with respect to any Bonds, subject to the provisions of law now or
hereafter authorizing and regulating such action, by depositing irrevocably in escrow, with the
Registrar or with a bank or trust company qualified by law to act as an escrow agent for this
purpose, cash or securities which are authorized by law to be so deposited for such purpose,
bearing interest payable at such times and at such rates and maturing or callable at the holder’s
option on such dates as shall be required to pay all principal and interest to become due thereon
to maturity or, if notice of redemption as herein required has been irrevocably provided for, to an
earlier designated redemption date, provided, however, that if such deposit is made more than
ninety days before the maturity date or specified redemption date of the Bonds to be discharged,
the County shall have received a written opinion of Bond Counsel to the effect that such deposit
does not adversely affect the exemption of interest on any Bonds from federal income taxation
and a written report of an accountant or investment banking firm verifying that the deposit is
sufficient to pay when due all of the principal and interest on the Bonds to be discharged on and
before their maturity dates or earlier designated redemption date.

SECTION 6. TAX COVENANTS, ARBITRAGE MATTERS, REIMBURSEMENT AND
CONTINUING DISCLOSURE.

        6.01. General Tax Covenant. The County covenants and agrees with the owners from
time to time of the Bonds, that it will not take, or permit to be taken by any of its officers,
employees or agents, any action which would cause the interest on the Bonds to become
includable in gross income of the recipient under the Code and applicable Treasury Regulations
(the “Regulations”), and covenants to take any and all affirmative actions within its powers to
ensure that the interest on the Bonds will not become includable in gross income of the recipient
under the Code and the Regulations. All proceeds of the Bonds deposited in the Acquisition
Fund will be expended solely for the payment of the costs of the Projects. The County represents
and covenants that all improvements financed and to be financed from the proceeds of the Bonds
are and will be owned and operated by the County and available for use by members of the
general public on a substantially equal basis. The County has not entered and will not enter into
any lease, management contract, operating agreement, use agreement or other contract relating to
the use, operation or maintenance of the Projects or any part thereof which would cause the
Bonds, if interest on the Bonds were intended to be tax-exempt, to be considered “private
activity bonds” or “private loan bonds” pursuant to Section 141 of the Code.

        6.02. Arbitrage Certification. The Chairperson and County Administrator being the
officers of the County charged with the responsibility for issuing the Bonds pursuant to this

Resolution, are authorized and directed to execute and deliver to the Purchaser a certificate in
accordance with the provisions of Section 148 of the Code and applicable Regulations, stating
that on the basis of facts, estimates and circumstances in existence on the date of issue and
delivery of the Bonds, it is reasonably expected that the proceeds of the Bonds will not be used
in a manner that would cause the Bonds to be “arbitrage bonds” within the meaning of the Code
and the applicable Regulations.

        6.03. Arbitrage Rebate Exemption. It is hereby found that the County has general taxing
powers, that no Bond is a “private activity bond” within the meaning of Section 141 of the Code,
that 95% or more of the net proceeds of the Bonds are to be used for local governmental
activities of the County, and that the aggregate face amount of all tax-exempt obligations (other
than private activity bonds) issued by the County and all subordinate entities thereof during the
year 2011 is not reasonably expected to exceed $5,000,000. Therefore, pursuant to the
provisions of Section 148(f)(4)(D) of the Code, the County shall not be required to comply with
the arbitrage rebate requirements of paragraphs (2) and (3) of Section 148(f) of the Code.

         If notwithstanding the provisions of the immediately preceding paragraph, the arbitrage
rebate provisions of Section 148(f) of the Code apply to the Bonds, the County hereby covenants
and agrees to make the determinations, retain records and rebate to the United States the amounts
at the times and in the manner required by said Section 148(f) and applicable Regulations.

       6.04. Qualified Tax-Exempt Obligations. The Bonds are hereby designated as “qualified
tax-exempt obligations” for purposes of Section 265(b)(3) of the Code relating to the
disallowance of interest expense for financial institutions, and the County hereby finds that the
reasonably anticipated amount of tax-exempt obligations (within the meaning of Section
265(b)(3) of the Code) which will be issued by the County and all subordinate entities during
calendar year 2011 does not exceed $10,000,000.

         6.05. Reimbursement. The County certifies that the proceeds of the Bonds will not be
used by the County to reimburse itself for any expenditure with respect to the Projects which the
County paid or will have paid more than 60 days prior to the issuance of the Bonds unless, with
respect to such prior expenditures, the County shall have made a declaration of official intent
which complies with the provisions of Section 1.150-2 of the Regulations, provided that this
certification shall not apply (i) with respect to certain de minimis expenditures, if any, with
respect to the Projects meeting the requirements of Section 1.150-2(f)(1) of the Regulations, or
(ii) with respect to “preliminary expenditures” for the Projects as defined in Section 1.150-2(f)(2)
of the Regulations, including engineering or architectural expenses and similar preparatory
expenses, which in the aggregate do not exceed 20% of the “issue price” of the Bonds.

6.06. Continuing Disclosure. (a) Purpose and Beneficiaries. To provide for the public
availability of certain information relating to the Bonds and the security therefor and to permit
the Purchaser and other participating underwriters in the primary offering of the Bonds to
comply with amendments to Rule 15c2-12 promulgated by the SEC under the Securities
Exchange Act of 1934 (17 C.F.R. § 240.15c2-12), relating to continuing disclosure (as in effect
and interpreted from time to time, the “Rule”), which will enhance the marketability of the
Bonds, the County hereby makes the following covenants and agreements for the benefit of the
Owners (as hereinafter defined) from time to time of the Outstanding Bonds. The County is the

only obligated person in respect of the Bonds within the meaning of the Rule for purposes of
identifying the entities in respect of which continuing disclosure must be made. If the County
fails to comply with any provisions of this section, any person aggrieved thereby, including the
Owners of any Outstanding Bonds, may take whatever action at law or in equity may appear
necessary or appropriate to enforce performance and observance of any agreement or covenant
contained in this section, including an action for a writ of mandamus or specific performance.
Direct, indirect, consequential and punitive damages shall not be recoverable for any default
hereunder to the extent permitted by law. Notwithstanding anything to the contrary contained
herein, in no event shall a default under this section constitute a default under the Bonds or under
any other provision of this resolution. As used in this section, Owner or Bondowner means, in
respect of a Bond, the registered owner or owners thereof appearing in the bond register
maintained by the Registrar or any Beneficial Owner (as hereinafter defined) thereof, if such
Beneficial Owner provides to the Registrar evidence of such beneficial ownership in form and
substance reasonably satisfactory to the Registrar. As used herein, Beneficial Owner means, in
respect of a Bond, any person or entity which (a) has the power, directly or indirectly, to vote or
consent with respect to, or to dispose of ownership of, such Bond (including persons or entities
holding Bonds through nominees, depositories or other intermediaries), or (b) is treated as the
owner of the Bond for federal income tax purposes.

(c) Information To Be Disclosed. The County will provide, in the manner set forth in subsection
(c) hereof, either directly or indirectly through an agent designated by the County, the following
information at the following times:

       (1) on or before 365 days after the end of each fiscal year of the County, commencing
           with the fiscal year ending December 31, 2010, the following financial information
           and operating data in respect of the County (the “Disclosure Information”):

            (A) the audited financial statements of the County for such fiscal year, containing
                balance sheets as of the end of such fiscal year and a statement of operations,
                changes in fund balances and cash flows for the fiscal year then ended, showing
                in comparative form such figures for the preceding fiscal year of the County,
                prepared in accordance with generally accepted accounting principles
                promulgated by the Financial Accounting Standards Board as modified in
                accordance with the governmental accounting standards promulgated by the
                Governmental Accounting Standards Board or as otherwise provided under
                Minnesota law, as in effect from time to time, or, if and to the extent such
                financial statements have not been prepared in accordance with such generally
                accepted accounting principles for reasons beyond the reasonable control of the
                County, noting the discrepancies therefrom and the effect thereof, and certified
                as to accuracy and completeness in all material respects by the fiscal officer of
                the County; and

            (B) to the extent not included in the financial statements referred to in paragraph (A)
                hereof, the information for such fiscal year or for the period most recently
                available of the type contained in the Official Statement under the headings:

                  Current Property Valuations; Direct Debt; Tax Levies and Collections;
                  Population Trend and Employment/Unemployment Data.

Notwithstanding the foregoing paragraph, if the audited financial statements are not available by
the date specified, the County shall provide on or before such date unaudited financial statements
in the format required for the audited financial statements as part of the Disclosure Information
and, within 10 days after the receipt thereof, the County shall provide the audited financial
statements. Any or all of the Disclosure Information may be incorporated by reference, if it is
updated as required hereby, from other documents, including official statements, which have
been filed with the SEC or have been made available to the public on the web site of the
Municipal Securities Rulemaking Board (the “MSRB”). The County shall clearly identify in the
Disclosure Information each document so incorporated by reference. If any part of the
Disclosure Information can no longer be generated because the operations of the County have
materially changed or been discontinued, such Disclosure Information need no longer be
provided if the County includes in the Disclosure Information a statement to such effect;
provided, however, that if such operations have been replaced by other County operations in
respect of which data is not included in the Disclosure Information and the County determines
that certain specified data regarding such replacement operations would be described in
paragraph (2) hereof, then, from and after such determination, the Disclosure Information shall
include such additional specified data regarding the replacement operations. If the Disclosure
Information is changed or this section is amended as permitted by this paragraph (b)(1) or
subsection (d), then the County shall include in the next Disclosure Information to be delivered
hereunder, to the extent necessary, an explanation of the reasons for the amendment and the
effect of any change in the type of financial information or operating data provided.

       (2) In a timely manner not in excess of ten business days after the occurrence of the
           event, notice of the occurrence of any of the following events:

            (A)   Principal and interest payment delinquencies;
            (B)   Non-payment related defaults, if material;
            (C)   Unscheduled draws on debt service reserves reflecting financial difficulties;
            (D)   Unscheduled draws on credit enhancements reflecting financial difficulties;
            (E)   Substitution of credit or liquidity providers, or their failure to perform;
            (F)   Adverse tax opinions, the issuance by the Internal Revenue Service of proposed
                  or final determinations of taxability, Notices of Proposed Issue (IRS Form
                  5701-TEB) or other material notices or determinations with respect to the tax
                  status of the Bonds, or other material events affecting the tax status of the
                  Bonds;
            (G)   Modifications to rights of security holders, if material;
            (H)   Bond calls, if material, and tender offers;
            (I)   Defeasances;
            (J)   Release, substitution, or sale of property securing repayment of the securities, if
                  material;
            (K)   Rating changes;
            (L)   Bankruptcy, insolvency, receivership or a similar event with respect to the
                  County;

            (M) The consummation of a merger, consolidation, or acquisition involving an
                obligated person or the sale of all or substantially all of the assets of the
                obligated person, other than in the ordinary course of business, the entry into a
                definitive agreement to undertake such an action or the termination of a
                definitive agreement relating to any such actions, other than pursuant to its
                terms, if material; and
            (N) Appointment of a successor or additional trustee or the change of name of a
                trustee, if material.

As used herein, for those events that must be reported if material, an event is “material” if it is an
event as to which a substantial likelihood exists that a reasonably prudent investor would attach
importance thereto in deciding to buy, hold or sell a Bond or, if not disclosed, would
significantly alter the total information otherwise available to an investor from the Official
Statement, information disclosed hereunder or information generally available to the public.
Notwithstanding the foregoing sentence, an event is also “material” if it is an event that would be
deemed material for purposes of the purchase, holding or sale of a Bond within the meaning of
applicable federal securities laws, as interpreted at the time of discovery of the occurrence of the
event.

For the purposes of the event identified in (L) hereinabove, the event is considered to occur when
any of the following occur: the appointment of a receiver, fiscal agent or similar officer for an
obligated person in a proceeding under the U.S. Bankruptcy Code or in any other proceeding
under state or federal law in which a court or governmental authority has assumed jurisdiction
over substantially all of the assets or business of the obligated person, or if such jurisdiction has
been assumed by leaving the existing governmental body and officials or officers in possession
but subject to the supervision and orders of a court or governmental authority, or the entry of an
order confirming a plan of reorganization, arrangement or liquidation by a court or governmental
authority having supervision or jurisdiction over substantially all of the assets or business of the
obligated person.

       (3) In a timely manner, notice of the occurrence of any of the following events or
           conditions:

            (A) the failure of the County to provide the Disclosure Information required under
                paragraph (b)(1) at the time specified thereunder;
            (B) the amendment or supplementing of this section pursuant to subsection (d),
                together with a copy of such amendment or supplement and any explanation
                provided by the County under subsection (d)(2);
            (C) the termination of the obligations of the County under this section pursuant to
                subsection (d);
            (D) any change in the accounting principles pursuant to which the financial
                statements constituting a portion of the Disclosure Information are prepared;
                and
            (E) any change in the fiscal year of the County.

(c) Manner of Disclosure.

      (1)   The County agrees to make available to the MSRB, in an electronic format as
            prescribed by the MSRB from time to time, the information described in subsection
            (b).

      (2)   All documents provided to the MSRB pursuant to this subsection (c) shall be
            accompanied by identifying information as prescribed by the MSRB from time to
            time.

(d) Term; Amendments; Interpretation.

      (1) The covenants of the County in this section shall remain in effect so long as any
          Bonds are Outstanding. Notwithstanding the preceding sentence, however, the
          obligations of the County under this section shall terminate and be without further
          effect as of any date on which the County delivers to the Registrar an opinion of
          Bond Counsel to the effect that, because of legislative action or final judicial or
          administrative actions or proceedings, the failure of the County to comply with the
          requirements of this section will not cause participating underwriters in the primary
          offering of the Bonds to be in violation of the Rule or other applicable requirements
          of the Securities Exchange Act of 1934, as amended, or any statutes or laws
          successory thereto or amendatory thereof.

      (2) This section (and the form and requirements of the Disclosure Information) may be
          amended or supplemented by the County from time to time, without notice to
          (except as provided in paragraph (c)(2) hereof) or the consent of the Owners of any
          Bonds, by a resolution of this Board filed in the office of the recording officer of the
          County accompanied by an opinion of Bond Counsel, who may rely on certificates
          of the County and others and the opinion may be subject to customary qualifications,
          to the effect that: (i) such amendment or supplement (a) is made in connection with a
          change in circumstances that arises from a change in law or regulation or a change in
          the identity, nature or status of the County or the type of operations conducted by the
          County, or (b) is required by, or better complies with, the provisions of paragraph
          (b)(5) of the Rule; (ii) this section as so amended or supplemented would have
          complied with the requirements of paragraph (b)(5) of the Rule at the time of the
          primary offering of the Bonds, giving effect to any change in circumstances
          applicable under clause (i)(a) and assuming that the Rule as in effect and interpreted
          at the time of the amendment or supplement was in effect at the time of the primary
          offering; and (iii) such amendment or supplement does not materially impair the
          interests of the Bondowners under the Rule.

            If the Disclosure Information is so amended, the County agrees to provide,
            contemporaneously with the effectiveness of such amendment, an explanation of the
            reasons for the amendment and the effect, if any, of the change in the type of
            financial information or operating data being provided hereunder.

       (3) This section is entered into to comply with the continuing disclosure provisions of
           the Rule and should be construed so as to satisfy the requirements of paragraph
           (b)(5) of the Rule.

SECTION 7. CERTIFICATION OF PROCEEDINGS.

        7.01. Registration and Levy of Taxes. The County Auditor is hereby authorized and
directed to file in the records of the County, a certified copy of this resolution, together with such
additional information as may be required, and to issue a certificate that the Bonds have been
entered upon the County Auditor’s bond register and that the tax for the payment of the Bonds
has been levied as required by law.

        7.02. Authentication of Transcript. The officers of the County are hereby authorized and
directed to prepare and furnish to the Purchaser and to Dorsey & Whitney LLP, Bond Counsel,
certified copies of all proceedings and records of the County relating to the Bonds and to the
financial condition and affairs of the County, and such other affidavits, certificates and
information as may be required to show the facts relating to the legality and marketability of the
Bonds as they appear from the books and records under the officer’s custody and control or as
otherwise known to the them. All such certified copies, certificates and affidavits, including any
heretofore furnished, shall be deemed representations of the County to the correctness of all
statements contained herein.

        7.03. Official Statement. The Official Statement relating to the Bonds, dated April 8,
2011, prepared and distributed by Public Financial Management, Inc., the financial consultant for
the County, is hereby approved. Public Financial Management, Inc. is hereby authorized on
behalf of the County to prepare and deliver to the Purchaser within seven business days from the
date hereof a supplement to the Official Statement listing the offering price, the interest rates,
selling compensation, delivery date, the underwriters and such other information relating to the
Bonds required to be included in the Official Statement by Rule l5c2-12 adopted by the SEC
under the Securities Exchange Act of 1934. The officers of the County are hereby authorized
and directed to execute such certificates as may be appropriate concerning the accuracy,
completeness and sufficiency of the Official Statement.
