							Officers of the Board of Directors
Chair—the chair is responsible for overseeing the entire organization and ensuring that it operates
effectively. The chair determines the agenda for all Board meetings and presides at all Board meetings.
The president and chief executive officer of the organization reports directly to the chair. The chair also
serves as chair of the Executive Committee. The chair has the authority to call special meetings of the
Executive Committee which is empowered to act between regularly scheduled Board meetings. The
chair’s term of office is two years, and the chair may be elected to serve a second term.


Vice-chair—the vice-chair is the second officer in command. The vice-chair serves as a member of the
Executive Committee. The vice-chair presides at Board and Executive Committee meetings in the
temporary absence of the chair. Should the chair become incapacitated, resign, or be removed from
office, the vice-chair assumes the position of chair and assumes all responsibilities of the chair. The vice-
chair is also responsible for the program at meetings and at the annual retreat. The vice-chair position is
also the chair-elect position. The term of office is two years, and the vice-chair may be elected for a
second term. The vice-president automatically becomes chair at the conclusion of the chair’s final term.


Secretary—the secretary keeps the seal of the organization and is responsible for all records of the
organization. The secretary is a member of the Executive Committee. The secretary is responsible for
preparing the minutes of Board and Executive Committee meetings. The term of office is two years, and
the secretary may be elected to serve a second term.


Treasurer—the treasurer is responsible for all financial records of the organization. The treasurer is a
member of the Executive Committee, the Finance Committee and the Audit Committee. The treasurer
works with the Audit Committee to select an auditor and ensure that an independent audit of the
organization is conducted annually. The term of office is two years, and the treasurer may be elected to
serve a second term.
