					          PROJECT CLAY (COMPUTER LITERACY AMONGST YOUTH)


                            Memorandum of Association


1.    The Name of the Society. The Name of the Society shall be “PROJECT
CLAY” (Computer Literacy Amongst Youth) (hereinafter referred to as the
Society).


2.     Definitions /Interpretation. The society shall follow the provisions laid down
in the Society Registration Act, 1860, hereinafter called as “Act” and the rules framed
there-under called the Societies Registration Rules, 1860. Unless there is anything
repugnant in the subject or context:
      (a) “Bye-law” means a bye-law registered or deemed to have been registered
      under this ‘Act’ and includes a registered amendment of the bye-law.
      (b) “Society” means “PROJECT CLAY” society registered under the Societies
      Registration Act 1860.
      (c) “Member” of the Society means a person who has been admitted in the
      Society according to the Regulations thereof, continues for the time being to
      be a member of the Society.
      (d) “The General Body” means all the members of the Society.
      (e) “The Governing Body” means the persons duly elected by the General
      Body of the Society under Societies Registration Act, 1860 and entrusted for
      the time being with the management of the Society under its regulation.
      (f)   “The financial year” means the period commencing from the 1st April
      and ending with the 31st March of the next calendar year.


3.    Address.      The registered office of the society shall be located in VPO
Dhara Naula, Almora and until otherwise determined shall be situated at ‘Joshi
Niwas’, c/o Prashant Joshi(Advocate), VPO Dhara Naula (Below Bus Stand) , Tehsil
Almora, District Almora, Uttarakhand, PIN 263601.


4.    Area of Operation. The Society will operate all over India (at National level)
across all the spectrums of society.


5.      Vision.      To identify and work with the impoverished, weaker and
vulnerable sections of the society to find solutions to the e/IT challenges in their lives
with the ultimate aim of establishing an aware, responsible and developed society
based upon opportunity, awareness and social justice, ensuring sustainable and
holistic development of youth with emphasis on e/IT-Literacy, and a culture of social
service through creating synergy and building strategic partnership with the
Government, NGOs (non-government organisations), SHGs (self help groups),
CBOs (community based organisations) and various national and international
organisations by planning appropriate downstream and upstream interventions, thus
expanding their horizon and empowering them towards a brighter future.

6.    Mission Statement.
      (a)   To provide Computer Literacy opportunities to underprivileged youth,
      whether in remote localities or bustling metropolis.
      (b)    Computer Literacy must be coupled with e/IT literacy, to enable
      exploitation of technology towards applications in real life.
      (c ) To remove the ‘fear of technology’ from the underprivileged deprived
      section of society, assisting in willing adoption of beneficial, modern
      means/methods and a consequent up gradation in quality of life.


7.     Objects and Aims. The aims and objects for which the Society is established
are the following:
      (a)    Education, research and training
             (i)  To promote and impart education, especially e/IT literacy
             amongst youth.
             (ii)  To conduct study on educational, environmental                 and
             sociological requirements of an unprivileged society.
             (iii) To promote use of Information & Communication Technology for
             socio-economic development of the community.
             (iv) To organise training and refresher programmes for the
             volunteers and officials of different Non Government Organisations to
             strengthen the development skills of trainees through IEC
             (information, education and communication) which they can use in the
             development sector.
              (v) To disseminate information and knowledge, to edit, publish, and
              print literature and documents, maintain libraries, and to organise
              seminars/ conference/ meetings etc.
              (vi) To promote participation of youth (unemployed as well as
              students) in educational activities.
              (vii) To establish educational, professional and vocational institutions
              that would strengthen the developmental process.
              (viii) To organise lectures, seminars and workshops to help or
              strengthen the character building process.
      (b)     Development:-
              (i) To promote social welfare activities with special emphasis on
              e/IT Literacy.
              (ii) To work for the betterment of weaker sections viz. SC/ST,
              women, children, senior citizens, and disabled etc. with a vision of
              Computer Literacy.
              (iii)   To speed up the process of rural development.
              (iv) To eliminate child labour, child trafficking, and child abuse and
              focus on the education and resettlement of these deprived children.
              (v) To form self help groups and cooperatives and run income
              generation activities by linking them with banks through micro-credit.

     (c)     To work for environmental awareness, sustainable development
     and participative management of local natural resources for village level
     development, harnessing the benefits of modern e/IT/communication
     technology.
     (d)    To fight against social wrongs like discrimination and harassment
     based on educational standards.
     (e)    To create awareness among people about functions and powers of
     PRIs (Panchayati Raj Institutions) and increase people’s participation in
     democratic institutions.
     (f)       To collaborate with corporate houses to fulfil their social
     responsibilities in field of literacy. This may include activities to train their staff
     using    resources      of     the    Society,   and    use      any     consequent
     benefits/earnings/donations towards furthering the aims of the Society for the
     underprivileged youth.
     (g)   Policy formulation and implementation:
               (aa) To work with the government and other NGOs at the policy
               formulation level.
               (ab) To affirmatively coordinate with the State and                  Central
               Government in implementation of developmental schemes.
     (h)      Focus on Underprivileged Youth.           The Society is driven by the
     vision of providing opportunities for underprivileged youth. To that end, at least
     60% of students provided e/IT literacy opportunities by the Society will be
     underprivileged youth.


8.    Sources and Application of Funds of the Society :-
      (a)    All incomes and assets of Society, when so ever and from where so
      ever sources derived shall be applied and utilized solely for the attainment
      and promotion of the aims and objectives of the society set-forth in the
      memorandum of society and no portion thereof shall be paid or used or
      transferred in any manner directly or indirectly by way of divided, bonus, or
      otherwise by way of profit to any past or present members of the society,
      PROVIDED HOWEVER THAT nothing herein shall prevent any payment in
      good faith as remuneration to any officer or servant of the society or to any
      person in return for any services rendered to the society.
      (b)    In case the affairs of the society are wound up, the surplus assets, if
      any, arising out of the winding up shall be transferred to any other Society or
      Association having similar aims and objectives and in no case the surplus
      shall be distributed to the Trustees or Members of the Society.
