On April 4, 2011 the companies announced that the companies have entered into a definitive merger agreement
under which Epicor would be acquired by Apax in a transaction valued at approximately $976 million. Under the
terms of the agreement, Epicor stockholders will receive $12.50 in cash for per EPIC common stock owned.
Because this offer represents only 11.2% premium over the closing price on April 1, 2011, the firm believes the
transaction significantly undervalues the company. Apax also plans to purchase Activant Solutions Inc. and merge the
two companies. The combined company will be Epicor Software Corporation, which will not be publicly traded.
