Wausau Paper Corporation (Wausau) is engaged in the manufacture of fine printing & writing paper products, towel &
tissue products and specialty product papers such as tape & industrial papers, packaging products for food service and
release liner papers. The company operates principally in the US and Canada. It employs about 2,300 people.

The company conducts its operations through three operating segments, namely, Specialty Products, Printing and
Writing, and Towel and Tissue.

The Specialty Products segment of the company is engaged in the production of technical specialty papers, including
supercalendered backing papers that are used as a base from which ―peel-and-stick‖ pressure sensitive labels are
dispensed. The papers are designed for high-speed labeling machines. It also produces unsaturated masking tape base
paper, used in the production of masking tape. The segment also produces a broad range of food and industrial papers
used in a variety of applications including grease-resistant protective barrier paper for food packaging; interleaver paper
used in steel processing and to protect polished steel after production; siliconized release papers used in pressure
sensitive tapes, labels and composites; and coating and laminating base papers used in composite can construction. The
specialty product brands include EcoSelect, ExperTec, DuraTec, InvenTec, ProGard, ProRedi, ProPly, and ProTec. In
fiscal year ending 2009, the segment generated 35% of the company’s net revenues.

The Printing & Writing segment is engaged in the production and conversion of a broad line of premium uncoated printing,
writing, imaging, text, cover, and board grades, in various weights, colors, sizes, and finishes. About, 52% of the fine
printing and writing papers produced are colored papers. These papers are used for printed and photocopied documents
such as flyers, annual reports, brochures, announcements, greeting cards, and luxury packaging. The products are sold to
paper distributors and converters. The products are marketed under a variety of brands, which include Astrobrights,
Royal, Exact, Professional Series, Intrigue and Creative Collection. In fiscal year ending 2009, the segment generated
32.5% of the company’s net revenues.

The Towel and Tissue segment produces various paper towel and tissue products, along with a variety of soap dispensing
systems. The products are sold to paper and sanitary supply distributors. The products are sold under various brands that
include DublSoft, EcoSoft, OptiCore, Revolution, Dubl-Nature, and Dubl-Tough. In fiscal year ending 2009, the segment
generated 32.5% of the company’s net revenues.

Geographically, the company operates in two geographic regions, namely, the US and other foreign countries. In the fiscal
year ending 2009, the company generated 91.7% of its revenues from the US and 8.3% from other foreign countries.

The specialty papers are produced at two facilities in Wisconsin, namely, Rhinelander and Mosinee, which is a pulp
producing operation. The printing & writing products are produced at facilities in Brokaw, Wisconsin, and Brainerd,
Minnesota. The distribution warehouses are maintained in Dallas, Texas; Allentown, Pennsylvania; Bedford Park, Illinois;
and Los Angeles, California. The towel & tissue products are produced at a paper mill located in Middletown, Ohio. In
addition, the company operates a converting facility and a main distribution warehouse in Harrodsburg, Kentucky. It also
has distribution warehouses in Danville, Kentucky, and Los Angeles, California.

In January 2010, Wausau entered into a Note Purchase and Private Shelf Agreement with Prudential Investment
Management and affiliates, for the issuance of USD 50 million of Series A Senior Notes due in 2017, having an interest
rate of 5.69% per annum.
