1.   The main/assisting organisation will assist the assisted organisation in their application for
     funding to the National Lotteries Distribution Trust Fund (NLDTF) from ____ (day) _________
     (month) _____ (year) to ____ (day) _________ (month) _____ (year)
2.   The main/assisting organisation will support and oversee the project activities that will be
     implemented by the assisted organisation during the period of the project.
3.   The main/assisting organisation accepts to submit the assisted organisation’s application
     under its auspices and with the support under the following terms and conditions:

4.   The assisted organisation’s application to NLDTF will not in any way jeopardise the
     main/assisting organisation’s own application with NLDTF.
5.   Should the assisted organisation be allocated funding by NLDTF, the main/assisting
     organisation will sign the Grant Agreement.


6.   The allocated funds will be deposited into the main/assisting organisation’s the bank
     account detailed below:

7.   After funds have been deposited into the main/assisting organisation’s bank account by
     NLDTF, the main/assisting organisation will then transfer these funds to the assisted
     organisation within 14 days.

8.   Objective of the Partnership
     The objective of the Grant Agreement is for the main/assisting organisation to assist the
     assisted organisation with the required financial statements in order for the assisted
     organisation to access NLDTF funding for the project it intends to implement.
9.   Management
     The decisions of these parties shall be taken jointly and both the organisations shall perform
     such duties and have powers as shall be unanimously agreed upon and limited to the project
     only.
10. Exclusivity and Confidentiality
     Any information forwarded by one party to any other party shall be considered as
     confidential and shall not be used without consent of either party for any other purpose other
     than the performance of this Agreement.
11. Actual Cost of Assistance
     The main/assisting organisation shall receive up to a maximum of 10% administration fee
     the total budget allocated to the assisted organisation based on the level of administrative
     assistance as approved by the NLDTF.
12. The main/assisting organisation has the responsibility of ensuring that NLDTF funds are
     to be expended as per the planned and agreed project budgets as per the NLDTF Grant
     Agreement.
13. The assisted organisation is required to provide an accurate account on NLDTF funds
     expended to the main/assisting organisation.
14. The progress reports on the project that are submitted to NLDTF, must be signed by both
     the main/assisting organisation and the assisted organisation.
15. The main/assisting organisation will assist the assisted organisation with building the
     necessary capacity for project and administrative management, and financial administration
     including the production of annual audited statements.
16. The main/assisting organisation will be held accountable from the beginning until the end,
     for all queries, site visits and developments around NLDTF-funded project activities.

17. Resolution of Disputes
    17.1   It is recommended that the first step should be for the two parties to communicate
           with the NLDTF in order to attempt to resolve the matter amicably. Should this
           action fail, a legal route may then be followed.
    17.2   Both Parties shall exhaust all other remedies contained in this Memorandum of
           Understanding before approaching a court to resolve a dispute arising out of this
           agreement.
    17.3   Without detracting from either Party’s right to institute action or motion proceedings
           in the High Court of South Africa or other courts of competent jurisdiction in respect
           in respect of any dispute that may arise out of this agreement, the Parties may, by
           mutual consent, follow the mediation and/or arbitration procedures.
18. Amendments to the Memorandum of Understanding may only be incorporated with the
    mutual consent from both organisations. The NLDTF shall be informed on the amendments.
19. The Memorandum of Understanding may be terminated by the duly authorised
    representatives.
