Origin: Russian Federation.
Minimum Order Quantity: 1.000,000 Metric Tones per Month for 12+1 month period.
Liftable QTY upon consultation with the Russian title owner / supplier.
Inspection: By SGS OR EQUIVALENT at seller’s cost at port of loading.
Term of Delivery: CIF Rotterdam
Price: PLATT ROTTERDAM (NWE) -7%. Gross 6% Net


            TRANSACTION PROCEDURE FOR
  TRIAL / SPOT DEAL OF A CONTRACTUAL AGREEMENT

1. Buyers issues ICPO + RWA for the total 12 + 1 month contractual period,
including the Spot Order for the first 1.000.000MT D2 as the first month / trial order
QTY paid by MT103/23.
2. After consultation with our Manufacturer / Distributor Seller issues to Buyer a
Pro-Forma Invoice & Dip Test Authorization Letter and draft contract open to
amendments if apply.
3. POP information is to be sent directly to Buyer via email to Buyer for bank
deposit.
4. Buyer to review and, upon approval, signs Pro-Forma Invoice electronically and
returns via email to Seller.
5. 24h after Dip Test Performance by Buyer (SGS Team), the Buyer’s Bank shall
issue an MT103/23 for the amount of liftable QTY.
6. In case of any unexpected delay or backlog of this act, any and all penalty, fee
cost will be charged for the Buyer.

7. Lifting commences by Buyer.
8. Accordingly Buyer providing ICPO and RWA declaring ability during the whole
contractual period, for each monthly QTY FFRDLC by MT103/23 payment upon
loading of each shipment in advance of starting next periods, according to the
Supplier’s request.
9. Both parties agree that the first partial shipment of trial period spot deal starts
just if the mutually agreed draft SPA is ready to follow the trial period deliveries.

  TRANSACTION PROCEDURES DURING CONTRACTUAL
                YEARLY PERIODE

1.     Buyer and Seller are validating the mutually agreed draft SPA by sign and seal
procedure of hard copies.
2.     The Buyer Bank shall issue an FFRDLC in an amount equal to the value of one
month’s product delivery under the contract.
3.     Lifting commences by Buyer. In transactions involving multiple lifts following
the initial closing, for each subsequent delivery of product the process in Steps as
agreed in final SPA shall be repeated until the Seller has delivered the total quantity
under the contract and the Buyer has paid in full for the same.


                              PAYMENT TERMS

Price: Actual - invoiced - sales price will be based on the up to date Rotterdam Platt’s
       price including minus 7% (seven percent gross) discount for Buyer.

Payment terms:
 MT103/23 payment upon receipt of loading documents guarantee for each
shipment.
 Shipments can be dispatched upon receipt of payments by the title owner.

COMMENTS

1. Each and any other conditions are accepted at our site upon consensus of both
parties which are able to fulfill the interests and requirements of parties completely.
2. Any other conditions are must be in accordance of the INCOTERMS 2000 rules
and conditions and in accordance with the necessary banking procedures.

3. EDT and electronic communication must be accepted by each parties except of
steps when personal meeting, changing of hard copies is a must.
