                      4.     Issues for Request:

Policy Statement No. 62-17-02: License of Occupation for Road Allowances for
                      Ranching and Farming Purposes.
174-07: Apedaile      That Policy Statement No. 62-17-02 entitled "License of
                      Occupation for Ranching and Farming Purposes” be amended:

                       Purpose:     To provide access for ranchers and farmers owning or
                                    leasing land adjacent to County road allowances for grazing
                                    and farming purposes.
                       Policy Statement and Guidelines:
                       The Smoky Lake County require farmers and ranchers to take out a
                       “License of Occupation” for ditches along county roads for farming and
                       ranching purposes adjacent to owned or rented land. Terms and
                       conditions are specified in “Schedule A” and form part of this policy.

                       Farmers and ranchers who place an electric fence along, but not within a
                       County Road Allowance do not require a “License of Occupation”.

                       Schedule “A”

                            LICENSE OF OCCUPATION OF ROAD ALLOWANCE FOR
                                   RANCHING AND FARMING PURPOSES

                       THIS AGREEMENT made this ______ day of _______, A.D. 20___.

                       BETWEEN:                 SMOKY LAKE COUNTY
                                         Box 310, Smoky Lake, Alberta T0A 3C0
                                     a Municipal Corporation in the Province of Alberta
                                        (hereinafter referred to as “the County”).
                                                                           OF THE FIRST PART
                                                          AND

                                             ____________________________
                                     (hereinafter referred to as “the Rancher/Farmer”)

                                                               OF THE SECOND PART

                           Legal Description: ____________________________________

                           WHEREAS the County has and will continue to have direction,
                       control and management of the municipal road allowance located
                       adjacent to lands described above (hereinafter called “the Road”).

                            WHEREAS the Road contains a ditch area between the traveled
                       portion of the Road and the Rancher’s/Farmer’s lands described above,
                       (hereinafter referred to as “the Ditch”).

                            WHEREAS the Rancher/Farmer owns or leases land described
                       above adjacent to the Road and the leasing is confirmed – as informed by
                       the owner (hereinafter called “the Land”).

                            WHEREAS the rancher/farmer wishes to use a portion of the Ditch
                       for the purpose of grazing livestock.

                            NOW THEREFORE this agreement witnesses that in consideration
                       of the premises, the covenants herein contained and other good and
                       valuable consideration, the parties hereby agree as follows:

                           IN CONSIDERATION OF $ NIL DOLLARS per ¼ mile or
                       major portion thereof, now paid and exchanged between the parties
                       hereto, the receipt and sufficiency of which is acknowledged, and of the
                       premises and covenants herein contained and for other good and valuable
                       consideration, the parties hereby agree as follows:

                       1.    Subject to the terms of this License, the County grants to the
                             rancher/farmer the right of use and occupy that portion of the Ditch
                             shown on Schedule “A” and which is not closer than such distance
                             that may interfere with road grading and road snowplowing to the
                             outer edge of the traveled portion of the Road nearest the Lands, for

                        purposes of farming or livestock grazing.

                   2.   The rancher/farmer is hereby entitled to use and occupy the said
                        portion of the Ditch for a normal livestock grazing operation and to
                        use, and to fence the said area of the Ditch provided that no
                        provision herein shall restrict, hinder or prohibit the public’s and
                        County’s use of the Road for transportation purposes.

                   3.   The rancher/farmer shall use plastic and fiberglass fencing material
                        and ensure the visibility in the interest of public safety.

                   4.   The rancher/farmer shall at all times and at their own expense keep
                        and maintain the fence constructed within the Ditch in good and
                        sufficient repair to the reasonable satisfaction of the County.

                   5.   The rancher/farmer shall not construct any other structure in the
                        Ditch than the fence referred to above unless the County gives its
                        prior approval in writing to the proposed construction.

                   6.   The rancher/farmer acknowledges and agrees that his/her rights to
                        the use of the Licensed Area shall not confer any exclusive right
                        whatsoever in respect to the use or occupation of the License Area,
                        and that the rancher/farmer shall have no claim to the License Area
                        other than as herein provided.

                   7.   Fencing associated with this License of Occupation shall not cross
                        an intersecting road allowance to ensure public access, except in the
                        case when the rancher/farmer has a Roadway License Agreement on
                        the intersecting road allowance.

                   8.   No provision of this agreement and no act or omission or finding of
                        negligence, whether joint or several, as against the County, in favour
                        of any third party, shall relieve the rancher/farmer from liability to
                        the County, when such liability arises under this agreement, to the
                        extend that such liability shall be caused by the acts or negligence of
                        the County, provided however, that any liability caused by the
                        County and the rancher/farmer jointly or together shall be borne in
                        proportion to the degree of cause as between the County and the
                        rancher/farmer.

                   9.   If the rancher/farmer violates any provision of this agreement, or any
                        provision of the County’s bylaw, all rights accruing to the
                        rancher/farmer under this agreement shall, unless the County
                        otherwise decides, cease upon THIRTY (30) DAYS written notice
                        if not remedied within that period, but the County shall retain the
                        right to proceed with the enforcement of any security or indemnity
                        provided in satisfaction of any claim, loss or expense of any kind
                        whatsoever arising under this agreement.

                   10. a.    The rancher/farmer indemnifies, saves harmless, releases and
                             forever discharges the County from and against any and all
                             manner of actions, causes of actions, claims, debts, suits, loss,
                             costs (including legal costs on a solicitor-client basis), demands
                             and promises whatsoever, whether known or unknown, which
                             the rancher/farmer or any other person now has or may at any
                             time have by reason of:
                             i..      the permission to use and occupy the portion of the
                                      Ditch within the Road granted herein; or
                             ii.      the construction, maintenance, existence, use or
                                      removal of the fence including, without restricting the
                                      generality of the foregoing, a claim for loss or injury to
                                      persons or property due to the rancher’s/farmer’s
                                      negligence or failure to comply with the County’s
                                      bylaw or with any provision of this Agreement.
                        b.   The rancher/farmer shall carry comprehensive liability
                             insurance with insurable limits of no less than Two Million
                             Dollars ($2,000,000.00) for each occurrence or incident, which
                             shall name the County as an insured party and the Licensee shall
                             provide proof of such insurance to the satisfaction of the County
                             upon demand.

                   11. The County’s officers, employees, agents and contractors shall have
                       the right at any time to enter upon the Road for the purpose of
                       reconstructing, maintaining, repairing, inspecting, testing or
                       removing any public works, utility or road existing at the date of this

                       Agreement. The County shall in undertaking such activities use
                       reasonable efforts to cause its officers, employees, agents, and
                       contractors to minimize any disruption or damage to the
                       rancher’s/farmer’s use and fence which occurs pursuant to such
                       activities to the extent that any loss, damage or injury shall have
                       been caused by the acts of negligence of the County’s officers,
                       employees, agents or contractors.

                   12. All costs to repair or replace the fence which occur as a result of the
                       County’s activities pursuant to Paragraph 11 shall be borne entirely
                       by the rancher/farmer. In addition, the rancher/farmer shall
                       reimburse the County for all necessary and reasonable costs incurred
                       by the County as part of the County’s activities pursuant to
                       Paragraph 10 in excess of those costs that would have been
                       incurred if the fence did not exist.

                   13. The County may at any time in its sole discretion withdraw the rights
                       it has granted herein to the rancher/farmer and resume possession
                       of the Road for public purposes, provided that the County gives the
                       rancher/farmer THIRTY (30) DAYS notice specifying the public
                       purpose and gives the rancher/farmer the right to make submissions
                       to the County’s Municipal Council in respect to the necessity,
                       methods, and alternative means of achieving the public purpose, and
                       the rancher/farmer shall at his/her own expense within a period of
                       SIX (6) MONTHS from the date receiving such notice of
                       withdrawal or within such shorter time as may be specified by the
                       County’s Municipal Council remove the fence and restore the Ditch
                       to the satisfaction of the County.

                   14. The rancher/farmer shall not, without the prior written consent of the
                       County, assign either in whole or in part any of the rights herein
                       conferred upon the rancher/farmer.

                   15. The rancher/farmer acknowledges and agrees that all property of the
                       rancher/farmer which may hereafter be located on, under, over or
                       adjacent to the Licensed Area shall be at the sole risk of the rancher/
                       farmer and that the County shall not be liable for any loss or damage
                       thereto howsoever occurring and the rancher/farmer hereby releases
                       the County from all actions, claims, demands, suits or proceedings
                       whatsoever in respect of any such loss or damage, except and to the
                       extent of which such loss or damage is caused by the neglect or fault
                       of the County or its servants or agents.

                   16. In the event the rancher/farmer fails to keep the Ditch or any
                       structure pertaining thereto, including the fence, in good repair to the
                       reasonable satisfaction of the County in conformance with the
                       prevailing standards of maintenance in the County from time to time,
                       or in the event the rancher/farmer fails to remove the fence and
                       restore the Ditch to the satisfaction of the County, pursuant to
                       Paragraph 12, the County may in its sole discretion cause such
                       repairs to be made, as it deems reasonable and necessary, and the
                       cost thereof shall be borne by the rancher/farmer.

                   17. If any section, subsection, sentence, clause or phrase of this
                       agreement is for any reason held to be invalid by the decision of a
                       Court or competent jurisdiction, the invalid portion shall be severed
                       and the decision that is invalid shall not affect the validity of the
                       remainder of this agreement.

                   18. This agreement shall ensure to the benefit of and be binding upon the
                       parties hereto NOTWITHSTANDING any rule of law or equity to
                       the contrary; and this agreement shall be governed and construed in
                       accordance with the laws of the Province of Alberta.

                   19. The rancher/farmer shall pay to the County all legal costs incurred
                       by the County in the preparation, execution and registration of this
                       License of Occupation.

                   20. The term of the license shall be THREE (3) YEARS normally
                       renewable and shall terminate on the ____ day of _______, 20__.

                   21. To be eligible for and/or remain eligible for the License of
                       Occupation and for this agreement to remain in effect, the rancher/
                       farmer must be either the owner or hold a license; or be a renter of
                       the property adjacent to the Road.

Regional Partnership Initiative
176-07: Apedaile        That Smoky Lake County Council amend the Regional Partnership
                        Initiative Application for implementation funding in the amount of
                        $100,000.00 to include the following projects: Smoky Lake
                        County Region Strategic and Business Planning = 75%; and the
                        Fire Department Standard Operating Procedures Project = 25%.

Family School Liaison Program Funds
177-07: Cherniwchan    That Smoky Lake County Council approve to reallocate the
                       amount of $1,542.74 from the 2006 Family School Liaison
                       Program grant to Family Community Support Services:
                       “Contributions to other organizations” and distribute the funds to
                       Smoky Lake Playschool in the amount of $500.00; Waskatenau
                       Playschool in the amount of $500.00; and to the Warspite
                       Playschool in the amount of $500.00; and that $42.74 be used to
                       fund the overage from the December distributions.

Policy Statement No. 03-18-02: Three-Year Road Plan
178-07: Cholak          That Policy No. 03-19-02 entitled Three-Year Road Plan be
                        approved, as amended; subject to reconciliation of the 2007 Gravel
                        Maps:

                           Purpose:     The intent of the three-year road plans is to identify and
                                        prioritize required roadway improvements on a long-term basis.
                           Policy Statement and Guidelines:
                           GUIDELINES
                           1. The three-year road plan conforms with the objectives and criteria
                               outlined, as per Policy 03-15-02: Road Policy and Policy 03M-04-
                               01: Road Projects Profile.

                           2.   The plan is limited to the identification of specific annual projects for a
                                future period of three-years based on anticipated revenue and/or other
                                budget and capacity limitation.

                           3.   The three-year plan are subject to an annual review and update.

                           ROAD PLANS: REVIEW AND UPDATE PROCESS

                           1.   The Three-Year Road Plan will be reviewed, updated and accepted
                                by Council as per Policy 08-11-01: Budget Development process
                                during October and November of each year.

                           2.   The review process will include past year’s projects.

                           3.   The development and approval of a “new” Three-Year Plan will
                                primarily include:
                                    uncompleted projects from the previous year, plus projects
                                    previously identified in the plan.
                                    projects for coming year (previously identified in the plan).
                                    plus new proposed projects for the third year.

                           4.   The planned order of year-one construction projects will be
                                determined every year with the setting of the Transportation Budget:
                                Three-Year Road Plan, as per Policy 03-15-02: Road Policy.

                   5.   Once the annual plan and construction schedule have been approved,
                        additions, or deletions of specific projects require approval by
                        resolution of Council. Normally, changes to the above should be
                        considered on the basis of persistent weather problems, major
                        equipment problems or financial considerations only. Progress on the
                        planned order of construction will be reported to Council by
                        Public Works monthly.

                        5.    Issues for Information:

Municipal Comptroller
For the period December 12, 2006 to January 12, 2007:

                        Mrs. Angela Semeniuk, Municipal Comptroller provided the
                        following report to Council:

2006 Summary Notes for the Actual to Budget:
                             Review Date Figures: January 10, 2007 – invoices entered for December
                             by that date. Invoices still to be entered for year-end.
                             Still to finish year-end and review 2005 year-end to see if there will be any
                             implications in 2006.
                             Upon review of the 2006 budget to actual figures preliminary projections
                             look as though we could have a surplus of upwards to about $944,000.
                             However, there still could be end implications which could decrease this
                             surplus. Within the surplus there are projected expenses of $888,416 to be
                             paid out and revenue of $441,491 to be billed.
                             Reasons to such a large surplus:
                             ■       There were two major bridge projects that were not started in 2006
                                     but were budgeted for and taxed accordingly. Total cost budgeted
                                     was $485,000 and total revenue budgeted was $410,000. The
                                     difference was of $75,000. There were some engineering costs for
                                     the year. Both projects are being deferred to 2007.
                             ■       Higher than expected tax revenues in Linear of $381,068
                             ■       Received an extra grant – Targeted Investment Initiative of $75,417
                                     – Budgeted $91,600 for an unconditional grant which was replaced
                                     by this for 2006.
                             ■       Received higher than expected Gravel Sales $154,000 higher than
                                     budgeted – recommendation in December to allocate a portion of the
                                     sales to Gravel Pit Reserve.
                                     ■         Sand Star purchased 79,723 ton at $3.00 – recommendation
                                               to allocate $154,446 to Gravel Pit Reclamation Reserve.
                                     ■         Sold 4,900.90 ton to residents – recommendation to allocate
                                               $9,801 to Gravel Pit Reclamation Reserve and allocate
                                               $14,704 to Gravel Pit Development.
                             ■       Custom Work for Public Works has about $50,000 higher than
                                     expected revenue.
                             ■       Did not purchase one of the trucks budgeted for in Public Works
                                     which equates to $55,000.
                             ■       In ASB, the $20,000 budget for the Grass Hopper Program was not
                                     spent because no spraying required this year.
                             ■       Fuel prices were not as high as predicted in 2006. However, due to
                                     the equipment being out more than anticipated – the fuel should com
                                     within budget. This is why the projected surplus has decreased.
                             ■       Did not finish the fence at Bogdan’s Pit and other work, that program
                                     was budgeted at $40,000 and deferred to 2007.
                             ■       Does not seem as though Evergreen Commission has charged out as
                                     much for commission expenses as we had budgeted. There could be
                                     some year-end implications here, if they find out that the Tipping
                                     fees cannot fully fund their operations this year. To date there is a
                                     saving of $149,500.
                             ■       The rest of the savings comes from the departments and prudent
                                     spending.
                             ■       There was enough savings in the rest of the departments that we may

                                  to have to use the contingency.
                            ■     There are still costs to happen for the Doctor Retention. In the
                                  process of billing out to the Town and Villages for costs. The total to
                                  be billed out will be $51,180. May have to pay for the other two
                                  months of Dr. Hendrik’s guaranteed income. To date paid only 1
                                  month. As well, we have agreed to pay for the lease on the office
                                  space and have not received any bills for that.
                            ■     The preliminary figures for the Natural Gas Department show that it
                                  should break even in 2006.
                            ■     For Natural Gas savings and higher revenues have happened
                                  because:
                                  ■        The largest area of savings is in the wage distribution.
                                           Three was a full-time employee charged to Environmental
                                           Treatment Services this year.
                                  ■        Odorant has brought in much higher than expected revenue
                                           as we had to distribute to a larger area in 2006. The bill for
                                           December odorant is approximately $19,000. This will be
                                           back to normal in 2007. The odorant revenue should be
                                           more in-line with 2005 expenses as we will not be
                                           delivering to such a large area in 2007.
                                  ■        November was colder in 2006 than it has been in the past.
                            Assessment:
                              Accurate Assessment Group – currently compiling 2006
                              assessment.
                              Goal is to have it completed and loaded in ASSET by
                              February 15 – extension granted.
                              Facilitate finishing the assessment in a timely manner.
                              Will be inspecting all new development permits and
                               unfinished work from last year.
                              Prior to January 15: will be in the area finishing up
                              inspections.
                             Taxation:
                              Letters sent December 4, 2006 for Tax Sale.
                              Letters sent December 21, 2006 about the policy Council
                              passed on the tax arrears agreement – have since received
                              payments on 4 properties.
                              Taxes collected: 98.2% - total tax arrears outstanding
                              $181,169.22 of that $141,542.17 is from 2006 taxes.
                              Cold Lake Pipelines paid - $768,697.62 – received taxes and
                              full penalty.
                              Enter new monthly payment plan members / send out letters.
                            Financial:

                       The Reeve Cory Ollikka called the Committee of the Whole
                       Meeting to Order at 2:25 p.m. in the presence of all the Council
                       members, the Chief Administrative Officer and Assistant Chief
                       Administrative Officer.

                       Discussions and review held on Bylaw 1143-06 to establish and
                       govern the Smoky Lake Heritage Board as per recommendations
                       submitted from Reynolds Mirth Richards & Farmer, LLP,
                       Barristers and Solicitors.



209-07: Cherniwchan    That County Council recommend Bylaw 1143-06: Smoky Lake
                       Heritage Board to proceed to 2nd and 3rd readings.
