                     XYZ Convention Prospectus
                                  For July 2006

INTRODUCTION

The XYZ Association is a national, non-profit organization representing approximately
2,500 churches. Its 200,000 - plus members include dues-paying members,
leadership and associate members in North America.

This National Convention is held each year during the third week of July. Sites are
ideally balanced geographically in locations alternating east and west of the
Mississippi River.

The standard site selection process, which is completed 10 years in advance, begins
with an invitation from the association’s constituents in a particular state. The
inviting state must be capable of providing sufficient funding and volunteers, using
criteria supplied by the Executive Office of the XYZ Association, Inc. The site
inspection team, comprised of the association’s Executive Secretary and Convention
Manager, examines two or three potential sites within the state. When the site
inspection team determines which city can provide the best possible experience for the
National Convention, they propose the selected city to the national voting body during
the current National Convention. The convention delegates vote each July regarding
the location for the National Convention.

GENERAL

The XYZ Convention contract will be negotiated by Joe Doe, Executive Secretary, who
is acting as agent for the XYZ Association, Inc. on a noncommissioned basis. All
communications will be directed to Dean Jones, Convention Manager, unless
otherwise specified.

The following XYZ Convention requirements provide a basis for selected facilities to
submit proposals. Proposals must fall within these guidelines to merit serious
consideration. Please note the detailed history of this convention in Appendixes 1-5.

DATES

The dates (including move-in and move-out) for the 2006 XYZ Convention are July
14-21, 2006, with limited pre-conference requirements beginning Wednesday, July 12,
2006.


ROOM BLOCK, RESERVATIONS AND PATTERN

A minimum of 1,000 guestrooms is required with approximately 50% guest check-in
on Saturday, July 15, and the remaining 50% guest check-in on Sunday, July 16, and a
major departure on Thursday, July 20. Of these, approximately 85% of the room
block will be quad occupancy. Current group rates must be quoted. This will serve
only as an indicating factor for our decision. We understand that our group would not
arrive for 2 years and many factors may change room rates. Final group rates will be
negotiated 12 months prior to the meeting. We require a staff room block of
approximately 30 rooms at a lower than group rate.

Guests will have the option of making individual reservations by contacting the hotel
directly via telephone, fax, Internet, mail or any other means of communication
available at the time. Guests who telephone the hotel should be given confirmation
immediately, if available. Guests, who choose to make reservations using a method
other than telephone, should be given an acknowledgement of their confirmation
using a timely method.

COMPLIMENTARY POLICY

The XYZ Convention requires two two-bedroom suites above the complimentary
commitment of one (1) guestroom per 50 based on total room nights utilized at the
headquarters hotel. An additional two-bedroom suite is requested at all other utilized
properties. Complimentary room totals are to be based on total room nights, rather
than on a daily total basis. Complimentary room nights will be calculated and the total
deducted from the final master account, rather than assigning specific individuals to
occupy complimentary rooms.

The XYZ Convention planning team (currently consisting of five members) conducts
three site visits in the year prior to our convention. We require complimentary
sleeping rooms and a small meeting space for our planners for each of these visits.
The current site visits are conducted in September, January and May prior to our
convention in July.

PUBLIC MEETING ROOMS

See the attached current schedule. The XYZ Convention normally uses standard
theater-, classroom- and conference-style setups and requires that the setups and
meeting rooms be provided at no charge. Please provide to-scale floor plans of all
meeting space.

All space will be held on a 24-hour basis for the exclusive use of the XYZ Convention.
Space may be released to the facility only with permission from the XYZ Convention
Manager.

A staff office is required in close proximity to the major event area. Parlors on
guestroom floors may be used for committee meeting rooms. The XYZ Convention
prefers all expositions and major and concurrent sessions on the same level.

Please indicate group bookings immediately proceeding, during and following the
dates you are proposing for this event.

We occasionally bring audiovisual or other specialized equipment into a property. We
also allow individuals or outside vendors to operate audiovisual equipment for some
program sessions. When submitting a proposal, please advise us of hotel and union
policies that might restrict or otherwise affect our use and/or operation of audiovisual
equipment in the hotel.

EXHIBITS

A large exhibition hall is required for approximately 80 8’x10’ exhibit booths. The
exhibit booths should be located near the major session areas.

FOOD FUNCTIONS

No liquor will be served during any XYZ Convention event. Menu bids for all meal
functions will be received approximately nine months prior to the event. All
properties will be allowed to compete in the bidding process. More specific meal
information will be made available prior to the bidding process. Current meal
information may be found in the attached schedule.

ROOM RESERVATION CUT-OFF

A four-week cutoff is required for individual reservations. Close contact will be
maintained with the hotel, and unoccupied rooms will be released to the hotel for
resale.

PRE-CONVENTION AND POST-CONVENTION MEETINGS

The XYZ Convention requires the cooperation of the host facilities in conducting pre-
convention and post-convention meetings. We view these meetings as vital to the
success of our current and future meetings.

BILLING

A credit application should be completed to establish Master Account billing, prior to
the event, as required by the property. Final payment of the Master Account will be
made during the Post-Convention meeting.

                            Convention Summary

SUBJECT: Basic Requirements for annual 5-day convention in July

The convention includes a Youth Conference (approx. 2,000 youth) and a Women’s
Convention (approx. 1,200), in addition to the regular convention (approx. 3,500).

Auditorium:           Auditorium to seat 6,000 or more people.

Parking:              Parking facilities with reasonable rates that are not in conflict
                      with public parking. Arrangements to park vans and a few
                      buses.

Hotel Rooms:          Approximately 1,100 hotel rooms, within four blocks of
                      convention center for walking convenience.

Meeting Rooms:        Simultaneous meeting rooms not conflicting with meal functions

                      12 rooms to accommodate           50-350 people, theater style
                      4 rooms to accommodate            400-500 people, theater style
                      2 rooms to accommodate            600-950 people, theater style
                      1 assembly hall to accommodate    2,000 people, theater style

Meal Functions:       Rooms to accommodate 2,150 catered meals in 20 separate
                      events.

                      7 breakfasts   -    largest for    55 people
                      7 luncheons    -    largest for   300 people
                      4 dinners      -    largest for   500 people
                      2 receptions   -    largest for    50 people

Restaurants:          Restaurants, cafeterias or fast-food facilities in four-block area
                      to feed 3,500 people during a one-hour lunch period.

Exhibits:             Exhibit space for 80 educational booths (8’ x 10’).

Registration:         Convenient registration facilities in the convention center.
