THIS BUSINESS IMMIGRATION ATTRACTION PROGRAM AGREEMENT (this “Agreement”) is entered into by and between the

The Parties will adhere to the following:

The Business and/or Representative will provide the required information to the Service Provider for the listing of the sale.
The Business and/or Representative will notify the Service Provider in the event of a change or cancellation in the listing.
The Business and/or Representative will be responsible for negotiating the terms of the sale directly with the prospect.
The Business and/or Representative understands that the Service Provider is providing a tool to assist in the sale of the business and
does not guarantee that a suitable match will be made.

The Service Provider will enter the information provided into the confidential database.
The Service Provider will only use the information provided for the purposes of the matchmaking process.
The Service Provider will not disclose listing information to prospects without consent.
The Service Provider will contact the Business/Representative only if a potential match is made.

Confidential Information

Service Provider agrees that during the term of this Agreement and thereafter, except as expressly authorized in writing by Business, it
(a) will not use or permit the use of Confidential Information (defined below) in any manner or for any purpose not expressly set forth in
this Agreement; (b) will not disclose, lecture upon, publish, or permit others to disclose, lecture upon, or publish any such Confidential
Information to any third party without first obtaining Business’ express written consent on a case-by-case basis; and (c) will limit access
to Confidential Information to Service Provider personnel who need to know such information in connection with their work for Business.
“Confidential Information” includes, but is not limited to, all information related to Business and its actual or anticipated research and
development, including without limitation (i) trade secrets, inventions, ideas, processes, computer source and object code, formulae,
data, programs, other works of authorship, know-how, improvements, discoveries, developments, designs, and techniques; (ii)
information regarding products or plans for research and development, marketing and business plans, budgets, financial statements,
contracts, prices, suppliers, and customers; (iii) information regarding the skills and compensation of Business’ employees, contractors,
and any other service providers; (iv) the existence of any business discussions, negotiations, or agreements between Business and any
third party; and (v) all such information related to any third party that is disclosed to Business or to Service Provider during the course of
the project (“Third Party Information”). Notwithstanding the foregoing, it is understood that Service Provider is free to use information
that is generally known in the trade or industry, information that is not gained as a result of a breach of this Agreement, and Service
Provider’s own skill, knowledge, know-how, and experience.

IN WITNESS WHEREOF, the parties have caused this Agreement to be approved by their duly authorized representatives and
executed and delivered with the intention of becoming legally bound hereby.
