WHERAS the M/S Balaji Vision is carrying out the business, under the name and style of M/S

Complex,Inside Vikas Mhatre Gate Agasan Manpada Road ,Agasan , Dist. Thane,


WHEREAS M/S Balaji vision is carrying out the business of marketing company and in future
they have various marketing plans in the field of Real Estate Consultancy like Residential
homes, Club Membership, commercial premises, weekend homes,farm house, plots etc.



AND WHEREAS the M/S Balaji Vision has been conducting the said business to the utmost of
their capacities and capabilities, however, during these days the party of the first part was
unable to manage the said business and its affairs with due diligence and had in fact
decided to introduce the various schemes to the consumers who can purchase the Balaji
vision Club membership from the Balaji Vision.




AND WHEREAS M/S Balaji Vision has distribute the pre-decided profit ratio of the business
generated from selling of Balaji Vision Club membership through marketing schemes to the
club members in form of the Gift as mentioned in My Home Plan.

BY-LAWS FOR THE MEMBERSHIP OF BALAJI VISION CLUB



   1. (a) GENERAL, GENERAL MANAGER, CLUB HOURS, DRESS REGULATIONS, DEPENDEMT
      MEMBERS, CHILDREN, GUESTS.

      (b) ADDITIONAL SUBSCRIPTIONS, CHARGES DUE OF MEMBERS DISTURBANCE, COMPLAINS
   AND SUGGESTIONS, OUTSIDE REFRESHMENTS, CLUB PROPERTY, LOST PROPERTY, TIPS TO STAFF,
   CLUB EMPLOYEES, NOTICES, PARKING, PRIVATE PARTIES, ADDRESSES AND NOTICES, SAFETY
   HYGIENE.

                                         By-Laws for Members

                                                  Of

                                          BALAJI VISION CLUB



      1. GENERAL

      These By-Laws are formed under the provisions of the rules and regulations of the Club for the
      furtherance of the objectives of the club and for better observance of these rules. The Members,
      their dependants and guests shall observe and comply with these By-Laws. Contravention of these
      By-Laws as well as rules and regulations of the Club will render a Member liable for disciplinary
      action including expulsion or penalties as the Board of Directors may prescribe under powers vested
      in them by the rules and regulations of the Club.




      1. The General Manager :



(a)     The General Manager will be an employee of the company and shall be in overall charge of the
        administration of the Club under the general supervision of Board of Directors.

(b)     Members shall co-operate with General Manager all the times.

(c)     To enable The General Manager to discharge his daily duties during the office hours, members
        may meet him only when it is necessary.

(d)     For matters pertaining to following subjects, Members are requested to contact the under
        mentioned during the office hours of the Club on all days except Sunday and Holidays. The office
        timings will be notified from time to time.
                    i.       Accounts and Bills                         Manager, Accounts.

                   ii.       Dinning Room Supplies,                     Manager Food & Beverages.

                   iii.      Service and Banquets, Conferences          Restaurant Manager.

                   iv.       Membership Introduction Cards and          Manager, Administration.

                             Reservation for cottages/rooms in

2. Club Hours :

     Subject to these By-Laws the Main Club is open to Members everyday on days when there are
     special programs, dance entertainment programs etc. in which case the opening time and
     closing hours will be notified from time to time. Late fees as fixed by Board of Directors from
     time to time will be charged for the use of club beyond the closing time.

3.   Dress Regulations :



             (a)          Membership/Guests entering the club will at all times be dressed appropriately.

             (b)          Members/Guests in sports kit shall not be permitted in the Card Room, Dinning
                          Room, Lawn and Billiards Room.

4. Children :



     (a) Subject to those By-Laws children below the age of 18 are not permitted in any area of main
         club after 6 pm except in the TV room, Children Play area and other areas of the Club which
         will be notified from time to time, unless they are accompanied by parents/Members.
         However, children not in the Company of their parents may remain in the children room and
         in the children play area up to 9.30 pm.

     (b) On special occasions, after due notification by the Board of Directors the children may be
         allowed to be present in the designated areas of the club provided they are accompanied by
         their parents/Members.



5.   Guests :
         (a) Only those gentleman and ladies who have been received in general society shall be
             introduced as guests.

         (b) Residents of Thane, Mumbai and its suburbs shall not be introduced as a guest for more
             than three times in a month.

         (c) A visitor to Bombay and its suburbs may be introduced as a guest in the club for not more
             than 5 days in a month.

         (d) A person who has not been admitted to membership for the second time shall not be
             introduced to the club at anytime as also a person who has been removed or suspended
             from the membership of the club.

         (e) Every member who introduces a guest shall pay a fee as prescribed by the management
             from time to time which will be notified to the members. Both member and the guest
             shall sign the guest book. A member failing to enter the Name of his Guest in the
             guestbook maintained at the entrance of the club will be fined 5(five) times the guests
             fees on each such occasion.

         (f) The introducing member shall b e responsible for his guests strictly observing the club
             rules and regulations and must not leave the club premises before his guests. The Board
             of Directors may suspend any member who takes undue advantage of his privilege to the
             detriment of the club.

         (g) A member inviting Non member guests to his private party shall submit a list of these
             guests to the General Manager in advance so as to enable them to be allowed in the club.

         (h) Any person wishing to call on a member in the Club may be accommodated by the staff in
             the reception room till such member is called and signs the guest book.



   6. Personal Attendants and Chauffeurs:



No personal attendant of the member is allowed in the club premises except in the children’s room and
children’s play area. In the case of personal chauffeurs of the members, they will be confirmed in the
areas marked for parking of chauffeurs driven cars. The members will be responsible will be responsible
to ensure this.



   7. Additional Subscription charges etc.
         (a) The Board of Directors will from time to time revise the charges for the following facilities.

         (b) The club has designed various membership schemes and may alter or amend the same so as
             to suit the members and the club. The Annual maintenance charge for the classes of
             membership has been specified and will be subject to revision with respect to the inflation
             graph and on a proportionate basis.

         (c) Dinning room, bar and supplies.

         (d) Corkage, Guests fee and Members late fee charges.

         (e) Table and party reservation fee.

         (f) In general any other charge that may be levied from time to time.

         (g) Lawns

         (h) Open spaces

         (i) Banquet Halls, Conference room, terrace, and other areas and facilities which may be let out
             to the member for exclusive uses.

Details of these charges will be displayed on Notice Board maintained for his purpose of the Club.



    8.   Disturbance :



There shall be no speeches or singing in any party of the Club except by permission of the General
Manager on occasions of special entertainment. No member shall cause any disturbance whatsoever or
annoy his neighbors by talking loudly and laughing or by any such which are unbecoming of a member.



    9. Complaints and suggestions :



A complaint and suggestions book will be maintained in the reception room. The General Manager will
place all suggestions and complaints before the Board of Directors. However, if in the opinion of
General Manager a complaint is justified and action with respect to it is in his powers, he shall take such
action as may be necessary and report the Board of Governors when it meets next.
    10. Outside Refreshments :



No member shall be allowed to bring into the club any food or refreshments consumption.



    11. Lost Property :



The Club shall not be responsible for the loss of any property belonging to a member, his family or his
guests. The General Manager shall keep in safe custody and notify all lost articles found in the club.




    12. Club Employees :



        (a) No member shall reprimand or punish any staff of the club. If the member has any
            grievance against any staff member, he shall report it to the General Manager of the Club
            for further against any staff member; he shall report it to the General Manager of the Club
            for further action through the Complaint Book or by a separate letter.

        (b) No member shall employ privately, any staff of the Club even for a short period of one
            evening.



    13. Notices :



For the purpose of these By-Laws specific Notice Boards shall be kept in the Club as follows :



        (a) Notice under the Rules and By-Laws

        (b) Notice of advertisements by Members.

        (c) General Notices

        (d) Notices giving details of supplementary subscriptions, charges for supplies, room rents, fees,
            etc.
     14. Parking :



         (a) Areas have been designated in the Club for scooter/ motor cycle parking as well as for
             owner driven cars and chauffeur driven cars separately. Members shall park their vehicles
             in these designated areas.

         (b) No vehicles are permitted for parking in the area adjoining the main building.

         (c) Members arriving in vans and buses shall park them in parking areas designated for these
             vehicles.



     15. Address of Members :



         (a) Each Member shall inform the General Manager of the Club about any change in his
             address. Any notice required by these Rules and the By-Laws to be given to members may
             be given by prepaid letter addresses to the member at the last address which he had
             furnished to the General manager and shall be deemed to been delivered in due course of
             post.

         (b) Every member is taken to have read, understood and agreed to abide by the rules enforced
             and the rules as amended/ altered from time to time.



2.      FACILITIES

     OPENING HOURS:

             a) The Club shall be opened and prepared to receive members during such hours as may
                be prescribed by the Board of Directors from time to time within the statutory
                restrictions.

             b) These hours may be shortened or lengthened at the discretion of the Board of Directors
                of BALAJI VISION CLUB.



               The Club provides the following amenities to the members:

         1. Card Room:
            Timings to be notified from time to time.

      2.     Lawn:

            Timings to be notified from time to time.

      3. Children’s play area:

            Timings to be notified from time to time. Primarily for use by families, and children below

            the age of 16(sixteen).

      4. Main Lawn :

           Children below the age of 16 (sixteen) are not permitted in the Main Lawn after 6 pm.

      5. Dining Rooms:

           (a)    Main Club Dining Room:

                 i.   The timings for the meals in the dining room and orders from the Kitchen will be
                      notified from time to time.



                      Breakfast :        Timings to be notified from time to time

                      Lunch      :       Timings to be notified from time to time

                      Dinner     :       Timings to be notified from time to time




6. Coffee Shop:



   The timings of the Coffee Shop will be notified from time to time.



7. Bar:



            Main Bar: Timings to be notified from time to time.
   9. Special Parties:

        Subject to availability, members may reserves the Lawns and Children’s Lawn and other
areas designated from time to time in the Club for private parties as per the following conditions:

            a. All guests should be dressed appropriately and only those who are received in
               general society shall be invited. A guest list in duplicate must be provided to the
               Club in advance.

            b. Advance payments as prescribed must be made at the earliest to confirm booking
               and the dining sections must be advised of the Menu at least three days in advance.

            c. Reservation fee: members desiring to avail of the above mentioned facility will have
               to pay a Reservation fee fixed solely at the discretion of the Management.

            d. Following shall be the cancellation charges:

                   I.    For 48 hours and less, reservation fee + 25% of the food charge.

                  II.    For 24 hours and less, reservation fee + 75% of the food charge.

    10.     Entertainment:

            Various entertainment activities would be held from time to time for which a special
            notice will be given to members.



   11.      Games:

            A member shall enroll in any of the games he or his family wishes to participate in.
            Facilities for the following games are proposed to be provided by the Club in a phased
            manner. The use of the facilities of the Club by guests of the members will be restricted
            to non-holiday season and other months which will be notified from time to time.
            Specific rules for various games will be made and promulgated from time to time.




                a) Cards:
         I.   The timings of the Card room shall be notified from time to time. Any
              member wishing to play beyond notified time will be charged late fee at
              the rate prescribed by the Board of Directors.

        II.   Tables for only Bridge and Rummy are allowed. On payment of extra
              charge any four members may reserve a Bridge table for the evening
              irrespective of the number of players. However, entry must be made in
              Table reservation register immediately before the formation of the
              Table and starting the game. The Reservation Card shall be obtained
              and displayed on the Table.

       III.   At no time will the stakes for Bridge and Rummy exceed Rs 1/- (Rupee
              one only) per point.

b)   Billiards:

         I.   The timings for the Billiards section will be notified from time to time.

        II.   A slate for recording the names of the members who desire to play shall
              be provided for each Billiards Table. When a Table becomes vacant in
              the absence of the member whose name is first on the slate, it may be
              claimed by the member whose name stands second.

       III.   A game already in progress can be continued till expiry of the time limit.
              No table shall be engaged by the same players for a period exceeding
              half an hour unless there are no other players waiting.

      IV.     A member desiring to play a game by himself may be permitted to do so
              but surrender the table if two other members are desirous of playing
              and no other Table is available.

       V.     A member may play with a marker at a prescribed charge. However, no
              marker shall play a game when another member of club wishes to play,
              unless a game already begun is unfinished.

      VI.     If a member or a Guest, or a dependent member accidentally damages
              any property of the club which includes Sports Items, Snooker/ Billiards
              Cloth, landscape, permanent or temporary fixtures fittings etc. then
              he/she shall be liable to pay the applicable penalty for the same. Such
              penalty shall be decided by the management & shall include the
              material cost, transportation, labour & the co-related loss to the club
              caused by such damage. Such penalty shall be deposited to the club
              within seven days from the date of raising the bill.
           VII.    Children under the age of 18 are permitted to play Billiards except on
                   Sundays and Holidays when the timings will be notified from time to
                   time.

     c)   Table-Tennis:

          The timings of the table-tennis will be notified from time to time.

     d)   Gymnasium and Health Club:

          The timings for Gymnasium and health club will be notified form the time to
          time. Guests are not permitted to use the Gymnasium and Health club facility
          during Holiday seasons and other dates which will be notified from time to time.

     e)   Tennis & Badminton:

          The timings for tennis and badminton courts will be notified from time to time.




3.    MEMBERSHIP

     1.   Meeting of the Board of Directors shall normally be held once every three
          months for specific purpose of selecting/admitting new members.

     2.   If a candidate for Individual Membership is posted out of station temporarily
          and if he writes to the Board requesting that his application for Individual
          Membership should be kept in abeyance, the Board mat do so in its sole
          discretion.

     3.   A person who has not been admitted twice shall be ineligible for the
          Membership of the Club.

     4.   If at any time the Board discovers that information given by the candidate is
          incorrect, the Board shall take necessary action against the candidate /
          members as they deem fit.

     5.   Membership cards will be issued to the members as per their class of
          membership & same shall be refurnished on loss of card or damage to the card
          for a nominal fee as prescribed by the club. The cards shall be presented as &
          when required & are to be done so only by the member in whose name the card
          stands. Misuse of the membership card shall not be permitted.
        4.      ALTERATIONS IN PLANS & INTERIORS

                Any additional alterations made in the plans & interiors so as to facilitate optimum use
                of the premises or as may be deemed fit by the Directors shall be implemented
                accordingly & such changes shall not be objected to or by any member/members and
                such changes if any will be conducted at the sole discretion of the
                Management/Directors.

5.COACHING

        The club is offering various facilities with provisions of coaches if required. The coaching
charges for the facilities will be on term basis & will be charged accordingly if the services of the coaches
are availed of.

 6. MAINTENANCE

               Each and Every Club Member has to pay a maintenance charges to renew his
membership, if any of the member has not renewed after remainder/ or don’t want to continue the
membership then his membership will be discontinue.

 7. Joining Gifts

                Club Members will be entitle for the joining gifts such as Holiday Package, Discount
Vouchers of Shilpvastu Builders.



A)HOLIDAY PACKAGE :- This is Complimentary product that M/S Balaji Vision is Providing
to our all Balaji Vision Clubmembers 4Nights 5 days & 3 Nights 4 days holiday package
(Free Accommodation only ) of 3 star or 4 star property as mentioned on the voucher. Club
Members have to choose any of the destination Domestic & internationally.

Terms & Conditions:

  •     Validity of the package is of 6 months from the date of the execution of this MOU.


   •    The Club Members should utilize that package within 6 months and                    after expiry of
   the six months M/S Balaji Vision Club can not claim the holiday package from the Balaji
   Vision Club.

   •    It is only a free accommodation package which will not include any traveling, food
   and all other things.

   •    For the services rendered in Hotels, M/S Balaji Vision Club is not at all responsible.
      B)   MY HOME DISCOUNT VOUCHER. :-                      This is Complimentary product that M/S
     Balaji Vision is Providing to our all Balaji Vision Clubmembers the said voucher is worth
     or value of Rs. 50,000/- (Rupees Fifty Thousand only). The said voucher is used for the
     purpose of purchasing a home from M/S ShilpVastu Builders only or any other purpose
     with the consent of the Balaji Vision Club.




* Terms & Conditions :

1) This Discount Voucher is valid for buying 1BHK or more than that Area in the projects of
M/S ShilpVastu Builders only.



2) This Discount voucher is transferable if an associate is not using it, then he can transfer
his amount to anybody.

                          RULES & REGULATIONS OF THE BALAJI VISION CLUB

                             A DIVISION OF BALAJI VISION CLUB

                  Balaji Vision Club, a Company having its office shop no.1, Gulmohar Building, Matoshri Nagar
Complex,Inside Vikas Mhatre Gate Agasan Manpada Road ,Agasan , Dist. Thane, herein after referred to as
“BALAJI VISION CLUB” is intending to commence a new business viz. Of developing Social, Cultural,
Recreation, and Intellectual activities and with that end in view in consonance with its Memorandum
and Articles is starting a Division by the name “Balaji Vision Club ” herein after referred to as “The Club”
to carry out its business activities subject to the following Rules and Regulations.

1.         NAME : The name of the division is BALAJI VISION CLUB.

2.         MANAGEMENT :
              a) The said division viz. the Club shall be administered and controlled absolutely by BALAJI
                 VISION CLUB and its Board of Directors and shall be Division of BALAJI VISION CLUB and
                 shall not have a separate entity.

              b) BALAJI VISION CLUB will provide the Club premises and all reasonable necessities for
                 carrying on the activities of the Club in accordance with its object and rules. BALAJI
                 VISION CLUB will be solely responsible for all expenses connected therewith for the
                 engagement, dismissal and payment of staff and for catering and for all other matters
                 which involve disbursement of money.

              c) The members of the Club are entitled only to the use of the premises and property ear
                 marked for the club and enjoy the privileges/amenities provide in the Club subject to
                 the provisions of these Rules and such rules as may be amended, altered or replaced
                 from time to time at the discretion of the Board of Directors of BALAJI VISION CLUB.

5.        AIMS & OBJECTIVES

The aims and objectives of the club are:

     a) To provide secular institution to promote and facilitate social, cultural, recreational and
        intellectual activities among its members and to support such activities in general.

     b) To establish and provide recreational and sports facilities and related activities such as indoor
        and certain outdoor games and sports for members in a phased manner.

     c) To promote club activities like concerts and plays, and to hold, promote or support sports, sport
        meetings competitions, championships and matches and to offer and contribute towards prizes,
        medals, scholarships and awards.

     d) To promote, encourage and support such activities among the members as are conducive to
        growth of social, cultural and intellectual environment in particular.

     e) To establish promote, manage or assist in the establishment, promotion or management of any
        other body or association, either in India or outside India, whose objects are similar either in full
        or in part to the objects of the Club, and to affiliate the Club such Institutions in India or abroad.

     f)   Generally to engage in such other activities as are incidental or conducive or otherwise
          advantageous to the attainment of the above objects or any of them.

     Provide that each of these Aims and Objectives are to be constructed as substantive clauses, not
     limited or restricted in any manner by reference to, or implication from, or any other of them, or the
     name of the Institution and further that no one of these Aims and Objects shall be subordinate or
     merely subsidiary to any of the others including the first named.

There shall be the following classes of Membership in the Club

    1) Silver Club Membership

    2) Gold Club Membership

    3) Platinum Club Membership

    And all such classes of membership as altered & redesigned by the club on time to time basis. The
    membership details are more specifically incorporated in the membership forms.

    1. Silver Club Membership :- This membership is on individual basis , only one person can take
       club benefits . also you will get complementary 1 holiday voucher for 4 nights 5 days & 1 for 3
       nights 4 days ,you will get 1 discount voucher for M/s shilpvastu Builders worth Rs. 50,000/-

    2. Gold Club Membership :- This membership is for couple , also you will get complementary 2
       holiday voucher for 4 nights 5 days & 2 for 3 nights 4 days , i.e you will get yearly 18 days free
       accommodation on any of the listed destinations ,you will get 2 discount voucher for M/s
       shilpvastu Builders worth Rs. 50,000/-

    3. Platinum Club Membership :- This is a Family Membership i.e. for Husband, Wife, 2 Childrens
       (Below the Age of 10yrs) and if children are of 18yrs then this membership will be entitle for 3
       Family Members, also member will get complementary 3 Holiday Voucher for 4 nights 5days & 3
       for 3nights 4 days, i.e. you will get yearly 27 days free accommodation in any of the listed
       destinations, you will get 3 discount vouchers for M/s shilpvastu Builders worth Rs. 50,000/-



CAREERS:

BUSINESS DISTRIBUTOR TRAINING PACKAGE: Business Distributor training package
includes the training material, license to sell Balaji Vision Club Membership.

“BUSINESS DISTRIBUTOR”: Business distributor means an associate who introduce new
Associates. Each and every associates can become Business distributor by introducing new
purchaser for “BALAJI VISION CLUB”, after that he will be the eligible for Pre –decided
commission & Rewards as decided by the Balaji Vision Club from time to time.

* Terms & Conditions:
1) On death of Business distributor, his/her nominee or legal heirs will be entitled for the
benefits of the business distributor as per the law.




2) The Club Members shall become Business distributor, as an when he/she will introduce
the new associates. He/she will have the right to promote the concept offered by Balaji
Vision in accordance of the marketing program, Marketing plan rules, regulations , policies &
procedures framed by the company from time to time.




3) Upon acceptance of this MOU of Balaji Vision, the business distributor will be responsible
his own business and he shall not treated as an employee of Balaji Vision. He shall not claim
any rights of the employee in accordance with the existing labour laws. He shall not claim
E.S.I., P.F., Gratuity or any other benefits under any act presently in force, including the
workmen’s compensation act and such other allied labour laws.




4) The Balaji Vision Club will be responsible to pay all the tax dues regularly whether local
state & central or TDS on earning from income generated in particular financial year.




5) The business distributor should understand that the marketing plan program is built on
concept of retail sale of Product to ultimate consumer, there by avoiding middlemen and
passing on the benefit of such direct sales in the form of sales incentives of a Business
distributor / Associate.




6) The Balaji Vision Club has not appointed and authorized any official, officer or distributor
to collect/receive any amount in cash on behalf of the Balaji Vision Club towards the
distributorship fee or cost of product, as the case may be.




7) Business distributor is eligible for pre-decided commission as well as my home plan as
per the current business development.
                                        My Home Plan

Silver Club Membership: In silver membership, if Club Member will introduce one more
member who will purchase club membership then he will get entry into my Home Plan
Qualifier Zone.

Gold Club Membership: In Gold Membership, club member is already been qualified for 1st
entry into Qualifier Zone My home plan (for the area of 300 sq. ft.) but if member will
introduce one more member to M/S Balaji Vision Club then he will be entitle for the 2nd entry
into Qualifier Zone for my Home Plan(i.e. for the area of 300 Sq.Ft.). If he will introduce a

Platinum Club Membership: In Platinum Club Membership, club member is already been
qualified for 1st & 2nd entry into Qualifier Zone for my home plan (for the area of 300 sq. ft.
each entry) but if member will introduce one more member to M/S Balaji Vision Club then
he will be qualified for 3rd entry into Qualifier Zone for my Home Plan(i.e. for the area of 300
Sq.Ft.)i.e. if a member will introduce one more member to M/S Balaji Vision Club, then he
can eligible for total Area of 900 Sq.Ft.

              When the Associate enters in to Qualifier Zone of My Home Plan , then this
plan will run as per the company’s plan, after introducing one member you can enterd in to
qualifier zone once you enter in to qualifier zone you will be getting sr. no. that is your my
home plan id no. and after that once 16 qualifiers get enter in to qualifier zone then one (1 st
qualifier) can be eligible for Gift from M/S Balaji Vision of 1 RK (300 sq.ft. Built up Area),
After that behind every 16 qualifiers get enter in to qualifier zone then one by one (serial
wise qualifiers ) can be eligible for Gift from M/S Balaji Vision of 1 RK (300 sq.ft. Built up
Area).

For e.g.

Case 1: Suppose your Qualifier ID No.55 then you will be entitled for gift after qualifying of
880 members.
Case 2: Suppose your Qualifier ID No.56 then you will be entitled for gift after qualifying of
896 members.




AND WHEREAS the parties hereto have expressed their wish and desire to record the terms
and conditions, more particularly mentioned hereinafter.

NOW THEREFORE THIS M.O.U. WITHNESSTH AND IT IS AGREED HEREBY AND BETWEEN
THE PARTIES AS FLOOWS:


   1.     That the recitals abovementioned shall be treated to be the part and parcel of
          this Memorandum of understanding, as if the same are reproduced herein, in
          verbatim and the same shall be read with the terms and the conditions
          mentioned hereafter.


   2.     That the cost paid by the Club Members towards Balaji Vision Club Membership is
          non-refundable and non-transferable.


   3.     That the Club Members who buy the Balaji Vision Club Membership hereby
          agreed that the said amount paid by him towards Balaji Vision Club Membership
          is non-refundable and non transferable under any circumstances.


   4.     That the Club Members will pay the registration charges, stamp duty, legal
          expenses, Advocates fees, Society charges, Misc. expenses etc towards the
          registration of the sale agreement.


   5.     The Balaji Vision Club is duty bound to provide the home to the Club Members
          within the jurisdiction of the Central, Western and Harbor local trains.



   6.     That the Balaji Vision Club will give the My Home plan to the Club Members which
          is the gift from M/S Balaji vision, Which is mentioned in My Home Plan.
7.    That the Club Members has to introduce the one new associate to get in to My
      Home Plan “Qualifier Zone” as mentioned in My Home Plan.


8.    That the Balaji Vision Club will see his account status and it will be displayed on
      the Website of the party of the first part. The Club Members will check his/her
      account on the website as an when he desire. The Balaji Vision Club will provide
      account ID for the same. That the Club Members will not demand the hard copy
      of the details of his/her status of levels from the Balaji vision.



9.    That the Balaji Vision Club and club members is bound by the terms & conditions,
      policies, procedures, code of ethics & business opportunities of the company as
      given below & from the website named www.balajivision.net This application /
      agreement form is consider as on authentic & legally binding document on both
      the parties.



10.   That the Balaji Vision Club will reserve the right to change the product in future
      as per their market development.



11.   That the Balaji Vision Club can sell the organization to any other organization or
      company or firm with the liabilities.



12.   This MOU is between the Associate which includes the business distributor (herein
      after referred to as a business distributor) & Balaji Vision.



13.   That the club members /business distributor is agreed to enter into this MOU and
      enter in business of Network Marketing and has join this My Home Plan scheme in
      his/her full consciousness with no pressure whatsoever.



14.   That on the death of the business distributor, his/her benefit should pass to
      his/her nominee or legal heirs as the case may be per the law of Succession in
      India.
15.   That the Club Members should became the Business distributor upon accordance
      of the application provided by the party of the fist part. He/She shall have the
      right to promote the concept offered by Balaji Vision in accordance of the
      marketing program, Marketing plan rules, regulations , policies & procedures
      framed by the company from time to time.



16.   That upon acceptance of the application for the business distributor of the Balaji
      Vision Club. He / She will be responsible for his/her own business and not as an
      employee of Balaji Vision. He/She will not be treated as an employee regards to
      any labor laws and shall not claim any E.S.I., P.F., Gratuity or any other benefits
      under any act presently in force including the workmen’s compensation Act,
      1923.



17.   That the Balaji Vision Club will be responsible to pay all the taxes, dues regularly
      whether local state & central or TDS on earning from income generated in
      particular financial year.



18.   That the Club Members agreed and understand that the marketing plan program
      is built on concept of retail sale of Product to ultimate consumer, there by
      avoiding middlemen and passing on the benefit of such direct sales in the form of
      sales incentives of a Business distributor / Associate.



19.   That the Club Members has not authorized any official, officer or distributor of the
      company to receive any amount in cash on behalf of the company towards the
      distributorship fee or cost of product, as the case may be.



20.   That the Balaji Vision Club will not entertain any request for any package/product
      made after 30 Days of the date of acknowledgement of payment.



21.   That the Balaji Vision Club will be deducted service charges as per company
      norms. TDS will be deducted as formulated by the government.
22.   That if the Club Members is partnership firm or the private Ltd Company then
      they have to submit their relevant partnership deeds/Certificate of registration
      etc issued by the Govt. authorities.



23.   That all individuals’ distributors should adhere to rules & regulations formed by
      the Organization & if any of the Business distributor / Associate is found guilty of
      not observing the same, then he/She/they will be terminated from the scheme
      forthwith.



24.   That once a Business distributor / Associate is terminated, he/she can not enter
      into any of the BALAJI Vision Premises/meeting locations and his /her scheme
      benefits will be stopped immediately.



25.   That the business distributor shall not claim in the profits of the Balaji Vision Club
      at any point of time.



26.   That the Business distributor / Associate shall not compel, induce or mislead any
      person with any false statement / Promise to join the Balaji Vision Club and/or to
      purchase the product. The Balaji Vision Club is not responsible for any false
      commitment given by Business distributor / Associate.



27.   All Disputes shall be Subject to Thane Jurisdiction only.



28.   The Balaji Vision Club will keep reserves the right to change the product range
      the cost of package and all other terms & conditions subject to change in state &
      central government legislations, Market situation or availability of products etc.
      from time to time. This concept is open only for citizen of India.



29.   Benefit worth below Rs.200/- (Rs.Two Hundred only) will not be issued and will
      be accumulated, any income is payable by cheque any.
30.   Any Business distributor found not taking interest in the training arranged by
      Balaji Vision, he/she may be terminated.



31.   Business distributor or Associates shall keep the company inform of any change
      of address.



32.   That the Balaji Vision Club will not accept any money from any Associate /
      Business distributor as a investment.



33.   The Balaji Vision Club will reserves rights to declare holiday on any day or state/
      National Holiday.



34.   That the Balaji Vision Club is not a finance or Investment company. All the figures
      shown in my home plan are based on assumption of 100 % development of each
      cycle.



35.   That the Business distributor will be responsible to regularly check the website
      www.balajivision.net for any up gradations/amendment and the company will
      neither undertake to send any direct letter nor use any other medium other than
      website.



36.    That the Balaji Vision Club would not be responsible if due to any act/natural
      calamity/ change in law or unforeseen circumstances is unable to perform its
      normal working. In such circumstances no claim for income of any plan. Business
      distributor in any form will be tenable/ acceptable.



37.   That the Minimum Period (time) for completion of each closing cycle i.e. to
      complete expected sales for that closing cycle is not fix. It is totally depends on
      business development of the party of the first part.
38.   That the Balaji Vision Club does not give any guarantee or time commitment for
      completion of any cycles. It is totally depends on performance of all Business
      distributors and the Business Development of the party of the first part.



39.   That the Club Members is agreed to enter into this MOU after carefully reading
      /understanding the scheme, the terms and conditions and the business plans
      appended along with the application form, brochures, and the details given on
      the website www.balajivision.net



40.   That the Club Members is hereby agree to the same and join as an
      associate/Business distributor of the Balaji Vision Club on his own accord to do
      the distribution business.



41.   That the Club Members would not be required to attend the office and neither
      business activities nor they shall be held responsible for any business action and
      the Balaji Vision Club have full control over the said business.



42.   It is agreed that in case necessary changes in the name of the party, company
      formation of the first part are effected and in that case if the permissions, legal
      procedures is required to be done/transferred in such name, in which the said
      business is transferred, all the expenses, formation fees, transfer fees, etc. shall
      be borne and paid by the Balaji Vision Club alone.



43.   Before commencing any business activity by the Balaji Vision Club shall obtained
      the necessary permissions from the concerned authority in the name of the party
      of the first part, the cost and expenses shall born by the party of the first part.



44.   To enable the Balaji Vision Club to obtain finance for the above business, the
      Balaji Vision Club is at liberty to take a proper finance for the said business at
      their costs and expenses.
45.   That the Club Members is not held responsible and liable for any losses caused to
      the said business of the Balaji Vision Club if any.



46.   The parties to this MOU hereby agree and confirm that all the other terms and
      conditions of the MOU, shall remain as it is and shall be binding on the parties
      hereto.



47.   The parties, therefore, shall adhere to the terms and conditions and shall not
      commit any breach and/or default of this MOU.



48.   The parties hereto shall execute such other and further documents to give true
      effect to the present MOU.



49.   Any dispute or differences which may arise between the parties or their
      representatives, with regard to the terms and conditions of this or any other
      matters shall be referred to sole Arbitrator mutually agreed upon and the decision
      given by the said Arbitrator shall have force of an award as contemplated under
      the provisions of Arbitration and Reconciliation Act, 1996.        The place of
      arbitration shall be at Thane and the expenses in respect thereto shall be borne
      by the Club Members only.
IN WITNESS WHEREOF THE PARTIES HEREIN PUT THEIR REPSECTIVE HANDS TO
THIS MOU TODAY ON THIS _______ DAY OF _____________ 2009.
