									           `THE COMPANIES ACT 1985 AND THE COMPANIES ACT 1989


1.        NAME

          The name of the Association is “THE ENGLISH RACKETLON ASSOCIATION
          LIMITED”. (“The Association”)


          The registered office of the Association will be situated in England at 147
          Station Road, North Chingford, London, E4 6AG.


          The Association’s objects and powers are:
3.1       To be the governing body of the sport of Racketlon and their related multi-sport
          events throughout Great Britain (except Scotland). Throughout this document
          references to Racketlon shall include their related multi-sport events where
3.2       To foster, develop and control the sports of Racketlon within England and the
          rest of Great Britain (except Scotland);
3.3       To exercise exclusive jurisdiction over all matters pertaining to the participation
          of England in the sport of Racketlon at World, European and other international
3.4       To liaise with other governing bodies and sports associations, both nationally
          and internationally, with regard to any matter pertaining to the sport of
          Racketlon; And to liaise with the International Racketlon Federation (hereinafter
          referred to as "FIR").
3.5       To approve facilities and arrangements for events to be run under the auspices
          of the Association;
3.6     To develop and maintain an Olympic programme status for the sport of
3.7     To establish, safeguard and review as necessary the competition, leagues and
        tournament rules of the sport of Racketlon;
3.8     To promote and encourage all sections of the population to participate and
        compete in the sport of Racketlon without discrimination;
3.9     To institute National Championships, National Tour and ranking system for all
        classes of Racketlon, and develop a programme of events approved by the
        Association each year;
3.10    To develop and publish the sports ethics statements, policies, regulations,
        guidance and whole sport plans;
3.11    To provide, and co-ordinate technical information regarding event organisation,
        equipment design, training, and coaching in the sport of Racketlon;
3.12    To encourage research and development and the dissemination of information in
        all areas relating to the sports of Racketlon;

3.13   To retain and control all its intellectual property rights in connection with its
       events and policies;
3.14 To be committed to preventing the use of doping and doping methods in all
       sports and to co-operate with the Sports England and other recognised bodies to
       ensure all practical methods are employed to this end;
3.15 To act as final authority over the Sport of Racketlon and in hearing and
       determining or otherwise to sit in arbitration over disputes and protests arising
       from Racketlon event and competitions;
3.16 To do all such things hereafter mentioned as may appear incidental or conducive
       to the pursuit or attainment of any of the above objects or to the exercise of any
       power (whether express or implied) possessed by the Association, that is to
3.16.1 To accept subscriptions, donations, devices and bequests of any real or
         personal property or estate or effects, maintain and alter any of the same as
         are or may be necessary for any of the objects of the Association;
3.16.2 To issue appeals, hold public meetings and take such other steps as may be
         required for the purpose of procuring contributions to the funds of the
         Association in the shape of donations, subscriptions or otherwise;
3.16.3 To purchase, take on lease or in exchange, hire or otherwise acquire any real
         or personal estate;
3.16.4 To sell, lease mortgage or charge or otherwise deal with all or any part of the
         property of the Association;
3.16.5 To construct, maintain and alter any houses, buildings, offices or installation;
3.16.6 To borrow or raise money and give security for money or money’s worth or for
         any debt, liability or obligation of the Association or of any third party interested
         in or otherwise having dealings in the ordinary course of business with the
         Association by the issue of or upon bonds, debentures, debenture stock, bills of
         exchange, promissory notes or other obligations or securities of the Association
         or by mortgage or charge upon all of any part of the property of the Association
         and to give guarantees for the performance of obligations of any third party
         interested in or otherwise having dealings in the ordinary course of business
         with the Association;
3.16.7 To invest funds of the Association on or upon such investments, securities or
         property as may be thought fit;
3.16.8 To undertake and execute any trust or any agency business which may seem
         conducive to any of the principal objects;
3.16.9 To subscribe to any local or national charities, and to grant donations for any
         public purpose or in support of any charitable cause or any such sport event as
         may be thought fit;
3.16.10 To establish and support, and to aid in the establishment and support of, any
         other associations formed to promote all or any of the principal objects of the
3.16.11 To subscribe to, or become a member of, any other association or club whose
         objects are wholly or partly similar to the objects of the Association, or the
         establishment or promotion of which may be beneficial to the Association. Any
         amalgamation shall only be with the express consent of the Association in
         general meeting;
3.16.12 To purchase or otherwise acquire and undertake all or part of the property,
         assets, liabilities and engagements of any body (other than the present
         unincorporated body referred to in Clause 3.1) with which the Association is
         authorised to amalgamate;

3.16.13 To carry on business as proprietors of a sport club, with such facilities and
        accommodation for indoor and outdoor sports or games, changing rooms
        refreshments and other amenities as may be thought fit;
3.16.14 To carry on business as refreshment contractors, hoteliers, hotel restaurant
        keepers, refreshment room proprietors, provision merchants, bakers and
        confectioners, licensed victuallers and wine and spirit merchants;
3.16.15 To carry on business as sports equipment manufacturers, wholesalers,
        retailers and/or designers or consultants in any of the above or related areas;
3.16.16 To employ and pay any person or persons (notwithstanding that any such
        person may happen to be a member of the Association) in return for services
        rendered to the Association salaries, wages, charges and pensions;
3.16.17 To insure and arrange insurance cover for, and to indemnify its officers
        servants and voluntary workers and those of its members as thought fit from
        and against all such risks incurred in the course of the performance of their
        duties as may be thought fit;
3.16.18 To pay out of the funds of the Association the costs, charges and expenses of
        and incidental to the formation and registration of the Association;
3.16.19 To establish where necessary local branches (whether autonomous or not);
3.16.20 To do all such other lawful things as are incidental or conducive to or otherwise
        in furtherance of the attainment of the above objects or any of them;
3.16.21 To carry out all these objects and powers in accordance with the principles of
        equal opportunities. There shall be no discrimination on the basis of sex, racial
        group, disability, marital status, sexual orientation, religion or political beliefs
        and trade union activity.


          The income and property of the Company shall be allied solely towards the
          promotion of its objects as set forth in this Memorandum of Association and no
          portion thereof shall be paid or transferred directly or indirectly by way of
          dividend, bonus or otherwise howsoever by way of profit, to members of the


5.1       The liability of the members is limited.


6.1       The Association may not alter the conditions contained in the Memorandum
          (including this clause) and its Articles except by special resolution of its full
          members (as defined in the Articles) to the exclusion of its members in other
          classes of membership (as defined in the Articles) in the cases, in the mode
          and to the extent, for which express provision is made by the Act;
6.2       Every person on becoming a member is deemed to irrevocably consent to such
          alternations as may hereafter and from time to time be made in such manner
          as herein and in the Articles is expressly provided.

7.1       Every member of the Association over the age of 16 undertakes to contribute
          such amount as may be required (not exceeding £1) to the Association’s
          assets if it should be wound up while he or she is a member or within one year
          after he or she ceases to be a member, for payment of the Association’s debts
          and liabilities contracted before he or she ceases to be a member and of the
          costs, charges and expenses of winding up and for the adjustment of the rights
          or contributions among themselves.


8.1       If on winding up or dissolution of the Association there remains, after the
          satisfaction of all its debts and liabilities, any property whatsoever, the same
          shall not be paid to or distributed among the members of the Association, but
          shall be given or transferred to some other association or associations having
          objects similar to the objects of the Association (whether or not such as
          Association or Associations have been established for the promotion of the
          sport of Racketlon), and which shall prohibit the distribution of its or their
          income and property or any part thereof, such association or associations to be
          determined by the Association at or before the time of dissolution.
