2002/12   Negotiation concerning lay-off’s Scarabeo 5 and Scarabeo 6:                                               SEA
   1       Specified in separate protocols.                                                                         1542
          Parties have agreed that the use of substitutes should be avoided during the “lay-off period”,            1548
          and to use offer the personnel laid-off in case of need for extra personnel.

          2.6 Time limits for negotiations
          Negotiations shall be held as soon as possible following a written request for negotiations by
          one of the parties, though no later than 14 days following such request.

          With reference to Saipem’s statement concerning the above topic:
          Does Saipem SpA mean that they are excluded from following the basic agreement on this
          point?
                   Discussion:
          Parties agreed to postpone the issue till next meeting due to shortage of time caused by lay-off
          discussions.


          Reopened items.
          Dismissal of Martin Openshaw:                                                                             SEA
          Supreme court’s committee on appeals have now ruled that the Stavanger town courts ruling                 1232
          concerning the right to stay in position is to be followed by Saipem SpA.

                   SEA claim:
          That Saipem immediately afterpay Mr. Openshaw from the date of town court ruling in the
          matter: 28/8-02, and that he is given the opportunity to travel out on the rig.
                   Discussion:
          Mr. Openshaw cannot go onboard due to the fact that his offshore safety course have expired.
          Saipem SpA will arrange for him to update his course ASAP.



          Open items from previous meetings.
2002/10   Employment with RCC, Carmelo La Rocca:                                                                    SEA
   1      Mr. La Rocca asked for Norwegian contract 1/8-02.                                                         1538
          All Italians that asks for Norwegian contract should get employment with RCC the following
          time they travel out according to agreement between parties.
                    Claim:
          SEA claim that Mr.La Rocca is to be given a compensation equal to the difference in Italian
          versus Norwegian salary in the period between the first travel out after 1/8-02 to the date he
          actually got employment with RCC.
          The above should also apply for other employees in similar situation.
                    Discussion:
          Saipem Will calculate the difference between Italian and Norwegian salary the mentioned
          period and instruct RCC to reimburse.
                    Meeting 2002/11:
          RCC get the numbers so that they can reimburse the employee at next salary.

2002/10   Employment with RCC, Umberto Magliulo:                                                                   SEA
   2      Mr. Magliulo asked for Norwegian contract 18/7-02.                                                       1534
          All Italians that asks for Norwegian contract should get employment with RCC the following
          time they travel out according to agreement between parties.
                    Claim:
          SEA claim that Mr. Magliulo is to be employed ASAP.
                    Discussion:
          Saipem is waiting answer from Milan-office.
                    Meeting 2002/11:
          SEA and Saipem have been given contradicting information.
          Saipem SpA, Norwegian branch have been informed that Magliulo wishes to work in Italy till
          February whilst SEA have been informed by one of the shop stewards that he wishes to get
          employment with RCC ASAP.
          SEA will try getting written statement from Magliulo.
                    Meeting 2002/12:
          Saipem SpA have received documentation from Mr. Magliulo that he wanted to start with
          RCC immediately after he expressed his wish for Norwegian contract.

                   SEA claim:
          Mr. Magliulo is to be given employment with RCC immediately, and that he is afterpaid from
          the date he asked for Norwegian contract.
                   Discussion:
          Saipem SpA stated that Mr. Maglulio will not be offered employment with RCC.
          SEA stated that this is in violation with the agreement entered into by the parties and NR &
          NOPEF.
2002/8     Safety manning (local agreement):                                                                       SEA
  3        Agreement should be revised, since all references are to the “old” NPD regulations.                     1467
                   Conclusion:
           The QA.-dept. will make inquiries on which section in the new NPD regulations that are to be
          ref. Saipem will present a draft at next monthly meeting.
                   Meeting 2002/9:
          Parties agreed that SEA will make a draft.
2002/11   Loss of leisure time, Lars Madsen:                                                              closed   SEA
   2      Mr. Madsen have been given a new schedule since he is standing in for TEAS Mr. Winchester.               1547
          In connection with this he had to alter his schedule, which gave him only 2 weeks at home
          during 1 leisure period instead of 4.
                   Discussion:
          Parties did not come to any conclusion, a protocol of disagreement will be issued.
                   Meeting 2002/12:
          Saipem SpA have agreed to reimburse Mr. Madsen in accordance with SEA’s claim.
2002/11   Salary increase / tariff negotiation:                                                           closed   SEA
   3      Saipem SpA have afterpaid basic salary and night shift compensation from 1 June, variable                1402
          compensations are afterpaid from 28. August, in accordance with guidelines from NR.
          SEA informed that NOPEF have not yet decided action, if any.
                   Meeting 2002/12:
          NOPEF have still not made any decision concerning the issue.

         GPS contract (content), James Whitelaw:                                                        20/9   SEA
         GPS have issued a revised contract for employment on the Norwegian shelf.                             1435
         When SEA went through the contract we found at least 10 points where the contract is in
         violation of, either the collective agreement or the act (AML)                                        1017
                   Discussion:
         SEA handed over their comments to the contracts content. Saipem will go through the contract
         and give feedback shortly.
                   Meeting 02/3:
         Saipem is currently working with the issue.
                   Meeting 2002/4:
         Saipem is currently working with the issue.
         SEA stated that it is unacceptable that such an improtant case as errors in employment
         contracts is delayed / given this low priority.
                   Meeting 2002/5:
         Saipem informed that they agree on some of SEA’s comments. Saipem will bring the issue up
         with GPS prior to next meeting.
                   Meeting 2002/6:
         Saipem informed that they Will get in contact with lawyers in the NR-system in order to get
         their opinion on the legality of different points in the GPS-contracts.
                   Meeting 2002/8:
         The issue will be given priority. Lawyers will hopefully have come up with their conclusion
         prior to next meeting.
                   Meeting 2002/9:
         Saipem is still waiting for an answer from their lawyers.
                   Meeting 2002/10:
         Saipem is still waiting for an answer from their lawyers.
         SEA feels that the issue have been given way too low priority since this is one of the most
         important documents in the relationship between an employee and the employer, and asked
         Saipem to put more pressure on their lawyers in order to conclude in this case.
                   Meeting 2002/11:
         Saipem SpA informed that they will try to address this issue with NR next week in connection
         with another meeting at their premises.
         SEA informed that Tore Nilsen will work with our contact person in NOPEF on the matter.
         Parties agreed to forward comments from their organizations if any.
                   Meeting 2002/12:
         Item was postponed, since Tore Nilsen was not present at the meeting.

 02/2    PLM/TSL on Italian contract, salary level 2001:                                                           SEA
  5      SEA request to get an overview of salary, incl. Bonus for all PLM/TSL                                     1451
                   Meeting 2002/9:
         Saipem issued documentation as requested.
                   Meeting 2002/10:
         Saipem, Mauro Giovannetti, stated, at meeting held 21/11-01, that money was not an issue
         when it came to the salary of PLM and TSL, since they all got bonuses which made their
         salaries almost equal to the “Norwegian salaries” of these positions.
         Participants at meeting was:
         Saipem SpA:       Egidio Paliotto, Mauro Giovanetti, Marianne Vielsted, Hilmar Holmen
         SEA: Robert de Vries NOPEF: Jørn Erik Bøe.

         Information concerning PLM / TSL wages of 2001 shows that salaries varies quite drastic.
         SEA request to be informed what action Saipem have planned erase the gap.
                   Discussion:
         Saipem states that the net salary is on ”similar” level a the average in the company.
         Discussions in progress.
                   Meeting 2002/11:
         SEA received a comparison which show that the Italian PLM’s actually have a higher “net
         salary” than their colleagues .
                   Meeting 2002/12:
         Postponed.
 02/1    Employment rules / regulations offshore employees:                                               closed   SEA
  3      As pointed out earlier, since the set of working rules for offshore employees are not approved            1084
         by the local union, this equals to not having a set of working rules.

         SEA claims that the work of making working rules “revise the old ones” should be given high
         priority.

         Parties will start cooperative revision of the existing working rules.
                  Meeting 2002/02:
         A draft will be issued to SEA for comments/approval no later than 31/5.
                  Meeting 2002/5:
         Parties agreed to go through the draft at June meeting
                  Meeting 2002/06:
         Saipem excused for not having done as promised.
         Parties agreed to start the process this autumn when the personal dept. is complete in number.
                  Meeting 2002/9:
         In progress.
         A draft will be issued to SEA within this year.
                  Meeting 2002/10:
         SEA informed that the draft will be evaluated at the shop steward conference, and that
         feedback will be given after that.
                  Meeting 2002/12:
         Parties have agreed on a draft that will be translated into English, and then handled by AMU.

01/10    Insurance Scheme’s (injury/death):                                                                  20/9-02   SEA
  2      SEA request that we go through all insurances for employees, and that copies of policies are                  1383
         presented to SEA both for Italian, British and Norwegian employees.
                   Discussion:
         Saipem will ask Zurich office for an overview of insurances that the British employees are                    1424
         covered by.
              Meeting 01/11:
         Saipem expect and info leaflet from Gjensidige concerning the Norwegians.
         A request will be done to get the same for Zurich employees.
         Saipem will also get verification that the ones employed via Italy are covered in accordance
         with requirements for the Norwegian shelf.
                   Meeting 02/1:
         SEA received an information leaflet concerning the insurances for the employees of Saipem
         Norway, and informed that they are still waiting for information for other employees.
                   Meeting 02/2:
         SEA have tried to get in contact with GPS, but have not gotten any reply what so ever.
         This seem unprofessional and not at all acceptable.
         Guidelines should be set when it comes to contact person etc. within GPS.
         These guidelines should be acknowledged also by whom it may concern within GPS.
                   Discussion:
         Saipem informed that they are experiencing problems getting the proper information from
         GPS. This issue will anyhow be given high priority.
                   Meeting 02/3:
         Saipem stated that they have not gotten any information yet.
         A new attempt will be done.
         SEA states that it is totally unacceptable that a branch office does not get information from the
         others.
         Not getting it in due time would be a violation of the obligation to inform the local union.
                   Meeting 2002/4:
         Parties are reviewing the policies to verify that they are in compliance with Norwegian rules
         and regulations.
                   Meeting 2002/5:
         SEA informed that Tore Nilsen ,which is the insurance shop steward, need at least 84 hours off
         duty either the rest of this trip or next trip.
         Saipem is obliged to get replacement for him in accordance with the basic agreement and the
         NPD regulation.
                   Meeting 2002/06:
         Parties agreed on Saipem’s proposal to let a consultant / insurance specialist look into the
         insurances and report to Saipem and SEA. Hopefully this may be done prior to next meeting.
                   Meeting 2002/8:
         Due to the summer holiday, no consultant have yet been contacted. Saipem will contact their
         insurance partner shortly.
         Hopefully, they are able to present a report prior to next meeting.
                   Meeting 2002/9:
         Saipem is still waiting for feedback from their consultant.
                   Meeting 2002/10:
         Saipem is still waiting for feedback from their consultant.
                   Meeting 2002/11:
         Saipem SpA informed that their contact person at Gjensidige is Mr. Birkeland.
         SEA informed that they may contact Gjensidige at a later stage.
                   Meeting 2002/12:
         SEA was informed that Saipem now is in dialog with the “foreign affair’s” expert in
         Gjensidige.

   3     SEA request copies of policies for both Norwegian and British (Zurich contract) employee’s.
                  Discussion:
         SEA specified that, what they requested is policy conditions / insurance conditions.
              Meeting 01/11:
         Saipem will try getting information concerning the pension scheme for Zurich employees.
         Gjensidige will issue an overview on the ones for Norwegians.
                  Meeting 02/1:
         SEA received an information leaflet concerning the insurances for the employees of Saipem
         Norway, and informed that they are still waiting for information for other employees.
                  Meeting 02/2:
