Randy J. Friedman has 20 years of professional leadership experience as an investment
banker, corporate executive, management advisor, consultant, fund raiser, and
entrepreneur. He has held CEO, COO, CFO, EVP, SVP, and VP positions working in
both Fortune 100 and entrepreneurial environments.

Mr. Friedman privately owns and operates several technology and media companies. In
addition, Mr. Friedman is founder and Managing Director of Sogno Group, which
provides financial advisory, business development and management consulting services
to small and mid-size businesses making them far more profitable, nimble and

Previously (2001 – 2002), he was recruited to be COO of Exadel, Inc, where he
repositioned this off-shore development company into a fast growing open-source
software firm. During his tenure, he launched new products, improved sales by more
than 700%, completed multi-million-dollar agreements with signature clients including
ABN AMRO and General Electric, and accelerated the company’s corporate
development through acquisitions and relationships with IBM, Sun, Sybase, and other
leading technology companies.

Between 1998 and 2001, Mr. Friedman was SVP and later GM of StreetFusion, now a
division of Thomson Financial. StreetFusion became the largest producer and distributor
of rich media content for the financial services industry and offered investor targeting
and intelligence services to professional investors. During the first 12 months of his
tenure, the company grew subscriptions from 100 to 7,000 public companies, improved
sales from $0 to a $15 million run rate and established multi-year strategic alliances and
partnerships with a set of global media and financial services firms including Yahoo,
United Business Media, Reuters, and others. StreetFusion had previously acquired, an on-line service to automate the workflow for corporate-investor
communications, of which Mr. Friedman was founder and CEO.

Previously (1992 to 1998), Mr. Friedman served as founder and CEO of HCS, an
innovator in the health care informatics market, specializing in automated workflow and
billing systems for hospitals, medical groups, and laboratories. During his tenure, the
company achieved 20 consecutive quarters of sales growth and profitability, with 2000%
annual growth in the first four years.

Mr. Friedman started his career on Wall Street. From 1991 to 1992, he was a VP at
Chemical Securities Corporation, a division of Chemical Bank New York. At Chemical,
he managed a group which developed and marketed new financial products and
conducted transactions with an aggregated value of $2 billion helping this subsidiary
grow its profits to $250 million. Earlier (1985 to 1992), he joined a team from
PaineWebber (where he was an intern as an undergraduate) to create a new securities
subsidiary for Manufacturers Hanover, the commercial banking giant. Mr. Friedman
was, at 24, the youngest Vice President at MH. There he focused on corporate
restructurings, public offerings, debt syndications, LBO, and DIP financings, and asset-
backed financing for a wide variety of corporations and government entities.
Mr. Friedman’s education includes a MBA degree in Finance from Columbia University
(highest honors) and a BA degree in Economics from the University of California,
Berkeley (honors).

Mr. Friedman has also worked with a wide array of international businesses, including
the top 100 financial institutions in Europe, Asia, and Australia. He has also executed
