 North of the famous La Quinta Resort and Club. This magnificent property is zoned tourist commercial by the City of

Letter of Intent:        A non-building Letter of Intent shall be executed by both Buyer and Seller.


Purchase                 Seller shall provide a Purchase Contract within ten (10) working days after the mutual

Site Description
The resort property is located in the City of La Quinta, south of Interstate 10 in the Coachella Valley, in the
County of Riverside California. More specifically, it is located within one of the canyons of the Santa Rosa
Mountains that run in a southwesterly direction alongside the cities of Indian Wells, Palm Desert, Rancho
Mirage, and the other cities of Greater Palm Springs. The current vacant site has frontage on Eisenhower Drive,
on one of the larger arterial streets in the city. The 10.35 acre resort property is flat, and is bordered as follows:


• North: Coachella Drive and the recently completedf 280-unit Legacy Villas condominium development.
• South: Avenida Fernando and La Quinta Resort and Club
• East: Eisenhower Drive and La Quinta Country Club
• West: Base of the rugged Santa Rosa Mountains


Site Access and Visibility
Coachella Valley is accessible from Interstate 10 (I-10), a major east west highway traversing the southern
part of the country from California (Los Angeles) to Florida (Jacksonville). The I-10 is six miles north of the
site, and connects to it in a northsouth direction by way of Washington Street (with off-ramp access). Towards
the site, traveling south on Washington Street, one would take a right turn (west) on Eisenhower Drive (going
west) to reach the site on the right.


The other major thoroughfare in Coachella Valley, East Palm Canyon Drive, also known as California State
Route 111 (SR 111) running almost parallel with I-10, is a few miles north of the site, and intersects with Wash-
ington Street. SR 111 provides access to all the communities in the Greater Palm Springs area.


Due to its location off Eisenhower Drive, the property entrance will provide immediate visibility from Coachella
Drive. However, given its use as a resort, some form of “heavy” foligage (palm trees or cypress trees in keeping
with the La Quinta Resort and Club landscaping) may be desirable to create an enclosed ambiance for exclusiv-
ity. While street frontage along the east side of the property can be landscaped to shield it from the exposure to
the vehicular traffic street, it’s the view on the west side (of the mountains) that affords the resort its desirable
settings.

The La Quinta Resort and Club property is located at 49-499 Eisenhower Drive and the Northern Property
boundary of the resort is Avenida Fernando. Directly to the North across Avenida Fernando is the La Quinta
Quail Ridge property.


The La Quinta Resort and Club is managed by Hilton, Waldorf Astoria Collection. The current room rates,
golf packages, maps of the property, golf courses, tennis, spa and other information is available on the website
at www.laquintaresort.com. There are two quasi-public golf courses at the La Quinta Resort: The La Quinta
Mountain Course and The La Quinta Dunes Course. The La Quinta Resort and Club has submitted specific plan
amendment #6 to the City of La Quinta which proposes to add a net 672 units in a long range plan.


Based on the La Quinta General Plan Circulation Element, attached, the La Quinta Quail Ridge property will
have golf cart acess.Other golf courses in the city will also be accessed from the property along Eisenhower Dr.
per the La Quinta General Plan circulation element which includes the public golf course at Silver Rock Resort
on Avenue 52. The city plans to complete the golf cart plan for phase I construction approximately in the sum-
mer of 2010. This golf cart program will also provide access to the village..

Located on the 10.35 acre La Quinta Quail Ridge property, a proposed 240-room boutique hotel (total rooms
subject to city approval) would be nestled in the foothills of the Santa Rosas. The historic La Quinta Hotel lies
in a newly formed Village, sprinkled at the base of the mountains with six major pool areas/courtyards. The
proposed boutique-hotel’s affiliation with the La Quinta hotel allows guests to participate in the spas, tennis,
golf, three major restaurants and ideal desert shopping at the La Quinta Resort and Club. It is within minutes
of the downtown shopping area of La Quinta.

An agreement will be required with the La Quinta Resort and Club and the proposed boutique-hotel would
provide a social membership as part of the incentive for sales of the individual villas. Each villa would have at
least two keys (two rooms). This provides 10% discount to the owner and or any guest that might be utilizing
the project or the hotel’s facilities.

The proposed boutique-hotel onesite uses are a spacious check-in and house administration. These include
a breakfast table, which accommodates 30 people. The food services would include lunch, a 450 square foot
exervcise room, and golf cart storage for needed maid service.

Attached is a brief breakdown for the Villa owners, based on 162-night stay approximately 44% use factor. The
projections are based on an annual 162 overnight stay times $167.00 approximately $11,800.00 in the first year
of operation.

A total room night based on 162 nights x 240 rooms equals 38,880 (room nights).

Estimated projection for TOT (tax to the City) is approximately $20 per room, per night.
38,880 room nights x $20 equals $777,600 on full night count.

The hotel’s annual income is estimated at $2,215,000 which has a street value at $10x, which equals
$22,157,000.00

An alternative proposal would be the actual partnership with the hotel and an increase night count of 200
nights and an average rack rate. An overnight stay would be $200.

A total room night based on 200 nights x 240 rooms equals 48,000 (room nights). Estimated projection for
TOT (tax to City) is approximately $20 per room, per night.
48,000 room nights x $20 equals $960,000 on a full night count.

The flagship operation would have a gross of $3,276,000.00 with a street value if sold at 14 x $3,276,000.
equals $45,864,000.00.
