ADDED BONUSES
Monthly progress report, a reporting bonus of $O.25/hour/ student will be paid to the instructor at the end
of the applicable month.
New Client Assessment reports are $2.00/student.
Commitment forms for new clients $2.00 (if mailed in by instructor)

AT YOUR SPECIFIED SITE, IN LIBRARY OR ON-LINE
(Less $2.00 the above wage, which is reflected as a discount to the client. Most clients will prefer in-home, but Metro
Toronto may be different.)

TEACHER SUPPORT Marking with teacher (min. 2 hours): $12/hour,
                 Independent marking in your home: $10/hour
OFFICE ADMINISTRATION: $12/hr after probation

MARKETTING FLYERS: $10/successful client referral. ACTIVE instructors have a user id, which they write on
flyers to distribute. If a client enrolls with us after receiving the flyer, then the instructor is awarded $10/client.

WAGES for Grade Growers

$26/ hour for Grade Grower Supervisor Instructor.
Qualified senior instructors on contract with us- $20/hour
Student instructors ( on contract)- $12/hr
Volunteers-10 hrs Community Service hours for high school or those wanting teaching experience.
New Ontario Curriculum students requesting volunteer verification for their Gr. 12 Diploma, will be granted certification and
proof of volunteer hours.
Instructors over 18 will require a Criminal Clearance verification from the Police Department. Both school boards require this.
The Catholic Board requests a TB test as well.

***Wages and seniority positions are negotiable after 6 months (if 120hrs of instruction has been completed)

14. We require all instructors to be email accessible. Voice mail is strongly suggested as well.

15. At Jr. Genius, you should be aware that you are hired as an Independent Contractor. This means that you are
    responsible for claiming you own taxable income, keeping track of car mileage, car expenses/ repairs, instructor
    supply costs and to deduct this from your personal income tax. We do not issue you a T4 Tax Form. Is this in

16. Jr Genius requires you, as an Independent Contractor, to invoice at the end of each month (#of hours, clients
    seen, and amount owing for your services) and process progress reports via our intranet system.
    www.jrgenius.com/intranet. Required signature sheets, invoice hard copy and any other forms are mailed in at the
    end of each month.

17. Upon complete submission of the lesson invoices and any reports, you will be paid for these services, on the 15th
    day of the following month.
    Invoice cut off dates are on the last day of each month. Submit invoices ASAP, since clients have to be informed
    and invoiced accurately. Late invoices (after the 15th of the next month, may result in a delayed payment
    and a $5/wk late penalty.

     Invoicing, progress reports, assessment tests, program materials and downloads are accessible to active instructors

     ALL FORMS AND PROGRAMS WILL REMAIN THE PROPERTY OF JUNIOR GENIUS EDUCATIONAL
     SERVICES INC AND CANNOT BE USED FOR OTHER PURPOSES (other than for use with Jr. Genius
     students assigned to you. )

Upon completion of the contract, all Jr. Genius resources and any loaned materials must be returned to Head Office.

Terminated contractors cannot privately instruct Jr. Genius students previously assigned to them.
You must agree to wait 36 months after terminating the contract with Jr. Genius, if you want to
instruct those same students.

INSTRUCTOR CONTRACT

                                       This agreement dated _____________
                                                    between

                                    (hereinafter referred to as the “Instructor”)
                                                        and

                            JUNIOR GENIUS EDUCATIONAL SERVICES INC.
                                  (hereinafter referred to as Jr. Genius)

          WHEREAS Jr. Genius conducts an educational service in Ontario to parents, teachers and pupils
contracting with it:
          AND WHEREAS the instructor is desirous of contracting with Jr. Genius to provide instruction
to its pupils consistent with the said policies, principles and teaching methods.

This Agreement will begin on ________________ and will end on _____________________.
Contract will continue after the date, should the instructor decide to continue working with Jr. Genius. All
copyrights and client related agreements, remain effective after contract expiry.

The instructor shall provide, to the pupils designated by Jr. Genius and contracting with Jr. Genius,
educational services at a standard, consistent with the policies and principles established by Jr. Genius,
the determination of such standard to be the sole discretion of Jr. Genius.

INSTRUCTOR REMUNERATION
1.       Both Jr. Genius and the instructor agree that the instructor is and will act as an independent
contractor in the performance of his/her duties under this agreement. The instructor shall be responsible
for the payment of all taxes, including all federal, provincial or municipal taxes, arising out of the
instructor’s activities under this agreement, such as, but not limited to, federal or provincial income tax,
Canada Pension and Unemployment Insurance premiums.

2. Our Wages are: ***Wages and seniority positions are negotiable upon completion of a 6-month
contract (120hrs of instruction completed)

IN HOME PRIVATE INSTRUCTION for a six-month permanent contract with JUNIOR GENIUS
our wages are:
Certified Teacher/ Professor/ Specialist: $ 22.00 /hr.
Your own resource or library materials and our programs
Teacher’s College- student teacher: $20.00 /hour.
Your own resource or library materials and our programs
Non-Certified/mature instructor:
Elementary (your own resource materials, interest books, flash cards-and our programs $19.00/hr)
(our books and flash cards on loan and picked up $ 17.00/hr.)
Secondary ( your textbooks/ resources and our programs where applicable) $ 19.00/hr.
Gr. 12 and University/Adult Ed. $20/hr
High school- student instructor: $12.00 / hr

You will be required to complete 12hrs. (total) of probation instructional time (min 3 students/ 4 hrs. each), at $2 less
your contract wage before you acquire a permanent contract

Add $2/hour for shared lesson, per added student for all above wages (more than one to one ratio).

GRADE GROWER PROGRAMS

 $26/ hour for Grade Grower Supervisor. $20/ hour for regular after probation. You will need a TB Test
(Catholic schools) and Criminal Clearance record photocopy on file.

TEACHER SUPPORT: Marking with teacher (min. 2 hours): $12/hour,
                 Independently in your home: $10/hour

Contracted instructional time for each instructor is categorized into three (3) phases.

    Phase One represents a Probation Phase where the first twelve (12) hours of private instruction,
    distributed evenly among three (3) Jr. Genius’ students (4 hours each), allows the director of Jr. Genius
    the opportunity to access the instructor’s work quality.

    Phase Two represents a Permanent Instructor Phase where the instructor will continue their services
    in a more independent fashion, having a solid grasp of the Jr. Genius services and requirements. The
    instructor will no longer require as much dependence on Jr. Genius coaching and guidance. The
    instructor will have a strong understanding of the goals and objectives of this service and will know
    what is required of them, in order to achieve these necessities. This Permanent Instructor Status
    lasts until the expiry date of contract or thereafter (if the instructor chooses to continue services after
    the above agreed period), excepting those items herein under the heading “Safety Considerations and
    Legal Ramifications”. If the instructor continues their valued excellence, then negotiations may enter
    Phase three (3).

    Grade Grower’s Programs: Instructors may wish to teach an 8 hour program, 1-2 hours/week, to a
    small group of students (3-6), a Grade Grower Program.

    Phase Three represents an unstructured negotiable phase where the instructor and director may
    choose to renegotiate a new set of administrative tasks, so that the instructor may take on a various
    range of responsibilities (such as assistant director, area manager, supervisor, customer service,
    marketing, school in-services, assessments, evaluations, marking, office work, instructor training,
    book-keeping etc.). This contract is negotiable and fee flexible through individual contracting,
    depending on the responsibilities.

INSTRUCTOR AVAILABILITY AND COURSES OF INSTRUCTION

3.        (a) It is anticipated that the instructor shall spend, on a weekly basis, approximately ____ hours
instructing pupils contracted to Jr. Genius. The particular amount of time may vary from week to week.
          (b) The instructor agrees to teach the following courses and at such levels as agreed upon, by Jr.
Genius, in its sole discretion. Subjects and levels include

4.       The instructor shall, unless advised to the contrary by Jr. Genius, perform its services as defined
above only at designated locations of the lesson disclosed by Jr. Genius. The instructor must conduct him
or herself in a professional manner (attire: professional to conservative- casual)

5.        The instructor agrees, during the term of this agreement, not to compete neither directly nor
indirectly, or be engaged in instruction services, for hire or compensation in any manner whatsoever, unless
pre-approved by Jr. Genius, within the designated territory, outlined in this contract.
 (ie. Instructors can have their own private students, but cannot use our programs. They are exclusive to Jr.
Genius students and cannot be shared with competing educational services).

6.       The instructor agrees to be responsible for providing his/her transportation to and from all
Jr. Genius-related activities, at the sole cost and expense of the instructor. The instructor confirms current
personal ownership of a vehicle, and/or guarantees any necessary arrangements will be made to ensure
100% access to transportation throughout the contract period.

7.       Most meetings will be held via email correspondence.

8.        The instructor specifically agrees as follows:
(a) not to request, in any manner whatsoever, any remuneration, payments, compensation or gratuities
from the parent/pupil contracted to Jr. Genius and shall receive all said compensation directly from Jr.
Genius only. (Instructor will collect $30 for the first new client hour and any Pay as you Go $45/hr fees,
but these are deducted off the instructor invoice totals).

(b) to submit at the end of each month, as per the Jr. Genius Staff Invoice Submission/ Payday Schedule,
completed progress reports, forms, invoices to Jr. Genius, in a form set out on
www.jrgenius.com/intranet
The parties agree that Jr. Genius shall only pay the instructor upon receipt and approval of said reports and
invoices, and receipt of payment by respective clients. Signature portions of the progress report and
study note samples should be mailed in at the end of the month and/ or when the instructor has
completed their sessions with that particular student. For each emailed month end progress report, a
reporting bonus of $O.25/hour/ student will be paid to the instructor at the end of the applicable month.
For new clients only, assessment reports (per student) and instructor submitted commitment forms (one
per family) are invoiced at $2.00.
(c) not to invoice for time NOT actually spent in instruction or testing of the pupil for courses contracted;
and shall, during the instruction session, spend the time actually teaching the pupil.

9.       The instructor specifically agrees NOT TO COPY (in any form whatsoever) or cause to be
copied, any Jr. Genius Tests, Study to Succeed Formats, Assessment Procedures, and/or any other Jr.
Genius related materials, for use, not related to Jr. Genius clientele only. X_______________________

10.       The instructor specifically agrees that the instructor will return all training manuals, Jr. Genius
Instructor binders, learning activities (signed out in the same condition as received), materials, advertising
supplies and anything else provided by Jr. Genius, upon termination, in good working condition, prior to
receiving the final cheque. Proper termination notice (2-4 weeks) is required and all efforts for a smooth
transition in instructors are essential. In the case where a new instructor, free of charge, must be brought in
to assume duties, where the other instructor has left without proper transition, then the instructor may have
to forfeit the final hour of each lesson disrupted.

11.       Instructors may be released from the contract, effective immediately, due to false credentials, or
for non-adherence to any policy, procedure, or standard of Jr. Genius, such as, but not limited to, those
stated within this document and within the specific standards of Jr. Genius, without any remuneration other
than for services previously and satisfactorily completed, at the sole discretion of the director of Jr. Genius.

12.      The instructor agrees that in the event of a dispute between Jr. Genius and the parents of a pupil
or pupils instructed by the instructor, and with whom Jr. Genius has contracted, and in the event that:

         (a) the parent refuses to pay for time spent by the Instructor,
              (signature verification sheets will prevent this)
         (b) the parent refuses to allow the Instructor to continue to instruct the designated pupil,
         (c) the parent alleges any misconduct, or any legal proceeding is taken, civil or criminal, by the
         parent or pupil or on the parent or pupil’s behalf, against the instructor, then:

Jr. Genius shall have the right, in its sole discretion, to:
          (a) not to pay the instructor for the time disputed by the parent;
          (b) replace the instructor and terminate the instructor’s sessions with the parent and pupil in
          dispute;
          (c) dismiss the instructor, defend any proceedings taken against Jr. Genius as a result of
allegations against the instructor by a parent or pupil, or settle any dispute or proceedings in a manner and
at a cost deemed necessary or expedient by Jr. Genius.

13.      Instructor agrees to save harmless Jr. Genius from any and all costs, expenses, fees, or payments
whatsoever made in defending, settlement, prosecution or otherwise acting to protect the interest of Jr.
Genius as a result of the actions or omissions of the instructor regarding the instructor’s provision of
services, on behalf of Jr. Genius, including, without limiting the foregoing, any actions or omissions done
or made at a residence or place where the instructor acts on behalf of Jr. Genius.

14.      The instructor reserves the right to discontinue instruction of a student, if there exists a risk of
emotional or physical harm to the instructor as long as the instructor contacts Jr. Genius without delay, to
inform Jr. Genius of the specific circumstances surrounding the decision. Jr. Genius reserves the right to
judge whether the instructor should be reimbursed for the session in question.

15. The instructor specifically agrees as follows:
          (a) that he/she has submitted any and all such documentation as Jr. Genius may require regarding
qualifications, educational background and related material and that all such documentation is true and
correct.
          (b) to maintain the strict confidentiality of all students’ private affairs, as well as the policies and
procedures of Jr. Genius as set out herein.
          (c) to NOT provide any services of an educational nature independent of Jr. Genius to any parents
or pupils contracted with Jr. Genius, during the term of this agreement and/or for a period of 36 months
thereafter. X_______________________
          (d) that from the time of approval of this contract, and throughout the duration of this agreement,
the instructor shall no longer pursue or accept commitments that may conflict with instructor availability,
time schedule, and/or performance, unless discussed in advance with the director of Jr. Genius.
16.       This agreement shall inure to the benefit of the parties, their heirs, successors, administrators, and
assigns.
17.       The parties agree that the law governing this Agreement shall be the law of the Province of
Ontario.
