CONDITIONS


1.    The purchase price is R____________________________________________________________ payable as follows:

      1.1. Cash on acceptance of this Offer to Purchase R__________________________ to be deposited with HAT and
              held by them in trust pending registration of transfer, subject to the provisions of clause 8,

      1.2. The balance of R____________________________________to be paid against transfer into the name of the
              purchaser and to be secured by bankers or other approved guarantee(s) within __________ days from date of

                 sale. (The last of which days is hereinafter referred to as the specified date.)

2.   The seller does not warrant the condition of the property or the use thereof for any purpose and the purchaser
      acknowledges that he was not induced to enter into this agreement by any representations that may have made by or
      on behalf of the seller (except as set out in this agreement).

3.   On registration of transfer of the property the risk of ownership shall pass to the purchaser from which date the
      purchaser shall receive all benefits from and be responsible for all rates and taxes upon the property.

4.   Occupation of the property shall be given to the purchaser on ______________________________. If the date of
      occupation does not coincide with the date of registration of transfer, the party enjoying occupation of the property
      while it is registered in the name of the other party shall pay to the other party monthly in advance occupational rent
      of
      __________________________ per month payable at _____________________________________________

5.   Transfer of the property shall be effected by the seller(s) conveyancers. The purchaser shall on demand pay transfer
       costs, transfer duty, stamp duty, and all charges incidental thereto and sign all transfer documents.

6.   This offer is made subject to the suspensive condition that a loan(s), secured by a bond(s) totalling
      ___________________ to be registered. The bond(s) to be approved within _______________days in favour of the
      purchaser. The purchaser undertakes to timeously take all steps and sign all documents that may be necessary to
      procure the loan(s). The purchaser warrants that any person whose surety is required by the lender will execute such
      surety.

7.   The property includes the following; all fixtures and fittings of a permanent nature, electric light fittings,
      stove and TV Antenna. ______________________________________________________________________

8.   a.           Upon acceptance hereof and if the offer is subject to any suspensive condition(s), upon fulfilment thereof, the
          seller shall be liable to HAT for commission in respect of the sale at the recommended tariff of the institute of Estate
          Agents of S.A. plus VAT on such commission. In the event of the sale being cancelled as a result of a breach of
          contract on the part of the purchaser, HAT shall be entitled but not obliged to claim such commission plus VAT on
          such commission form the purchaser without prejudice to HAT’S rights against the seller.

          b.    The seller and the purchaser declare that HAT is the effective cause of this sale and that
               8.1.1. no other agent was responsible for the introduction of the property to the purchaser or
               8.1.2. is entitled to commission on any basis.

          c.     The seller hereby irrevocably authorises and instructs the conveyancers attending to the transfer of the
                 property to make payment of the commission plus VAT on such commission to HAT from the deposit held by
                 them or, if the deposit is insufficient, therefore forwarding proceeds of the sale.

9.   In the event of the purchaser or seller committing any breach of the terms of this offer and failing to remedy it within 7
       (seven) days of despatch per pre-paid registered post, or delivery by hand, of a letter requiring the breach to be
       remedied, the aggrieved party shall be entitled without prejudice to any other rights which he/she may have by law to:
     9.1. cancel this agreement and claim damages, or
     9.2. sue for the full purchase price, or
     9.3. claim specific performance of the terms of this agreement.

10. In the events of there being more than one party comprising the purchaser, they will be liable jointly and severally and if
      the purchaser is a legal person(s) the signatory hereby binds himself personally as surety and co-principal debtor for
      the fulfilment by the legal person(s) of such obligations.
11. The parties warrant that all written consents by the Matrimonial Property Act 1984 in respect of the agreement of any
      other matter arising from or in terms hereof have been or will be given.


12. This agreement is subject to the condition that

     12.1. The purchaser shall by not later than_______________________have received a bona fide written offer to
              purchase__________________________________________________________________              (hereinafter
              referred to as the second property) and,

     12.2. Any suspensive conditions contained in this agreement of sale of the second property shall be fulfilled by not later

     12.3. The transfer of the property and the second property shall be linked in the conveyancing and financing process, it

13. Should there be any delay in effecting transfer by reason of any default attributable to one of the parties, the party

      responsible for such delay shall pay to the other interest on the outstanding balance for the purchase price at the rate
