Morgan Stanley (Morgan Stanley), through its subsidiaries and affiliates, provides a range of financial products and
services to corporations, governments, financial institutions, and individuals through more than 1,300 offices in 42
countries. The company operates a network of regional offices and branches throughout the US and has principal offices
in Tokyo, London, Hong Kong and other world financial centers. Morgan Stanley employs 62,211 people.

Morgan Stanley conducts its business activities through three reportable business segments, namely, Institutional
Securities, Global Wealth Management Group, and Asset Management.

Morgan Stanley, through the Institutional Securities segment, offers financial advisory and capital-raising services to
corporate and other institutional clients worldwide. These services are offered through wholly-owned subsidiaries such as
Morgan Stanley & Co. Incorporated (MS&Co.), Morgan Stanley & Co. International plc, Morgan Stanley Japan Securities
Co., Ltd. and Morgan Stanley Asia Limited. The company also engages in sales and trading activities worldwide through
the subsidiaries as principal and agent.

The services offered under the segment are categorized as Investment Banking and Corporate Lending Activities; Sales
and Trading Activities; and Other Activities.

Under Investment Banking and Corporate Lending Activities, the company offers three types of services: financial
advisory services, capital raising and corporate lending. The financial advisory services to corporate and other institutional
clients include advisory services on key strategic matters such as joint ventures, privatizations, recapitalizations, mergers
and acquisitions, divestitures, corporate defense strategies, spin-offs, shareholder relations, tender offers, corporate
restructurings, exchange offers and leveraged buyouts. Advices related to concerning rights offering, dividend policy,
financial risk management strategies, valuations, foreign exchange exposure, and financial planning are also offered by
the company.

Under capital raising services, Morgan Stanley engages in management and participation in public offerings and private
placements of debt, equity and other securities worldwide. The company underwrites common stock, preferred stock and
other equity-related securities, including American Depositary Receipts (ADRs) and convertible securities. It also
underwrites fixed income securities such as investment grade debt, mortgage-related and other asset-backed securities,
non-investment grade instruments, tax-exempt securities and commercial paper and other short-term securities.

activities include equity trading, interest rates, credit and currencies, commodities, and clients and services. The company
acts as principal (including as a market maker) and agent in execution of transactions in equity and equity-related
products globally. The activities cover common stock, ADRs, global depositary receipts and exchange-traded funds.
Equity-related products marketed include warrants and futures overlying individual securities, equity swaps, options,
indices and group of securities.

The operations in interest rates, credit and currencies of Morgan Stanley covers fixed income securities and related
products, US and other sovereign securities, emerging market bonds and loans, investment and non-investment grade
corporate debt, distressed debt, bank loans, convertible bonds, and collateralized debt obligations. It also includes credit,
currency and other fixed income linked notes, and securities issued by structured investment vehicles, mortgage-related
and other asset-backed securities and real estate loans, municipal securities, preferred stock and commercial paper,
money market and other short-term securities. It is a primary dealer of US Federal Government securities. It is also a

Morgan Stanley also trades and markets listed futures and OTC swaps, forwards, options and other derivatives

Stanley acts as an intermediary between short-term funds borrowers and lenders and offers funding for range of inventory
positions. It lends principal securities to clients, institutional lenders and other broker-dealers and provides financing for
commercial and residential real estate loans and other securitizable asset classes.

In commodities market, the company trades as a principal. It holds long and short proprietary trading positions in the spot,
forward and futures markets in several commodities such as metals (base and precious), agricultural products, crude oil,
oil products, natural gas, electric power, emission credits, coal, freight, liquefied natural gas and related products and
indices. The company originates exchange-traded options and futures, OTC options and swaps on commodities.

The company markets electricity power in the US and has six electricity generating facilities in the US and Europe.
TransMontaigne Inc. (TransMontaigne) and its subsidiaries, owned by Morgan Stanley, have operations in marketing and
distribution of refined petroleum products. It also has stake in Heidmar Group of companies which provide international
