Fiat S.p.A. (Fiat) is one of the largest industrial groups based in Italy. The company, along with its subsidiaries,
specializes in the development, production and commercialization of automobiles, agricultural and construction
equipment, industrial automation technology, power train technologies and many more. The company also specializes in
building hybrid and fuel efficient cars. Fiat, along with its subsidiaries, employs over 190,014 people globally and operates
through five business segments namely, Automobiles, Agricultural and Construction Equipment, Trucks and Commercial
Vehicles, Components and Production Systems, and Other Businesses.

Fiat, under the Automobiles segment, develops, produces and sells automobiles and light commercial vehicles. These
products are marketed under Fiat, Abarth, Alfa Romeo, Lancia and Fiat Professional brand names. The company also
offers premium sports cars under the internationally acclaimed brand Ferrari.

The company, through its Agricultural and Construction Equipment segment, manufactures tractors and agricultural
equipment. The company operates this segment through CNH – Case New Holland, and markets under Case IH and New
Holland brands. Its construction equipment products are sold under Case and New Holland brand names. For the fiscal
year ended December 2009, the company's Automobiles; and Agricultural and Construction Equipment business segment
generated revenues of EUR 28,351 million and EUR 10,107 million respectively, a decrease of 3.5% and 20.9% over the
previous fiscal.

The company, under Trucks and Commercial Vehicles segment, operates through Iveco that designs, produces and sells
commercial vehicles. Its commercial vehicles are sold under Iveco brand, buses under the Iveco Irisbus brand, and fire-
fighting and special purpose vehicles under the Iveco, Astra and Magirus brands. In addition, the company offers
financing services to its customers and dealers through Iveco Finance Holdings Ltd. Iveco owns 49% of Iveco Finance
Holdings Ltd and remaining 51% is owned by the Barclays Group. For the fiscal year ended December 2009, the Trucks
and Commercial Vehicles segment generated revenues of EUR 7,183 million, a decrease of 34.1% over the previous
fiscal.

Fiat’s Components and Production Systems segment operates through the company’s subsidiary FPT Powertrain
Technologies. FPT coordinates passenger car engine and transmission activities, the powertrain operations of Iveco and
those of Centro Ricerche Fiat. The company’s subsidiary Magneti Marelli manufactures automotive components for
exhaust systems, lighting systems, suspensions and shock absorbers, electronic systems and engine control units. In
addition, the company operates aftermarket business. Teksid specializes in supplying engine blocks, cylinder heads and
other cast-iron components for engines, cast-iron components for transmissions, gearboxes and suspensions. The
company’s subsidiary Comau manufactures industrial automation systems for the automotive industry in various areas
such as logistics and management, product and process engineering, manufacturing, installation, production start-up and
maintenance. For the fiscal year ended December 2009, the Components and Production Systems segment generated
revenues of EUR 10,327 million, a decrease of 25.1% over the previous fiscal.

The company’s Other Business segment engages in publishing and communications through Itedi operations that consist
of La Stampa daily newspaper and Publikompass, a company that sells advertising space for multimedia customers. For
the fiscal year ended December 2009, the company's Other business segment generated revenues of EUR 1,096 million,
a decrease of 21.4% over the previous fiscal.

Fiat’s operations span various geographic regions, which include Italy, Other European countries, Asia Pacific, North and
South America. The company reports its operations under five geographic segments namely, Italy, Europe (excluding
Italy), North America, Mercosur and Other regions. For the year ended December 2009, the company's Italian operations
generated revenues of EUR 12,744 million. The company's Europe (excluding Italy), North America, Mercosur and Other

In February 2010, Fiat and SOLLERS, a Russian automobile company, collaborated to form a joint venture for the
production of passenger cars and Sport Utility Vehicles (SUVs). Total production capacity of the new joint venture is
expected to be about 500,000 vehicles per year by 2016. The company plans to market nine new models, which include C
and D segments and SUVs, in the Russian market. Fiat also has plans to unveil a small car by 2012 in India.
