                    SPECIAL CONDITIONS OF CONTRACT

  1.0 GENERAL

  1.1    "General Conditions of Contract" which is being enclosed as a
         annexure/enclosure to this tender shall be read in conjunction with the
         Special Conditions of Contract & Scope of work together with drawings,
         specifications and all Annexures which form part of the contract.

  1.2   Not withstanding the subdivision of the documents into these separate
        sections/parts, every part shall be deemed to be supplementary to and
        complementary of every other part and shall be read with and into the
        contract so far as it may be practicable to do so.

  1.3   Where any portion of the General conditions of contract is repugnant to or in
        variance to any provisions of the special conditions of the contract, then the
        provisions of the Special conditions of the contract shall supersede the
        provision of General conditions of contract and shall, to the extent of such
        repugnancy or variation prevail.

  2.0   SITE INSPECTION:
        The contractors shall inspect the site conditions and satisfy themselves as to
        the constraints, inadequacies, accessibility and such other aspects and ensure
        that all such aspects are taken into consideration while submitting quotes. No
        extra claims on these grounds shall be applicable. Clarifications / drawings /
        manuals can be referred to at the Maintenance Contract Section.

        2.1   Site Particulars:
        The indenting Bidder shall be deemed to have visited the site and familiarised
        themselves thoroughly with the site conditions before submitting the tender.
        Non-familiarity with the site conditions will not be considered a reason either
        for extra claims or for not carrying out the work in strict conformity with
        drawings and specifications. For site visit, the intending Bidder may contact
        the site-in-charge of the appropriate authorities at Maintenance Site Office.

        2.2       Work and other Permits:

             The Contractor shall strictly follow the existing Work Permit and other
              Permit Systems. No work within the Refinery Premises can be done
              without a work permit issued by CPCL. All cold works shall be covered
              by Cold work permits and hot work by hot work/entry permit. These
              shall be obtained at the beginning of shift every day, renewed as

               required and shall be kept at the work spot by the contractor's
               supervisor on the job. After completion of the job all the permits shall be
               handed over to CPCL.


              Hot work permit will be issued by CPCL from 7.30 AM to 4.18 PM on
               each day and every effort will be made to extend the permit upto 20.00
               Hrs. depending upon the conditions prevailing.

        2.3       Canteen arrangement:
        The contractor shall make his own canteen arrangements for his workmen
        which shall be operated only on restricted timings as followed by CPCL.

        2.4    Others

              Contractor shall not open or tie-in their system to existing CPCL
               premises or equipment, including sewer system, electrical power circuits
               and other process equipment without specific approval of CPCL.

              The contractor shall provide necessary first aid facilities to their
               personnel. Depending on the availability at that time of need, CPCL may
               provide these facilities entirely at their discretion. The cost of such
               assistance as worked out by CPCL shall be recovered from the
               contractor.

              CPCL change house and toilet facilities are not available to contractor’s
               employees. Contractor’s employees shall use the contractor’s toilet
               facilities located in the Refinery.

              Contractor’s vehicles and bicycles shall be allowed inside upto parking
               area specified/ allocated for contractors after obtaining proper entry pass
               and shall be parked outside the Gate. CPCL assumes no responsibility
               for security of the above.

3.0   STATUTORY REQUIREMENTS

      3.1    Labour license and Insurance coverage:
      The contractor shall comply with statutory requirements such as possession of
      valid labour license, adequate insurance coverage for his workmen under
      workmen's compensation act, ESI coverage for his workmen to totally absolve
      CPCL of any and all liabilities which might result in case of accidents and PF
      Code number from PF Commissioner. These are mandatory and contractors

     who do not comply with these regulations will not be considered for award of
     contract.

     3.2   Insurance
     The contractor shall insure all their workmen in the Refinery against
     accident/injury as required by the factory inspectorate. The Contractor shall at
     their own expense, obtain suitable insurance and maintain the same to cover
     the third party risk for Rs.1, 00,000/- (Rupees One Lakh only) per accident upto
     a limit of Rs.5, 00,000/- (Rupees five lakhs only) during the construction period.
     They shall also maintain the required muster rolls, PF Contributions etc., of the
     workmen as required by the Factory Inspectorate and as per the act applicable
     for employing contract workmen. (Refer Page 61, Sl.No.10.5 “Insurance” in
     G.C.C.)

     3.3   Insurance coverage for contractor's equipment:
     The contractor shall ensure adequate insurance coverage for their property
     (equipment/machinery), which would be kept inside the CPCL premises during
     the course of execution of work against any loss on account of fire or any other
     accidents. Please note that CPCL "Insurance Coverage under Fire Policy"
     does not cover property belonging to the contractor.

     3.4   Sales Tax on works contract / Service Tax / Excise Duty:

     3.4.1 This being a Works Contract, the quoted price shall be deemed to be
           inclusive of all taxes including Sales tax on Works Contract, service tax,
           duties, octroi, levies etc. till the completion of the Contract and the
           Contractor shall not be eligible for any compensation whatsoever.

     3.4.2 Sales Tax on Works Contract at the rate of 2% (Two Percent) in respect of
           Civil works and 4% (Four Percent) in respect of all other works or the
           prevailing rate on the total amount shall be deducted from the
           Contractor’s bills, as per Tamil Nadu General Sales Tax Act 1959, as
           amended.

     3.4.3 This being a Works Contract, The Service Tax @ 8% (Eight percentage)
           as per the recent Central Government notification is applicable for the
           subject work, the quoted price shall be deemed to be inclusive of Service
           Taxes. No separate claim on this account is entertained by the contractor
           at a later date. The contractor shall furnish the Service Tax Registration
           copy from the relevant Government authorities as documentary evidences
           along with Part-A portion.

      3.4.4 Contractor shall be fully and exclusively liable for all the sales
            tax, service tax, duties, octrol and any other statutory taxes, levies
            etc. now in force and hereafter increased, imposed or modified in
            respect of works and materials by Central and State Local
            government authorities.

      3.4.5 Excise duty if applicable shall be included by the contractor in their
            quoted rates and no claim on this account will be entertained by the
            owner.

      3.4.6 Registration under state Govt. SALES TAX ACT

             Attested copy of certificate of registration under State Govt. Sales Tax Act
             in the proforma prescribed by the State Govt. should accompany the Bid.
             The registration under Sales Tax Act should be in the name of the FIRM /
             INDIVIDUAL quoting for the work. In the absence of the above
             registration, tenderer may not be awarded the work tendered for, in the
             light of State Govt. directive/instruction


3.5   Firm Price:

      The prices shall be kept FIRM till the completion of work and no escalation
      including statutory variation will be admissible.


3.6   Income Tax Clearance Certificate
      Attested copy of the latest Income Tax clearance certificate, in the proforma
      prescribed by the Government of India should accompany the tender. The I.T.C
      certificate should be in the name of the firm/individual quoting for the tender.


3.7   Income Tax

      Income tax shall be deducted from the Contractor’s bills as per the rules and
      regulations in force in accordance with Income Tax Act prevailing from time to
      time. Quoted rates shall be deemed to include this. The present rate of income
      tax as per Govt., guidelines shall be deducted from the contractors RA bills.

3.8   Minimum wages Act:
      Contractor shall strictly comply with the provisions of the Tamilnadu minimum
      wages act 1948 currently prevalent in the State and shall pay his workmen
      accordingly. The relevant registers/documents in support of the wage payment to

      workmen shall be maintained by the contractor and shall be made available for
      inspection by the client statutory bodies as and when required. In case of non-
      compliance of the provision of minimum wage act, the contracts shall be
      terminated forthwith and contractor will be liable for legal penalization.

3.9   Labour Laws
      The Contractor shall obtain necessary license from the Licensing Authority
      under the Contract Labour (Regulation & Abolition) Act, 1970 and the Central
      Rules framed there under and produce the same to the Engineer-in-Charge
      before start of work.

      The Contractor shall not undertake or execute or permit any other agency or sub-
      contractor to undertake or execute any work on the Contractor’s behalf through
      contract labour except under and in accordance with the licence issued in that
      behalf by the Licensing Officer or other authority prescribed under the Factories
      Act or the contract labour (Regulation & Abolition) Act-1970 or their applicable
      law, rule or regulation, if applicable.

      The provision of EPF & MP Act, 1952 and the Rules/Schemes there under shall
      be applicable to the Contractor and the employees engaged by him for the work.
      The Contractor shall furnish the code number allotted by the RPFC Authority, to
      the Engineer-in-Charge before commencing the work.

      The Contractor shall be exclusively responsible for any delay in commencing the
      work on account of delay in obtaining a license or in obtaining the code number
      and the same shall not constitute a ground for extension of time for any purpose.

      The Contractor shall enforce the provisions of ESI Act and Scheme framed there
      under with regard to all his employees involved in the performance of the
      Contract and shall deduct employee’s contribution from the wages of each of the
      employees and shall deposit the same together with employer’s contribution of
      such total wages payable to the employees in the appropriate account. Contractor
      is required to submit documents/challans towards proof of remittance towards
      ESI for the workers engaged for this work along with every RA bill, failing which
      owner will deduct 10% of the amount of the contractor’s bill and retained deposit
      will be refunded to the contractor only on production of documents/challans.

      Factory Inspectorate’s requirement are to be met by the Contractor and shall be
      included within his quoted price.



3.10 Child Labour Prohibition:

      The contractor shall strictly comply with provisions of various enactment on
      child labour including "Child Labour (Prohibition & Regulation) Act, 1986 and
      shall not engage any labour below the age of 18 years for any kind of work in
      the Refinery premises. CPCL reserves the right to terminate the contract for
      violation of the provisions of the above enactment.

3.11 Other Statutory Approvals

       The approval from any authority required as per statutory rules and
        regulations of Central/State Govt. shall be contractor's responsibility unless
        otherwise specified in the tender document.

       The application on behalf of the owner for submission to relevant
        authorities along with copies of required certificates complete in all respects
        shall be prepared and submitted by the contractor well ahead of time so that
        the actual construction/commissioning of the work is not delayed for want of
        the approval/inspection by concerned authorities. The inspection of the
        works by the authorities shall be arranged by the contractor and necessary
        coordination and liaison work in this respect shall be the responsibility of
        contractor. However statutory fees paid, if any, for all inspections and
        approvals by such authorities shall be reimbursed at actuals by the owner to
        the contractor on production of documentary evidence.

       Any change/addition required to be made to meet the requirements of the
        statutory authorities shall be carried out by the contractor free of charge.
        The inspection and acceptance of the work by statutory authorities shall,
        however, not absolve the contractor from any of this responsibilities under
        this contract.

4.0   GENERAL REQUIREMENTS

      4.1   Stipulations And Deviations To Tender Clauses
      Bidders are advised to submit quotations based strictly on the terms and
      conditions and specifications contained in the tender documents and not to
      stipulate any deviations. However, in case it becomes unavoidable, deviations
      should be stipulated with reference to the Clause No. and Page No. of the tender
      document. Owner reserves the right to evaluate offers containing deviation with
      financial implications, after adding cost for such deviations as determined by
      owner.


      4.2   Contractor supervisors:

     The contractor shall provide adequate supervision for the work which should not
     be less than one supervisor for every 8 workmen. The supervisors on work
     should have adequate knowledge and experience of similar maintenance jobs.
     They should be fully conversant with Maintenance works in Refinery/Fertiliser
     factory/Chemical plants and be able to read and execute jobs as per drawings.

     4.3    Manpower deployment:
     Adequate manpower shall be deployed by the contractor as per the work plan in
     such a way as to carryout all parallel activities simultaneously. Workmen
     shall not be shifted from one work area to another unless otherwise directed by
     the Engineer in charge. Contractor shall submit to the Engineer-in-charge the
     number of workmen deployed craft-wise and area-wise every day at the
     beginning of each shift.

      4.4    Construction Facilities:

       a) Water for construction would be made available from one point located near
          the work site free of cost. Further distribution of pipe net works shall be
          arranged by the contractor at his own cost and such distribution net work
          arrangement shall have the prior approval of the Engineer-in-charge, so as
          not to interfere with the layout and progress of other jobs.

       b) Construction power would be made available from the sub-station /
          Distribution Boards situated near the work site depending upon the
          construction power requirement free of cost. Further arrangement for
          distribution will be made by contractor, as per Indian Electricity Act and
          Rules, frame thereunder and passed by Engineer-in-charge. The temporary
          line will be removed forthwith after the completion of the work or if there is
          any hindrance caused to the other works due to the alignment of these lines,
          the contractor will reroute or remove the temporary lines at his own cost.

       c)       The contractor shall arrange for all the consumable like torch light, torch
            cells, cheap cloth, manila rope, coil strings, detergents, etc. which may be
            required during the course of work by the contractor at their own cost.

       d) Contractor shall arrange Fire hoses, Steam/Air hoses, required for the
          subject work at their own cost.




     4.5    Materials Storage:

      Contractor shall make their own arrangements for safeguarding their materials
      as well as that of owner’s materials. Any temporary shed required for storing
      tools, equipment etc. shall be built by the contractor near the tank only. The
      contractors shall remove temporarys shed after completion of the subject job at
      their own cost before handing over the equipment.

      4.6   Site Organisation:

       a)      Subject to the provisions in the tender document and without prejudice
            to contractor's liabilities and responsibilities to provide adequate qualified
            and skilled personnel on the work, contractor shall deploy site organisation
            and augment the same as decided by Engineer-in-charge depending on the
            exigencies of work.

       b) The Bidder shall submit the details of minimum site organisation proposed
          by him, in the tender document.


5.0   SAFETY ASPECTS
       a. The contractor shall follow complete CPCL safety regulations as per the
          enclosure - "Annexure-HSE" and also observe the rules and regulations of
          Explosive Inspectorate. Contractor shall obtain Work Permit from the
          concerned departments for working in the area. Contractor personnel
          violating the refinery safety fire regulations will not be allowed to enter
          the refinery premises.

       b.    Smoking is strictly prohibited in the Refinery area. Matches,
             cigarette lighters with enclosed mechanism are totally prohibited
             in the Refinery. It shall be the contractors’ responsibility to
             strictly adhere to the above requirement. Severe action will be
             taken on persons violating Refinery Fire & Safety Regulations.

       c.    Contractor’s employees and their supervisor shall follow all safety rules
             and regulations laid down by the owner from time to time. On any
             occasion, if it is noticed by the EIC (or) Safety Officer that contractor’s
             employees/supervisor are not wearing safety helmet, safety shoe, safety
             belt or any other safety appliance, Rs100/-(Rupees One hundred only)
             per occasion per person shall be fined on the contractor and such amount
             shall be recovered from his running bill (or) other dues.


6.0   LABOUR ENTRY & SECURITY

      Contractor’s men can enter Refinery Premises only when in possession of a valid
      security photo pass or a token. CPCL will authorize issue of the required
      number of security photo passes/tokens to the contractors. It is the responsibility
      of the contractor to collect the required Security passes and Entry permits each
      day from the security office, distribute the same to their workmen, and see that
      security controls are strictly followed. CPCL will not assume any responsibility
      for the security of contractors’ materials, equipment, tools & tackles.

7.0   QUALITY ASSURANCE

       a) Bidder shall include in his offer the Quality Assurance Program containing
          the overall quality management and procedures, which is required to be
          adhered to during the execution of the contract. After the award of the
          contract, detailed quality assurance program to be followed for the execution
          of contract under various divisions of works will be mutually discussed and
          agreed to.

       b) The contractor shall establish document and maintain an effective quality
          assurance system as outlined in recognized codes.

       c) Quality assurance system plans/procedures of the contractor shall be
          furnished in the form of a QA manual. This document should cover details of
          the personnel responsible for the quality assurance, plans, or procedures to
          be followed for quality control in respect of design, Engineering,
          Procurement, Supply, Installation, testing and commissioning. The quality
          assurance system should indicate organizational approach for quality
          control and quality assurance of the construction activities, at all stages of
          work at site as well as at manufacturer’s works and despatch of materials.

       d) The owner/consultant or their representative shall reserve the right to
          inspect/ witness, review any or all stages of work at shop /site as deemed
          necessary for quality assurance.


8.0    TESTS AND INSPECTION

       8.1    The contractor shall carry out the various tests as enumerated in the
              technical specification of this tender and technical documents that will
              be furnished to him during the performance of the work at no extra cost
              to the owner.

       8.2    All the tests either on the field or outside laboratory concerning the
              execution of the work and supply of materials by the contractor shall be
              carried out by the contractor at his own cost.

       8.3        The work is subject to inspection at all times by the Engineer-in-charge.
                  The contractor shall carry out all instructions given during inspection
                  and shall ensure that the work is carried out according to the technical
                  specifications of this tender, the technical documents that will be
                  furnished to his during performance of work and the relevant codes of
                  practice.

       8.4        Ladders, lighting, equipment for testing necessary instrument etc., shall
                  be arranged by the contractor at his own cost. Compressed air for
                  carrying out the works shall be arranged by the contractor at his own
                  cost. Any work not conforming to the execution drawings, specifications
                  or codes shall be rejected forthwith and the contractor shall carryout the
                  rectification at his own cost.

       8.5        All results of inspection and test will be recorded in the inspection
                  reports, proforma of which will be approved by the Engineer-in-charge.
                  These reports shall form part of the completion documents. Any work
                  not conforming to the execution drawings, specifications or code shall be
                  rejected and the contractor shall carryout the rectification at his own
                  cost.

9.0   ORDER OF WORKS/PERMISSIONS/RIGHT OF ENTRY/CARE OF
      EXISTING SERVICE

      a) The order in which the work shall be carried out shall be subject to the
         approval of the Engineer-in-charge and shall be so as to suit the detailed
         method of construction adapted by the contractor, as well as the agreed joint
         programme. The work shall be carried out in a manner so as to enable the
         other contractors, if any, to work concurrently. Co-ordination with other
         agencies will be contractor’s responsibility. In case of any disputes the
         decision of Engineer-in-charge shall be final & binding on the contractor.

      b) Owner reserves right to fix up priorities which will be conveyed by Engineer-
         in-charge and the contractor shall plan and execute work accordingly.

      9.1    Existing Services

             a) Drains, pipes, cables, overhead wires and similar services encountered
                in the course of the works shall be guarded from damage by the
                contractor at his own cost.

             b)    Should any damage done by the contractor to any mains, pipes, cables
                  or lines (whether above or below ground etc.) whether or not shown on

              the drawings the contractor must make good or bear the cost of making
              good the same without delay to the satisfaction of the Engineer-in-
              charge.

10.0   MATERIALS, EQUIPMENT & TOOLS

       10.1   Materials and consumable:
       It shall be contractor's responsibility to provide at his own cost all materials
       and consumable for accomplishing the jobs under this contract, unless
       otherwise excluded herein, provide adequate labour force with all necessary
       skills, provide all transportation to, from and within the job site, provide all
       equipment, tools etc. necessary for work, rigging, cleaning, handling etc.,
       provide expert supervision with competent qualified Erection Engineers and
       experienced Rigging Foreman, provide relevant safety devices/equipment and
       strictly observe the Refinery Fire, Safety and Security regulations.


       10.2   Equipment and Tools:
       Unless otherwise specified, all equipment such as Tractor & Trailer, Welding
       Generators/Transformers, Rectifiers, Grinding Machine, Lifting Tackles, and
       all other Tools & Tackles in adequate numbers required to carry out the
       Subject work in its entirety shall be within the Contractors Scope of supply.
       The contractor shall clearly indicate in his tender the list of tools and tackles
       that would be mobilised by him for the subject work.

       10.3   Lighting and Light fittings:
       Temporary lighting such as hand lamps, flood light in sufficient number as
       deemed required for the subject work shall be provided by Contractor. Only
       24V hand lamps and fittings shall be used in confined work areas. Contractor
       shall also maintain battery operated lighting, torches, dry cells etc. for use by
       him during power outage.

       10.4   Transportation and accounting of materials:
       Contractor shall ensure that the materials drawn by him from the Owners'
       Stores / Tool room are properly identified and segregated and kept safely while
       in Contractor's custody. Transportation to & fro the Owners' Stores and work
       site is contractor's responsibility. Unused materials shall be returned by the
       Contractor to the Owners’ Stores through the CPCL Engineer-in-charge
       through Material Return Notes and proper accounting of materials shall be
       made by the Contractor while bills are submitted for payment failing which
       the cost of unaccounted materials will be back charged to the Contractor.

       10.5   Damages:
       Any damage caused willfully or through gross negligence to any of the owner
       issued materials / equipment / tools by the contractor shall be made good by the
       contractor at his own cost, failing which the contractor shall pay CPCL cost of
       such damages.

       10.6   Retention of CPCL material and equipment:
       Contractor shall not retain in his custody any owner issued / allotted
       materials/ tools/ equipment etc. for the work beyond scheduled periods which
       would cause resource constraints for work by other agencies. Failure to comply
       with this regulation would entail a levy of penalty / hire charges for such items.

       10.7   Tools identification:
       The contractor shall furnish the list of tools to be deployed for the work. He
       shall arrange for affixing permanent identification marks for all his tools in the
       presence of CPCL personnel. These tools shall be offered for CPCL inspection
       and approval while being brought inside the refinery campus.

       10.8   Pneumatic tools usage:
       All pneumatic tools wherever necessary, shall be used along with filter and
       lubricating pot on the airline. Hoses shall be cleaned by blowing with air, for
       blowing out fluids inside the tube.

       10.9   Fasteners/Hardware preservation:
       All fasteners / hardware removed while disassembly / opening of equipment,
       components, man-ways etc. shall be arranged & preserved in safe custody by
       the contractor in containers with identification marks and shall be serviced
       and reused unless otherwise directed by the Engineer in charge. Replacement
       of fasteners, if required, shall be issued only after inspection, contractor will be
       liable to pay for loss of fasteners.



11.0 RATES

          11.1 Schedule of Rates:
          a) Contractor shall quote his rates strictly in the format called for vide the
             “Price Schedule”.

          b) The schedule of rates shall be read in conjunction with special conditions
             of contract. General conditions of contract, Technical specification,
             Drawings and any other document forming a part of this contract. The
             quantities shown against the various items are only approximate and
             subject to variation.
          c) In case any activity though specifically not covered in the schedule of
             rates description but the same is covered under the scope of work /
             specification / drawings etc., no extra claim on this account shall be
             entertained, since Schedule of rate is to be read in conjunction with other
             documents forming part of the contract.
          d) All items of work in the schedule of rates shall be carried out as per the
             specifications, drawings and instructions of the Engineer-in-charge and
             the rates are inclusive of all materials, consumables, labour, supervision,
             tools and tackles, as well as preparatory, incidental, intermediate /
             auxiliary / ancillary or enabling works.

12.0      SUB-CONTRACTING OF WORK

          The conditions mentioned in General Conditions Contract (Book), Page
          No.39, SI.No.7.7 is to be strictly followed and no deviation whatsoever will
          be allowed.

13.0     SUPERVISIORY MANPOWER REQUIREMENT

          The contractor shall deploy the following Supervisory Staff for execution of
          this contract.

               One Resident Engineer with at least 3 years experience in Over-
                hauling and testing of TG-B set of capacity 5MW and above.

          CPCL will have the right of withdrawing entry authorization to contractors'
          workmen at any time on grounds of indiscipline, in-competency in work,
          violation of safety and fire rules, negligence on duty, etc.




14.0     WORK SCHEDULE AND COMPLETION

       14.1       Completion time

                  The contractor shall carryout and complete all within the
                  Maintenance jobs included in his scope of work vide this contract for "

                  Overhauling and Testing of Turbo-Generator -B at Old Power House ”
                  as indicated in the time schedule marked as "TS-1".

                  No extension of time is applicable to the subject work.

         14.2         Delay compensation

                  As per GCC.

         14.3         Escalation And Extended Stay Compensation:

                  The prices shall be kept firm till the completion of work in all respects
                  and no payment towards escalation/extended stay compensation will
                  be made whatever may be the reason.

         14.4         Work Timings:

                  All jobs shall be performed from 7.30AM to 4.18 PM on each day, if
                  necessary the work timings may be extended to 20.00 Hrs. Work shall
                  be done on all the seven days every week till completion. Break in
                  work for Coffee/Tea/Lunch/Dinner shall be as per CPCL timings.
                  Contractor shall deploy adequate manpower in all the shifts so as to
                  ensure smooth and uninterrupted progress of work.

         14.5         Work Schedule and Progress Report:

                  a. Contractor shall furnisli their program of work including an
                     arrow diagram and bar chart with network of activities showing
                     the completion period for every phase of the work constituting the
                     entire job. The master schedule shall be submitted to the owner
                     for review and approval within a fortnight from the date of award
                     of contract

                    b. Contractor shall submit weekly progress reports to CPCL on all
                       their activities and progress concerning every phase of the job.

15.0   UNDERGROUND AND OVERHEAD STRUCTURES:

       All existing structures overhead lines, existing pipelines, and utilities will be
       intimated to the contractor before taking up the execution of work if
       any. Contractor shall execute the work in such a manner that the said
       structures, utilities, pipelines etc., are not disturbed/damaged.

16.0   PAYMENT

             a. 90% shall be paid on completion of entire job.

             b. Balance 10% of total value of work shall be retained by CPCL towards
                Security deposit. The security deposit so retained shall be released
                to the Contractor only after completion of defects liability period of 12
                months from the date of successful commissioning of the TG-B
                equipment.

17.0   ARBITRATION

       "Any dispute or difference whatsoever arising between the parties out of or
       relating to the construction, interpretation, application, meaning, scope
       operation or effect of this contract or the validity or the breach thereof, shall be
       settled by arbitration in accordance with the Rules of Arbitration of the
       "SCOPE Forum of Conciliation and Arbitration" and the award made in
       pursuance thereof shall be binding on the parties".
