                                       Bylaw No. 3204

               A bylaw to delegate authority relating to Canada Education Park
                 to certain officers and employees of the City of Chilliwack
                 ________________________________________________

WHEREAS pursuant to Section 154 of the Community Charter, Council may, by bylaw, delegate
its powers, duties and functions to officers and employees of the municipality;

NOW THEREFORE the Council of the City of Chilliwack in open meeting assembled enacts as
follows:

1.    This bylaw may be cited as “Canada Education Park Lands Delegation Bylaw 2005,
      No. 3204”.

Delegation

2.    Council delegates to any two of the officers and employees listed on Schedule “A”,
      attached hereto and forming part of this Bylaw, the authority, on behalf of the City, to
      assign, develop, subdivide, manage, transfer, lease and otherwise deal with, to the extent
      permitted under the laws of the Province of British Columbia and Canada, the lands
      described in Schedule “B”, attached hereto and forming part of this Bylaw, and to
      execute on behalf of the City any related agreements or instruments. This power may be
      exercised only in accordance with Section 3 of this Bylaw.

3.    The authority delegated by this Bylaw may be exercised only as and when directed in
      writing by the Chilliwack Economic Partners Corporation in accordance with the
      Partnering Agreement between the City and the Chilliwack Economic Partners
      Corporation dated for reference the 30th day of September, 2005, and in accordance with
      the Declaration of Trust between the City, as trustee, and the Chilliwack Economic
      Partners Corporation, as beneficiary, dated the 30th day of September, 2005.

4.    Any agreement or instrument authorized by this Bylaw must be executed by both
      delegates.

Delegatees

5.    Where this Bylaw delegates a power, duty or function to a named position, the delegation
      of the power, duty or function is to the person who, from time to time, holds the position.

No Delegation by a Delegate

6.    A person to whom a power, duty or function is delegated under this Bylaw has no
      authority to further delegate to another person any power, duty or function that has been
      delegated by this Bylaw.

Finally passed and adopted on the 5th day of December, 2005.
