Termination and Release Agreement
THIS TERMINATION AND RELEASE AGREEMENT is made and entered into this __
day of (the "Effective Date"), by and between
("Party A”) and (“Party B”).
Recitals:
A. Party A and Party B are all the parties to a Agreement dated
(the “Agreement”);
B. The parties desire to terminate the Agreement in its entirety and to provide mutual
general releases;
Now, Therefore, in consideration of the mutual covenants and promises set forth herein
and in full and final settlement hereof, the parties agree as follows:
1. Termination of Agreement
The Agreement is hereby terminated in its entirety as of the Effective Date. Neither party
shall have any continuing obligations or liabilities to the other under the Agreement.
2. Mutual Releases
2.1 Release of Party A. For good and valuable consideration, Party B, on its behalf
and on behalf of its managers, members and principals, hereby releases and forever discharges
Party A, and Party A's officers, directors, successors, representatives, assigns, agents, and
employees, and each of them (herein collectively called the "Party A Releasees"), from any and
all claims, debts, liabilities, demands, obligations, costs, expenses, actions and causes of action,
of every nature, character and description, known or unknown, fixed or contingent, which Party
B now owns or holds, or has at any
