INTRODUCERS AGREEMENT
THIS AGREEMENT IS MADE BETWEEN:
(1) Sunsplash Homes Ltd, a Company registered at Premier House, 50/52 Cross
Lances Road, Middlesex, TW3 2AA, Number 5802583, referred to hereafter
as the “Company”
And
(2) ________________, of ___________________________________, referred
to hereafter as the “Introducer”.
DEFINITIONS
“The Company” are international property finders, involved in the business of
assisting clients with purchasing properties both in the UK and on a worldwide basis.
The Consultant” is an individual acting as an international property finder working
with Sunsplash Homes to source properties for the Client.
“Our Services” is that of international property brokers who assist clients with
purchasing their property investments on a worldwide basis.
“The Client” is the individual or individuals who approach or are referred to either
The Company or The Consultant with a view to engaging our services in order to
purchase foreign investments.
“The Agents” are those Estate Agents with whom the Company have entered into an
Agency Agreement.
“The Introducers” are those individuals engaged by either the Company or the
Consultant to introduce Clients to them.
“The Commencement Date” shall be the date on which all parties have signed this
Agreement.
1. DURATION
1.1 The Introducer shall commence the provision of his or her services on the
Commencement Date and shall continue until either party terminates the
agreement.
1.2 The Agreement may be terminated with immediate effect by either party
providing the other with written notice.
2. DUTIES OF THE INTRODUCER
2.1 The Introducer shall introduce clients to either the Company of the
Consultant.
2.2 The Introducer shall complete a mini fact find form that shall be provided to
him or her by the Company.
2.3 The Introducer agrees that their services shall be performed by him or her
only and not sub-contracted to any other party.
2.4 The Introducer warrants that he or she is self employed with Schedule D tax
status and agrees to indemnify the Company in respect of any claims that
may be made by the relevant authorities against the Company in respect of
income tax or National Insurance contributions relating to the provision of the
Services by the Consultant.
3. NEGATIVE OBLIGATIONS OF THE INTRODUCER
3.1 The Introducer agrees that during the life of this Agreement and for the period
of 12 calendar months afterwards whether on her own behalf or on behalf of
any other person and whether as a consultant, principal, partner, director,
employee or otherwise not to directly or indirectly to solicit business with the
agents or clients with whom the Company has entered into a formal Agency
agreement or Fee Agreement.
4. PAYMENT TERMS
4.1 In consideration of the provision of his or her Services the Introducer shall be
paid up to a maximum of £1,000 from the commission paid to the Consultant
for the property bought by the Client.
4.2 The fee payable to the Introducer is subject always to the discretion of the
Company.
4.3 All payments shall be made to the Introducer by the International Property
Finder to whom he / she referred the client and within 28 days following the
receipt by the International Property Finder of their commission payment in
full by the Agent.
5. AUTHORITY OF THE AGENT
5.1 The Introducer has no authority to hold themselves out as a Consultant of the
Company.
6. GOVERNING LAW AND JURISDICTION
6.1 The validity construction and performance of this Agreement shall be
governed by English law.
6.2 All disputes, claims or proceedings between the parties relating to the validity
construction or performance of this Agreement shall be subject to the
jurisdiction of the High Court of Justice in England and Wales to which the
parties hereto irrevocably submit. Each of the parties irrevocably consents to
the award or grant of any relief in any such proceedings before the High Court
of Justice in England and Wales. Either party shall have the right to take
proceedings in any other jurisdiction for the purposes of enforcing a judgment
or order obtained from the High Court of Justice in England.
