          1        Wax / PVC sealed tenders are invited for and on behalf of BSNL by the GMTD, Silchar for AMC
                   OF ENGINE ALTERNATORS IN THE EXCHANGES / GSM BTSs IN SILCHAR SSA. Tenderer
                   should have experience of repairing and AMC works in last two financial years. The contractor
                   shall be registered electrical contractors of BSNL/MTNL, Central , State Govt.Deptt. PSUs etc.
                   The contractor should not have been disqualified by any BSNL/MTNL or any unit earlier.

                       The tender, which is not accompanied by the requisite Bid Security (EMD), shall be
              summarily rejected. Tender will not be accepted / received after expiry of date and time. The
              contractors must have the experience of doing servicing & repairing works and should have
              experience in handling automobile equipments. The GMTD, Silchar reserves the right to
              reject any or all tenders without assigning any reason what-so-ever.

                                   Section – IV

      INSTRUCTIONS & GUIDELINES TO CONATRCTOR (BIDDER)
1.0 DEFINITIONS :

  The contract means the documents forming the tender and acceptance thereof and
  the formal agreement executed between the Bharat Sanchar Nigam Limited and
  the CONTRACTOR together with the documents referred to therein including the
  conditions of CONTRACT, the specifications , designs drawing and instructions
  issued from time to time by the Engineer – in – Charge and all these documents
  taken together shall be deemed to form one contract and shall be complimentary to
  one another.

  In CONTRACT, the following expressions shall unless where the context
  otherwise required , have the meaning hereby respectively assigned to them.

  (a) The expression “WORKS” or “WORK” shall unless there be something either
      in the subject or context repugnant to such construction be construed and taken
      to mean the works or by virtue of the contract contracted to be executed
      whether temporary or permanent and whether original, altered , substituted or
      additional.
  (b) The „SITE‟ shall mean the land and / or other places on into or through which
      work is to be executed the CONTRACT or any adjacent land, path or street
      through which work is to be executed the CONTRACT or any adjacent land
      path or street which may be allotted or used for purpose of carrying out the
      contract.
  (c) “Site Engineer” shall mean Sub-Divisional Engineer of the NIGAM who may
      placed by the Divisional Engineer as in-charge of the work at site at an
      particular period of time.
  (d) The „CONTRACTOR‟ shall mean the individual or firm or company whether
      incorporated or not undertakings the work and shall include the legal personal
      representative or such individual or the persons composing such firm or
      company or the successors of such firm or company and the permitted
      assignees or such individual of firm or firm or company.
  (e) The „ENGINEER – IN – CHARGE‟ means, the Divisional Engineer who shall
      supervise and shall be in-charge of the work, at any time or who shall sign the
      Contract.
  (f) The “NIGAM” means the Bharat Sanchar Nigam Limited (A Government of
      India Enterprise)
  (i)     All references of :-

        (i)     Nigam
        (ii)    General Manager, BSNL, Silchar
        (iii)   Deputy General Manager, BSNL, Silchar
        (iv)    Divisional Engineer.

In various clauses shall be taken to mean :

     (i)Bharat Sanchar Nigam Limited, a Government of India Enterprise.
        to (ix) The Officers, in their respective grades / groups employed in the
     (ii)
        Nigam by whatever designation are assigned to them from time to time and
        who may be in-Charge of direction, execution, supervisions, testing,
        acceptance, maintenance of accounts and disposal of claims, from time to
        time and includes their successors in office
Words imparting the singular number include the plural number and vice – versa.

2.          Name of works :- AMC of DG Sets at different exchanges / GSM BTSs
            located in Cachar, Karimganj, Hailakandi & N.C.Hills under Silchar SSA

3.          Scope & Description of work :-

     i. The tender is for AMC of the Engine Alternators at their respective sites as per
            the enclosed list at Annexure-1.
     ii. The Annual Maintenance Contract includes: -
            (a) Visit once in a month
            (b) Check of DG Set Mobil oil quality
            (c) Complete servicing of engine with genuine spares, use of CRB Mobil oil
                after completion of 180 Hrs or 6 months which ever is earlier. This
                includes
               (i)      Draining of lubricating oil from the sumps, lub oil cooler. Cleaning
                        the lub oil strainer as per manufacturers practice.
               (ii)     Renew lubricating oil prime lubricating system
               (iii)    Providing replacement of lub oil filter / fuel filter element as per
                        manufacturers standard practice
               (iv)     Check hose pipe & tighten hose clamps
               (v)      Check and tighten V belts tension & replace belts when necessary
               (vi)     Check and tighten DC wiring terminal ends on engine and engine
                        production unit

         (vii)    Carry out air cleaner maintenance
         (viii) Check and adjust tappet clearance
         (ix)     Check and record engine performance parameters
         (x)      Check the engine protection unit for proper functioning
         (xi)     Inspection and maintenance of electric AMF / manual control panels
                  i.e checking of wiring etc.
         (xii)    Battery checking
         (xiii) The contractor will do the complete service within two months from
                  the signing of the agreement including engine oil change , air filter
                  change, oil filter change etc.
(d)      Attending the faults and breakdowns of the Engine Alternators whenever
         required.
(e) The defective/ consumable genuine spare of E/A will be supplied by the
      contractor. However, the cost of spares will be paid by BSNL at approved rate
      only.
iii. The successful tenderer will have to
         (a) Setup a workshop for repairing of Engine Alternators within the
               SILCHAR District before executing agreement.
         (b) Keep sufficient technical manpower for attending breakdown at
               minimum three sites simultaneously.
         (c) Keep one Office equipped with telephone and fax facility for reporting
               of faults and coordination.
iv. Any minor fault reported to the contractor will have to be attended within four
      hours of reporting. Any major fault/critical fault (i.e. Complete breakdown)
      reported to the contractor will have to be attended within eight hours of
      reporting. Faults (minor or major) are to be attended at the respective sites
      itself. If any part is to be taken to the workshop for repairing that shall be
      carried by the contractor at his own cost. AMC charge will be payable on
  quarterly basis on the basis of satisfactory performance. Performance Certificate
  shall be issued by the SDE incharge for the respective engine on quarterly basis.
  Any part replaced during repairing shall be deposited to SDE concerned. SDE

          concerned has to personally supervise the repair work and certify the
          genuineness of replaced parts and consumables. All repair and maintenance
          work (with details of consumable & spare parts replacement) is to be noted
          down in the Engine Alternators logbook of the respective exchange by the SDE
          concerned. All the unserviceable parts has to be deposited to SDE incharge and
          entered into unserviceable register.
   4. Experience :-

The contractor shall have enough experience of Servicing & Repairing of Engine
Alternators in BSNL/Govt. department/ PSUs worth of Rs.8 Lacs.

   5. Documents to be submitted with tender :-
   (i)        Contractor‟s Registration Certificate (CRC) for carrying out contract jobs
   (ii)       Minimum year – wise Turn Over in rupees , during the last three years which should not
              be less than rupees 8 Lacs / year

         himself has signed the tender
   (xi) The full name and address of the tenderer shall be written on the bottom left
         hand side corner of the sealed cover
   (xii) EMD amount in the form of Bank draft drawn in favour of AO (Cash), O/O
         the GMTD, BSNL, Silchar
6.     Documents to be submitted along with Bid.
 (A) Technical Bid:
      Technical Bid shall contain Bid Form, Tenderers Profile and all the documents
   contained in Section . IV Clause - 5
(B)         Financial Bid:
           (i) Schedule of rates :– AMC of DG Sets at different exchanges / GSM BTSs
                located in Cachar, Karimganj, Hailakandi & N.C.Hills under Silchar SSA.

The bidder is expected to examine all instructions, forms, terms and conditions &
specifications in the bid document. Failure to furnish all information required as per
the Bid Document or submission of bids not substantially responsive to the Bid
Document in every respect will be at the bidder‟s risk and may result in rejection of
the bid.
7      BID SECURITY:
7.1    The bidder shall furnish, as part of his bid, a bid security (EMD) for an amount
of mentioned in the Notice Inviting Tender. No interest shall be paid by the B.S.N.L.
on the bid security for any period, what so ever.
7.2 The bid security is required to protect BSNL against the risk of bidders conduct
    which would warrant the security‟s forfeiture.
7.3 Bid Security shall be paid in the form of Crossed Demand Draft issued by a
    scheduled bank drawn in favour of Accounts Officer (Cash) BSNL, % G.M,
    Silchar & payable at Silchar.


7.4 The bid security of the unsuccessful bidder will be refunded as promptly as
    possible but not later than 30 days after the expiry of the period of bid validity
    prescribed by BSNL.


7.5 The successful bidder‟s bid security will compulsorily be converted to part
    performance security deposit

7.6 The bid security shall be forfeited in the following cases :

7.7 If a bidder withdraws his bid during the period of bid validity specified in the bid
    document, or

7.8 If the bidder makes any modifications in the terms and conditions of the tender
    before acceptance of the tender, which are not acceptable to the BSNL, or


8.0        AMENDMENT OF THE BID DOCUMENTS:

8.1 At any time, prior to the date of submission of bids BSNL may, for any
reason whether suo motto or in response to a clarification requested by a
prospective Bidder, modify the bid documents by amendments.

8.2The amendments shall be notified in the website or in writing by telex or
   FAX to all prospective bidders on the address intimated at the time of
   purchase of bid document from B.S.N.L. and these amendments will be
   binding on them.

         8.3In order to afford prospective bidders reasonable time to take the
             amendments into account in preparing their bids, BSNL may, at its
             discretion extend the deadline for the submission / opening of bids suitably.
           9.0 PREPARATION OF BIDS

              9.1 Cost of Bidding:

                     The bidder shall bear all costs associated with the preparation and
                     submission of the bid. The B.S.N.L. will in no case be responsible or
                     liable for these costs, regardless of the conduct or outcome of the
                     bidding process.


         9.2 DOCUMENTS ESTABLISHING BIDDER’S ELIGIBILITY AND
                QUALIFICATIONS:
         The tenderer will have to submit the following documents/ deposits with the
         Technical Bid. Any bid not accompanying the below mentioned
         documents/deposits will be liable to be rejected ;


         i)       Bid Security

         ii).  Tender document (s), in original, duly filled in and signed by tenderer or
         his authorized representative along with seal on each page. All corrections and
               overwriting must be initialed with date by the tenderer or his authorized
               representative.

iii)     Attested copy of Latest or Last income tax return and copy of Pan Card.

iv)        a) Attested copies of the registration of the firm and authenticated copy of
         partnership deed in case of partnership firm
                                                        or
          (b) Attested copy of Articles of Associations duly registered with Registrar of
                    Company affairs, in case of Limited/Pvt. Limited company
                                                       or
           (c) In case of Proprietary firm, certificate from the Proprietor of the firm that
         he is the sole Proprietor of the firm. The proprietor should give affidavit on
         stamp paper that “He is the sole proprietor of the firm”, duly attested by
         Notary on stamp paper.

v)     Tenderer‟s profile, duly filled in, as per section III of the tender document.

vi) Original “Power of Attorney “ in case person other than the tenderer has signed
      the tender documents.
vii )   Attested copy of Registration of EPF/RPF .
viii Attested copy of Service Tax Registration Certificate.
ix) All other documents as per clause 5 section IV enclosed.
     10.0 SUBMISSION OF BIDS:
     (a) Method of preparation of bid:
     Bid for each tender should be submitted in four envelopes placed inside a main
     cover. These envelopes should contain the following:
        AA       Tender            Containing cost of tender document if
                 Document Cost     downloaded from Web.
        First    Bid Security      Containing Bid Security as per Sec IV clause 7
                                   of tender document if downloaded from Web.

        Second Qualifying Bid      Containing documents as per clause VI of
                                   Section - II
        Third    Financial Bid     Rates duly quoted by the tenderer in the
                                   prescribed format only
         On all these four envelopes the name of the firm and whether “Document
         Cost” OR “Bid Security” OR “Qualifying” OR “Financial” bid must be
         clearly mentioned and should be properly sealed (with sealing wax/Packing
         PVC tape). These three envelopes are to be placed inside an outer envelope
         and properly sealed (with sealing wax/Packing PVC tape). The tenders
         which are not submitted in above mentioned manner shall be summarily
         rejected.
       (b) All envelopes (4 inner & one outer) must bear the following:
           Tender for AMC of DG Sets at different exchanges / GSM BTSs located in
           Cachar, Karimganj, Hailakandi & N.C.Hills under Silchar SSA in the area of
           GM, BSNL Silchar.
            “NOT TO OPEN BEFORE (DUE DATE OF TENDER)

      (c) Tender forms duly filled in and having all enclosure in wax sealed envelop
      should be dropped in the Tender Box placed in the O/O General Manager,
      BSNL, Silchar superscribed as “TENDER FOR AMC OF ENGINE
      ALTERNATORS IN THE EXCHANGES / GSM BTSs IN
      SILCHAR SSA” upto 1400 of _______________ and will be opened at 1500
      Hrs on the same date in presence of the tenderers or their authorized
      representatives. If any Band / Strike falls on the tender opening day it will
      automatically be extended to the next working day.

11.0 BID OPENING AND EVALUATION :

11.1    OPENING OF BIDS BY THE BSNL:

(i)     The BSNL shall open the bids in the presence of bidders or his authorized
        representatives who choose to attend , at 1500 Hrs on due date. The
        bidder‟s representative who are present, shall sign an attendance register.
        The bidder shall submit authority letter to this effect before they are
        allowed to participate in the bid opening
(ii)    A maximum of two (2) representatives for any bidder shall be authorized
        and permitted to attend the bid opening.

(iii)   The Bids shall be opened in the following manner:

(iv)    The bid opening committee shall count the number of bids and assign
        serial numbers to the bids. For example, if 10 tenders have been received
        the bids shall be numbered as 1 of 10, 2 of 10 etc. All the members shall
        initial on the outer envelopes of all the bids with date.

(v)     The envelopes containing the tender offer and not properly sealed, as
        required shall not be opened and shall be rejected outright. Closing the
        cover with gum will not be treated as sealed cover. The reasons for not
        opening such bidder offers shall be recorded on the face of the envelope
        and all the members of the opening committee shall initial with date.

(vi)    First the outer envelope containing the three envelopes be opened. The
        bid opening committee shall initial on all three envelopes with date.


(vii) Among these three envelopes, the envelope marked “ BID SECURITY ”
      shall be deemed first and examined.

(viii) The bidders who have submitted proper bid security as per tender
       document, their “ QUALIFYING BID ” shall be opened and
       papers/documents submitted by the bidder shall be examined and
       recorded by the TOC. After opening the qualifying bid, all the
       documents contained therein shall be serially numbered and signed by the
       bid opening committee members.

(ix)    After recording of the “Qualifying Bid” the TOC will place all the
        Financials bids submitted by the bidder in an envelope and will properly
        seal it with wax or packaging PVC tape for keeping in safe custody.


11.2 Financial Bid shall be opened in the following manner :

(i)     The envelope marked “Financial Bid “ will be opened only for qualified
        tenders in “Qualifying bid”.


(ii)    The date and time of opening of “Financial bid “ shall be conveyed to all
        the bidder members who have qualified in Qualifying Bid and their
        representative shall be allowed to attend the financial bid opening.

(iii)   After opening the “Financial Bid “ the bidder‟s name, bid prices,
        modifications, bid withdrawals and such other details as the BSNL,at its
        discretion, may consider appropriate, will be announced at the opening.

(iv)   In case there is discrepancy in figures and words in the quote, the same
       shall be announced in the bid opening ,but the quote in words shall
       prevail.
11.3. VERIFICATION OF BIDS BY THE BSNL:

        To Assist in examination, evaluation and comparison of bids, the BSNL
        may at discretion ask the bidder for clarification of its bid. The request
        for its clarification and response shall be in writing. However, no post
        bid clarification at the initiative of the shall be entertained.

11.4 PRELIMINARY EVALUATION:

           (i)     BSNL shall evaluate the bids to determine whether they are
                   complete, whether any computational errors have been made,
                   whether required sureties have been furnished, whether the
                   documents have been properly signed and whether the bids are
                   generally in order.
           (ii)    If there is discrepancy between words and figures, the amount
                   in words shall prevail , if the Contractor does not accept the
                   correction of the errors, his bid shall be rejected.
           (iii)   Prior to the detailed evaluation, the BSNL will determine the
                   substantial responsiveness of each bid to the bid document. For
                   purpose of these clauses a substantially responsive bid is one,
                   which conforms to all the terms and conditions of the bid

                  documents without deviations. The BSNL‟s determination of
                  bid‟s responsiveness is to be based on the contents of the bid
                  itself without recourse to extrinsic evidence.
           (iv) A bid, determined as substantially non-responsive will be
                  rejected by the BSNL and shall not subsequent to the bid
                  opening be made responsive by the bidder by correction of the
                  non-conformity.
           (v) The BSNL may waive any minor infirmity or non-conformity or
                  irregularity in a bid, which does not constitute a material
                  deviation, provided such waiver, does not prejudice or affect the
                  relative ranking of the bidder.
           (vi) EVALUATIONS                 AND           COMPARISON            OF
                  SUBSTANTIALLY RESPONSIVE BIDS:
           (vii) The BSNL shall evaluate in detail and compare the bids
                  previously determined to be substantially responsive
           (viii) The evaluation and comparison of responsive bids shall be on
                  the percentage deviation (above/below/at par ) offered and
                  indicated in schedule of rates of the bid documents.

12 SIGNING OF BID:
      The bidder shall submit, as a part of his bid, the bid documents (in original)
      duly signed on each and every page, establishing the conformity of his bid
      to the bid documents of all the works to be executed by the bidder under
      the contract.
 Note: The tenderer is advised to keep a photocopy (at his own cost) of the bid
documents for his own reference.
    The tenderer will be bound by all terms, conditions & specifications as detailed in
    the tender documents

                                   SECTION – V

       RULES AND CONDITIONS OF THE CONTRACT :-
1. All works proposed for servicing by contract have been notified in a form of NIT
   published in the daily local Newspapers.
2. This tender form will state the type of the work to be carried out as well as date of
   submitting and opening tenders and also the amount of earnest money to be
   deposited with the tender.

3. In the event of tender being submitted by a firm, it must be signed separately by
   each partner hereof or in the event of the absence of any partner it must be signed
   on his behalf by a person holding a power of attorney authorizing him to do so,
   such power of attorney to be produced with the tender & it must be disclosed that
   the firm is duly registered under the India Partnership Act.
              Tender shall have the name & number of the work whose reference
      shall be written outside the envelope containing the tender.

4. The accepted rates will be valid upto one year which may be extended till the next
   tender is finalised or satisfactory execution of the contract or any other alternative
   way at the discretion of the head of the SSA.

5. The tenderers shall attach requisite earnest money as asked in the NIT with the
   tender papers and earnest money in any other form shall not be accepted. In the
   event of the tender being rejected, the earnest money deposited with the
   unaccepted tender shall be refunded to the contractor as per rules of BSNL. A
   formal application is to be submitted for releasing of the EMD

6. The GM, Silchar shall have the right for rejecting all or any of the tenders and
   will not be bound to accept the lowest tender. The GM further reserves the right to
   accept more than one tender or he may restrict / demarcate area of operation of
   various tenderor(s), the lowest tenderer shall not make any claim in this regard.

7. The Tenderer or his representative must be available at his postal address
   furnished in the tender. Any change in address / phone number / Mobile number
   must be communicated well in time to the department.

8. Before tendering, the contractor(s) are hereby advised to visit/inspect the area of
   the work and satisfy / acquaint himself to the conditions prevalent in the area with
   regard to accessibility of and nature and extent of roughness / toughness of
   weather condition etc. No claim of the contractor will be entertained later with
   regard to difficulties concerning the area of work. He may also obtain required
   clarification regarding the work from the office which may influence his tender as
   no claim whatsoever shall be entertained later for any alleged ignorance thereof.

   The contractor shall read the term and conditions carefully before submitting the
   tender.

9. The contractor‟s responsibility for the contract shall commence from the date of
   issue of acceptance of the tender.

10. The items mentioned in schedule of work as per Annexure “A” are available to
    change as per requirement of BSNL keeping basic jobs same although it is not
    necessary that all items shall need to be executed and quantum of each may
    change from work to work.

11. If any tender is withdrawn by the contractor before the final acceptance or after
    the final acceptance of tender, the earnest money is liable to be forfeited.

12. Income Tax or any other Taxes whatsoever in respect of this contract shall be
    payable by the contractor and the BSNL will not entertain any claim in this
    regard. The rate of Income Tax may change from time to time as per laws of
    taxation department.

13. If there are differences between the rates quoted by the contractor in words and
    figures then the rate quoted by the contractor in words shall be taken into account.

14. The successful tenderer shall deposit a security money in the form of bank draft at
    10% on tendered amount before signing the agreement and awarding the final
    work- order. However, earnest money of successful tenderer shall also be
    converted into security deposit, which is refundable after one year from the
    completion of the work & after fulfillment of the terms and conditions of the
    contract. A formal application duly certified by the field officers regarding
    satisfactory performance of the entrusted works and there is no liabilities with the
    contractor is to be submitted to GM, BSNL, Silchar

15. The Servicing of Engine Alternators shall be carried out by the contractor as per
    the nature and quantum of works entrusted to him by the field officers from time
    to time.


16. The tenderer will not be permitted to sublet the work to other agencies on
    commission basis. In such circumstances if it is found that the work has been
    subletted, the earnest money & security of the tenderer will be forfeited and no
    further work will be allotted to him.

17. The contractor shall have to comply with civil regulation and orders relating to
    local administration and law and order authorities.

18. It will be mandatory on the part of tenderer to tender and sign the tender
    document for all the parts and after tender is awarded he will have to enter into an

   agreement for this with the GM, BSNL Silchar or any of his subordinate officer
   nominated by BSNL for the purpose on non-judicial stamp for Rs.50/- only.

19. The total time allowed for carrying out a specific work shall be mentioned in the
    respective work order issued by concerned field officers and shall be reckoned
    with the date of receipt of the work order.

20. The contractor will ensure a visit of trained technicians at all the sites of E/As
    once in a month and will get his inspection report signed from any official
    available there. The contractor will be bound to have at least one contact
    Telephone No. in Silchar which will have to be attended round the clock and there
    must be some technicians available there who will move immediately in case of
    any fault / emergency. The fault must be attended and repaired within 24 hours of
    receipt of intimation failing which a penalty of Rs.500/- per day per E/A shall be
    imposed on the contractor.

21. If the contractor desires an extension of time for completion of the awarded works
    on the ground of it‟s having been unavoidable hindered in its execution or any
    other ground he shall apply to the contract awarding authority within three days of
    such hindrance on account of which he desires such extension and the concerned
    authority in his opinion (which shall be final) if on reasonable grounds, may
    authorise such extension, if any, he may in his opinion consider necessary and
    proper.

22. The BSNL will not liable to pay any interest on their earnest money and security
    deposits.

23. If there is any dispute of the interpretation of any clause in the terms and
    conditions of the contract the matter shall be referred to the sole attribution of the
    GMTD, Silchar or person nominated by him whose decision will be final and
    binding.

24. The security deposit shall be refunded after one year from the date of completion
    of works if there is no complaints on such works. Other taxes also if any as
    applicable from time to time may also be deducted from the contractors bills as
    per rules.

25. Canvassing in connection with tenders is strictly prohibited and the tenders
    submitted by the contractor to resort for canvassing will be liable for rejection.

26. (a) The tenderers shall have to employ sufficient labour as per existing labour
    laws for carrying out the works safely without any damage / loss to men or
    materials and equipments

   (b) He shall be responsible to take care of amenities to the labours engaged by
       him and shall also be solely responsible for untoward mishappening causing

          loss to the said labours. Further contractor shall also be solely responsible to
          abide by the labour laws of Govt. of India. Any complaint in this regard shall
          enable the department to deduct the requisite amount of earnest money /
          security deposit, bills or in whatsoever manner to compensate the labours as
          decided by the competent authority.

27. The tenderers shall be sign a declaration under the officials secret act for
    maintaining secrecy of the document, drawing and other records in connection
    with the work given to them.

28. The power of acceptance of this tender will rest with the GMTD Silchar who does
    not bind himself to accept the lowest tender and reserve to himself the authority to
    reject any or all the tenders without assigning any reason(s). All tenders in which
    any of the prescribed conditions are not fulfilled or incomplete or conditional in
    any respect are liable to be rejected.

29. BSNL shall have the right to cause an audit and technical examination of works
    and the final bills of the contractor including all sorts of documents, abstract etc.
    to be made after payment of final bill and if as a result of such audit and technical
    examination any sum is found to have been overpaid in respect of by the
    contractor under the contract or any work claimed by him to have been done by
    him under the contract and found not to have been executed, the contractor shall
    be liable to refund the amount of overpayment.

30. Without prejudice to any of right or remedies under this contract , if the
    contractor expires, the GM on behalf of BSNL shall have the option for
    terminating the contract without compensation to the contractor which does not
    amount to breach of the contract.

31. Income Tax , Sales Tax and surcharge on Tax will be deducted from the bill as
   per existing norms on the gross value of the bills.

32. 0 Special Conditions of the Contract :-

    (i)       The contractor shall execute the assigned works as and when ordered by
              the field officers .

    (ii)      The contractor shall attend the respective exchange for which servicing of
              E/A is to be done. The servicing work mentioned in the tender means
              replacement of Mobil & diesel filters including change of mobil oil.

    (iii)      After completion of servicing works, the contractor shall deposit the
              replaced spares to the respective field units with proper receipt. Copy of
              the receipt shall have to be enclosed along with the bills.

    (iv)    The maintenance contract is comprehensive i.e all the spare parts
            (excluding major parts ) required to be replaced during the scope of work
            and otherwise shall be supplied by the contractor. The materials supplied /
            replaced will be of manufacturer‟s specifications and no separate labour
            charges shall be paid for replacement of these parts. Consumables like
            lubricants and filters will also be supplied by the contractor during the
            replacement of these parts.

    (v)     To ensure the genuineness of the spare parts replaced, the contractor shall
            submit original bill / cash memo from the authorized dealer from whom
            these parts have been procured. The contractor will also get genuineness
            of these spare parts certified from the concerned SDO/DE before
            replacement

    (vi)    The contractor shall have to arrange all tools, T&P , jute detergent etc.
            required during maintenance / service . No such material shall be supplied
            by the corporation.

    (vii)   The contractor shall intimate to the department the particulars of the
            technical staff employed by him for job and no person other than the said
            employees shall be allowed to enter the exchanges. The contractor himself
            however, may visit the exchanges only in connection with the job
            entrusted to him.

    (viii) List of E/As to be covered under AMC and capacity is attached in
           Annexure – A. However more E/As with capacity can be added during the
           AMC period and payment to such added E/As will also be made
           proportionately.

    (ix)    In case, any clause is not mentioned, prevailing departmental rules will
            apply.

    (x)   GMTD, Silchar reserves the right to award the work to other tenderer if
          the performance is found not satisfactory or he fails to start work after
          signing agreement and GMTD , Silchar also reserve the right to terminate
          the contract and earnest money and security will be forefeited
33. Procedure for Submission of Bill :-

The contractor shall submit his bills on monthly basis to DE (Plg.) , O/O the GMTD,
Silchar duly verified by SDO & C/S by concerned DEs, where the bills be processed
to make payment normally within 30 days of the receipt of bills subject to availability
of funds and proper submission of bills.
The contractor shall submit the pre-receipted bills in prescribed forms in triplicate
duly recording detailed works in the bill and signed by the contractor and site in-
charge in every page of the bills. The bill must contain the dates of commencement
and completion of the work.

A separate sheet containing the test report / checking report & report of Servicing of
Alternators for which the bill is charged shall also be attached alongwith the bill duly
certified by contractor and verified by exchange incharge TM and certified by SDE
Incharge and countersigned by DE.


34. EARNEST MONEY DEPOSIT

   EMD money should be deposited with the tender document in the shape of receipt
   issued by AO(Cash), O/O the GMTD, Silchar against the cash payment of EMD
   amount or Demand Draft for EMD amount in favour of AO (Cash), O/O the
   GMTD, BSNL, Silchar drawn on any Nationalised Bank payable at Silchar.

35. SECURITY DEPOSIT

35.1 The successful tenderer will be required to pay a security money at 10% of the
     tendered amount at the time of executing the agreement with the Nigam as
     performance guarantee. The EMD paid along with the tender shall be treated as
     part of the security deposit and balance amount of the security deposit shall be
     paid in the form of Demand Draft drawn on any Nationalised Bank payable at
     Silchar in favour of Accounts Officer (Cash), O/O GM, BSNL, Silchar. The
     balance security deposit is also payable in the form of Bank Guarantee Bond for
     equivalent amount, issued by any Nationalised Bank in favour of Accounts
     Officer (Cash), O/O the GMTD, Silchar payable at Silchar valid for the period of
     1 years from the date of agreement , which may be extended subject to
     satisfactory execution of the contract or any alternative way at the discretion of
     GM. BSNL, Silchar.

35.2 No interest will be paid on the Security Deposit while it is in custody of the
    Nigam

36. Rejection of Tenders :-

  The GM, BSNL, Silchar reserves the right to accept or reject any or all tenders
  without assigning any reason whatsoever.

  (b) Consideration of any tender not supported by the requisite earnest money
      deposit in the manner as mentioned in the tender document.
  (c) Consideration of any tender deficient or incomplete in any of the requisite
      matter, particulars or formalities or for any reason which shall not be
      disclosed to the tenderers
  (d) Consideration of any tender / offer which change the terms and conditions
      (other than those envisaged in the contract document sold), altered
      constructions, specifications or time limits set.

   (e) Any or all the tenders received without assigning any reason thereof and will
       not be validity bound to accept the lowest tender

37. Validity :-

38.1 Tenders submitted by tenderers will remain valid for acceptance for a period of
     three months from date of opening of the tender
38.2 The tender shall remain valid normally for period of one year from the date of
issue of work order.

38.3 The bids will normally be finalized within three months from the date of tender.


39 AMC OF E/A

Servicing of E/A shall be made after completion of 180 Hours Engine run or 6 months
which ever earlier . However checking testing & sttending fault of engine , Electric
alternator & AMF panel shall be made on monthly basis.


40. HISTORY SHEET
History sheet is to be maintained and attached with the Bill in all times.
          (a) Name of the Engine Alternator.
          (b) Engine No. & Capacity in KVA.
          (c) Date of Purchase.
          (d) Date on which warranty was expired.
          (e) Consumption of Diesel oil per hour with (stand by D.Oil in the reserver)
41.WORKMAN’S COMPENSATION
In every case in which by virtue of the provisions of section 12 sub section
    (i) of the workman‟s compensation act, 1923 compensation to a workman
        employed in execution of the servicing works shall be given recover from the
        contractor the amount of the compensation so paid and without prejudice to
        the rights of the Dept. under section 12 sub-section

    (ii) of the said act. BSNL shall be at liberty to recover such amount of any part
        thereof by deducting it from the security deposit or from any sum due by Dept.
        to the contractor whether under this contract or otherwise dept. shall not be
        bound to contest any claim made against it under section (i) of the said, Act,
        except on the written request of the contractor and upon his giving to dept. full
        security for all cost for which dept. might become liable in consequence of
        contesting such claim.

42.0 LABOUR WELFARE.

42.1 Labour Welfare measures and workman compensation

42.1.1 Obtaining licence before commencement of work.

              The contractor shall obtain a valid labour licence under the Contract
              Labour (H&A)Act,1970 and the Contract Labour (Regulation and
              Abolition) Central rules 1971, before commencement of the work, and
              continue to have a valid licence until the completion of work. The
              contractor shall also abide by the provisions of the Child Labour
              (Prohibition and regulation ) Act 1986. Any failure to fulfill the
              requirement shall attract the penal provisions of the contract arising out
              of the resultant non- execution of work
42.1.2       Working Hours

42.1.3 Normally working hours of an employee should not exceed 8 hours a day. The
       working day shall be so arranged that inclusive of interval for rest, if any , it
       shall not spread over more than 12 hours on any day.
42.1.4 When a worker is made to work for more than 8 hours on any day or for more
       than 48 hours in any week he shall be paid over time for the extra hours by the
       contractor put in by him.
42.1.5 Every worker shall be given a weekly holiday normally on a Sunday, in
       accordance with the provisions of Minimum Wages (Central) Rules 1960, as
       amended from time to time, irrespective of whether such worker is governed by
       the Minimum Wages Act or not.

42.1.6 Where the minimum wages prescribed by the government, under the Minimum
       Wages Act, are not inclusive of the wages for the weekly day of rest, the worker
       shall be entitled to rest day wages, at the rate applicable to the next preceding
       day, provided he has worked under the same contractor for a continous period of
       not less than 6 days.

42.1.7 Where a contractor is permitted by the Engineer-in-charge to allow a worker to
       work on a normal weekly holiday, he shall grant a substituted holiday to him for
       the whole day, on one of the five days, immediately before or after the normal
       weekly holiday, and pay wages to such worker for the work performed on the
       normal weekly holiday at the overtime rate.

42.2 Display of Notice Regarding Wages Etc.

             The contractor shall , before he commences his work on contract, display
             and correctly maintain and continue to display and correctly maintain, in a
             clear and legible condition in conspicuous places on the work, notices in
             English and in local Indian languages spoken by the majority of the
             workers, giving the minimum rates of the wages fixed under minimum

            wages Act, the actual wages being paid, the hour of work for which such
            wage are earned, wages and other relevant information.


42.3      Payment of Wages.

42.3.1 The contractor shall fix wage periods in respect of which wages shall be
       payable.
42.3.2 The wages of every person employed as contract labour in an establishment or
       by a contractor, where less than one thousand such persons are employed, shall
       be paid before the expiry of seventh day and in other cases before the expiry of
       tenth day after the last day of the wage period in respect of which the wages are
       payable.
42.3.3 Where the employment of any worker is terminated by or on behalf of the
       contractor, the wages earned by him shall be paid before the expiry of the
       second working day from the date on which his employment is terminated.
42.3.4 All payment of wages shall be made on a working day at the work premises
       and during the working time and on a date notified in advance and in case the
       work is completed before the expiry of the wage period, final payment shall be
       made within 48 hours of the last working day.
42.3.5 Wages due to every worker shall be paid to him direct or to other person
       authorised by him in this behalf.
42.3.6 All wages shall be paid in current coin or currency or in both.

42.3.7 Wages shall be paid without any deductions of any kind except those specified
by the central government by general or special order in this behalf or permissible
under the payment of wages Act 1956.
42.3.7 A notice showing the wages period and the place and time of disbursement of
       wages shall be displayed at the place of work and a copy sent by the contractor
       to the Engineer-in-charge under acknowledgement.

42.3.8 It shall be the duty of the contractor to ensure the disbursement of wages in
       presence of the site Engineer-in-charge who will be required to be present at
       the place and time of the disbursement of wages by the contractor to workmen.

42.3.9 The contractor shall obtain from the site Engineer or any other authorised
       representative of the Engineer-in-charge, as the case may be, a certificate under
       his signature at the end of the entries in the “Register of wages “ or the “wage-
       cum-muster Roll”, as the case may be, in the following form:-

              “certified that the amount shown in the column No………….. has been
              paid to the workmen concerned in, my presence on………..at………”

42.4 Fines and deductions, which may be made from wages

42.4.1 The wages of a worker shall be paid to him without any deduction of any kind
       except the following:-
              (a)    Fines
              (b)    Deductions for absence from duty i.e. from the place or the places
                     where by the terms of his employment he is required to work.
                     The amount of deduction shall be in proportion to the period for
                     which he was absent
              (c)    Deductions for damage to or loss of goods expressly entrusted to
                     the employed person for custody, or for loss of money or any
                     other deductions which he is required to account, where such
                     damages or loss is directly attributable to his neglect or default.
              (d)    Deduction for recovery of advances or for adjustment of
                     overpayment of wages, advances granted shall be entered in a
                     register.
              (e)    Any other deduction, which the central government may from
                     time to time allow.

42.4.2 No fines should be imposed on any worker save in respect of such acts and
       omissions on his part as have been approved of by the labour commissioner.

42.4.3 No fine shall be imposed on a worker and no deduction for damage or loss
       shall be made from his wages until the worker has been given an opportunity of
       showing cause against such fines or deductions.

42.4.4 Every fine shall be deemed to have been imposed on the day of the act or
       omission in respect of which it was imposed.

42.5. Labour records

42.5.1 The contractor shall maintain a Register of persons employed on work on
               contract in form XIII of the Contract Labour (R & A ) Rules 1971.
42.5.2 The contractor shall maintain a Muster Roll register in respect of all workmen
               employed by him on the work under contract in form XVI of the CL
               (R&A) Rules 1971.
42.5.3 The contractor shall maintain a Wage Register in respect of all workmen
       employed by him on the work under contract in form XVII of the CL (R & A)
       Rules 1971.
42.5.4 Register of accidents- The contractor shall maintain a register of accidents in
       such form as may be convenient at the work place but the same shall include
       the following particulars:
                      a) Full particulars of the labourers who met with accident.
                      b) Rate of wages.
                      c) Sex
                      d) Age
                      e) Nature of accident and cause of accident
                      f) Time and date of accident

                     g) Date and time when admitted in hospital
                     h) Date of discharge from the hospital
                     i) Period of treatment and result of treatment
                     j) Percentage of loss of earning capacity and disability as
                        assessed by medical officer

                     l) Date of payment of compensation
                     m) Amount paid with details of the person to whom the same was
                        period
                     n) Authority by whom the compensation was assessed
                     o) Remarks.

42.5.5 The contractor shall maintain a Register of Fines in the form XII of the CL (R
       & A) Rules 1971 The contractor shall display in a good condition and in a
       conspicuous place of work the approved list of acts and omission for which
       fines can be imposed.

42.5.6 The contractor shall maintain a Register of Deductions for damage or loss in
       form XX of the CL (R & A) Rules 1971.

42.5.7 The contractor shall maintain a Register of advances in form XXIII of the
       CL(R & A) Rules 1971.

42.5.7.1.1 The contractor shall maintain a Register of overtime in form XXIII of the
              CL (R & A) Rules 1971.

42.6 Attendance card-cum wage slip
42.6.1 The contractor shall issue an Attendence card cum wage slip to each workman
             employed by him.

42.6.2 The card shall be valid for each wage period.

42.6.3 The contractor shall mark the attendance of each workman on the card twice
       each day, once at the commencement of the day and again after the rest
       interval, before he actually starts work.

42.6.4 The card shall remain in possession of the worker during the wage period under
       reference.

42.6.5 The contractor shall complete the wage slip portion on the reverse of the card at
       least a day prior to the disbursement of wages in respect of the wage period
       under reference.

42.6.6 The contractor shall obtain the signature or thump impression of the worker on
       the wage slip at the time of disbursement of wages and retain the card with
       him.

42.7 Employment Card
            The contractor shall issue an Employment Card in the form XIV of CL
           (R&A) Rules 1971 to each worker within three days of the
           employment of the worker.

42.8     Service certificate
            On termination of employment for any reason whatsoever the contractor
            shall issue to the workman whose services have been terminated, a
            service certificate in the form XV of the CL (R&A) Rules 1971.


42.9         Power of labour officer to make investigations or enquiry
             The labour officer or any person authorised by the central government
             on their behalf shall have power to make enquiries with a view to
             ascertaining and enforcing due and proper observance of fair wage
             clauses and provisions of these Regulations. He shall investigate into
             any complaint regarding the default made by the contractor in regard to
             such provision.

42.10        Report of investigating officer and action thereon
             The labour officer or other persons authorised as aforesaid shall submit a
             report of result of his investigation or enquiry to the Engineer-in-charge
             indicating the extent, if any to which the default has been committed
             with a note that necessary deductions from the contractor‟s bill be made
             and the wages and other dues be paid to the labourers concerned. The
             Engineer-in-charge shall arrange payment to the labour concerned
             within 45 days from the receipt of the report from the labour officer or
             the authorised officer as the case may be.

42.11        Inspection of Books and Slips.
             The contractor shall allow inspection of all the prescribed labour records
             to any of his workers or to his agent at a convenient time and place after
             due notice is received or to the Labour Officer or any other person,
             authorised by the Central Government on his behalf.

42.12        Submission of Returns
             The contractor shall submit periodical returns as may be specified from
             time to time.

42.13 Amendments.
           The Central Government may from time to time add to or amend the
           regulations and on any question as to the application / interpretation or
           effect of those regulations.

42.14        INSURANCE:

42.14.1     Without limiting any of his other obligations or liabilities, the contractor
            shall, at his own expense, take and keep comprehensive insurance
            including third party risk for the plant, machinery, men, material etc.
            brought to the site and for all the work. The contractor shall also take
            out workmen‟s compensations insurance as required by law and under
            take to indemnify and keep indemnified the Government from and
            against all manner of claims and demands and losses and damages and
            cost ( including between attorney and client ) charges and expenses that
            may arise in regard the same or that the BSNL may suffer or incur with
            respect to and / or incidental to the same . The contractor shall have to
            furnish originals and /or attested copies as required by the BSNL of the
            policies of insurance taken within 15 days of being called upon to do so
            together with all premium receipts and other papers related thereto
            which the BSNL may require.

43.0 PENALTY FOR DELAY IN COMPLETION.

43.1 The time allowed for completion of awarded works as entered in the work order
    shall be strictly adhered by the contractor and shall be deemed to the most
    important aspect of the contract on the part of the contractor and shall be
    reckoned from the 3rd day after receipt of work order by the contract. The work
    shall throughout the stipulated period of contract, be proceeded with all due
    diligence to achieve the works targeted uniformly and the contractor shall pay
    the penalty an amount equal to 1.5 (one and half) percent of the amount of the
    tender awarded for every one week delay in completion of work provided always
    that the entire amount of penalty to be paid under the provisions of this clause
    shall not exceed 10 (ten) percent of the cost of the tender awarded.

43.2 The GM reserves the right to cancel and terminate this contract at any time after
    commencement of the work if in his judgment the work is being performed
    improper.

43.3 Penalty for delay in completion of awarded Work shall be recoverable from the
   bills of the contractor and / or any adjustment from the security deposit at the
   discretion of the GM. However adjustment from security deposit will be made
   execution of this contract be suspended by force majure then a corresponding
   extension of the completion date shall be automatically granted. The occurrence
   of a cause majure however shall not relieve the BSNL and its obligations to make
   payments to the contractor for the works satisfactorily executed prior thereto. The
   terms force majure as employed harein shall mean act of God, War declared or
   Undeclared, Hostilities Enemy action, Revolts, Riots, Legal look outs and Illegal
   strikes, Tidal wave, forest fire , major flood, Explossions, Earthquake Epidemics,
   Sabotage, Extra-ordinary act and regulations of central or state Govts. Or
   municipal bodies. Upon the occurrence of such cause and its termination, the
   party rendered unable as aforesaid shall notify the other party in writing within

    seventy two hours, of the beginning and ending dates giving full particulars and
    evidence, if required.



44 FINAL ACCEPTANCE

    Upon satisfactory completion of all the works provided for in the contract
    documents, the GM shall notify the contractor in writing on his final acceptance
    of the work. The contractor shall be required to correct all defects which become
    evident at any time prior to final acceptance of the contractor‟s work by the GM,
    BSNL, Silchar


45.0 Compliance With Laws & Regulations :

45.1 During the performance of the works the contractor shall at his own cost and
     initiative fully comply with all applicable laws of the land, all applicable bye-
     laws, Rules, Regulations and orders and any other provisions having to force of
     law made or promulgated / deemed to be promulgated by the Govt., Govt.
     agency or Department, municipal Board or other authorized body.
45.2 The contractor will have to comply with all necessary provisions of workmen‟s
     compensation act, acts and laws related to labour Welfare and fair wage and to
     have valid license for engaging labourers until the completion of the work.


46. Force Majeure Clause

46.1 If any time during the continuance of this contract , the performance in whole or
     in part by either party of any obligation under this contract be prevented or
     delayed by reasons of
    Any war or hostility,
    Acts of the public enemy , civil commotion, sabotage, explosions,
    Affects of floods, epidemics, quarantine restriction,
    General strikes and bandh
    On acts of God (however, not on account of any festival) hereinafter referred to
       as event, neither party shall be reasons of such event to entitle to terminate this
       contract nor shall either party have any claim for damages against the order in
       respect of such non performance or delay in performance provided notice of
       happening of any such event is given by the either party to the other within
       seven (7) days from the date of occurance on the event

46.2 Work and deliveries under this contract shall resume as soon as practicable after
     such event come to an end or cease to exist. The decision of the Department as to
     whether the situation has become normal or not, shall be final and conclusive.

47.3 However, if the performance as a whole or a part of it under this contract is
    prevented or delayed by reason of any such event for period exceeding sixty (60)
    days, either party may at his / their option terminate the contract.

47. Protection of Life & Property and Existing Facilities :

     The contractor will be fully responsible for taking all possible safety precaution
     during preparation for and actual performance of the works, and for keeping the
     construction site in a reasonable safe condition. The contractor shall protect all
     the life and property from damage or losses from his construction operation and
     shall minimize the disturbance and inconvenience to the public

47 DISPUTE AND ARBITRATION

    All, disputes, difference and questions arising out of or incidental to this contract
    or in way touching or concerning this contract or the subject matter thereof or the
    respective rights, duties or liabilities of the parties in respect of this contract
    (except the decision whereof here in before otherwise expressly provided for )
    shall be referred to the sole arbitration of the GM BSNL, Silchar SSA or in case
    his designation is changed or his office is abolished , the sole arbitration of any
    person who could be entrusted with the functions of the GM, BSNL, Silchar. The
    decision of the GM, BSNL, Silchar will be final one.
