SCREENWRITER EMPLOYMENT AGREEMENT (FOR MORE THAN 1 WRITER) [This contract is for a collaboration between two or more. BETWEEN: [NAME OF PRODUCTION COMPANY] a body corporate incorporated under the laws of _______ / a partnership consisting of _____________ [revise to fit the circumstances] (“Producer”) - and - [NAME OF SCREENWRITER] an individual resident in the City of ______, _______ (“Writer”) THIS AGREEMENT WITNESSES that in consideration of the mutual covenants and agreements contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which is acknowledged, the parties agree as follows: 1. Engagement of Writer Subject to Section 3 (Conditions Precedent) of this Agreement, Producer hereby engages Writer to perform writing services for a proposed motion picture project currently entitled “_______________” (the “Picture”), [add the following if applicable: based on an original story of the same title by ________________________ [name of author] / based upon a treatment of the same name supplied by Producer (“Basic Property”)]. Writer shall perform such writing services in collaboration with _____________ [name of other writer], pursuant to an agreement dated __________ [insert date] between _____________ [name of other writer] and Producer. Writer and _____________ [name of other writer] are hereinafter collectively referred to as the “Writing Team”. All compensation to be paid under this Agreement is compensation solely for the services of Writer. Compensation for _____________ [name of other writer] is set forth in _____________ [name of other writer]’s agreement with Producer. 2. Product The completed results of Writer’s services hereunder shall be collectively referred to herein as the “Product” and individually as a “Product Form”, and shall be created as follows: First draft screenplay with option for one (1) revision/draft thereof and dependent option for one (1) polish. 3. Commencement of Services Writer shall commence performance of the services upon execution of this Agreement, [add if applicable: and upon Producer becoming a signatory of the Writers Guild of America (“WGA”).] Writer shall commence writing each subsequent Product Form on a date to be determined by Producer, which date may be earlier, but shall not be later, than the first (1st) business day after expiration of the then current Reading Period or Option Period (as hereinafter defined), as the case may be. 4. Performance of Services (a) Writer will render all services reasonably required by Producer, as, when and where reasonably required by Producer, in providing the writing services hereunder, and will comply with all -2- reasonable directions, requests, rules and regulations of Producer in connection therewith, whether or not the same involve matters of artistic taste or judgment. (b) Writer shall render the services promptly in collaboration with _____________________ [name of other writer] in a diligent, conscientious, artistic and efficient manner. Writer shall devote all of his/her time and attention and best talents and abilities to the services to be rendered hereunder, and shall not render services for any other party during the period of Writer’s engagement. (c) Writer shall, during the term of this Agreement as and when reasonably requested by Producer, consult with Producer’s duly authorized representatives, and shall be available for conferences with such representatives for such purposes and at such times and places as may be required by such representatives. 5. Time Requirements Writer’s services shall be rendered pursuant to the following time requirements: (a) Delivery Periods. Writer shall deliver each Product Form within the period commencing on the date Writer is obligated to commence writing such Product Form and ending upon expiration of the applicable time period set out in sub-clause (e) of this Section (“Delivery Period”). (b) Reading Periods. For each Product Form delivered by Writer, if Writer’s engagement herein requires additional writing services, Producer shall have a period (“Reading Period”) commencing on the first (1st) business day following the delivery of such Product Form and continuing for the applicable length of time set out in sub-clause (e) hereof, within which to read such Product Form and advise Writer to commence writing the next Product Form. (c) Postponement. Notwithstanding that Producer does not exercise its right within the applicable Reading Period to require Writer to commence writing either the first set of revisions or the polish, Producer may require Writer to render such services at any time within one (1) year following delivery of the immediately preceding Product Form, subject to Writer’s availability, and provided: (i) Writer’s services are to be rendered during the said 1-year period, and (ii) Producer shall furnish Writer with thirty (30) days’ prior written notice of the date designated for the commencement of such services, and (iii) Producer has paid Writer in a timely manner for the postponed Product Forms if those services were rendered in a timely fashion. (d) Option Periods. Each option (“Option”) to be exercised under sub-clause (e) hereof (if any) shall be exercised by notice in writing within the period (“Option Period”) commencing on the first (1st) business day following the delivery of the Product Form immediately preceding that for which an Option may be exercised, or upon the expiration of the Delivery Period applicable to such Product Form, whichever is later, and continuing for the applicable length of time listed in sub- clause (e) hereof. (e) Lengths of Periods. The lengths of Delivery, Reading and Option Periods shall be as follows: (i) First Draft: Delivery Period for First Draft shall be _________________. Reading and Option Periods for First Draft shall be ________________. (ii) First Revision/Second Draft: Delivery Period for First Revision/Second Draft shall be _________________. Reading and Option Periods for First Revision/Second Draft shall be ________________. (iii) Polish: Delivery Period for Polish shall be _________________. Reading and Option Periods for Polish shall be ________________. -3- 6. Delivery (a) Effective Delivery. Delivery of a Product Form to any person other than _________________________ [name of authorized representative of Producer] shall not constitute effective delivery of such Product Form as required by this Agreement. (b) Time of Essence. Writer shall write and deliver each Product Form required hereunder as soon as reasonably possible after commencement of Writer’s services thereon, but not later than the date upon which the applicable Delivery Period expires. Time of delivery is of the essence. (c) Revisions. For each Product Form which is in the nature of a Revision, Writer’s services shall include the writing and delivery of such changes as may be required by Producer within a reasonable time prior to the expiration of the Delivery Period applicable to such Product Form. 7. Compensation (a) Fixed Compensation. Conditioned upon Writer’s full performance of his/her obligations hereunder, Producer shall pay Writer the following fixed compensation for Writer’s services and all rights granted by Writer hereunder: (i) For First Draft: $___________, payable one-half upon commencement thereof and one- half upon delivery. (ii) For First Revision/Second Draft: $___________, payable one-half upon commencement thereof and one-half upon delivery. (iii) For Polish: $___________, payable one-half upon commencement thereof and one-half upon delivery. (b) Bonus Compensation. In addition to the Fixed Compensation set out in sub-clause (a) hereof, and subject to the production and sale or release of the Picture, and subject to Writer not being in material default hereunder, Writer shall also be entitled to receive bonus compensation as follows: (i) If the Writing Team receives sole or shared screenplay credit pursuant to final WGA credit determination, Writer shall be entitled to receive Bonus Compensation in the sum of $_______, less the aggregate of all sums paid to Writer pursuant to sub-clause (a) hereof, which sum shall be payable upon commencement of principal photography. (ii) If Bonus Compensation is paid to Writer in accordance with sub-clause (b)(i) above, and if the Writing Team receives neither sole screenplay credit nor shared screenplay credit pursuant to final WGA credit determination for the Picture, Writer shall repay to Producer all Bonus Compensation paid to Writer within five (5) days of such determination. (c) Contingent Compensation. In addition to the Fixed Compensation and any Bonus Compensation payable under sub-clauses (a) and (b) above, and subject to the production and sale or release of the Picture, and subject to Writer not being in material default hereunder, Writer shall be entitled to receive contingent compensation as follows: (i) If the Writing Team receives sole screenplay credit pursuant to final WGA credit determination, Writer shall be entitled to receive as Contingent Compensation an amount equal to ____ percent of one hundred percent (___% of 100%) of the Net Profits of the Picture. (ii) If the Writing Team receives shared screenplay credit pursuant to final WGA credit determination, Writer shall be entitled to receive as Contingent Compensation an amount equal to ____ percent of one hundred percent (___% of 100%) of the Net Profits of the Picture. -4- “Net Profits” shall be computed, determined and paid in accordance with the definition of net profits defined in the distribution agreements entered into by Producer and the distributor of the Picture, provided that Writer’s position with respect to same shall be as favorable as any other net profit participant.
