                                              SECTION I
                                INSTRUCTIONS TO TENDERERS
1.0   General Instructions
1.1   Essar Oil Limited(EOL) is an “Operator” for the Assam block AA-ONN-2004/3 which
      was awarded by Government of India in NELP-VI. The AA-ONN-2004/3 block,
      comprising an area of 1252 km2, lies in North of Brahmaputra River in the state of
      Assam, India. EOL as an Operator will be completing the 2D Seismic data Acquisition
      of around 400 LKM by mid March of 2010. EOL is inviting tender for 2D seismic data
      processing of around 400 lkm in this block.
1.2   EOL desires to hire contractual services for 2D Land seismic data processing from
      experienced and capable bidders fulfilling the criteria laid down in this tender
      document, with his equipment/hardware-software, personnel, all kinds of materials,
      stores and other supporting services.
1.3   Tender document will be issued by EOL in the name of the bidder and is non- transferable.

1.4   Bidders must review the Schedules to the Draft Agreement and ensure that they can
      supply all the necessary items, infrastructure and personnel to fully support the
      processing project and achieve the given objectives of the scope of work. Any
      deviation or substitution may be highlighted on a separate statement.
1.5   Bidder must carefully go through the Draft Agreement before filling the Commercial
      part. Any exceptions pertaining to clauses affecting prices or costs either way must
      be clearly stated.
1.6   Once a bid is submitted no changes will be permitted except if a clarification is sought
      by EOL.
1.7   EOL will in no case be responsible or liable for the costs associated with the
      preparation and submission of bid regardless of the outcome.
1.8   EOL reserves to itself the right to withdraw from the tendering process if the bids
      received are found unacceptable on a techno-commercial evaluation.


2.0   Specific Instructions
2.1   The bidder's response acknowledgment form must be completed and returned within
      three (3) days of receipt of bid package.
2.2   Bidders must seek clarifications on the tender document not later than five days from
      the receipt of bid package; EOL shall provide additionally requested information at its
      own discretion.
2.3   The successful bidder shall be required to execute a contract on non-judicial stamp
      paper of requisite value within 30 days from the issue of LOI. For this purpose the

      bidder shall depute their authorized representative along with power of Attorney in
      favor of the signatory. Terms and conditions of the proposed contract shall be as per
      draft agreement attached herein.
      The date of issue of Letter of Intent (LOI) will be treated as effective date of contract,
      irrespective of date of signing of contract. However, EOL payment obligations etc.
      shall accrue from commencement date of the contract
      EOL reserves the right to increase or decrease the total quantum of work against this
      tender by a maximum of 20%.
2.6   EOL reserves to itself the right to reject, accept or prefer any bid without having to
      assign any reason thereof.
2.7   The ultimate basis of agreement for the reprocessing services is the enclosed Draft
      Agreement in Section III, also referred to as the Binding Contract. By tendering an
      offer to supply the 2D seismic processing, tenderer accepts the terms of this
      Invitation to Tender, unless otherwise specified. Agreed terms will be included in the
      Binding Contract.
2.8   The draft agreement contains the schedules on scope of work and technical
      specifications that will form a part of the Binding Contract.
3.0   Duration of Contract
3.1   The contract shall initially be for a period required to complete the quantum of work
      indicated in Schedule-4 to the Agreement of these areas. The quantum of work is to
      be completed, within 90 days from the start of work. In case of increase or
      decrease in the quantum of work as the case may be, this period shall be
      increased or decreased suitably with the consent of EOL.
4.0   Experience of Bidders:
4.1   Bidder Processing Centre must have a minimum of 5 years experience of minimum
      30000 LKM of 2D seismic data processing with satisfactory performance and
      achievement.
      The bidder should give details of his experience in the Performa appended with the
      tender document, about processing of 2D seismic data. Annexure-3.
5.0   Identification of Equipments, Instruments, Hardware & software etc.
5.1   The bidders are requested to provide list of equipment, Hardware-Software details
      and other services they would use for undertaking data processing.
6.0   Documents to Be Submitted With Technical Bid
6.1   Bidder shall furnish the following details in technical part of the bid ;
      Copies of original document duly notarized defining the constitution or legal status of
      the bidder, place of registration and principal place of business and in case of a joint
      venture or foreign collaboration such details for each party thereto constituting the
      bidder.

      Details of experience and past performance of the bidder on work done of a similar
      nature in the past 5 years and details of current work in hand and other contractual
      commitments, indicating current projects and clients.
      Name of signatory on Tender, his title/designation and address. Names and
      signatures of those authorized to act on signatory's behalf, countersigned by
      signatory.
      Bio-data including qualification and experience of key personnel.
      Reports of financial standing of the bidder (or of each party to a joint venture), such
      as profit and loss statements, balance sheets and auditors reports for the past three
      years.
      Information regarding any current litigation in which the bidder is involved.
      Latest Income tax clearance certificate in case of Indian bidders.
      Confirmation to accept liability for all taxes and duties.


7.0   Instructions for Filling Bids
7.1   Tender document shall be filled complete in all respects and shall be submitted
      together with requisite information and appendices. Tender will be complete and free
      from any ambiguity, change or interlineations. When some of the items are not being
      bid for, the corresponding space in the statement showing the schedule of rates
      should be filled by words "not quoting".
7.2   The bidders bid and any annotation or accompanying documentation shall be in
      English language. However, any printed literature may be written in another
      language provided it is accompanied by an English translation of its pertinent
      passages, in which case English translation shall govern.
7.3   The power of attorney or authorization or any other document constituting adequate
      proof of the powers of the signatory to bind the bidder, shall be annexed to the bid.
      EOL may reject any bid unsupported by adequate proof of the signatory‟s authority.
7.4   The performance Guarantee shall be furnished by the main bidder.
7.5   The bidder shall sign, its proposal with the exact names of the entity to whom the
      contract is to be awarded. Each page of the bid shall be duly signed and sealed by
      an authorized officer of the bidder‟s organization.
7.6   Bidder will submit the Bid package in its entirety and no alterations will be made to
      the documents or the wording therein. The bid package will be signed by a duly
      authorised Officer or Representative of the Company.


8.0   Submission and Opening Of Bids
8.1   Except if a clarification is sought by EOL, no bid shall be modified subsequent to the
      closing date for submission of bids.

8.2   Bids or modifications to bid received after the closing date shall not be considered. In
      case certain clarifications are sought by EOL after opening of tender, then the reply
      of the bidder should be restricted to the clarifications sought. Any bidder who
      modifies his bid (including a modification altering the value of this offer), after the
      closing date shall make himself liable to be debarred from the tender without notice
      and without further reference to the bidder.
8.3   For this tender two part bid system is followed, separate sections shall be submitted
      for all relevant and sought-for Technical details and for the commercial terms of offer
      and deviations, if any, including the price schedule for the Work Programme. Bidders
      are also requested to give total estimated cost for the given Scope of Work at their
      rates. The envelopes shall be sealed and marked "Strictly Confidential" state the
      "Name of the Bidder", "Tender Number" and state "Not to be opened by Mail
      Room".
8.4   The bid shall be sent to the EOL at the following address:

8.5   Bid shall be sent by registered post or submitted in the office of EOL so as to reach
      the above address on or before 17.00 hrs IST of date 10th January 2010.


8.6   Bid must also be uploaded on Company’s website as online submission.
      Company may opt for e-bidding in this tender. Company will intimate the
      bidders well in advance of the bidding date and time and will insure proper
      understanding of the e-bidding process to all qualified bidders.
8.7   The bids will be evaluated by EOL based on the information asked in this tender and
      those submitted by the bidder. EOL may at its discretion ask the bidder for a
      clarification of its bid for evaluation and comparison of bids. The request for
      clarification and response should be in writing and no change in the price or
      substance of the bid shall be permitted unless asked for by EOL in writing.
8.8   Telefax/Email offers whether received directly by EOL or submitted by the local
      agents shall not be considered.
8.9   The bid must be kept valid for four months from the date of its opening. In
      exceptional circumstances EOL may solicit the bidders consent to an extension of the
      period of validity. The request and the responses there to shall be made in writing by
      email / fax / telex.

8.10 EOL reserves the right to extend the bid submission deadline.
9.0    Not Used
10.0 Performance Bank Guarantee
10.1 Bidder shall furnish to EOL within 15 days of LOI date, a performance security in the
     form of bank guarantee from an Indian nationalized bank / reputed foreign bank for a
     sum equivalent to 10 (ten) % of total estimated Contract value as per the template
     enclosed as Annexure 4 of this bid document. This bank guarantee / performance
     bond shall be drawn in favour of EOL and shall be valid upto date three months
     beyond the last date of initial period of the contract or any extension thereof.
11.0 Price
11.1 Bidders shall give unconditional validity of the bid for four months from date of closing
     of bids.
11.2 The bidders are to quote firm price as per the price Performa at Schedule-5
     "Compensation and Pricing". They must bid in United States Dollars (US $).
12.0 Price Evaluation
12.1 Bidders shall set their prices / rates in firm figures and without any qualification. Each
     figure shall also be repeated in words and in the event of a discrepancy between the
     amount stated in the figures and words, the rates quoted in words shall be deemed to
     be the correct amount. Bid containing qualifying expressions „subject to minimum
     acceptance‟ „subject to immediate acceptance‟; „subject to prior commitment‟ etc. will
     be disqualified.
13.0 Evaluation and Comparison of Bids
13.1   Queries
       The queries may be listed separately as Technical Query and Commercial /
       Contractual / Legal Query in two separate listing with the bid.
13.2    Technical
       To assist in the technical evaluation of bids, EOL may at its discretion, ask a bidder
       for clarifications. The clarifications and the response shall be in writing. After opening
       the bids, the bid document submitted by each bidder will be examined. Any bid,
       which does not meet the technical requirements set forth in the tender document, will
       be rejected.
13.3 Commercial
       EOL will evaluate and compare all technically acceptable bids on the basis of the
       price format as per Schedule - 5 "Compensation and Pricing” of the tender document
       and the exceptions and deviations to the Draft Agreement. To facilitate evaluation
       and comparison of the bids, bidders are requested to state their bid price strictly in
       accordance with the price format as per Schedule - 5 "Compensation and Pricing" of
       the tender document. EOL may reject any bid where the pattern of price indicated
       varies from the format.

14.0 Not Used
15.0 Payment
15.1 Normally payment of the Invoices of the Contractor shall be made within 45 (forty-
     five) days from the date of receipt of Invoice by EOL of the undisputed amount of
     Invoice. The disputed amount shall be paid within 45 (forty-five) days from the date
     of dispute (due to which the payment was not made) has been settled.


16.    Liquidated Damages
16.1   If the Contractor fails to meet the Delivery Schedule as per Schedule-4 of this
       Contract or at any time deny the Contract before completion of the Work then without
       prejudice to any other right or remedy available under the Contract, EOL may recover
       the following amounts from the Contractor and not by way of penalty:
       a) 1% of liquidated damages on Contract price per week of delay of pro-data for part
          thereof for 2D Seismic Data Processing.

16.2   Notwithstanding the above, the aggregate of the liquidated damages levied under
       16.1(a) above shall not exceed ten percent (10%) of the total Contract Price.
16.3   The recovery of liquidated damages pursuant to 16.1 above shall not affect the right
       of EOL to: a) recover damages resulting from Contractor‟s breach of the other
       provisions hereof, b) terminate the Contract or a portion or part of the Work thereof
       without showing any cause thereof to the Contractor, c) seek specific performance, d)
       get the Work done at the risk and cost of the Contractor.
16.4   EOL may, without prejudice to its right to effect recovery by any other method, deduct
       and withhold the amount of liquidated damages from any money belonging to the
       Contractor in its hands (which includes EOL‟s right to claim such amount against
       Contractor‟s bank guarantee) or which may become due to the Contractor. Any such
       recovery of liquidated damages shall not relieve the Contractor from any of its other
       obligations/ liabilities under the Contract.


17.0 Other Instructions and Tender Conditions
17.1 Acceptance of offer by EOL will be communicated by email / letter. In case where
     acceptance is communicated by email / letter, pending signing of formal contract, the
     instructions contained in the fax / letter should be acted upon immediately. With the
     issue of telex / letter of acceptance, the contract shall be deemed to have been
     entered into. Contract shall mean and include all the contents of this tender
     document and the subsequent correspondence on this issue.
17.2 If EOL finds that the job executed is not of the correct quality or according to
     specifications or otherwise not satisfactory owing to any reason, on which the
     decision of EOL shall be final and binding on the Contractor, EOL will be entitled to
     reject the work executed, cancel the contract and procure its services in the market at
     the risk and cost of the Contractor, reserving always to itself the right to invoke the
     performance guarantee / security deposit furnished by the Agreement.

17.3 Contractor shall, upon completion of the Work return all originals and copies of
     maps, documents, drawings, magnetic tapes / cartridges and all other data supplied
     to them or generated by them in connection with the Work to EOL. These are the
     absolute property of EOL.
17.4 Any tender received with less than the prescribed validity period is liable to be
     rejected.
17.5 Payment of taxes such as income tax-corporate as well as personal taxes and any
     other taxes by whatever name called, payable to Government or other bodies is the
     responsibility of the Contractor. However, EOL shall comply with all statutory
     requirements in this regard whilst making payments to the Contractor.
17.6 Offers or modifications of offers received after opening of the tender will not be
     considered.
17.7 The draft agreement, which will be signed with successful bidder (Contractor) is
     enclosed with this bid document. The draft agreement should be signed by the
     bidder on each page, as a token of acceptance of the terms and conditions in case
     the contract is awarded to them.
17.8 Offers providing for escalation of price will be rejected.
17.9 Tender should be forwarded with covering letter as per Annexure-5.

                                 PROJECT INFORMATION

1. Objective


      Geological objective of the processing project is to identify following play types
      Type 1: Faulted / Fractured/ uplifted Basement
      Type 2: Subtle structural closures within Sylhet Formation
      Type 3: Structural closures at Kopili / Barail & Tipam Sand levels
      Type 4: Unidentified amplitude anomalies at shallower levels.


2. Location

   The AA-ONN-2004/3 block, comprising an area of 1252 km2, lies in North of Brahmaputra
   River in the state of Assam, India. The block covers part of Lakhimpur and Dhemaji districts in
   North of Brahmputra river. The block covers pebbles and sandy patches due to the major rivers
   Subansiri, Ranganadi, Simen, Sissi and Gai falling in between of the block. Moreover the block
   lies in the plain area of just in front of the eastern Himalayas. Major towns from Guwahati to the
   block are Baihatha charali, Seepazar Mangaldoi, Rohuta, Dhekiajuli, Tejpur, Lakhimpur and
   Dhemaji

3. Geology of the Area


The North Bank Area of the Upper Assam Basin, situated on the northern bank of the river
Brahmaputra is covered by a vast alluvial tract. Eastern Himalayas and Mishmi Hills mark
the north northwestern and eastern limits of this area; the southern limit is of course marked
by the river Brahmaputra. Essar‟s block AA-ONN-2004/3 in the North Bank area covers
about 1251.81 sq. km. under New Exploration Licensing Policy (NELP-VI) for Exploration &
Production.
The North Bank Area ia s part of orogenic foreland basin falling on the northwestern
periphery of the Upper Assam Basin which evolved in a passive margin setting in its initial
phase of development during Late Cretaceous to Paleogene, under compressional
tectonics during the Neogene,
The Tertiary succession encountered in the five drilled wells in this area encountered
sedimentary sequence of 4500m to 5500m thick. Sylhet, Kopili, Barail, Tipams are the
important formations in the stratigraphic column. Lithologically, the Sylhet Limestone
Formation (Early to Middle Eocene) consists of dominantly shales, calcareous shales with

subordinate calcareous sandstone and thin bands of crystalline limestone overlain by
fossliferous limestone. The youngest Paleogene sequence is represented by the Barail
Formation (Oligocene) conformably overlying the Kopili Formation. The Neogene and
younger sedimentary sequence is made up mostly of sandstones (Tipam, Namsang and
Dhekiajuli formations), thin bands of clays and silt are present as intervening beds.
The reservoir rocks are expected in sands developed within Kopili. Shale of Sylhet and
Kopili are likely source rocks.

                                              DRAFT AGREEMENT


THIS AGREEMENT is made on the ------- day of -----------, 2010 by and between:

ESSAR OIL LIMITED, a company incorporated under the Companies Act 1956, having its registered office at
Khambalia Post, Post Box No. 24, District Jamnagar, Gujarat - 361 305, India (hereinafter referred to as
“Company” or ”EOL”) which expression shall include it‟s successors, administrators, executors and permitted
assignees on the ONE PART;


and

“Contractor” or [-------------]) which expression shall include it‟s successors, administrators, executors and

WHEREAS:

It has been agreed that Contractor shall carry out 2D processing of certain seismic data for EOL.


NOW THEREFORE in consideration of the premises and of the mutual covenants herein contained, the
Parties hereby agree as follows:

1        NATURE OF THE WORK
         Contractor shall carry out, at its seismic processing facility in ------------, India with all due diligence
         and        care,   the    input     digital   processing       and        display      of     approximately
         ---------lkms of 2D seismic data and submission of Deliverables as set out in Appendix A(Attached
         Schedules).
         The input data is in SEGD/ SEGY format (Details in Appendix A) which shall be processed as
         specified in Appendix B(Processing Sequence).

2        REVIEW OF THE WORK
         EOL shall have the right to inspect and review Contractor's operations from time to time. Contractor
         shall co-operate with EOL and accept reasonable suggestions made by EOL to the end that EOL's
         desired results may be secured. Contractor, however, shall retain exclusive direction, supervision
         and control of the actual conduct and manner of performance of work.

         Contractor shall provide EOL with a weekly status report by facsimile transmission of progress of
         work performed and other pertinent notations.

3     REPORTS
      Without limiting other provisions of this AGREEMENT, Contractor shall keep EOL fully informed of the
      progress of work.

      Unless expressly provided for elsewhere in this AGREEMENT, Contractor shall promptly deliver to
      EOL or to the person designated by EOL to receive them, all records, data, charts, maps and other
      information as and when they accrue from services or at such other timings as may be specified to
      Contractor by EOL in writing.

      Contractor will submit to EOL within -------- days of EOL's acceptance of Final Project Deliverable a
      written review of work performed (hereinafter called the "PROCESSING REPORT").

      The PROCESSING REPORT content shall include the following information and any other
      commentary or notations hereinafter deemed appropriate by Contractor and EOL.

      (a)     Brief description of the work undertaken.

      (b)     Description of investigations undertaken to determine optimum processing parameters.

      (c)     Description of all techniques used for production processing.

      (d)     Detailed description of techniques used for special processing.

      (e)    Complete listing of all seismic lines processed, with line-start and line-end shotpoint numbers,
      corresponding CDP numbers, length of line in kilometres, and field tape numbers.

      (f)     Conclusions and any recommendations for further processing work.

      (g)     Comments on the quality of data processed and any problems experienced with field data,
      which affected processing performance.

      Appropriate diagrams, pictures should make part of the final processing report.

      Within 15 days of job completion based on the contract between EOL and Contractor as to the
      completeness and accuracy of the preliminary report, Contractor will deliver to EOL two bound copy
      of the final PROCESSING REPORT and 2 soft copies.

4     TIMING OF THE WORK
      The data shall be delivered to Contractor in a phased manner starting from January 2010
      (“DELIVERY DATE”). Contractor shall commence the processing on receipt of the data and complete
      the seismic processing as per the time lines mentioned in Appendix A.

5     INDEPENDENT CONTRACTOR
      Contractor is and at all times shall be an independent contractor with authority to manage, control and
      direct the performance of the processing to be carried out under this Agreement in such manner as it
      shall think fit, subject to the specifications listed in Appendix B and subject to EOL's right to inspect
      the processing at any stage and to define parameters to be used in the processing.

6      PERSONNEL
       For the purposes of the processing to be carried out under this Agreement, Contractor shall provide
       personnel qualified by training and experience. Upon reasonable notice in writing EOL may require
       the replacement of any of the personnel provided under this Agreement but subject to showing good
       reason for such replacement.

7      CONFIDENTIALITY
       During and after the termination of this Agreement and except where required by law Contractor shall
       keep confidential the results of the processing.
       Contractor shall endeavour to ensure that all its employees and representatives shall abide by the
       terms of this provision and except as provided for in this Clause Contractor shall ensure that no third
       party shall have access to the data without the written authorisation of EOL.

8      PATENTS, PERMITS AND APPLICABLE LAWS
       Contractor shall ensure that it holds all necessary patents, permits and licences in respect of any
       device apparatus or method necessary for the proper carrying out of this Agreement and shall comply
       with all conditions thereof except that it shall not be in any way responsible for the violation of the
       terms of any permit or licence obtained by EOL being a term of which Contractor did not know and
       could not reasonably have known.
       Contractor shall defend and settle without cost to EOL and shall indemnify and hold EOL harmless in
       respect to any and all claims and suits for the violation or alleged violation of any patent or patents
       brought against EOL and/or Contractor as a result of the use by Contractor of any patented
       processes or devices.
       Contractor shall throughout the continuation of this Agreement comply with all applicable English
       laws.



9      TERMS OF PAYMENT
       The payment for the work or services to be carried out under this Agreement as per Appendix
       C(Schedule-5).
       Contractor shall raise an Invoice for work performed after completion of reprocessing of data which
       shall be paid by EOL to the account of Contractor specified by Contractor for the purpose hereof
       within forty five (45) days from receipt of invoice by EOL.

10     LIABILITY

10.1   General

       Any claim against Contractor in respect of breach of any of the provisions of this Agreement shall not
       include any claim for loss of profits or contracts and Contractor hereby excludes all liability for loss of
       profits or contracts arising out of breach of any of the provisions of this Agreement.

10.2   Data and Data Tapes

       Contractor shall be liable for damages for loss of or theft of or damage or erasure of any tape or tapes
       belonging to EOL or provided by the EOL or the information contained thereon caused by the
       negligence or misconduct of Contractor its servants or agents whilst such tapes are in the possession
       of Contractor provided always that liability for such loss or theft or damage or injury or erasure shall in

       no circumstances exceed the original costs to EOL, (to be supplied by EOL) of getting data recorded
       or processed on the tape or tapes.




10.3   Other Property and Personnel

       In respect of damage to property of Contractor or to the property of its employees, servants and
       agents or in respect of injury to or death of its employees, servants and agents, Contractor hereby
       agrees to hold EOL, its servants or agents harmless from and agrees to indemnify EOL, its servants
       or agents against all costs, liabilities, claims, damages, charges and expenses whatsoever, arising
       out of such or damage except where such injury or damage is due in whole or in part to the wilful
       default or negligence of EOL its servants or agents.
       Notwithstanding any other provision of this contract neither of the Parties, its affiliates or co-venturers
       (partners) shall be liable to the other for any loss of product, loss of profits, loss of use or other similar
       consequential or indirect loss of any kind incurred by the other Party arising out of the performance of
       the Work (study) (survey).




11     WARRANTY

       Quality work is responsibility of Contractor. If Contractor fails to provide outputs as specified &
       desired as per industry standard than Contractor at its own cost shall carry out the
       corrections/rectifications to deliver the final products.



12     FORCE MAJEURE



       For the purpose of this Agreement any event including civil strife other than caused by the personnel
       employed by the Party seeking to rely on such an event, which is not within the reasonable control of
       either of the Parties shall be deemed to be an event of force majeure, provided that such an event
       causes delay in excess of 7 days of performance of its obligations by either Party.



13     TERMINATION
       This Agreement, with the exception of Clause 7, shall forthwith terminate upon:

       a)      conclusion of the processing operations required to be carried out by Contractor under this
               Agreement and upon payment by EOL of invoices rendered under this Agreement.

       b)      service of notice in writing by either Party to the other in the event of the recipient having a
               receiver or manager appointed of its undertaking or assets or going into liquidation or ceasing
               or threatening to cease to carry on business.

       c)      making default in the performance of any provision of this Agreement without such breach
               being remedied within 10 days of written notice of such breach being given.

       d)      an event of force majeure claimed by the other Party.

14    EFFECTS OF TERMINATION

      Termination under the foregoing clause shall be without prejudice to all outstanding claims, which
      either Party may have against the other but shall not give rise to any further claims.




15    ASSIGNMENT AND VARIATION

      The benefits and obligations of this Agreement are personal to the Parties and may not be assigned
      charged delegated or transferred in any way whatsoever by either party without the written consent of
      the other Party.

      No understanding or representation which would have the effects of altering any term or obligation or
      condition of the Agreement shall bind either Party unless it is incorporated herein. This Agreement
      shall only be amended by written agreement signed by both Parties.

      Any failure on the part of either Party to enforce any provision of this Agreement shall not be
      construed as a waiver of such provision or of a right thereafter to enforce the same.




16    LAW APPLICATION, ARBITRATION AND INTERPRETATION

      This Agreement in all respects shall be governed by and interpreted in accordance with the laws of
      India.

      As between the Parties hereto, any claims, disputes and controversies arising under or in connection
      with this Agreement which cannot be resolved by mutual agreement shall, upon written notice by one
      Party to the other, be submitted to arbitration in accordance with and subject to the procedures of the
      UNICTRALand the rules made thereunder, as amended from time to time. The place of arbitration
      shall be Mumbai or such other location agreed upon by both Parties. The arbitration shall be
      conducted and the award rendered in the English language.

      The decision of the arbitration shall be final and binding upon the Parties and shall be enforceable in
      any court having jurisdiction over the party to be charged.

      The headings herein are provided for convenience only and shall have no effect on the interpretation
      hereof.



17    SERVICE OF NOTICE
      Any notice required or authorised to be given under this Agreement shall be served by prepaid
      registered letter addressed to:

                                          SCHEDULE-1


                  SCOPE OF WORK FOR 2D SEISMIC DATA PROCESSING


EOL as an Operator is acquiring 2D Seismic data in the Assam Block AA-ONN-2004/3.
EOL would like to get the data processed in the shortest time to identify the prospective
areas for further exploration programme.

1.      Scope of the Work

Contractor‟s scope of work includes collection of input cartridges or other data from EOL
premises or from the Acquisition Contractor‟s premises, test processing of the selected data
specified by EOL to determine the final processing parameters. Data Processing technical
specifications and deliverables are given in Schedule-2.

2.      Seismic Data Processing

Contractor has to process around 400 LKM of 2D land seismic data according to the
specifications mentioned in Schedule-2.

The data volume is tentative and might be varied by up to + 15%.

     2.1 EOL reserves the rights to change the processing flow if EOL representatives find no
         significant improvement in the processing results.

     2.2 Contractor is encouraged to familiarize itself with EOL objectives and EOL shall
         provide all the data, documents / report etc in order to achieve a quality output of the
         onshore processing.

     2.3 The entire Work is to be completed as per the Delivery Schedule specified in
         Schedule - 4 of this document. Contractor shall submit a detailed schedule with
         resource loading (manpower, equipment) in support of this.

     2.4 Contractor has to provide the details of the Equipment and key Personnel to be
         deployed for this job as mentioned in Schedule-3. Key Personnel, once accepted by
         EOL, shall not be removed from processing team or substituted without the prior
         written permission of EOL. Further, no equipment substitution shall be made without
         prior approval of EOL.

     2.6 After Processing, the Contractor shall retain the input cartridges and other data /
         technical information provided by EOL for 180 days and then arrange to return
         within 10 days thereafter the original data cartridges along with other data / technical
         information collected from EOL. All Outputs shall be delivered to EOL Premises as
         per the delivery schedule specified in Schedule – 4. Contractor shall be responsible
         for the safe packing, insurance, transportation by air of all the Input data furnished
         by EOL and all the Outputs.

Contractor‟s seismic data processing center must be within India and must be equipped
with all the necessary personnel and hardware/software requirements for the successful
project. Contractor shall propose the data processing center and the details of the
equipment and personnel in Schedule-3. Processing center and Key personnel, once
accepted by EOL, shall not be changed without the prior written permission of EOL.


4.    Input & Output data storage

The input data is in standard SEG D OR SEG Y, demultiplexed formats on Hard-Disks/3592
cartridges. The cartridges will be made available at EOL, Mumbai.

Contractor shall be responsible for any damage to or loss of field cartridges and until such
time as the field cartridges are delivered to EOL‟s Premises after processing.

If any or all of the field cartridges are lost or damaged while in the possession of Contractor
or Contractor‟s agent and if such loss will prevent completion of the computer processing of
any or all of the data, Contractor shall reimburse EOL for all the monetary expenses
involved in obtaining replacement copies of the data, excluding costs associated with data
acquisition.

Contractor shall be responsible for any damage to or loss of the Outputs, while such
Outputs are in the possession of Contractor in the processing centers, in transit between
Contractor‟s processing centers or in transit to EOL‟s Premises after processing is
completed. Contractor, in discharge of any liability incurred by it hereunder, shall reprocess
such damaged or lost cartridges at no cost to EOL.

However, EOL may elect that the data will be stored by Contractor beyond the said 180
days as per the rates set out in Schedule-5. In the event that EOL does not request
storage, then all data will be returned to EOL Premises.

Contractor shall source the output Hard Disks/DVDs from the reputed manufacturer (IBM,
Imation 3M, GM) with manufacturer‟s warranty for the cartridges guaranteeing a minimum
useful life of 7 years, calculated from the date of first use by Contractor for its work.

5.    Commencement of the work

          Contractor shall keep in readiness its processing Equipment and Personnel at its
          DP center mutually agreed by EOL to commence 2D processing latest as per the
          Delivery Schedule given in Schedule-4.


6.    Completion of the work

      5.1 Completion of Work shall be achieved only when EOL certifies that all the Work
          as per the requirements of this project have been completed and notifies
          Contractor in writing accordingly.

      5.2 Contractor shall on completion of the project, deliver to EOL a notice of such
          completion. Within five (5) days of receipt of such notice, EOL shall review the
          Work done and issue a certificate of completion, if the Work done by the
          Contractor is as per the requirements of this tender document. In case the work

         done is not as per the requirements of this document, EOL shall notify the
         Contractor in writing the reasons thereof. Thereafter, Contractor shall take
         necessary action to complete the Work.


7.    Contractor’s responsibilities

      7.1 Contractor shall conduct the seismic data processing in a manner, which will
          assure the processed data of a nature and quality specified by EOL hereunder.
          EOL shall designate its Representative(s) to Contractor in writing, which
          Representative(s) shall be authorised to confirm, clarify or alter any quality control
          parameters specified in Schedule-2.

      7.2 If at any time during the Agreement, any specifications given in schedule-3 are
          not maintained to the satisfaction of EOL‟s Representative, the operations will
          immediately cease upon notice given by EOL and the resulting down time will be
          Contractor‟s account.

IMPORTANT :


The cost of Basic Processing sequence shall include parameter testing on upto a
maximum of 10% (ten percent) of the total data volume to evaluate and determine
optimum processing parameters.

Contractor has to quote for Optional processing steps separately as given in schedule-5.
Basic processing rates should not include optional processing steps rates.

Contractor must provide all test results/and other processing output in work station for QC
by company representative at its Processing Centre.

Contractor must ensure that different processes applied invariably preserve the relative amplitudes
of the data.

Contractor shall ensure close interaction with EOL Quality Control geophysicists. The EOL
representative shall actively participate with ContractorS QUALITY CONTROL supervisor
while examining diagnostic displays and in the choice of processing parameters.

All parameters will be agreed to in writing by Essar Exploration & Production before they
are applied to the data for production processing.

Standard SEGY copies of pre-stack or post stack data at any desired processing stage with
complete headers appended.


4. Additional/Optional Processing

   EOL may require Contractor to carry all or any or none of the following Additional
   processes required. This will be selected based on the test processing results. Contractor
   shall quote unit rates for each of the following processes. These shall also be done in the
   same schedule (Schedule-4) indicated for completion.

      3.1.    Computation and application of CDP Consistent residual statistics
      3.2.    Q compensation (pre stack) – for both amplitude and phase.
      3.3.    Continuous Horizon Consistent velocity Analysis.
      3.4.    Post Migration Radon Demultiple.
      3.5.    Application of filter to convert to statistical zero phase.
      3.6.    Pre – stack depth migration. Contractor will specify the method proposed for
              depth migration together with the procedure for construction of velocity
              model.
      3.7.    Post – stack depth migration. Contractor will specify the method proposed for
              depth migration together with the procedure for construction of velocity
              model.

Contractor’S AND SUB-Contractor’ EQUIPMENT AND PERSONNEL DETAILS
The minimum requirement of equipment to be deployed by the Contractor is given below.
The Contractor shall employ his own personnel and equipment for carrying out seismic
data processing and quality control etc. as per Schedule – 1 & 2.
The Contractor shall provide competent personnel having requisite experience together with
all necessary supervisors, who should know English language. On EOL request Contractor
shall substitute at his own expenses any of the Contractor‟s personnel whose presence is
considered undesirable in the opinion of EOL. The deployment of the personnel shall be
after approved by EOL.

The Contractor shall also provide list of current jobs and jobs anticipated and their present
commitments of equipment and manpower and the surplus capacity available.
1. Data processing system
Proven 2D processing hardware and software combination, processing power details to be
supplied along with bid document.


2. Personnel details

Senior project managers and their team shall be competent to execute all necessary
processing requirements mentioned under the contract. They shall supervise to processing
team to ensure all the data processed to meet the required specification. Processing team
should be able to integrate subsurface geology of the area and the objectives of the data
processing as mentioned under the contract.

Detailed CVs (Names, Qualifications, Experience & designation) of the Key Personnel
(Processing) should be furnished along with the bid. Team Leader must have more than
12 years and Project leader must have min. 8 years of processing experience. Other
deputed Personnel to the project should have minimum 6 Years of processing
experience.

Note: Contractor should propose the best experienced personnel to finish the project
in stipulated time frame with quality outputs in the form of improvement in the
existing data set. It will be a major criteria for bid evaluation. EOL assure to provide
full technical support during the execution of this project.


3. Communication Facility
EOL requires that a voice and fax communication system is provided by Contractor that
guarantee 24 hours/day communication capability between the DP Center and EOL offices.

Minimum three company representatives might be present at contractor‟s DP center for QC
purpose. Contractor will provide a cabin and separate workstations to the company
representatives for interactive QC to the data processing.

                                 COMPENSATION AND PRICING
The price for work shall be calculated in accordance with the rates, prices and time
categorisation as set-out in this schedule. Payment shall be made after completion of the
project.
   5.1 Invoices and Payments
Invoices shall show separately the individual amounts under each of the appropriate
heading of this schedule-5 and shall be accompanied with adequate supporting documents

of fatal accident / serious accidents / minor accidents, wages for the disability period and
compensation under Workmen's Compensation Act, 1923 for the accidents arising out of
and in course of employment of Workmen by us. We further confirm that we are and shall
be fully responsible for any such claims for payment of compensation.
2.0 We hereby indemnify EOL against any penalties / claims arising from any default on
our part in complying with the provisions and obligations under the Contract Labour
(Regulation and Abolition) Act, 1970 and Rules thereunder and any other applicable laws.
We further indemnify EOL to the effect that all wages / dues of the workmen engaged by us
or our sub-Contractors will be fully paid for the entire Contract period by us.
3.0 We indemnify EOL against any default on our part in complying with the Statutes /
Laws of the Local authorities, State and Central Governments.
