Origin, and are subject to change without notice. All sales are subject to the following terms and conditions of the sales agreement. Urban Gorilla LLC, agrees to sell and Purchaser agrees to buy and pay for the following merchandise and services, subject to the following terms and conditions: 1. Title: Title to the merchandise sold herein shall pass from Seller to Purchaser by Seller issuance of a Bill of Sale upon full payment by the Purchaser in U. S. funds. 2. Jurisdiction: This agreement shall be governed, construed and enforced in accordance with the Laws of the State of Utah, United States of America. This instrument has been executed by Seller in the State of Utah regardless of where executed by Purchaser, any legal action by Purchaser hereunder, or involving the terms, conditions, merchandise or services specified herein, shall be brought, taken instituted and pursued in the courts located in the State of Utah. Purchaser further agrees that any damages, upon which Purchaser may be entitled, shall not exceed the Purchase price upon return of goods and determination that the same is defective. If Seller is the prevailing party, any legal fees incurred by the Seller become the Purchaser's responsibility. 3. Changes: All change requests, relative to this agreement, must be in writing and sent by certified mail to Urban Gorilla LLC., 2337 Camino Way, Salt Lake City, UT 84121. Any changes, if accepted by Seller, must be on a form containing all of the terms and conditions of this agreement, and signed by a Representative of Urban Gorilla LLC. 4. Warranty: Seller will repair or replace, at Seller's discretion, any body components or automotive accessories sold by Seller which are determined to be defective in materials or workmanship; provided, however, that any claim of defective body components or automotive accessories is approved by Seller in writing within 90 days for kits. In addition, said body components and automotive accessories claimed to be defective must be received by Seller no later than 90 days for kits, freight prepaid. In the event that the Purchaser finds a warranted defect in Seller's product, the Purchaser understands that Seller makes no warranty of merchantability of the goods or of the fitness of the goods for any purpose, express or implied, nor does Seller make any other express or implied warranty with respect to body components, automotive accessories, products, materials and parts sold except as stated above. It is hereby agreed and understood, Seller shall not be responsible for damage, loss of injury to persons or property directly or indirectly, immediately or subsequently, arising from the use of, or inability to use, the vehicle or any body component or automotive accessory purchased. Purchaser assumes all present and future risk and liability arising out of use of said vehicle or the construction of a vehicle in any form by assembling any body components and automotive accessories sold by Seller. 5. Modifications: From time to time, Seller may make specification and/or price changes as deemed necessary. 6. Taxes: Any sales or other applicable tax, duty or fine attached to or levied against this transaction or the subject matter thereof, including but not limited to the sale, exchange, or shipment of merchandise or services by the County or Municipality, State or Country of initiation or destination shall be paid by Purchaser, together with any and all expenditures necessary for compliance with codes, ordinances, laws or government regulations. 7. Disclaimer: Urban Gorilla LLC., is not associated with any automotive manufacturer. Other manufacturer's trade names, names plates and insignias are not part of our products. Urban Gorilla LLC, is a custom fabrication and component distribution company. Our terms and names are generic and our products are not meant to be an exact replica of any other part, body or vehicle. Our product orders are built to Purchaser's specifications and are governed by this specific written contract with applicable attached contents list. Urban Gorilla LLC has no sales representatives and our distributors are completely independent. Representations to the contrary are not authorized. 8. Parties: The Purchaser agrees that the only parties to this agreement are the Purchaser and Seller named herein. 9. Quality: The quality of the merchandise provided by third parties for the kit may vary according to the availability based on the make, model, series and quantity ordered. 10. Chassis: Urban Gorilla LLC does not provide, offer or furnish all of the components of a completed chassis. Purchaser assumes all risk, liability and the full responsibility for the chassis and its operation that may be used in conjunction with the merchandise and/or services sold under this agreement. 11. Facsimile: Facsimile (fax) or electronic (e.g. email) transmission of a signed copy of this Agreement and the retransmission of any signed fax or email shall be the same as delivery of an original. 12. Severability: Any provisions of this contract prohibited by the law of any state shall as such state be ineffective to the extent of such prohibition without invalidating the remaining provisions of the contract. The Purchaser agrees that this agreement cannot be amended by either discussions or verbal agreements.
